B.1 CONTRACT DEFINITION
This is a fixed priced contract under the authority of FAR Part 13.5- Simplified Procedures for Certain Commercial Products and Commercial Services under NAICS Code 511120 Periodical Publishers for performance of the services stated in Section C, Performance Work Statement. This is a small business set-aside.
B.2 DESCRIPTION OF SERVICES
The Contractor shall provide Subscription Agent Services for the U.S. Department of Housing and Urban Development (HUD), Office of Policy Development and Research (PD&R). The contractor shall provide all management, supervision, personnel, equipment, materials, supplies, facilities, and other resources necessary to perform, schedule, coordinate, deliver, and assure effective performance of all tasks as defined in Section C.5.
More specifically, the Contractor shall:
(1) Place orders for and make necessary payments for multiple subscriptions;
(2) Provide necessary login and subscription terms for online and hardcopy subscriptions; and
(3) Monitor track and report progress on renewal or expiration of existing subscriptions.

SECTION C - DESCRIPTION/SPECIFICATIONS/WORK STATEMENT
1.1. Introduction:
This contract will allow the government to enter a contract with a subscription service agent that will purchase local housing market data for use by the HUD Field Economist staff. HUD will provide the subscription service company with a list of very specific housing-related data subscriptions. The vendor’s phone number, e-mail address and actual address with a contact person, will be provided. Subscriptions will be sent to various HUD field offices, as noted in the list of subscriptions that is attached.
1.2 Background:
The Department of Housing and Urban Development (HUD) insures billions in multifamily rental projects each year. In doing so, it evaluates the market absorption potential for these projects and how they relate to existing projects in the market. HUD has two objectives. One is to avoid financing projects in markets where it is anticipated there will be an excess supply of rental units by the time the project is completed, thereby reducing the risk of default for the proposed project. The other is to avoid increasing vacancy levels above desired levels in the market to reduce the risk to financial viability of existing rental projects, some of whose mortgages HUD may have insured.
Most of HUD’s multifamily mortgage business is concentrated in metropolitan areas, especially large, fast-growing areas. Detailed information on the location, type, rents, and vacancy rates of existing and newly developed multifamily rental projects is highly valuable in estimating the impacts and potential absorption of rental projects applying for HUD mortgage insurance or subsidy assistance. A limited amount of rental vacancy rate data is available from the Bureau of the Census. This information, generally updated to the previous quarter or month, is collected in greater detail for multifamily rental projects by a limited number of firms that sell it to interested parties in a standardized format. HUD is interested in purchasing such data to assist it in carrying out its market analysis functions.
1.3 Constraints:
The services identified in this PWS will adhere to the rules, regulations, laws, standards, and conventions identified by HUD as well as within the Federal Government.
1.4 Description of Services
The subscription service agent contractor shall furnish all the professional, technical, and clerical personnel and services, materials equipment and facilities and shall do all things necessary for, or incidental to, the performance of the tasks listed below, unless otherwise stated. HUD will provide the subscription service company with a list of very specific housing-related data subscriptions. The vendor’s phone number, e-mail address and actual address with a contact person, will be provided. Subscriptions will be sent to various HUD field offices, as noted in the list of subscriptions that is attached. The subscription agent contractor shall be responsible for all monitoring, tracking, renewing, placing orders for multiple subscriptions and completing payment for each HUD subscription as required. As each subscription, has been paid or renewed, the Contracting Officer Representative (COR) will be notified of the payment and subscription terms.
1.5 Non-Personal Services:
The Government will neither supervise Contractor employees nor control the method by which the Contractor performs the required tasks. Under no circumstances shall the Government assign tasks to, or prepare work
Policy Development and Research 86614622Q00005 schedules for, individual Contractor employees. It shall be the responsibility of the Contractor to manage its employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services.
If the Contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the Contractor's responsibility to notify the Contracting Officer (CO) immediately. These services shall not be used to perform work of a policy, decision making, or management nature, i.e. inherently Government functions. All decisions relative to programs supported by the Contactor shall be the sole responsibility of the Government.
1.6 Period of Performance:
September 29, 2022 through September 28, 2023.
1.7 Place of Performance:
Subscription services will be carried out at the contractor’s site.

Mandatory minimum requirements. Minimum 3 years’ experience managing subscriptions services similar to subscriptions in Section B. Bachelor’s degree or above preferred.
1.10 Post Award/Kickoff Conference:
The Contractor shall attend any post award conference convened by the contracting activity or contract administration office in accordance with FAR Subpart 42.5.
1.11 Status Meetings:
The Contracting Officer, Contracting Officer’s Representative (COR) and other Government personnel, as appropriate may meet periodically with the Contractor to also review Contractor performance, requirement status, etc. At these meetings, the Contracting Officer will apprise the Contractor of how the Government views the Contractor’s performance or progress of the requirement. The Contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the Government. Post Award Conference and subsequent meetings may be held via teleconference.

2.1 Definitions:
Business/Work Days – Every official work day of the week which are days between and including
Monday to Friday. This does not include public holidays and weekends.
Calendar Day – Any day of the week.
Contractor – A supplier or vendor awarded a contract to provide specific supplies or service to the Government. The term used in this contract refers to the prime.
Contracting Officer (CO) – A person with authority to enter, administer, and/or terminate contracts and make related determinations and findings on behalf of the Government. Note: the only individual who can legally bind the Government.
Contracting Officer’s Representative (COR) – An employee of the U.S. Government appointed by the Contracting Officer to perform contract administration activities in regard to technical issues. This individual has authority to provide technical direction to the Contractor as long as direction is within the scope of the contract, does not constitute a change and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
Defective Service – A service output that does not meet the standard of performance associated with the Performance Work Statement.
Deliverable – Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.
Performance Requirements Summary (PRS) – A listing of the performance requirements under the contract that are to be evaluated by the Government on a regular basis, performance indicators for these requirements, performance standards for these requirement and surveillance methods to be used to determine if performance standards are met.
Performance Standard - The Contractor’s performance level required by the Government.
Quality Assurance (QA) – Policies and procedures adopted by the Government to ensure that supplies and services acquired under Government contracts conform to the contracts quality requirements.
Quality Assurance Surveillance Plan (QASP) – A plan describing how the agency will survey, observe, test, sample, evaluate and document the Contractor’s performance in meeting critical performance standards identified in the contract.
Quality Control (QC) – All necessary measures taken by the Contractor to assure that the quality of an end product of service shall meet contract requirements.
Performance Work Statement (PWS) – A Performance Work Statement that describes the required results in clear, specific and objective terms with measurable outcomes.

Subcontractor – Any person, other than the prime Contractor, who offers to furnish or furnishes any supplies, material, equipment, or services of any kind under a prime contract or a subcontract entered into in connection with such prime contract, and any person who offers to furnish or furnishes general supplies to the prime contractor or a higher tier subcontractor. The Government does not have privity of contract with a subcontractor.
Work Week – Monday through Friday, unless specified otherwise.

Copies of required materials may be provided to the Contractor in hard copy or soft copy. All materials will remain the property of the Government and will be returned to the COR upon request or at the end of the contract period.

3.5 Quality Assurance (QA):
The Government shall evaluate the Contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government will do to ensure that the Contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable quality level.
4. Contractor-Furnished Items and Services:
The Contractor shall furnish, all facilities, equipment, and supplies required to perform the work under this contract that are not listed under Government-Furnished Property and Services.
4.1 Facilities:

The contractor shall furnish all equipment to meet the requirements under this PWS.

The contractor shall furnish all materials to meet the requirements under this PWS.
4.4 Contractor Responsibilities:
The Contractor shall only conduct business with designated Government personnel listed as points of contact (POCs). Names of authorized personnel shall be provided to the Contractor by the Government, in writing, and updated as necessary throughout the contract period.
U.S. Government records, copies of original results and reports, verified original data, corrected data and corrected supporting final reports which are maintained by the Contractor remain the property of the U.S.
Government. These files/results must be surrendered to the COR.

4.6 Identification of Contractor Employees:
When conversing with Government personnel during business meetings, over the telephone, or via electronic mail, Contractor/subcontractor personnel shall identify themselves as such to avoid situations arising where sensitive topics might be better discussed solely between Government employees. Contractors/subcontractors shall identify themselves on any attendance sheet or any coordination documents they may review. Electronic mail signature blocks shall identify their company affiliation.
4.7 Quality Control:

The Contractor shall establish and maintain a complete quality control program that shall ensure services are performed in accordance with this contract. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-reoccurrence of defective services. The Contractor’s quality control program is the means by which he assures himself that his work complies with the requirements of the contract. The Contractor shall provide the associated Quality Control Plan to the Government as directed.
4.7.1 Quality Control Plan:
The Contractor shall develop, maintain, enforce, and document a Quality Control Plan (QCP). The QCP shall ensure the Government receives the level of quality that is consistent with the requirements specified in this contract. The QCP shall be sufficiently detailed to provide the Contractor's methodology for identifying and recruiting qualified personnel. The QCP shall also provide the Contractor's methodology for resolving problems identified by the Government during reviews conducted in accordance with its Quality Assurance Surveillance Plan (QASP). The QCP shall also provide the Contractor's methodology for establishing an internal feedback system for support personnel, and for resolving problems identified by that feedback system. The QCP shall demonstrate and validate that the services or deliverables to be provided under the contract are completed with a level of quality that meets the minimum performance threshold established in the Government's QASP. The QCP shall address Quality Management Approach, Quality Assurance, Quality Control and Quality Standards.
5. Specific Tasks:
5.1. Subscriptions Agent Services – The Contractor shall provide subscriptions agent services for PD&R. The subscription service company shall place the orders, make the payments and determine renewal dates. The HUD Government Contracting Officer’s Representative (COR) must approve all orders before payment is made. When a subscription has been paid, or renewed, the recipient of the subscription as well as the Contracting Officer’s Representative (COR) will be notified of the payment and subscription terms.
5.1.1 The subscription service company shall enter subscriptions into its database within one month of contract date. After entering the subscriptions, a list of all subscriptions will be generated and verified with the COR.
Subscriptions shall be paid based on the date of expiration (those expiring first will be paid first). No back orders shall be paid without consent of the COR.

5.1.2 The COR will be available to assist in any questions about the subscriptions. If HUD has negotiated for lower rates, this information will be passed on to the subscription service company.
5.1.3 The subscription service company shall ensure that all subscriptions are sent to the appropriate Field Economist. The appropriate Field Economist and the Contracting Officer’s Representative (COR) must be notified of all transactions, including price, frequency and expiration of each subscription.

5.1.4 A list of proposed data subscriptions is included with the expiration date of the subscriptions. This list may be modified during the contract and subscriptions may be added and deleted. Each change will require alterations to the database that must be verified again with the COR.

5.1.5 The company may be paid a fixed amount based on the cost of the subscription. A minimum amount for small subscriptions may be requested.

6.1 Quality Control Plan
The Contractor's QCP shall be delivered to the COR within 30 days after contract award (or with the Contractor's proposal if it is an evaluation factor). The Contractor shall submit an updated QCP to the COR within seven (7) business days when changes are made thereafter. After acceptance of the QCP, the Contractor shall receive the Contracting Officer's acceptance in writing of any proposed change(s) to its quality control system.

7. Performance Requirements Summary:
The summary chart below lists the contract's primary requirements, the associated performance standards, the expected target performance, and the methods of surveillance. While some contract requirements may not be listed in the chart below, requirements not appearing on the PRS chart do not negate the Contractor's obligation to perform all requirements as specified in the contract. Additionally, HUD reserves all rights and remedies under the provisions and clauses of the contract when performance of any contract requirement, whether listed below, is unacceptable.
HUD will develop a Quality Assurance Surveillance Plan to be used to provide contract oversight. In conjunction with the Contractor's Quality Control Plan and various other methods of assessing performance, the COR may perform on-site reviews and/or other types of verification to determine that the specified target performance requirements have been met.

8. SECTION 508 COMPLIANCE
Section 508 of the Rehabilitation Act of 1973 requires that Federal agencies' electronic and information technology is accessible to people with disabilities. All future HUD web sites and applications must be developed to be compliant with Section 508. Each Electronic and Information Technology (EIT) product or service furnished under this contract shall comply with the Electronic and Information Technology Accessibility Standards (36 CFR 1194), as specified in the contract, as a minimum. If the Contracting Officer determines any furnished product or service is not in compliance with the contract, the Contracting Officer will promptly inform the Contractor in writing. The Contractor shall, without charge to the Government, repair or replace the non-compliant products or services within the period of time to be specified by the Government in writing.
If such repair or replacement is not completed within the time specified, the Government shall have the following recourses: cancellation of the contract, delivery or task order, purchase or line item without termination liabilities; or make repairs performed by itself or by another firm and the Contractor shall reimburse the Government for any expenses incurred therein.

D.1 ENVIRONMENTALLY SAFE PACKAGING
The contractor shall package non-breakable deliverables (reports, proposals, studies, etc.) using environmentally safe packaging materials (e.g., recycled paper). All deliverables shall be packaged and marked in the most economical manner possible and in accordance with the best commercial practices and provide adequate protection during shipping and handling.
D.2 PAYMENT OF POSTAGE AND SHIPPING COSTS
All postage and shipping costs related to the submission of the information (including reports and forms) required by this contract shall be paid for by the contractor. The price specified in Section B is inclusive of all postage, shipping and delivery charges.
D.3 MARKING
All information submitted to the Contracting Officer or Contracting Officer Representative shall clearly indicate the contract number for which the information is being submitted.

(a) Payment schedule. Payment of the contract price (see Section B of the contract) will be made upon completion and acceptance of all work unless a partial payment schedule is included below.

(1) The Contractor shall obtain access and submit invoices to the Department of Treasury Bureau of Fiscal Services’ Invoice Platform Processing System via the Web at URL: https://www.ipp.gov/ in accordance with the instructions on the website. To constitute a proper invoice, the invoice must include all items required by the FAR clause at 52.232–25, ‘‘Prompt Payment.’’
(2) To assist the government in making timely payments, the contractor is also requested to include on each invoice the appropriation number shown on the contract award document (e.g., block 14 of the Standard Form (SF) 26, block 21 of the SF– 33, or block 25 of the SF–1449).

(c) Contractor remittance information. The Contractor shall provide the payment office with all information required by other payment clauses or other supplemental information (e.g., contracts for commercial services) contained in this contract.
(d) Final invoice payment. The final invoice will not be paid prior to certification by the Contracting Officer that all work has been completed and accepted.
G.2 FAR 52.213-2 – Invoices APR 1984
The Contractor’s invoices must be submitted before payment can be made. The Contractor will be paid on the basis of the invoice, which must state --
(a) The starting and ending dates of the subscription delivery; and
(b) Either that orders have been placed in effect for the addressees required, or that the orders will be placed in effect upon receipt of payment.
