Offerors shall not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet the requirements. Offerors are advised that the Government will base its evaluation of the technical proposals on the information presented therein; offerors shall not assume that the Government has prior knowledge of their capabilities, work processes, or facilities.

The offeror shall submit a Preliminary Quality Control Plan that demonstrates an understanding of the business requirements by describing effective and independent quality control methods and procedures to ensure that all tasks are completed in accordance with the performance standards listed in the solicitation. At a minimum, the offeror shall submit a Preliminary QCP that describes key risk areas, management controls, corrective actions, and describe how the offeror will ensure the effective management of Listing Brokers, Appraisers, and employees of the prime and subcontractors and their activities. The Preliminary QCP shall include an approach to subcontractor management that makes clear
Amendment 0016 the contractual and reporting relationships of all subcontractors. The Preliminary QCP must also detail the processes and methods that will be utilized to identify and remedy poor performing Listing Brokers, Appraisers, AMCs, and subcontractors, including subcontractor default.
The offeror shall identify whether the Quality Control function will be performed in house or by a subcontractor.

The offeror shall submit a Management Plan that is clear, concise, and demonstrates that it will result in meeting the requirements contained within the Performance Work Statement tasks 5.1 through 5.8.
As part of the Management Plan:
Offerors shall provide an Organizational Chart outlining clear lines of authority from the top of the organization to all those working on this effort (including third-party subcontractors), and a staffing plan outlining the key positions/roles (including alternates) for each major service area(s) and their responsibilities.
Offerors shall provide the proposed number of staff within each major area of operation, which shall reflect adequate capabilities and skillsets to ensure the outcome and benefits sought by the government are achievable.
Offerors shall demonstrate that they have the capacity and resources to perform in the proposed contract area(s)as applicable:
o If the work will be performed by in-house personnel, the offerors shall provide supporting documentation that demonstrates adequate capabilities to perform the

o If the work is being performed by a third-party subcontractor, offerors shall provide a separate breakout, including the estimated number of subcontractors and subcontractor employees intended to service each major service area(s).
Offerors shall provide proposed subcontracting arrangements and reporting relationships for all third-party subcontractors, Listing Brokers, and Appraisers.
Offerors shall clearly identify what aspects of the work will be performed by the prime and what aspects of the work will be performed by each named third-party subcontractor.
Offerors shall provide schedules of all tasks and subtasks, meetings, and deliverables.
Offerors shall explain their methods for successful communication and coordination between the contractor and the government personnel/roles.

17. Page 69 4.5 CONTRACTOR PERSONNEL Changed from:
The Contractor shall provide a Contract Manager, Project Manager, and Quality Control Manager, or Third-Party Quality Control Vendor who shall be responsible for the performance of work, and qualifying alternates shall also be designated to act in the absence of each of these positions. The only authorized exception is that an alternate Quality Control Manager need not be named for those contractors using a third-party Quality Control Vendor. Alternates named must be able to perform in the same capacity as the primary Contract Manager, Project Manager and Quality Control Manager (only if employee of the prime) in their absence. These Contractor personnel (main point of contact and alternate point of contacts) are considered Key Personnel by the Government and shall be listed as such in accordance with HUDAR 2452.237-70, "Key Personnel”.
The Contract Manager, Project Manager, Quality Control Manager (if employee of the prime) and their alternates shall have full authority
Amendment 0016 to act on all contract matters relating to daily operations of this contract. Accordingly, at a minimum, the Key Personnel shall have the technical knowledge of the requirement and be authorized in the position to actually receive assignment, guidance, and direction from the COR and CO per HUDAR 2452.237-73, "Conduct of Work and Technical Guidance" and shall be allocated the 100% of the time to ensure successful performance. These Key Personnel, other than the Third- Party Quality Control Vendor, if applicable, shall each be an employee of the Contractor. The Key Personnel or alternates shall be available between the hours of 8:00 a.m. to 4:30 p.m. Monday through Friday consistent with the awarded HOC jurisdiction time zone, except Federal Holidays or when the Government facility is closed for administrative reasons.

4.5 CONTRACTOR PERSONNEL
The Contractor shall provide a Contract Manager, Project Manager and Quality Control Manager who shall be responsible for the performance of work. An alternate shall also be designated to act in the absence of the Contract Manager, Project Manager and Quality Control Manager (except for a third party Quality Control vendor). The Alternate Contract Manager, Alternate Project Manager and Quality Control Manger need not be 100% dedicated to the contract, except for when they are substituting for the primary person designated for that position.
These Contractor personnel (main point of contact and alternate point of contact) are considered Key Personnel by the Government and shall be listed as such in accordance with HUDAR 2452.237-70, "Key Personnel.
The Contract/Project/Quality Control Manager and alternate shall have full authority to act on all contract matters relating to daily operations of this contract. Accordingly, at a minimum, the points of contact shall have the technical knowledge of the requirement and be in the position to actually receive assignment, guidance and direction from the COR, SUBCOR and CO per HUDAR 2452.237-73, "Conduct of Work and Technical Guidance" and shall be allocated enough hours to the requirement to ensure successful performance. 18. Page 98 H.3 HUDAR 2452.237-70 KEY PERSONNEL (FEB 2006) Changed from:
(a) Definition. "Personnel" means employees of the contractor, or any subcontractor(s), affiliates, joint venture partners, or team members, and consultants engaged by any of those entities.
(b) The personnel specified below are considered to be essential to the work being performed under this contract. Prior to diverting any of the specified individuals to other projects, the contractor shall notify the Contracting Officer reasonably in advance and shall submit justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on the program. No diversion shall be made by the contractor without the written consent of the Contracting Officer. Key personnel shall perform as follows:
