Introduction

The purpose of this Request for Qualifications (RFQ) by the County of Page, Virginia (County) is to solicit

Statements of Qualifications (SOQs) from interested Offerors to serve as the design-builder for a welding shop at Page County Technical Center. The purpose of this RFQ is to solicit information that will enable the County to determine which Offerors: (a) are best qualified to successfully execute the design and construction of the project; and (b) will be invited to submit proposals in response to the

County’s Request for Proposals (RFP).

This RFQ is being issued in accordance with Virginia Code § 2.2-4382 and with the County’s design-build procedures as adopted by Resolution from the Board of Supervisors of Page County, effective

December 1, 2025.

The County will use a two-phase selection process for the selection of a design-builder for the project.

This RFQ represents the first phase in the selection process, during which Offerors will submit SOQs for the project. Upon completion of this first step, the County intends to shortlist at least three (3)

Offerors. Only the shortlisted Offerors will receive the RFP and be allowed to submit a proposal. In the event the SOQs of fewer than three (3) Offerors are determined to be qualified, then the County reserves the right not to proceed to the second phase of the design-build procurement process.

The second phase of the selection process will entail the submission of two (2) separately sealed parts:

a technical proposal and a cost proposal from each shortlisted Offeror. While the RFP will contain specific requirements for separately sealed technical and cost proposals, the County anticipates that:

(a) technical proposals will include the Offeror’s design plans and a project schedule; and (b) cost proposals will include the price to construct the design included in the technical proposal. The final fixed price for the project will be determined upon completion of the final design. The County further anticipates that upon completion of the evaluations of the separately sealed technical and cost proposals, the County will recommend the top-ranked Offeror for an award of a contract.

Offerors are on notice that the County may negotiate and award a design-build contract to an Offeror if, upon a written determination, the County determines that such Offeror is the only Offeror fully qualified to perform the proposed design-build contract, or that such Offeror is clearly more highly qualified than the others under consideration.

2027-501-01 WELDING SHOP 4

Statement of Needs

The County anticipates that a pre-engineered steel building system may provide an efficient and cost-effective solution for the welding shop; however, offerors may propose alternative building systems that can demonstrate equal or superior performance, durability, and value.

Offeror’s Qualifications

Offerors must demonstrate the experience, expertise, and capacity necessary to successfully deliver a welding shop project of this size and complexity. SOQs shall address the following areas:

A. RELEVANT EXPERIENCE AND EXPERTISE

Using Attachment B, provide a list of current or recent client references from the past ten years for similar projects and include a brief description of the work.

Requirement to Keep Team Intact

The team proposed by the Offeror shall remain in place for the duration of the procurement and, if awarded, the design-build contract. If a key team member becomes unavailable for reasons beyond the Offeror’s control, the Offeror shall promptly submit a written request identifying a proposed replacement with equal or greater qualifications for approval by the County Administrator or designee.

Unauthorized changes may result in elimination from further consideration.

2027-501-01 WELDING SHOP 9

Special Terms and Conditions

A. AWARD: The County of Page shall issue a RFP to the offerors shortlisted through the RFQ process. The RFP shall establish the evaluation criteria, relative weights, scoring methodology, and basis for award. Offerors shall submit separate sealed technical and cost proposals in accordance with the RFP. Technical proposals shall be evaluated without access to the cost proposals. Cost proposals shall remain sealed until the technical evaluation and any required design adjustments are complete. The County shall evaluate technical proposals based on the criteria established in the RFP. The County may request adjustments to technical proposals to ensure compliance with the RFP requirements and to incorporate project improvements or additional details, as permitted by applicable procedures. Following completion of the technical evaluation and any required adjustments, offerors may submit permitted revisions to their cost proposals in accordance with the RFP. The County shall evaluate cost proposals using the scoring methodology established in the RFP and combine the resulting cost scores with the technical scores to determine each offeror's total score. The contract shall be awarded to the offeror receiving the highest total score, subject to the requirements of the RFP and applicable law. The RFP shall specify the technical and cost scoring methods, the relative weight of each component, and the method for resolving ties. Should the County determine in writing and in its sole discretion that only one offeror is fully qualified, or that one offeror is clearly more highly qualified and suitable than the others under consideration, the County may proceed in accordance with applicable law and the state design-build procedures. The County reserves the right to reject proposals or cancel the solicitation to the extent permitted by applicable law and the terms of the solicitation.

B. TERMINATION OF CONTRACT: Subject to the provisions below, the purchasing department or agency reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon thirty (30) days written notice to the contractor. Any contract cancellation notice shall not relieve the contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.

1. Termination for Convenience: In the event that the contract is terminated upon request and for the convenience of the County of Page without the required thirty (30) days advance notice, then the County shall be responsible for payment of services up to the termination date.

2. Termination for Cause: Termination by the County for cause, default, or negligence on the part of the contractor shall be excluded from the foregoing provision. Termination costs, if any, shall not apply. The County may hold the contractor responsible for any resulting additional purchase and administrative costs. The thirty (30) day advance notice requirement is waived in the event of Termination for Cause.

3. Termination Due to Unavailability of Funds: Agreements are made subject to the appropriation of funds by the Board of Supervisors of Page County and are null and void in the event of non-appropriation by the Board of Supervisors. Non-appropriation of funds shall not be deemed a cancellation and shall terminate this agreement without recourse and with no liability on the part of the County.

2027-501-01 WELDING SHOP 10

4. Termination Due to Suspension or Debarment: In the event that the contractor is suspended or debarred by any local or state agency of the Commonwealth or the U.S. federal government during the term of a contract, the County may terminate the contract without advance notice at no penalty to the County. The County shall be responsible for payment of services up to the termination date.

C. CONTRACTOR’S TITLE TO MATERIALS: No materials or supplies for the work shall be purchased by the contractor or by any subcontractor subject to any chattel mortgage or under a conditional sales or other agreement by which an interest is retained by the seller. The contractor warrants that he has clear title to all materials and supplies for which he invoices for payment.

D. EXTRA CHARGES NOT ALLOWED: The contract price shall be for complete installation ready for the County of Page’s use, and shall include all applicable freight and installation charges; extra charges will not be allowed.

E. FINAL INSPECTION: At the conclusion of the work, the contractor shall demonstrate to the authorized owner’s representative that the work is fully operational and in compliance with contract specifications and codes. Any deficiencies shall be promptly and permanently corrected by the contractor at the contractor’s sole expense prior to final acceptance of the work.

F. INDEMNIFICATION: Contractor must indemnify, keep and save harmless, and defend the County of Page, its agents, officials, and employees against claims that may accrue or arise against the

County as a result of the performance of the work under this contract, if the claim was caused by the negligence, error, or omission of the contractor, its employees, its subcontractor, or its subcontractor’s employees. Upon request by the County, the contractor must at its own expense appear, defend, and pay all attorney’s fees and all costs and other expenses related to the claim.

If, related to a claim, any judgment is rendered against the County or a settlement reached that requires the County to pay money, the contractor must at its own expense satisfy and discharge the same. Contractor expressly understands and agrees that any performance bond or insurance protection required by this contract, or otherwise provided by the contractor, does not limit the contractor’s responsibility to indemnify, keep and save harmless, and defend the County as provided in this contract.

G. LICENSES, PERMITS, AND FEES: All proposals submitted shall have included in price the cost of any business or professional licenses, permits, or fees required by the County of Page or the

Commonwealth of Virginia. The offeror must have all necessary licenses to perform the services in the County of Page and Commonwealth of Virginia and, if practicing as other than an individual, be authorized to do business in the Commonwealth of Virginia.

e. The following shall be deemed to be the date of payment: the date of postmark in all cases where payment is made by mail.

f. Unreasonable Charges. Under certain emergency procurements and for most time and material purchases, final job costs cannot be accurately determined at the time orders are placed. In such cases, contractors should be put on notice that final payment in full is contingent on a determination of reasonableness with respect to all invoiced charges.

In that case the contractor shall, in writing, promptly notify the purchasing department or agency of the adjustment to be sought, and before proceeding to comply with the notice, shall await the department’s or agency’s written decision affirming, modifying, or revoking the prior written notice. If the department or agency, with the approval of the County Administrator, decides to issue a notice that requires an adjustment to compensation, the contractor shall be compensated for any additional costs incurred as the result of such order and shall give the department or agency a credit for any savings. Said compensation shall be determined by one of the following methods:

a. By mutual agreement between the parties in writing; or

b. By agreeing upon a unit price or using a unit price set forth in the contract, if the work to be done can be expressed in units, and the contractor accounts for the number of units of work performed, subject to the County’s right to audit the contractor’s records and/or to determine the correct number of units independently; or

c. By ordering the contractor to proceed with the work and keep a record of all costs incurred and savings realized. A markup for overhead and profit may be allowed if provided by the contract. The same markup shall be used for determining a decrease in price as the result of savings realized. The contractor shall present the County with all vouchers and records of expenses incurred and savings realized. The County shall have the right to audit the records of the contractor as it deems necessary to determine costs or savings. If the parties fail to agree on an amount of adjustment, the question of an increase or decrease in the contract price or time for performance shall be resolved in accordance with the procedures for resolving disputes provided by the Disputes Clause of this contract or, if there is none, in accordance with the disputes provisions of the Code of Virginia § 2.2-4363. Neither the existence of a claim nor a dispute resolution process, litigation or any other provision of this contract shall excuse the contractor from promptly complying with the changes ordered by the purchasing department or agency or with the performance of the contract generally.

O. DEFAULT: In case of failure to deliver goods or services in accordance with the contract terms and conditions, the County of Page may terminate this agreement after verbal or written notice without penalty. Upon termination, the County may procure the goods or services contracted for from other
