This phase of the Abrams Creek Trail is approximately 1 mile of 10’ wide shared use path with one creek crossing bridge. The trail termini include a parking area along Meade Drive (as part of this project), and a trail exit to Woodstock Lane in Frederick County, VA.
This project or work is funded in whole or in part by grants from the federal government. The purchase of goods or services funded in whole or in part by the Federal Government are subject to the requirements of 2 C.F.R. §§ 200.317 – 200.326 and 2. C.F.R. Part 200, Appendix II. The contractor, vendor, or supplier (“Contractor”) is responsible for ensuring its compliance with all applicable Federal requirements. The following contract clauses shall be incorporated in any contract awarded by Frederick County, Virginia, its governing body, officers, employees, and agents
(“County”) as indicated below.
2. BACKGROUND
Frederick County is located in the northern Shenandoah Valley of Virginia and occupies a strategic location in the Mid-Atlantic region. The Shenandoah Valley stretches approximately 200 miles between the Blue Ridge Mountains to the east and the Allegheny Mountains, part of the Appalachian
Mountain Range, to the west. The Valley extends from the Potomac River in the north to the James
River in the south. Frederick County encompasses 416 square miles and serves a population of approximately 100,000 residents.
3. SCOPE OF WORK
The scope of work is to include all aspects of the trail and trailhead installation in accordance with the attached plans and specifications. All aspects of the project will require adherence to all the relevant local, state, and federal requirements for federally funded projects. The scope of this project includes the installation of 10-foot-wide asphalt walking trail along Abrams Creek with accompanying retaining walls, guardrail / fence, a pedestrian bridge over the creek, and a trailhead parking lot. Work includes clearing of the respective areas, grading, installation of retaining walls, guardrail / fence, pedestrian bridge and associated construction. The project is linear in nature and crosses properties owned by Frederick County, VA and the City of Winchester, VA.
Additional Notes:
A. Third-party testing and verification will be conducted by a contractor selected by the
County.
B. Underdrains (Sheet C106) shall be placed every 50 feet within the sections identified in the notes and details.
C. The limitation of 7.5 psi ground pressure applies to the trail segment from the parking area to Station 14+00. This section will not require proof rolling.
D. The permits obtained for the project do not identify any specific seasonal in-stream work restrictions or prohibited work windows. The Contractor shall comply with all permit requirements and applicable erosion and sediment control measures throughout construction.
Please refer to the attached permit documentation for additional information. If the
Contractor proposes means and methods that would increase or modify stream impacts beyond the permitted limits, additional agency coordination and/or permitting may be required.
Disposal of Organic Loamy Cut:
A. The City of Winchester is willing to accept quality soil that is free of excessive rock, debris, and other unsuitable materials at 1726 Woodstock Lane, Winchester, VA 22602. Any material not accepted by the City of Winchester shall be disposed of off-site by the
Contractor. The determination of whether material meets the City's requirements for acceptance will be made by the on-site inspector.
From Design Engineer:
A. “It looks like we should have roughly 2,400 CY of unsuitable undercut in the woods areas
(minimum) that will need to be disposed of. The undercut areas are filled with imported stone, so they are not included in the raw earthwork quantities. It is expected that this material will be very organic and loamy in nature and would be usable as topsoil or soil amendments.”
Trash receptacles:
A. Furnish trash receptacles comparable in size, capacity, function, and quality to the Barco
Cassidy Plus 45-gallon can.
Kiosk:
A. Furnish a kiosk comparable in size, function, construction, and quality to the Barco Large

Contract Documents. The Contractor shall be responsible for taking their own borings or making any investigations they require to establish subsurface conditions in the area of this
Contract. The County does not assume any responsibility for the subsurface conditions which may be encountered. On request, Owner will provide each bidder access to the site to conduct such investigations.
C. The submission of a bid will constitute an incontrovertible representation by the bidder that they have examined the site and that the Contract Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions of the Work.
D. It is understood and agreed by the bidder that the estimate of quantities (if provided) are approximate, and are presented in order to obtain unit prices and approximate amount of the
Contract. The Contractor shall make no claim against the County because of any estimate, tests or representations made by any officer or agent of the County, which may prove to be in any respect erroneous.
E. Scope of the work is as specified herein. The Owner, however, reserves the right to make adjustments to the scope of the work. Such adjustments shall be accomplished by appropriate
Change Orders.

A. As part of their bid, Bidders are required to provide a minimum of three (3) references for successfully completed projects similar in scope and contract amount to the project. Additionally, the references must be the most recent similar projects. Additional references are permitted;

Each Offeror is solely responsible for ensuring that such Offeror has the current, complete version of the IFB documents, including any addenda, before submitting a bid. Receipt by the bidder of such addendum should be acknowledged on the Bid Form and/or addendum. Addenda will be posted on the Commonwealth of Virginia’s electronic procurement platform, eVA. The County is not responsible for any IFB obtained from any source.

7. TIME OF YEAR RESTRICTION (TOYR): INDIANA BAT
For projects located within buffers around documented hibernacula, roosts and maternity colonies and for projects located outside of these buffers, but within suitable habitat: TOYR for tree removal, tree timbering, and/or prescribed burns from April 1 – November 14.
8. LIQUIDATED DAMAGES
Work shall begin after receipt of Notice to Proceed or contract and all work shall be completed in
425 calendar days. It is hereby understood and agreed by the bidder that time is of the essence in the delivery of supplies, services, materials, or equipment of the character and quality specified in the bid document. In the event these specified supplies, services, materials, or equipment are not delivered by the date specified, there will be deducted, not as a penalty but as liquidated damages, the sum of $
600_ per day for each and every calendar day of delay beyond the time specified; except that if the delivery be delayed by any act, negligence, or default on the part of the Commonwealth, public enemy, war, embargo, fire, or explosion not caused by the negligence or intentional act of the contractor or his supplier(s), or by riot, sabotage, or labor trouble that results from a cause or causes entirely beyond the control or fault of the contractor or his supplier(s), a reasonable extension of time as the procuring public body deems appropriate may be granted. Upon receipt of a written request and justification for an extension from the contractor, the purchasing office may extend the time for performance of the contract or delivery of goods herein specified at the purchasing office’s sole discretion for good cause shown.
Failure of the Contractor to complete the work within the time allowed will result in damages being sustained by the County. Such damages are, and will continue to be, impracticable and extremely difficult to determine. For each day that any work remains incomplete after the contract time limit specified for completion of the work, the County shall assess liquidated damages against the
Contractor. The Contractor waives any defense as to the validity of any liquidated damages stated in the Contract and assessed by the County against the Contractor on the grounds that such liquidated damages are void as penalties or are not reasonably related to actual damages.
Execution of the contract under these specifications shall constitute agreement by the County and
Contractor that this amount per day is the minimum value of the costs and actual damage caused by failure of the Contractor to complete the work within the allotted time, that such sum is liquidated damages and shall not be construed as a penalty, and that such sum may be deducted from payments due the Contractor if such delay occurs.
Permitting the Contractor to continue and finish the work or any part thereof after the contract time or adjusted contract time, as pertinent, has expired shall in no way operate as a waiver on the part of the County or any of its rights under the contract.
Payment of liquidated damages shall not release the Contractor from obligations in respect to the fulfillment of the entire contract, nor shall the payment of such liquidated damages constitute a waiver of the County’s right to collect any additional damages which may be sustained by failure of the
Contractor to carry out the terms of the contract, it being the intent of the parties that said liquidated damages be full and complete payment only for failure of the Contractor to complete the work on time.
9. PAYMENTS TO CONTRACTOR
A. Progress payments may be made against construction purchase orders/contracts when the period of performance exceeds 30 calendar days. Payment may be made on partial deliveries of services accepted by the County when the amount due on such deliveries so warrants.
Contractor’s notification and Certificate of Payment regarding progress payments shall:
a. Show the estimate of the Work performed during the preceding calendar month or work period;
b. Itemize the quantity of materials and document with invoices showing the cost of said materials stored on or off site; Items purchased for the project but not scheduled for incorporation into the work within the six months next following submission of the Certificate of Payment shall not be invoiced by the Contractor for payment.

B. The final payment shall not become due until the Owner’s inspection, and agrees that Final
Completion has been achieved and until the Contractor shall deliver to the Owner a Certificate of
Completion by the Contractor. Amounts due the Owner which may be withheld from the Final
Payment may include, but are not limited to, amounts due pursuant to costs incurred to repair or replace Defective Work, costs incurred as a result of the Contractor’s negligent acts or omissions or omissions of those for whom the Contractor is responsible, delay damages, and any liquidated or actual damages.
