Main Street, Room 223, Wise, Virginia 24293. The contract term shall cover the duration required to complete all design and construction services for the project. The RFP does not specify a contract value or pricing structure for the selection phase; pricing discussions will occur only during final negotiations with selected firms. The IDA reserves the right to reject any or all submittals and will select two or more qualified offerors for interviews and discussions before beginning negotiations with the highest-ranked firm. All submittals become the property of the IDA upon receipt. Contractors must be properly licensed and registered in Virginia, maintain professional liability insurance of no less than $1,000,000 per claim (or $3,000,000 per claim and $6,000,000 aggregate as an alternative), carry workers' compensation and commercial general liability coverage of $1,000,000, and maintain insurance for five years after project completion. The Contractor for the original project design shall not be responsible or liable to Wise County IDA for any such use of the documents.
13. Subcontracts: No portion of the Contractor professional services shall be subcontracted without prior written consent of Wise County IDA. Consultants proposed by the Contractor during the selection and fee negotiation phases are assumed to be acceptable to Wise County IDA unless Wise County IDA notes otherwise during those phases. The invoice shall also include a certification statement signed by the Contractor stating that the Contractor has paid its consultants, subcontractors and suppliers their individual proportional share of all previous payments, including interest, received from Wise County IDA. Invoices for reimbursables shall include documentation of costs for which reimbursement is sought. Invoices for Work being performed on an hourly rate basis shall show the technical classifications, names of the persons performing the work, person-hours expended, marked-up hourly rates for the classification, and the extended cost amount.
b. Unless there is a dispute about the compensation due the Contractor including, but not limited to claims by Wise County IDA against the Contractor, then within forty-five (45) days after receipt by Wise County IDA of the Contractor’s invoice, which shall be considered the invoice receipt date, Wise County IDA shall pay to the Contractor the amount approved less any retainage and less any prior payments or advances made to the Contractor. The date on which payment is due shall be referred to as the Payment Date.
c. Wise County IDA may agree to make progress or partial payments to the Contractor during any phase of the Work based on the estimated value of the Work completed by the Contractor on that phase. Any such progress payment shall be based on Wise County IDA opinion of the value of the Work completed as of the date of the invoice.
15. Release of Information Pertaining to Project Design: Release in any form by the Contractor of information pertaining to the estimated construction cost of a project under design to anyone other than authorized Wise County IDA personnel is prohibited. The Contractor shall not give out information concerning a project to anyone other than authorized Wise County IDA personnel without specific prior approval of Wise County IDA to release such information. This includes, but is not limited to, project photographs, floor plans, and project cost information.
16. Default: In case of the Contractor’s failure to deliver the reports, documents, "Record Drawings," or services in accordance with Contract terms and conditions, Wise County IDA, after due written notice, may procure same from other sources, and the Contractor shall be responsible for any resulting additional procurement and administrative costs. b. Termination for Cause: If the Contractor should substantially breach the Contract or fail to perform the services, or any portion thereof, required by the Contract, Wise County IDA may terminate the Contract for cause by giving written notice as set forth above or may give the Contractor a stated period of time within which to remedy its breach of contract. If the Contractor shall fail to remedy the breach within the time allotted, the Contract may be terminated by Wise County IDA at any time thereafter upon written notice, effective immediately upon receipt. Wise County IDA’s forbearance in not terminating the contract shall not constitute a waiver of Wise County IDA’s right to terminate in the future for similar breaches or failures to perform. If the Contract is terminated for cause, the Contractor shall be responsible for all damages incurred by Wise County IDA as a result of the Contractor’s breach of contract or failure to perform, including but not limited to, all costs and expenses incurred in securing a replacement Contractor to fulfill the obligations of the Contract.
Any termination by Wise County IDA for default, if determined by a court of competent jurisdiction not to have been justified as a termination for default, shall be deemed a termination for the convenience of Wise County IDA.
c. Termination for Convenience: Wise County IDA may terminate the Contract in whole or in part for convenience by delivering to the Contractor a written notice of termination as set forth above, specifying the extent to which performance under the contract is terminated and the effective date of the termination. Upon receipt of such notice, the Contractor must stop Work, including but not limited to Work performed by subcontractors and consultants, at such time and to the extent specified in the notice.
If the contract is terminated for convenience, the Contractor shall be entitled to those fees earned for Work performed in accordance with the Contract prior to the notice of termination.
Thereafter, the Contractor shall be entitled to any fees earned for work not terminated but shall not be entitled to lost profits for the portions of the Contract that were terminated. The Contractor will be compensated for reasonable costs or expenses for delivery to Wise County IDA of the products of the services for which the Contractor has or will receive compensation.
d. Delivery of Materials: Any termination shall not relieve the Contractor of the obligation to deliver to Wise County IDA all products or the services for which the Contractor has been or will be compensated, including, but not limited to, the original drawings and specifications, copies of CADD diskettes or tapes, calculations, and analyses. Unless otherwise agreed to in writing, the Contractor shall deliver the materials to Wise County IDA within thirty (30) days of receipt of the notice of termination. Failure to do so shall result in the withholding of final payment and shall constitute a material or substantial breach of contract.
18. Assignment of Contract: The Contractor shall not assign the Contract between Wise County IDA and the Contractor, in whole or in part, without the written consent of Wise County IDA.
19. Ethics in Public Contracting (§2.2-4367 et seq., Code of Virginia): The Contractor shall not offer or receive any kickbacks or inducements from any other offeror, supplier, manufacturer, or subcontractor in connection with this project. The Contractor shall not confer on any public employee having official responsibility for this project any payment, loan, subscription, advance, deposit of money, services, or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged.

The contractor will include the provisions of paragraphs a, b, and c above in every subcontract or purchase order of over $10,000, so that the provisions will be binding upon each subcontractor or vendor.
22. Drug-Free Workplace: During the performance of contracts, contractors shall agree to (i) provide a drug-free workplace for the contractor's employees; (ii) post in conspicuous places, available to employees and applicants for employment, a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance is prohibited in the contractor's workplace and specifying the actions that will be taken against employees for violations of such prohibition; (iii) state in all solicitations or advertisements for employees placed by or on behalf on the contractor that the contractor maintains a drug-free workplace; and (iv) include the provisions of the foregoing clauses in every subcontract of over $10,000, so that the provisions will be binding upon each subcontractor or vendor. a. Cost estimates relating to a proposed procurement transaction prepared by or for a public body shall not be open to public inspection.
b. Any competitive sealed bidding bidder, upon request, shall be afforded the opportunity to inspect bid records within a reasonable time after the opening of all bids but prior to award, except in the event that Wise County IDA decides not to accept any of the bids and to reopen the contract. Otherwise, bid records shall be open to public inspection only after award of the contract. Any competitive negotiation offeror, upon request, shall be afforded the opportunity to inspect proposal records within a reasonable time after the evaluation and negotiations of proposals are completed but prior to award, except in the event that Wise County IDA decides not to accept any of the proposals and to reopen the contract.
Otherwise, proposal records shall be open to the public inspection only after award of the contract except as provided in paragraph "C" below. Any inspection of procurement transaction records under this section shall be subject to reasonable restrictions to ensure the security and integrity of the records.
c. Any offeror shall not identify as trade secret or proprietary information their entire completed proposal.
