I. GENERAL
A. Background
The Rivanna Water and Sewer Authority (“RWSA”, “Authority”) is a regional non-profit corporation and political subdivision of the Commonwealth chartered in 1972 under the Virginia Water and Sewer Authorities Act (1950, as amended). The RWSA owns and operates multiple water and wastewater treatment facilities and provides finished water distribution and wastewater collection services to two wholesale customers: the City of Charlottesville Public Utilities Division (the “City”) and the Albemarle County Service Authority (the “ACSA”). The City and ACSA own and operate numerous smaller water and sewer mains and provide all retail services within the RWSA service area. The City subsequently provides wholesale service to the University of Virginia.
The RWSA operates under the terms of a Service Agreement (a.k.a. The Four-Party Agreement) executed June 12, 1973, by the City of Charlottesville, Albemarle County, the Albemarle County Service Authority and the RWSA. A seven-member Board of Directors governs RWSA. The RWSA Board appoints an Executive Director who manages the RWSA operations under its direction. Pertinent financial data may be found on the RWSA’s website: www.rivannawater.org.
The RWSA operates and maintains five water supply reservoirs, six water treatment plants, four wastewater treatment plants, 14 pump stations, 10 dam facilities, and multiple administrative and support facilities.
B. Purpose
The Rivanna Water & Sewer Authority (Authority) wishes to receive bids from responsive and responsible Bidders/Contractors to provide pump and haul services for the removal of sludge from its water and wastewater treatment facilities located in Albemarle County, Virginia. All sludges will be transported to the Moores Creek Wastewater Treatment Facility located in Charlottesville, Virginia. The selected Contractor shall furnish all labor and equipment required to perform the services described in this solicitation.
The Authority intends to issue an award to the lowest responsive and responsible bidder for pump and haul services by blanket purchase order. The blanket purchase order/contract shall cover a required 12-month period beginning August 1, 2026 – July 31, 2027, with the option to renew for an additional 12-month period, up to four (4) times, for a total contract period of five (5) years.
C. Scope of Services
The successful Bidder will be responsible for furnishing all labor, supervision, equipment, and incidentals necessary to provide for the pumping and hauling of sludge from the Authority’s water and wastewater treatment facilities to the Moores Creek Wastewater Treatment Plant located in Charlottesville, Virginia.
The frequency of pump and haul services requested in this IFB are determined by facility requirements and at times may necessitate unscheduled service after hours due to emergencies.
Respondents to this IFB must meet the Bid Requirements stated herein, Section II.
D. Document Amendments
Bidders are reminded that changes to the IFB, in the form of addenda, are often issued between the issue date and within 5 days of the due date of the solicitation. All addenda must be acknowledged on Page ii
Rivanna Water & Sewer Authority 2
“Invitation for Bid Title Page”. Notice of addenda will be posted on eVA (https://eva.virginia.gov). It is the Bidder’s responsibility to monitor eVA for the most current addenda.
No officer, agent, or employee of the Authority is authorized to amend any provision contained in this IFB, including the specifications, unless such amendment is issued as an Addendum and sent to all Bidders.
E. Contacts
Technical questions and requests for additional information regarding this solicitation or procurement related questions shall be directed to the Authority representatives listed on Page i “INVITATION FOR BID” of this solicitation. All questions must be received by the date and time indicated on Page i of this solicitation.
F. Bid Due Date
Invitation for Bids will be received until the date and time specified on Page i “INVITATION FOR BID” for furnishing the goods and/or services described herein.
G. Site Inspections

All inspections are to be scheduled Monday through Friday between the hours of 8:00 am and 3:00 pm EST on or before July 8, 2026. If the successful Bidder chooses not to perform a site inspection prior to preparing and submitting the bid price (Appendix A – Bid Submittal Form), the bid price assumes that the successful Bidder will provide all necessary equipment and preparations to perform the services required in this IFB.

APPENDIX A
GENERAL TERMS AND CONDITIONS
For Goods and Nonprofessional Services
A. APPLICABLE LAWS & COURTS
This procurement transaction, and any resulting contract, shall in all aspects be governed by the laws of the Commonwealth of Virginia, notwithstanding its conflicts of law provisions. Any litigation with respect hereto shall be brought in the Circuit Court or General District Court of Albemarle County/Charlottesville, Virginia.
B. ANTI-DISCRIMINATION
By submitting their bid, bidder certify to the Authority that they will conform to the provisions of the Federal Civil Rights Act of 1964, as amended, as well as the Virginia Fair Employment Contracting Act of 1975, as amended, where applicable, the Virginians With Disabilities Act, the Americans With Disabilities Act and § 2.2-4311 of the Virginia Public Procurement Act (VPPA). If the award is made to a faith-based organization, the organization shall not discriminate against any recipient of goods, services, or disbursements made pursuant to the contract on the basis of the recipient’s religion, religious belief, refusal to participate in a religious practice, or on the basis of race, age, color, gender sexual orientation, gender identity, or national origin and shall be subject to the same rules as other organizations that contract with public bodies to account for the use of the funds provided; however, if the faith-based organization segregates public funds into separate accounts, only the accounts and programs funded with public funds shall be subject to audit by the public body.
(Code of Virginia, § 2.2-4343.1E).
In every contract over $10,000 the provisions in 1. and 2. below apply:
1. During the performance of the contract, the contractor agrees as follows:
a. The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, status as military family, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the normal operation of the contractor. The contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.
b. The contractor, in all solicitations or advertisements for employees placed by or on behalf of the contractor, will state that such contractor is an equal opportunity employer.
c. Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.
d. The requirements of these provisions 1. and 2. are a material part of the contract. If the contractor violates one of these provisions, the Authority may terminate the affected part of this contract for breach, or at its option, the whole contract. Violation of one of these provisions may also result in debarment from Authority contracting regardless of whether the specific contract is terminated.
2. The contractor will include in the provisions of No. 1 above in every subcontract or purchase order over $10,000, so that the provision will be binding upon each subcontractor or vendor.
C. ANTI-DISCRIMINATION OF FAITH-BASED ORGANIZATIONS
The Authority does not discriminate against faith-based organizations.

D. ETHICS IN PUBLIC CONTRACTING
By submitting their bid the bidder certifies that their bid is made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other bidder, supplier, manufacturer or subcontractor in connection with their bid, and that they have not conferred on any public employee having official responsibility for this procurement transaction, any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged. (Code of Virginia § 2.2- 4367).
E. IMMIGRATION REFORM AND CONTROL ACT OF 1986
By entering into a written contract with the Authority, the contractor certifies that the contractor does not, and shall not during the performance of the contract for goods and services in the Commonwealth of Virginia, knowingly employ an unauthorized alien as defined in the federal Immigration Reform and Control Act of 1986.
F. DRUG-FREE WORKPLACE
Applicable for all contracts over $10,000:
During the performance of this contract, the contractor agrees to (i) provide a drug-free workplace for the contractor’s employees; (ii) to post in conspicuous places, available to employees and applicants for employment, a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or marijuana is prohibited in the contractor’s workplace and specifying the actions that will be taken against employees for violations of such prohibition; and (iii) state in all solicitations or advertisements for employees placed by or on behalf of the contractor that the contractor maintains a drug-free workplace.
For the purposes of this paragraph, “drug-free workplace” means a site for the performance of work done in connection with the contract awarded to a contractor in accordance with this procurement transaction, where the contractor’s employees are prohibited from engaging in the unlawful manufacture, sale, distribution, dispensation, possession or use of any controlled substance or marijuana during the performance of the contract.
G. NONDISCRIMINATION OF CONTRACTORS
A bidder or contractor shall not be discriminated against in the solicitation or award of this contract because of race, color, religion, national origin, sex, pregnancy, childbirth or related medical conditions, age, marital status, sexual orientation, gender identity, status as a veteran, or disability, or any other basis prohibited by state law relating to discrimination in employment or because the bidder employs ex-offenders unless the Authority has made a written determination that employing ex-offenders on the specific contract is not in its best interest. If the award of this contract is made to a faith-based organization and an individual, who applies for or receives goods, services, or disbursements provided pursuant to this contract objects to the religious character of the faith-based organization from which the individual receives or would receive the goods, services, or disbursements, the public body shall offer the individual, within a reasonable period of time after the date of his objection, access to equivalent goods, services, or disbursements from an alternative provider.
H. FORCED OR INDENTURED CHILD LABOR
Applicable in all solicitations and contracts over $10,000:
During the performance of this contract the use of forced or indentured child labor is prohibited. Any prime contractor shall include such prohibition in every subcontract that exceeds $10,000 and shall be binding upon each subcontractor or vendor.
For the purposes of this section, “forced or indentured child labor” means all work or service exacted from any person younger than 18 years of age under the menace of any penalty for the nonperformance of such work or service and for such person does not offer himself voluntarily or performed by any person younger than 18 years of age pursuant to a contract the enforcement of which can be accomplished by process or penalties.
