Total Compensation Plan Overview

SMAS II

Offeror and subcontractor total compensation plans shall include:

Methodology for establishing total compensation

Describe the methodology and rationale used to establish all proposed compensation rates for Professional Exempt employees

(A) Direct labor/salary rates Offerors and subcontractors proposing to utilize the incumbent workforce should review the benchmark (i.e., blend of incumbent and Economic Research Institute [ERI] rates) average unburdened hourly direct labor rates provided in Section L for those labor categories for which rates are provided, in order to better understand the anticipated compensation levels for the identified labor categories.

(B) Fringe Benefits Attachment L-5, “Total

Compensation Rate Build-up Form,” provides a build-up of the elements of the proposed fringe benefit categories.

Offerors and applicable subcontractors shall complete Attachment L-5 (for each year).

Offerors shall describe the proposed fringe benefits to include:

− Types of insurance and plans offered − Paid time off policies − Retirement or savings plans offered to include the company’s contribution

− Information regarding vesting of company contributions

September 25, 2024 37

Total Compensation Plan Overview (Continued)

SMAS II

(iii) Impact of any uncompensated overtime.

The offeror and applicable subcontractors shall identify any proposed uncompensated overtime (by labor category) and the impact of any proposed uncompensated overtime on the proposed direct labor rate(s) consistent with FAR 52.237-10, Identification of Uncompensated Overtime

Shall be consistent with any Cost volume instructions related to uncompensated overtime in this solicitation, if applicable

(iv) Total Compensation Plan (TCP) Rate Build-up Form (completed yearly).

Attachment L-5, “Total Compensation Rate Build-up Form,” quantifies the firm’s personnel policies, labor rates, and fringe benefits by location (if different), by year

Steps to prepare the total hourly compensation rates (i.e., direct labor rates plus fringe benefit rates):

‒ Input the data used (i.e., paid leave, supplemental pay, insurance, retirement and savings, and legally required benefits)

‒ Consider the traceability of the values to the fringe pool ‒ Calculate the total hourly compensation rate values, including the employer share, by dollar value, of any fringe benefit elements

Past Performance Evaluation

SMAS II

IAW FAR 15.305(a)(2) and NFS 1815.305(a)(2), the offeror's past performance, including relevant federal, state, and local government and private contracts, and the past performance of any proposed subcontractors and individual joint venture partners, if applicable, will be evaluated.

A confidence level in the offeror's past performance will be assessed using the adjectival ratings at NFS 1815.305(a)(3)(A).

Review DRFP Section M provision Factor III - Past Performance Evaluation, for more details about past performance references for specific scenarios.

Past Performance References Offeror's references limited to five contracts/subcontracts, including those of any proposed subcontractors.

Two past performance references should be for the offeror.

Each referenced contract shall have a minimum of one year of performance within the five-year recency period.

Section M provision Factor III - Past Performance Evaluation, paragraph (b), provides guidance for joint ventures, whether newly formed or current, and when proposed subcontractor relevancy thresholds apply to references (see 13 C.F.R. § 125.8(e), 13 C.F.R. § 126.616(f) and 13 C.F.R. § 124.513(f), respectively).

Offerors are required to submit a Safety and Health Plan with their proposal as an eligibility requirement for Volume IV, Contract.

The Safety and Health plan submitted in accordance with NFS 1852.223- 73, Safety and Health Plan, will be required during the phase-in period.

The Contractor will be required to comply with all Federal, State, local, and Agency environmental and safety laws/regulations (e.g., OSHA).

Safety and Health

Cost Volume Overview

Jenerral “Dion” Woodson

Enterprise Pricing Office (EPO) Pricing Team Representative

September 25, 2024 SMAS II 41

Cost Forms Overview

All Offerors shall submit a Cost volume. Additionally, in accordance with FAR 15.404-3(c)(2), all proposed subcontractors, to include interdivisional and/or intra-company effort, as defined in Section L, Factor I – Mission Suitability Volume Instructions, MA3: Retention, Staffing, Recruitment, and Total Compensation, paragraph (b), shall submit a complete Cost volume electronically in accordance with the provision entitled Electronic Submission of Proposals - Proposal Marking and Delivery Through NASA's EFSS Box. However, in addition to any joint venture Offeror Cost volume, all members of a joint venture shall submit a complete Cost volume.

The Government has provided uniform rates of change for Calendar Years 2025 through 2033 in Table L-2, “Escalation Rates” (Solicitation indicates that the escalation rates provided shall be used for the exempt labor categories).

Should an Offeror determine the need for a different annual escalation rate, an explanation and justification shall be provided.

September 25, 2024 SMAS II 42

Cost Forms Overview (continued)

The Offeror and all applicable subcontractors shall provide a copy of the latest approved forward pricing rate package (if applicable).

The Offeror and all applicable subcontractors shall provide a pricing narrative BOE that explains in detail all pricing and estimating techniques.

The information provided will be used to assess the reasonableness of the Offeror's cost.

September 25, 2024 SMAS II 43

All formulas used in the workbook must be clearly visible in the individual cells and verifiable. Whereas linking among the attachments' worksheets is anticipated, the use of external links (to source data not provided in the workbook) is prohibited.

The completed attachments must contain no macros or hidden cells.

The attachments, nor any supporting cost information provided, shall not be locked/protected, or secured by passwords in part or in whole.

September 25, 2024 SMAS II 44

The Offeror and applicable subcontractors shall provide a description of proposed fee structure. For the Offeror, if a profit-sharing pool arrangement is proposed, include a discussion of the arrangement and the distribution of fee earned.

Note - Award Fee and Fixed Fee shall be entered into the EPM Tab A by contract period.

September 25, 2024 SMAS II 45

Consistency between the Mission Suitability factor and the Cost factor volumes will be considered in determining if the Offeror’s proposed costs are reasonable and realistic. Additionally, failure by an Offeror to provide all required Excel Pricing Model data (e.g., IDIQ labor rates for all labor categories for all years of performance, for all Centers, if multiple) could adversely impact the Offeror’s Mission Suitability score or result in a determination that the proposal is unacceptable (see NFS 1815.305-70(a)(3)).

Offeror's Cost, Fee, and Phase-in Price

The Offeror’s proposed cost, to include the Offeror’s fully burdened IDIQ labor rates will be assessed to determine reasonableness and realism in accordance with FAR 15.305(a)(1) and NFS 1815.305(a)(1)(A) and (B). This factor, although not numerically scored, is relevant in determining the Offeror’s understanding of the requirements of the solicitation and its resource requirements.

Upward or downward adjustments may be made to the proposed cost as a result of the assessment of cost realism. This can include adjustments to all proposed direct and indirect costs.

September 25, 2024 SMAS II 46

The Government assessment of the “probable cost of doing business” with each Offeror, of the possible cost growth during the course of the contract, and of features that could cause a given proposal to cost more or less than proposed will be included in this evaluation. The probable cost will consider the unique aspects of the Offeror’s approach (e.g., technical, staffing, management).

The proposed Phase-in services price performance period, established as a separate FFP CLIN within the IDIQ value, will be performed concurrent with the incumbent contract. No probable cost adjustments will be made to the proposed FFP CLIN value.

September 25, 2024 SMAS II 47

The Offeror’s proposed and probable costs for the contract requirements will be established as the sum of

(1) the phase-in services price;

(2) an IDIQ value using the Offeror-provided fully burdened rates applied to a pre-populated estimate of labor hours for each labor category, for each location, for the contract period of performance, including all options;

(3) a calculated value using the Offeror-provided Other Direct Cost Indirect Rates applied to a pre-populated cost estimate for each location, for the contract period of performance, including all options;

(4) calculation of fee based on Government determined award fee/fixed fee formula will be applied to the total cost before fee (See Excel Pricing Model (EPM) Tab A-1, Summary of Total Cost); and

(5) a calculated six-month value for the FAR 52.217-8, Option to Extend Services, period.

September 25, 2024 SMAS II 48

For the purpose of evaluating the option to extend services (i.e., FAR 52.217-8), the Government will determine the six-month cost by prorating the cost proposed for the last year of services.

The proposed fee will not be adjusted but will be included in the probable cost in the amount proposed.

Cost information provided in this volume will constitute the Offeror's proposal submission for cost comparison purposes. If inconsistencies are identified by the Government between this volume and

Volume IV - Contract, the contract will be revised prior to execution by the contracting officer to reflect the values specified in the Cost volume.

This tab details the development of the fully burdened labor rates. The Offeror must map their labor categories to the NASA provided standard labor categories for this procurement. Columns E - I apply fringe, overhead, CMO, and G&A to the base labor rate. The final burdened rate by category should be shown in Column J. The Offeror (only) should include the Contract Management Overhead Rate on this Tab Columns G, Subcontractor/Teammates can use these columns to include their fee if applicable. Columns K - U computes the individual contractor/subcontractor's dollars based on the share of the hours assigned by the prime Offeror using the Government provided labor model. The labor dollars, fringe, OH, CMO, and G&A are all computed based on the percentage share assigned by labor category and location.
