▪ This Performance Work Statement (PWS) defines program support requirements for the National Aeronautics and Space Administration (NASA) Technology Transfer Program (T2P) by consolidating all legacy field Center technology transfer support services into this enterprise contract.

▪ NASA is directed through the National Aeronautics and Space Act of 1958 to “provide for the widest practicable and appropriate dissemination of information concerning its activities and the results thereof.”

▪ The mission of the NASA T2P is to identify and protect, as prescribed in NFS 1827, NASA’s intellectual property with commercial potential and transfer those technologies through patent licensing agreements, software usage agreements, and related technology transfer partnerships with entrepreneurs, companies, universities, non-profits, business incubators and innovation ecosystems, and state and local governments.

▪ CATTS will be comprised of Mission Core Services described in PWS 3.0, 4.0, and 5.0 and IDIQ Services described in PWS 6.0.

▪ CATTS work will be conducted in the United States and primarily virtually using Agency collaboration tools.

1.0 Scope of Work

▪ Maintain communication with each supported organization and alert the contracting officer (CO), contracting officer’s representative (COR), Center Technology Transfer Officer (CTTO) or other designated Technical Monitor(s) (TM) of any problems that may prevent the contractor from meeting established deliverable schedules and mission requirements.

▪ Data Deliverables are outlined in 2.2 and further described in J-2, Data Procurement Document (DPD) 1816.

▪ Please note that phase-in activities are limited to 30 days unless industry believes additional time is needed.

2.0 Management and Reporting Requirements

▪ Section 3.0 describes the content, format, and delivery schedule for a variety of reports the T2P uses to inform decisions. These reports are written and researched by subject matter experts in fields related to the invention. These include:

• Technology Triage Reports: pre-populated form in the T2P database called

NASA Technology Transfer System (NTTS). Captures high-level information on inventors, software elements, ownership, public disclosures, related inventions, estimated technology readiness level (TRL), and initial thoughts on commercialization including applications, potential benefits, potential licensees, and market interest.

• Technology Screening Reports: for inventions the Government is considering patenting, technology screening reports provide more detailed information on the invention and an assessment of the commercial potential of the invention based on secondary market research. This report also notes licensing potential which helps inform the patenting decision.

3.0 Technology Transfer Reports

• Commercial Technology Assessment Reports: this report is an in-depth analysis of the invention and its commercial potential. This report builds on the technology screening report and includes primary market research, analysis of the invention’s strengths and weaknesses as it relates to industrial benefits, and a summary of the invention’s market potential.

• Patent Maintenance Fee Triage Analysis: an analysis of a NASA-owned patent’s current status and its commercialization potential. This report helps inform the T2P on whether to pay a maintenance fee on a patent.

• Export Control Memoranda: draft export control memos on a variety of T2P products. Knowledge of export control regulations is essential.

• Technology Opportunity Sheets: two-page marketing sheet that provides a high-level overview of a NASA-owned patent or suite of patents, potential benefits, potential applications, technical description of the technology, and images. Examples can be found on the T2P website:

3.0 Technology Transfer Reports, cont.

▪ Direct Marketing Services: lead generation service requiring direct contact with potential licensees that may have been identified in the technology screening and/or technology commercialization assessment reports described previously.

• Potential licensees may be identified using other means including contractor’s contacts and/or T2P contacts.

• Contacts interested in licensing are then to be coached on using NASA’s Automated Technology Licensing Application System (ATLAS). The level of service requested is directly related to the number of contacts reached:

o Low Intensity: minimum of 15 potential licensing contacts;

o Medium Intensity: minimum of 50 potential licensing contacts;

and, o High Intensity: minimum of 100 potential licensing contacts.

▪ PWS section 4.0 describes the services that are to be performed by individuals on the CATTS contract.

• This supports PWS section 3.0 which describes the various reports/deliverables the T2P uses to inform decisions.

▪ Services provided as described in section 4.0 help support a robust Technology Transfer Program, provide daily operations of T2P programs and products, and ensure responsiveness to all T2P’s customers including inventors, other NASA personnel, the public, potential licensees, and NASA’s commercialization partners.

4.0 Technology Transfer Services

▪ Export Control Review services will be provided virtually in support Marshall Space Flight Center in its entirety.

▪ Knowledge of export control regulations is essential.

▪ Based on anticipated occasional onsite activity support, it is expected that the contractor personnel (i.e., 2 WYE) supporting this activity reside within the commuting distance of MSFC. NASA will not reimburse commuting expenses associated with supporting PWS 5.0.

5.0 Export Control Review

The Contractor shall provide the services as defined in this Performance Work Statement and provide the skill mix specified to meet the requirements as defined in Attachment J-1 PWS.

▪ Special Consideration: Historical Background Data/Use of Technology Transfer Subject Matter Experts in performance of PWS 3.0:

• NASA develops technology that can be useful to many industries.

• As outlined on the NASA Technology Transfer Program website (technology.nasa.gov), its intellectual property portfolio spans the following categories: communications, electrical, environment, medicine and biotechnology, mechanical and fluid systems, aerospace, instrumentation, manufacturing, materials and coatings, sensors, optics, information technology and software, power generation, propulsion, and robotics.

• As opposed to having a subject matter expert (SME) in each of these categories full-time, the contractor will arrange consulting agreements with several SMEs in these and other categories that can be called upon as needed to perform the various assessments, screenings, interviews, and reports outlined in the Performance Work Statement section 3.0.

▪ Special Consideration: Historical Background Data/Use of Technology Transfer Subject Matter Experts in performance of PWS 3.0, continued:

• Offerors should note that Attachment J-1, Performance Work Statement, Appendix B, Center-Specific Mission Requirements, reflects 1.5 SMEs as necessary staffing to fulfill the requirements of the PWS and which are priced as part of the total Mission Core price.

• The 0.5 WYE reflected in the Attachment consists of the hours to be utilized to leverage the cadre of SME labor over the course of the contract year.

• The price associated with this 0.5 WYE should be based on the costs associated with utilization of this workforce over a given contract year based on a composite rate considering the various types of SME expertise which may be leveraged.

• The selected offeror will be responsible for tracking the hours expended to ensure that the SME labor utilized does not exceed the productive hours associated with the 0.5 WYE for each contract year.

Special Clauses

▪ 52.215-1 INSTRUCTIONS TO OFFERORS—COMPETITIVE ACQUISITION

(NOV 2021) indicates that the Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

▪ HUBZone small business concern, as used in this clause, means a small business concern, certified by the Small Business Administration (SBA), that appears on the List of Qualified HUBZone Small Business Concerns maintained by the SBA ( 13 CFR 126.103).

▪ HUBZone means a historically underutilized business zone, which is an area located within one or more:

• (1) Qualified census tracts;

• (2) Qualified non-metropolitan counties;

▪ Phase-In will be no longer than 30 days, occurring prior to contract commencement on May 1, 2024.

▪ Phase-in activities will be via a FFP CLIN 001 in accordance with the selected offeror’s proposed phase-In plan. The phase-in price will be limited to no more than $50,000.

▪ The phase-in period will require submission of numerous data deliverables as specified in Attachment J-2, Data Procurement Document (DPD).

Contract Phase-in

▪ Phase-In requirements include:

• Accomplish all tasks required to begin work to include, but not limited to, managing an orderly transition, hiring personnel, obtaining personnel badges and clearances, training personnel, and scheduling performance of work necessary to ensure the effective transfer of effort from the predecessor contractor.

• Provide all data deliverables due during the phase-in period as specified in Attachment J- 2, Data Procurement Document, and obtain any necessary approvals:

o Government Property Management Plan, o Management Plan, and o Offsite SHE Plan.

▪ Participate in meetings with the predecessor contractor and the Government to identify and discuss problems or areas requiring attention during the phase-in period.

▪ Receive and store legacy data from contracts phasing into the pending contract effort.

▪ Actively cooperate with the Government in completing any systems/compliance reviews that may be required prior to award including expedient implementation of any necessary corrective action.

▪ Ensure implementation of any requirements agreed to during discussions, if applicable, that are required by contract full assumption (i.e., May 1, 2024).

▪ Proposals for this solicitation are required to be submitted through NASA’s Enterprise File Sharing and Sync Box (EFSS Box), a FedRAMP Moderate certified platform.

▪ Potential offerors, especially those that have not previously submitted a proposal utilizing NASA’s EFSS Box, are encouraged to review the solicitation instruction entitled “Electronic Proposal Delivery - Proposal Marking and Delivery Through NASA’s EFSS Box” which provides instructions related to the submission of proposal via EFSS Box.

▪ Offerors are encouraged to check with their corporate IT staff to determine if there are firewall restrictions that would need to be addressed prior to the submission of proposal files through NASA’s EFSS Box.

▪ The Final RFP will include an EFSS Box System Link to allow for “drag and drop” submission of proposals.

▪ Offerors are encouraged to submit proposals at least 24 hours prior to the due date specified in the solicitation to allow for resolution of any submission issues experienced by the offeror or applicable subcontractors.

▪ The Government will perform a price analysis of all responsive proposals received in accordance with FAR 15.305(a)(1) and FAR 15.404-1, Proposal Analysis Techniques.

▪ Consistency between the Mission Suitability factor and the Price factor volumes will be considered in determining if the offeror’s proposed price is fair and reasonable.

Additionally, failure by an offeror to provide all required Excel Pricing Model data (e.g., IDIQ labor rates for all labor categories for all years of performance, for all Centers, if multiple) could adversely impact the offeror’s Mission Suitability score or result in a determination that the proposal is unacceptable (see NFS 1815.305- 70(a)(3)).

▪ For evaluation purposes, the total price will be established as: the sum of (1) the phase-in services price; (2) the mission core services price for the contract period of performance, including all options; and (3) an indefinite-delivery, indefinite-quantity (IDIQ) price using the offeror-provided fully burdened rates applied to a pre-populated estimate of labor hours for each labor category, for each Center, for the contract period of performance, including all options. (See Excel Pricing Model (EPM) Tab A-1, Summary of Total Price).

Price Evaluation

▪ For the purpose of evaluating the option to extend services (i.e., FAR 52.217-8), the Government will determine the six-month price by prorating the price proposed for the last year of mission core services (i.e., CLIN TBD).

▪ The proposed Phase-in services' price performance period, established as a separate firm-fixed-price (FFP) contract line-item number within the FFP mission core services value, will be performed concurrent with the incumbent contract.

▪ Price information provided in this volume will constitute the offeror's proposal submission for price comparison purposes. If inconsistencies are identified by the Government between Volume – II Price and Volume IV - Contract, the contract will be revised prior to execution by the contracting officer to reflect the values specified in this volume.

Price Evaluation, cont.

▪ In accordance with FAR 15.305(a)(2) and NFS 1815.305(a)(2), the offeror’s past performance, including relevant federal, state, and local government and private contracts, and the past performance of any proposed subcontractors and individual joint venture partners, if applicable, will be evaluated.

▪ The past performance evaluation is an assessment of the Government’s confidence in the offeror’s ability to perform the solicitation requirements with consideration given to relevant past performance (i.e., size, content, and complexity).

▪ The offeror’s past performance references shall be limited to no more than five (5) described contracts and/or subcontracts, including those of any proposed subcontractors. At least two past performance references should be for the offeror.

Past Performance Evaluation

▪ This evaluation will be based on the information provided by the offeror in their Past Performance volume. However, the Government will also consider the Contractor Performance Assessment Reporting System (CPARS) database records, completed past performance questionnaires, and any other relevant information obtained independently by the Government.

▪ Findings may be assessed in accordance with the definitions provided in the Agency provision entitled “Factor I- Mission Suitability Volume Evaluation,” paragraph (c). Additionally, an aspect of the proposal that neither increases nor decreases the likelihood of successful contract performance will be deemed adequate.

▪ Section L FACTOR III – PAST PERFORMANCE VOLUME INSTRUCTIONS, paragraph (c) states-

• Offerors which are joint ventures (JVs) should provide at least two of the five past performance referenced contracts required above in the name of the JV.

• If the JV is newly established and cannot provide past performance referenced contracts in the name of the JV, then past performance referenced contracts from individual partners of the JV should be submitted for consideration, not to exceed a combined total of five referenced contracts.

• Two past performance referenced contracts should be provided for the JV managing partner.

Past Performance Evaluation of JVs

▪ Section M FACTOR III – PAST PERFORMANCE VOLUME EVALUATION, paragraph (b) states-

• If an offeror is a new joint venture (JV) without a past performance record, past performance will be evaluated for each individual JV partner for which a referenced contract is submitted, in accordance with the relevancy thresholds established for the offeror.

• References for protégé members of any proposed mentor-protégé JV agreement will be evaluated in accordance with the relevancy thresholds established for proposed subcontractors (see 13 C.F.R. § 125.8(e)).

• Participation of an individual JV partner in another JV will be evaluated provided that the partner's sole effort is clearly described and meets established relevancy criteria.

Past Performance Evaluation of JVs, cont.

• 13 CFR § 125.8 (e) states-

(e) Capabilities, past performance and experience. When evaluating the capabilities, past performance, experience, business systems and certifications of an entity submitting an offer for a contract set aside or reserved for small business as a joint venture established pursuant to this section, a procuring activity must consider work done and qualifications held individually by each partner to the joint venture as well as any work done by the joint venture itself previously. A procuring activity may not require the protégé firm to individually meet the same evaluation or responsibility criteria as that required of other offerors generally. The partners to the joint venture in the aggregate must demonstrate the past performance, experience, business systems and certifications necessary to perform the contract.

• 13 CFR § 124.513 (f) states –

(f) Capabilities, past performance, and experience. ▪ All offerors shall submit a Price volume. Additionally, in accordance with FAR 15.404-3(c)(2), all proposed major subcontractors, to include interdivisional and/or intra-company effort as defined in Section L, Factor III – Past Performance Volume Instructions, paragraph (b), shall submit a complete Price volume.

▪ In accordance with sound business practices and applicable labor laws, the offeror and major subcontractors shall propose reasonable labor rate increases for labor rates not defined by Forward Pricing Rate Agreement (FPRA). The Government has provided uniform rates of change for Calendar Years 2024 through 2028 as provided in Table L-2, Escalation Rates.

▪ Should an offeror determine the need for a different annual escalation rate, an explanation and justification shall be provided. This explanation shall include the rationale and methodology used for the annual escalation rate development, including escalation assumptions, sources of projections, and a description of the projected rate.

Price Forms Overview

▪ The offeror and all major subcontractors shall provide a pricing narrative BOE that explains in detail all pricing and estimating techniques.

▪ The offeror and all major subcontractors shall submit one copy of their audited/unaudited financial statements and accompanying notes for the last three most recently completed fiscal years.

▪ If a proposed subcontractor objects to providing their Price volume to the offeror they may submit it directly to the Government by the date and time provided in the RFP.

▪ Offerors and subcontractors shall map each of their labor categories to a NASA Identified Labor Category.

EPM – Excel Pricing Model

▪ Government- provided model for submission of the price (Attachment L-1). The EPM will be utilized as the Government evaluation tool.

▪ The EPM contains linking among the spreadsheets. However, use of external links (source data not provided to NASA) of any kind is prohibited.

▪ All electronic files associated with the EPM shall not contain hidden formulas or tables and shall not be locked or protected.

▪ The offeror shall not alter the Attachment L-1 price volume electronic spreadsheet file formats except for lengthening forms as appropriate or adjusting column widths, adding additional columns or rows, or correcting errors that would preclude the submission of an accurate proposal.

▪ The offeror is permitted to alter formulas, if necessary, in Attachment L-1, Excel Pricing Model.

▪ It is the offeror's responsibility to ensure that all data is properly accounted for in the price proposal in order to ensure an accurate proposal.

• Note: This procurement includes support of multiple centers at various geographical locations but does not require the employee reside at a specific location.

▪ Direct Labor/Salary Rates:

• Provide sources used for the proposed direct labor rates which shall be supported with the following information in order to both allow a complete understanding of, and establish traceability to, the proposed labor rates.

• The name and date of the nationally recognized salary survey(s) used for each labor category (e.g., Economic Research Institute [ERI], Bureau of Labor Statistics), to include copies of all applicable pages from these surveys in their native format.

• Salary data other than surveys (if applicable), to include copies of all applicable pages from these data sources in their native format.

• A mapping from the Government-stated labor category/description to the salary survey labor category/description (or categories/descriptions used), when applicable, to include rationale for the established mapping.

• The job code number (if provided) in the salary survey.
