Procurement Title Safety and Mission Assurance Contract III

(SMAEC III)

No. Category Section Page Number Type Question/Comment Answer

1 Section L Proposal Instructions Attachment L-3 EPM Tab ISCT - SR (SOW

2.0 - 4.0) Clarity

The instructions on this tab state: "This template is required from the Prime Offeror only. It is for pricing the Government specified level of resources identified in Table L.5a (direct labor hours) and Table L.5b (NLRs). This template covers the estimated price (cost and fee) to perform the SOW."

We could not locate Table L.5b (NLRs). Can you please clarify this reference?

The EPM instructions on Tab ISCT - SR (SOW 2.0 - 4.0) is updated to reflect Tables L-7 (Direct Labor Hours) and L-8 (NLRs) to correspond to the RFP Section L.24 Tables.

2 Section L Proposal Instructions L.22.2 Management Approach (MA), M.3.2 Management

Approach (MA) 407, 475 Clarity

There are multiple references to MA4 in the RFP instructions. Please confirm that there is no MA4 section.

Section L: The Offeror shall demonstrate its management approach through responses to MA1, MA2, MA3, and MA4, as prescribed below.

Section M: The offeror’s response to MA1, MA2, MA3, and MA4 will be evaluated for overall demonstrated understanding for reasonableness, feasibility, and completeness, and any ensuing associated impact and risk to the Government.

The RFP Sections L.22.2 and M.3.2 is updated to remove the references to MA4.

3 Section L Proposal Instructions

L.20 PROPOSAL ARRANGEMENT, PAGE LIMITATIONS, COPIES,

AND DUE DATES and L.23 JPI 52.215-114 PAST PERFORMANCE

INFORMATION (NOV 2022) - VOLUME II

398 and 411 Clarity

Past Performance Page count states that there's a limit of 15 pages with a 1 page limit for the Introductory Material.

Does this mean a total of a 16 page limit applies to the Past Performance Volume?

Please also clarify what Past Performance Volume requirements belong in the Introductory Material Section and what belongs in the Past Performance Description. Can we assume that section L.23 (a), (b), (c) belong in the Introductory Material and thus subject to the 1 page limit, while the rest of the requirements are subject to the 15 page limit?

The RFP Section L.20, Table L-2 is updated to clarify that the Introductory Material page limit of 1 will not be included in the total 15 page limit count for Volume II. It is the Offeror's discretion to determine what content to add to the Introductory Material. Also please refer to the answer to question 14.

4 Section L Proposal Instructions

L.23 JPI 52.215-114 PAST PERFORMANCE INFORMATION (NOV

2022) - VOLUME II

413 Clarity

Please confirm if the Environmental Data and Safety & Health Data requested in Section L.23 (J) only applies to the Offerror and Major Subcontractors?

The RFP Section L.23(j) is updated to reflect that the associated requirements only apply to the Prime and Major Subcontractors.

Section L Proposal Instructions L.23 (h) 418/489 Clarity

RFP states, "...shall each submit the Past Performance Questionnaire, Attachment L-8, to all of the point of contact references required in paragraph (c) above." However, (c) is referring to "...Offerors shall consider the recency and relevance…"

Question: Please verify that questionnaires are not required for the proposed key personnel.

Section L.23 (h)is revised to include the correct reference to sub-section (d). Attachment L-8 Past Performance Questionaires are not required for the proposed key personnel.

6 Section L Proposal Instructions

L.23 JPI 52.215-114 PAST PERFORMANCE INFORMATION (NOV

2022) - VOLUME II

413 Clarity

Section L.23 (h) states: "In addition to the information above, Offerors, any major subcontractors, as defined above, and any other organizational entity (parent or affiliated company, division(s), business units, or segments of your company, which is considered to provide meaningful involvement in contract performance), shall each submit the Past Performance Questionnaire, Attachment L-8, to all of the point of contact references required in paragraph (c) above. The Offeror is responsible for ensuring that all references are directed to return completed copies of each questionnaire directly to the Contracting Officer at the following e-mail address jscsmaec3@mail.nasa.gov"

There are no point of contact references identified in paragraph (c).

Please confirm if this should reference Paragraph (d)? Please see Answer to Question No. 5.

7 Section L Proposal Instructions

L.20 PROPOSAL ARRANGEMENT, PAGE LIMITATIONS, COPIES,

AND DUE DATES and L.23 JPI 52.215-114 PAST PERFORMANCE

INFORMATION (NOV 2022) - VOLUME II

398 and 411 Clarity

Please confirm that the Key Personnell Resumes per Attachment L-9 and evidence of commitment of Key Personnel are to be submitted as part of our response to Staffing and Critical Skills Plan (DRD-S3-020) as required by DRD-S3-020 section C.2 and Note 4 on page 399?

If so, please clarify what is required as part of our response to Section L.23 (b)?

Only the Resume for the Program Manager or equivalent is required for Attachment L-9 in Volume II. Per DRD-S3-020 the qualifications of Key Personnel, at a minimum, the Program Manager, shall be included in the plan of Volume I.

8 Section L Proposal Instructions Attachment L-11 and L.23 JPI 52.215-114 PAST PERFORMANCE

INFORMATION (NOV 2022) - VOLUME II

432 and 413 Clarity

Section L.23 (e) states: "This submission shall clearly detail what portions of the Statement of Work the prime, major subcontractors (subcontracts with an estimated annual value greater than $5M on SMAEC III), proposed Program Manager, teaming partner, and/or joint venture partner are responsible for..."

This requirement is substantially similar to the information required in Attachment L-11. Please confirm if we are able to point to Attachment L- 11 (submitted as part of Volume IV) for this section?

Offerors shall provide the required RFP information in each proprosal volume in which it is requested and not merely refer to similar information that may be in a different volume of the proposal.

9 Section L Proposal Instructions L.24 COST AND PRICE FACTOR - VOLUME III 426 Clarity As noted in Section L.24 (e) paragraph 2, ASC 840 was replaced with ASC 842. As a result, the classification of leases are now are either "Finance" or "Operating." Please confirm that Offerors are to determine whether any proposed lease is Finance or Operating per ASC 842.

Yes. Offerors shall identify leases as either "Finance" or "Operating" in accordance with Accounting Standards Codification (ASC) 842.

10 Section L Proposal Instructions

L.22 MISSION

SUITABILITY

FACTOR -

VOLUME I

396 Clarity Follow up on Draft RFP Question #14. The answer states that each requirement must be addressed in their respective subfactors. This seems to conflict with Answer #12, allowing Technical Requirements addressed in the DRDs to be excluded in the Technical Requirements Narrative, since Technical Requirements and the responses to the DRDs are in two different subfactors. Will the Government allow references across the Mission Suitability Volume (not just within Subfactors)? This will help ensure that our Technical Approach is consistent with the Management Approach.

Offerors must address each requirement in their respective Volumes and Volume Subfactors. Offerors are not permitted to cross-reference between Volumes and Volume Subfactors. If the Volume Subfactor makes reference to a specific DRD, then the Offeror's are not required to duplicate the DRD information in the Volume Subfactor and may use a reference. For example, the Continual Improvement Plan DRD-S3-007 contains both technical and management innovations. The narrative for the Volume I Technical Approach Subfactor 1 may point to this DRD to explain the technical innovations. Likewise, Volume I Management Approach Subfactor 2 may point to this DRD to explain the management innovations.

The proposal should be clear, concise, and shall include sufficient detail for effective evaluation and substantiation of all information.

11 Section L Proposal Instructions L-1-1 1-S3TO-EVA, Extravehicular Activity (EVA) SMA Support 420 Clarity

Section 3.0 Assumptions and Guidelines, bullet #6 states: "The Exploration xEVAS contractor is developing the new Exploration EVA Suit. Assume that SMA will continue in an assurance role for this suit system." Can the Government clarify if the intent of this scenario is for the offeror to assume a single xEVAS suit that meets both the ISS and Lunar requirements? Or shall the offeror assume that multiple suits are being develop in support of the xEVAS contract?

The RFP sample Task Order L-1-1 1-S3TO-EVA, Section 3, bullet #6 is updated to reflect the following: "The Exploration xEVAS contractor is developing the new Exploration EVA Suit (xEVAS). The single xEVAS suit shall meet both the ISS and Lunar requirements given the need to demonstrate the Exploration suit on the ISS. Assume that SMA will continue in an assurance role for this suit system."

12 Section L Proposal Instructions L-1-1 1-S3TO-EVA, Extravehicular Activity (EVA) SMA Support 420 Clarity

Section 3.0 Assumptions and Guidelines, bullet #7 states: "Assume the new suit will be tested/demonstrated on four ISS US EVAs per year."

Based on the latest available milestone schedule the ISS Suit CDR is anticipated 11/2024 and the flight for the first suit is anticipated 4/2026. Given a potential initial flight occurring two months prior to the end of the POP when does the Government anticipate the four flights occurring within the POP or is this an assumption about planning in support of flight outside of the POP? If the Government anticipated these tests being conducted within the POP can you provide a milestone schedule to assume or the suit(s).

The Task Order Period of Performance (POP) was modified in the Final RFP to only account for one Contract Year through 5/31/2025. The 4 ISS US EVAs tests is for planning purposes only outside of the Task Order POP.

13 Section L Proposal Instructions L-1-1 1-S3TO-EVA, Extravehicular Activity (EVA) SMA Support 420 Clarity

Section 3.0 Assumptions and Guidelines, bullet #5 states: "This Task Order is for assurance only tasks in support of the EHP products and services". Given that NASA and the SMAEC III contractor may be expected to provide a large S&MA role for GFE items should we assume for this scenario that we conduct only assurance services, or the entire set of requirements established in EHP-10038?

Yes, the Offeror shall provide assurance only services for this sample EVA Task Order.

Section L Proposal Instructions Table L-2 Attachment L-9 Key Personnel Resume

403/489 475/489 Clarity

Table L-2 does not specifically identify page limits for resumes.

However, Attachment L-9 does state that resumes are limited to 2 pages.

Question: Please confirm that resume(s) are not included within the 15 pages and that each resume is limited to 2 pages per Attachment L-9.

Per Section L.20, Table L-2, Volume II Past Performance subsection, "PP Attachments" is marked as None for page limits. Therefore, the Past Performance resume of Attachment L-9 is not part of the total page count limit of 15. However, per Attachment L-9, the Program Manager or equivalent resume shall itself be limited to a total page count of 2.

Other Cover Letter, Para 4(i) 3

Request for additional information

All items in the list (a) - (q) reference a specific proposal section that was updated, with the exception of (j).

Question: Will the Government please add the document(s) and section(s) updated for (j)?

All items identified in the RFP cover letter as being updated from the draft RFP were updated, including item (j). The update associated with item (j) was included in the first paragraph of the Scope of Work on p.

16 of the final RFP where it stated: "The contractor shall consistently and effectively utilize the on-site JSC and WSTF space allocated in the contract for contractor use in the performance of the SMAEC III contract. In addition, the contractor shall support customer requirements to provide SMA products and services physically on-site at JSC as required to perform work prescribed in the Task Orders awarded under the SMAEC III contract. . . ."

Other DRD 12, Para B 182

Request for additional information

The TCP for all professional employees is required from the Prime and any subcontractors* when the contract value is expected to exceed $750,000 and services are to be provided which will require meaningful numbers** of professional employees, regardless of contract type"

Question: Would the Government please clarify whether TCPs must be submitted if the subcontract value exceeds $750,000 annually or $750,000 over the life of the contract?

The TCPs must be submitted if the subcontract value exceeds $750,000 over the life of the contract.

Other DRD 12, Para B 182

Request for additional information

The DRD has an asterisk after subcontractors and two asterisks after meaningful numbers ("The TCP for all professional employees is required from the Prime and any subcontractors* when the contract value is expected to exceed $750,000 and services are to be provided which will require meaningful numbers** of professional employees, regardless of contract type"). However, neither of those terms is further defined within the DRD.

Question: Would the Government please indicate what each asterisk denotes?

The purpose of the asteriks was to simply draw attention to the language to emphasize the importance of the requirements.

Other DRD 12, Para C 182 Clarity

The DRD requires per (1) that the company name of the prime offeror and major subcontractors be stated. Given that minor subcontractors with a contract value between $750,000 and $35M also have to submit TCPs.

Question: Should the prime offeror list the names of minor subcontractors as well? Yes, minor subcontractors should be listed as well.

Section L Proposal Instructions L.24 (b) (1), (2), (3) 416-417 Clarity

The DL, DL escalation and indirect sections references FPRAs and FPRRs.

Question: Can the Government revise to allow for FPRPs as well?

FPRAs and FPRRs are based on FPRPs that have undergone documented government review to determine the rates fair and reasonable. On the contrary, FPRPs without FPRAs and FPRRs have not undergone any documented level of Government review, despite potentially reflecting the most current cost or pricing data. Hence, the use of FPRPs require the Offeror to submit the level of data and/or documentation currently required in the RFP. Therefore, the RFP will not be revised to incorporate FPRPs.

Section L Proposal Instructions L.24 e(5) 427 Clarity

“Offerors are to indicate the proposed work location of all proposed employees. For example, 45 employees are located at JSC, 5 employees are located at WSTF, “X” number of employees are located at the Offerors facility located in Houston, TX and “Y” number of employees are remote in various locations either within or outside the Houston metropolitan area, if any”

Question (a): Will the Government please clarify the definition of “all proposed employees”? For example, is this the total number of WYEs priced in SOW 1.0 + the sum of the directed hours for SOW 2.0-4.0?

Something else?

Question (b): Will the Government please confirm that for employees who do not work at Government or contractor facility, offerors may indicate the employee location as “remote – within Houston Metro” / “remote – outside Houston Metro” or similar?

Answer to Question (a): The total of all proposed employees shall equal the sum of the WYE in support of the SOW, Section 1 and the SOW, Sections 2-4 as defined in the RFP, Attachment L-4 Government Resource Estimate (GRE).

Answer to Question (b): For all proposed employees the exact work location shall be identified in the Volume III proposal to support rate evaluations.

Section L Proposal Instructions L.25 (1)(a) 427-428 Clarity

The RFP states that if no OCI concern is identified, then the OCI plan (DRD 18) will be evaluated as part of responsibility considerations.

However, if no OCI concern is identified, then there is no OCI plan that can be evaluated as part of responsibility considerations.

Question: Please confirm that if offerors do not have any OCI, then the OCI Plan would be evaluated with Final Proposal Revision submission.

If the offeror does not identify an OCI, the OCI Plan will be required with Final Proposal Revision or from the Apparent Awardee (if no discussions are necessary).

Section L Proposal Instructions L.25 (1)(b) 428 Clarity

The RFP states as part of the Responsibility Determination information, offerors must include: (b) all required Department of Labor information.

Question: Please specify what Department of Labor information is required to be listed in Volume V (1)(b).

The RFP is updated to removed L.25 (1)(b) and M.6(a)1)b) reference to the "Required Department of Labor information" and is now marked

"RESERVED."

Section L Proposal Instructions L.21 (a)2 405 Other Question: Would the Government consider allowing using Arial 10 point font for graphics and tables?

Offerors shall use the font type and size as defined in the RFP proposal formatting instructions.

Section L Proposal Instructions Attachment L-9 6c, Key Personnel Resume 475/489 Clarity

“References for each position [including points of contact (contracting officer, contracting officer’s representative, etc.) and contract numbers for experience referenced] (include a minimum of three references total)"

Question: Please confirm that key personnel references are not limited to only contracting officers and/or contracting officer’s representative.

Key personnel references may include other individuals beyond the contracting officer and the contracting officer's representative.

Section L Proposal Instructions Attachment L-9 6c, Key Personnel Resume 475/489 Clarity

“References for each position [including points of contact (contracting officer, contracting officer’s representative, etc.) and contract numbers for experience referenced] (include a minimum of three references total)"

Question: Please clarify if it’s the Government’s intent that offerors only need to provide a minimum of a total of three references.

If the Government requires a minimum of three references per position, would the Government consider increasing the page limit to 3 pages/resume.

The page limit for Attachment L-9 shall remain unchanged. A minimum of three references total is required for the Program Manager or equivalent referred to in Attachment L-9. Only the resume for the Program Manager or equivalent is required.

Other Section J, Attachment 2, DRD-S3-012 183 Clarity

Reference (C)(4) which requires that the TCP "Explain how wage/salary ranges and their corresponding escalation were established for each labor classification identified. Supporting information shall include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations used in establishing this proposed TCP" and "The contractor shall provide written support to demonstrate the realism of the proposed compensation. To demonstrate evidence of realism, the contractor shall provide the applicable portion of the surveys/studies."

Question: Would the Government please confirm that if an offeror is using the historical incumbent rate as the basis for direct labor, the offeror is not required to:

a) explain how the historical DL rates were established,

b) demonstrate that the historical DL rates are realistic, nor

c) provide supporting documentation to verify the historical DL rates are realistic?

Offerors must follow all of the requirements in DRD-S3-012 regardless if an offeror is using the historical incubment rate.

Section L Proposal Instructions L.24(b)(2) 416 Clarity

Reference: "For any direct labor rates not included in a FPRA or FPRR, the Offeror shall provide the company's direct labor escalation history for the past three (3) years."

By definition the historical incumbent DL rate is not included in any

FPRA/FPRR.

Question (a): Would the Government please confirm that the requirement to provide escalation history for 3 years is only required if the "direct labor escalation rate" is not included in an FPRR or FPRA (vice the "direct labor rate"?

Question (b): Would the Government please confirm that if an offeror is applying their DCMA-recommended escalation rate from their FPRR/FPRA, the rationale for the proposed direct labor rate of escalation going forward is not required?

Answer to Question (a): Yes. If the FPRA or FPRR proposed by the Offeror identifies escalation factors for direct labor, then there is no requirement to also provide escalation history for the past 3 years.

Answer to Question (b): Yes. If the Offeror applies the escalation rate from its FPRA or FPRR, the rationale for proposed direct labor rate escalation going forward is not required. However, the requisite descriptions of incentives regarding recruitment and retention of personnel are still required if the rate of escalation going forward is zero or negative.

Section L Proposal Instructions L.24(b)(2) 416 Clarity

Reference: "For any direct labor rates not included in a FPRA or FPRR, the Offeror shall provide the company's direct labor escalation history for the past three (3) years... Further, the Offeror shall specifically provide, and explain, the rationale for any proposed direct labor rate of escalation going forward, whether positive, zero, or negative."

By definition the historical incumbent DL rate is not included in any

FPRA/FPRR.

Question: Would the Government please confirm that if an offeror is applying their DCMA-recommended escalation rate from their FPRR/FPRA, the rationale for the proposed direct labor rate of escalation going forward is not required? Please refer to the second answer to the second part of Question 27.

29 Section L Proposal Instructions L.24 Cost Price, Attachment L-3 EPM, Minor Subcontractor Template (MST)

MST Worksheet Instructions

Clarity

The MST instructions specify that the subcontractor's unburdened labor rates, fee rate applied, and resulting fully burdened labor rates be submitted by the 'Prime Offeror Only.' Is it acceptable for minor subcontractors to provide a redacted version to the Prime to protect their proprietary data and also submit a fully disclosed version directly to NASA via EFSS?

Minor subcontractors must provide the fully burdened labor rate (FBR) and the fee rate included in the FBR to the prime for incorporation into the MST tab. The more specific data required for the MST from the minor subcontractors may be submitted directly to NASA via EFSS.

Further, the minor subcontractors must indicate to the prime whether they are using the "Contractor Incumbent Rate."

Section L Proposal Instructions L.24(d) EPM Other

Reference: The instructions on the MST tab provide: "This template is required from the Prime Offeror only... In the "Proposed Direct Labor Rate" column identify the proposed unburdened direct labor rate being used."

Since this tab is submitted by the Prime Offeror only, minor subcontractors must provide primes with their unburdened DL rate, fee and FBR. This allows prime contractors to potentially back into a subcontractor's proprietary wrap rate.

Question: Will the Government allow minor subcontractor to submit the completed MST tab directly to the Government (along with the IRAP, IA and FBACP tabs currently required)?

Please refer to the answer to Question No. 29.

Section L Proposal Instructions L.24(d) EPM Other

Reference: The instructions on the MST tab provide: "See the "Incumbent Retention at Current Pay (Yes/No)" column to enter required data. If the Offeror is proposing to fill the NASA SLC with incumbent employees AND maintain current pay by utilizing the NASA Historical Incumbent Direct Labor Rate posted in the NASA Technical Library, then the Offeror is to answer "Yes" in the column. Otherwise, answer "No" in the column. This template is required from the Prime Offeror only... In the "Proposed Direct Labor Rate" column identify the proposed unburdened direct labor rate being used."

Question: If the offeror is proposing to fill the NASA SLC with incumbent subcontractor employees and maintain current pay by utilizing the subcontractor's "contractor incumbent rate" as the DL basis, may the offeror answer "yes" to "incumbent retention at current pay"?

Yes. MST column D should be denoted as "Yes" in this instance and an explanation for any differences from the historical technical library rates should be included in the Offeror's proposal to the Government.

Section L Proposal Instructions L.24(d) EPM Clarity

Reference: The instructions on the IRAP tab state: "The "Contractor Incumbent Rate" row may ONLY be utilized by a current incumbent contractor bidding on the follow-on procurement. It is not to be utilized by an Offeror who has no performance on the current contract. If an Offeror utilizes this row in lieu of the "Historical Incumbent Rate" row, then a detailed explanation MUST BE PROVIDED in the Cost Narrative explaining the reason(s) why this data point is being used in lieu of the NASA provided "Historical Incumbent Rate". Further, the Offeror shall indicate the direct labor data point used here is different than the direct labor data point previously provided to the Government, and provide very specific reasons why the data points are different and mathematically support the Contractor Incumbent Rate calculation."

Question: Are subcontractors permitted to use contractor incumbent rate as a DL basis?

Question: If so, where should minor subcontractors (who are not submitting a cost narrative) submit the requisite detailed explanation?

Question 1: Yes. Current incumbent subcontractors performing on the SMAEC II contract that are bidding on the follow-on procurement are permitted to use the "Contractor Incumbent Rate" as a basis for Direct Labor.

Question 2: For minor subcontractors not submitting a cost narrative, the requisite detail can be provided to the prime in support of the MST tab to be incorporated into the prime's narrative response, if it is not considered proprietary. If the information is considered proprietary, the requisite detail can be submitted directly to NASA via EFSS in the form of a Microsoft Word document.

Section L Proposal Instructions L.24 Cost Price, Attachment L-3 EPM, Minor Subcontractor Template (MST)

MST Worksheet Instructions Clarity

Please confirm that as an incumbent subcontractor using actual escalated salaries for base labor rates, MST column D should be denoted as "Yes" (Incumbent Rentention at Current Pay), even if the rate is slightly different from the historical technical library rate provided. Note that those are composite rates across a greater team, whereas individual companies will have one or two employees in a category that varies.

Yes. MST column D should be denoted as "Yes" in this instance and an explanation for any differences from the historical technical library rates should be included in the Offeror's proposal to the Government.
