Purpose of Pre-Proposal Conference Purpose:
• The purpose of this Pre-Proposal Conference is to help Industry understand the
Government’s requirements by highlighting significant changes made since the Amended Draft RFP was posted.
Supplements prior communications with Industry including: Industry Day (Aug
2022), Industry Day Q&A (Oct 2022), Draft RFP release (Nov 2022), Pre-solicitation Conference (Nov 2022), Draft RFP Q&A (Mar 2023), and Amended Draft RFP (Apr 2023).
Questions for Final RFP:
• The Final RFP was released to Sam.Gov on May 26, 2023, all questions from industry are due by June 14, 2023.
• All responses to questions will be posted publicly on SAM.gov.

Model Contract
• All proposals must include a signed Model Contract in order to complete the offer.
• Offerors are required to submit the entire Model Contract inclusive of every Section (A- K), including all requested fill-ins and attachments.
See the updated Table L.19.7-1: Model Contract and Additional Requirements.
Submit all pages - do not just submit the pages with fill-ins.
Sections L and M are not to be included as part of the Model Contract.
Ensure consistency between your proposal and your Model Contract.
Double Check Section B with your Price Volume.
Also acknowledge any RFP Amendments issued by submitting a signed copy of the Amendment with your proposal.
LTVS Major Tasks
• Major IDIQ Tasks of the LTVS pre-priced schedule to be proposed remain largely consistent with the Draft & Amended Draft RFPs:
Feasibility Assessment Special Study - awarded with the IDIQ contract; takes LTV design that meets NASA requirements through PDR.
Demonstration Mission – post-PDR through demonstration of the certified (NASA requirements) LTV design/build on the lunar surface; includes LTV launch and lunar surface delivery services.
Standard Missions – 1 year LTV lunar surface operational mission services (+ 2 years for planning & crew training = ~3 year task order duration) needed to execute NASA Crew, NASA Uncrewed, and Ride Along Expedition scope; including LTV replacements and/or sparing and associated launch and delivery services to the lunar surface.
Significant Changes Since Amended DRFP
• H.18 - Public Affairs has been significantly updated.
• H.26 - Insurance for Harm to U.S. Government Astronauts has been removed.
• H.30 - Section B Schedules Price Redetermination has been removed.
• H.32 - Ensuring Adequate Covid-19 Safety Protocols for Federal Contractors (Deviation) has been removed.
• H.34 - LTVS Readiness Assessment has been removed.
• H.43 - Adjustments to Launch Schedule has been added.
• L.10 - NFS 1852.245-80 Government Property Management Information has been removed.
• The requirement for a Compensation Plan has been removed.
Significant Changes Since Amended DRFP (Cont’d)
• Attachment L-04, Initial Task Order has been removed. The Feasibility Assessment task order is still planned to be awarded around the time of contract award. A separate request for Task Order Proposal is not necessary as the proposal provides sufficient information to prepare the Task Order. The Task Order will be priced using the price proposed for SubCLIN 2A – LTVS Feasibility Assessment of Table B.5-1: Special Studies and Tasks Schedule (SubCLINs 2A, 2B, & 2C). Performance Work Statement (PWS) Section 3.1 - LTVS Feasibility Assessment (SubCLIN 2A) provides a description of the work to be performed. The Contractor(s)’ DRD LTVMA-002, Development Milestone Review Plan will provide the milestones associated with task order. The Contractor(s)’ DRD LTVMA-004, Integrated Master Schedule (IMS) will provide a schedule of the milestones. The reviews and the Contractor defined interim reviews and events associated with progress payments will be pulled from the Contractor(s)’ Attachment J-12, Work Plan. The contractor(s) will have an opportunity to review the Feasibility Assessment Task Order before the task order is issued.
• Attachment L-04, Contractor Responsibility Matrix has been added.
• LTV System Requirements Document (SRD), LTV Communication System Requirements Specification (SRS), and LTV Project Concept of Operations (ConOps) are now baselined versions.
• NASA’s response to Question number 67 to the Draft RFP stated “NASA is updating the Final RFP to move DRD LTVMA-010 Paragraph 15.5 into Section L (Pricing Volume Section). This will be addressed as an update to the Final RFP." NASA subsequently determined that this information was more appropriate for Volume II and updated the Final RFP to include the language as part of Section L, 19.4, MA.3.
Government Task Agreement (GTA) Reminders
• NASA is currently in blackout with industry, limit interaction to only the NASA LTVS
Contracting Officer and GTA POCs.
• Final GTAs are due to your NASA GTA POC by June 14, 2023.
• GTAs are due back from your NASA GTA POC no later than 7 days before the proposal due date
• Note specific guidance on GTAs regarding Offerors wishing to utilize NASA Flight Operations Directorate resources for their LTV Mission Control Center in RFP Cover Letter.

LTVS Price Volume Overview
• IDIQ Type Contract with Firm Fixed Price (FFP) Task Orders.
• The Ordering Period is 13 years, and the total Period of Performance is 15 Years.
• For Pricing Purposes, the Contact Effective Date is Anticipated to be November 27, 2023.
• Proposed prices are Not-to-Exceed (NTE) prices and are not subject to upward adjustments.
• Price Analysis will be conducted in accordance with FAR 15.404-1(b).
• Unbalanced Pricing will be Evaluated in accordance with FAR 15.404-1(g).
LTVS Price Volume Requirements
• Certified Cost or Pricing Data is not required based on the anticipated competition.
• Offerors are provided detailed instructions in the RFP under section L.19.3 Price Factor.
• Summary of RFP Price Volume requirements:
A Narrative explaining all pricing and estimating techniques as well as the basis of estimates for the proposed prices.
Offerors shall identify the proposed profit rate(s).
Offerors may also provide a narrative supporting the proposed profit rate(s).
Offerors shall identify if they are proposing Facilities Capital Cost of Money.
Offerors response will determine if a waiver of facilities capital cost of money will be included in the model contract.
Offerors shall provide documentation, including data, calculations and supporting rationale for any apparent unbalanced pricing.
LTVS Price Template Overview
• The Pricing Matrix includes pre-populated formulas (cells are shaded grey).
• Offerors are responsible for the accuracy of these formulas and editing/correcting them, as necessary.
• Evaluated Quantities and Hours shall not be adjusted.
• Instructions for completing the pricing matrix can be found in the RFP and on the first tab of the pricing template.
• Offerors should propose their most favorable pricing for each line item/labor category for all ordering periods/calendar years. (cells requiring fill-in are shaded blue)
• Failure to provide a price for all line items/labor categories may result in the offerors proposal being rejected.
• The proposed price should be inclusive of all costs and profit.

LTVS Price Evaluation
• The Government will perform a price analysis of the Total Evaluated Price (TEP) of all proposals received and found to be acceptable.
• The TEP will be sum of the following:
CLIN 01 LTVS Mission Services SubCLIN 1A: Demonstration Mission - Average Price for CY24-31 SubCLIN 1B: LTVS Standard Missions Mission A - Average Price for CY25-36 multiplied by 3 Mission B - Average Price for CY25-36 multiplied by 7 SubCLIN 1C: LTVS Mission Unique Capabilities - Summation of the average unit price for CY24-36 for all priced capabilities.
• CLIN 02 Special Tasks and Studies SubCLIN 2A: LTVS Feasibility Assessment - Proposed Price for the feasibility assessment SubCLIN 2B: Special Studies - Summation of the non-discounted labor rates multiplied by the provided evaluation hours for CY24-
36. In addition, the provided non-labor resource evaluation amount of $50k for each CY inclusive of the offerors proposed burdens.
SubCLIN 2C: Pre-priced Evaluation of NASA Mission Requirements - Summation of the average labor rate for all labor categories for
CY24-36 multiplied by the offerors proposed discounts and provided evaluation hours.
• Summation of all proposed GTAs
• The Government will also evaluate proposals for unbalanced pricing.
A proposal may be rejected if it is determined that the lack of balance poses an unacceptable risk to the Government. 17
