The successful offeror must pass an Equal Employment Opportunity (EEO) clearance before contract award (See FAR 22.805).

The current planned release date for the Final Request for Proposal (RFP) is on or about February 2, 2021, with proposals being due approximately 30 calendar days later.

The anticipated contract award date is August 30, 2021, with a January 1, 2022 contract effective date. The contract will be performed on-site NASA at or near the Lyndon B. Johnson Space Center (JSC), and other work locations in and outside the United States, including Moscow and Star City, Russia and Kazakhstan in support of the statement of work. This acquisition may support other Programs and Centers, as well as other Government entities as applicable.

The following additional information is provided to assist in understanding this acquisition:

1. A Phase-in period will be conducted. The Phase-in period will be from October 1, 2021 to December 31, 2021. The Phase-in period will be acquired as part of the basic contract.

2. The Government will make available existing Installation-Accountable Government Property (IAGP) for onsite contract performance as described in the DRFP Attachment J- 9.

3. After release of the final RFP, the RLLS2 Pre-proposal Conference is anticipated to be held on February 8, 2021. Notice will be posted on the acquisition website noted below.

4. The small business subcontracting goals and the contract type are tentative provided as a draft only; and input is requested from potential offerors.

In order to control and protect sensitive data owned by the Government and its Contractors, NASA policy requires all acquisition-related documents be released in Adobe Portable Document Format (PDF).

Documents related to this acquisition, including this letter, the solicitation, attachments, exhibits, any amendments and links to online reference/technical/bidders library will be attainable electronically from the World Wide Web through the Government-wide point of entry website at www.beta.SAM.gov. Potential Offerors are requested to periodically monitor the websites for updates.

The data/documents provided in the Technical Library are exclusively for use with this solicitation.

This DRFP is not a solicitation and NASA is not requesting proposals. This DRFP does not commit NASA Lyndon B. Johnson Space Center to pay any proposal preparation costs, nor does it obligate NASA Lyndon B. Johnson Space Center to procure or contract for this requirement.

This request is not an authorization to proceed, and does not authorize payment for any charges incurred by the offeror for performing any of the work called for in this DRFP.

PART I – THE SCHEDULE

B.2 FAR 52.216-19 ORDER LIMITATIONS (OCT 1995) (Applies to IDIQ only)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of $20,000,000;

(2) Any order for a combination of items in excess of $20,000,000; or

(3) A series of orders from the same ordering office within 5 days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216- 21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

B.5 IDIQ RATES

The Government may order IDIQ services at any time after contract start, in accordance with the procedures set forth in this contract, as identified in I.28, NFS 1852.216-80, Task Ordering Procedure. FORWARD

The Russian Language and Logistics Services (RLLS) 2 contract supports the National Aeronautics and Space Administration (NASA) and International Space Station (ISS) Program by providing necessary translation, interpretation and language training as well as office management and administration, international travel processing, ground transportation and other related services at the Johnson Space Center (JSC) and other locations within and outside the United States (U.S.), including Russia and Kazakhstan. Additionally, the scope of work provided by the RLLS2 contract may be performed not only for the ISS Program (ISSP) but also for other NASA Programs/Centers and Government entities as requested.

The purpose of the International Space Station is to conduct physical, engineering, and life sciences research for the benefit of life on Earth and to advance exploration of our solar system and enable commerce in Space. In order to effectively support, operate and utilize the ISS, NASA requires the contractor to:

1. Provide translation, interpretation, and language training required by the ISS Program.

2. Provide office management and administration, international travel processing, ground transportation, and other related functions in order to implement ISS Operations in Russia, Kazakhstan and the U.S.

3. Obtain all permits, licenses, and appointments required for the performance of work under this contract in compliance with applicable host country laws.

The following Statement of Work (SOW) defines the tasks performed by the contractor.

Section 1.0 of the SOW establishes requirements for providing Russian language and logistics services as either Core Work (CW) or Indefinite Delivery Indefinite Quantity (IDIQ) Task Orders issued under this contract. All requirements contained within Section 1.0 of this SOW are considered to be Core Work and within the baseline contract. Additional services, if required may be ordered in accordance with Section 2.0 IDIQ Task Ordering.

1.0 CORE WORK REQUIREMENTS

The contractor shall be responsible for the overall performance of the RLLS2 contract and shall provide all necessary resources to meet contract requirements.

The contractor shall be responsible for all training and certifications required to accomplish contract requirements.

All work completed under this contract shall comply with requirements contained in the applicable documents delineated in contract Section J, Attachment J-7, Applicable Documents List. Acronyms are listed in contract Section J, Attachment J-10 and Key Terms are listed and defined in contract Section J, Attachment J-11

The contractor shall provide for applicable language and logistics services for US Crewed Vehicle (USCV) launch and landing activities. The specifics of these services will be identified and authorized via an Indefinite Delivery/Indefinite Quantity (IDIQ) Task Order.

1.1 Technical Direction

Performance of the work under this contract is subject to the written technical direction of the NASA Contracting Officer’s Representative (COR), who will be specifically appointed by the NASA Contracting Officer in writing. “Technical direction” means a directive to the contractor that approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work or documentation items; shifts emphasis among work areas or tasks; or furnishes similar instruction to the contractor. Technical direction includes requiring studies and pursuit of certain lines of inquiry regarding matters within the general tasks and requirements in the contract SOW.

The COR does not have the authority to, and shall not, issue any instruction purporting to be technical direction that composes of the following:

1. Constitutes an assignment of additional work outside the Statement of Work;

2. Constitutes a change as defined in the “Changes” clause (contract Section I);

3. Constitutes a basis for any increase or decrease in the total estimated contract cost, the fixed fee (if any), or the time required for contract performance;

4. Changes any of the expressed terms, conditions, or specifications of the contract;

5. Interferes with the contractor’s rights to perform the terms and conditions of the contract.

All technical direction shall be issued in writing by the COR.

The contractor shall proceed promptly with the performance of the technical direction duly issued by the COR in the manner prescribed above and within the COR’s authority. If, in the contractor’s opinion, any instruction or direction by the COR falls within any of the categories

C-5 defined above, the contractor shall not proceed but shall notify the CO in writing within 5 days after receiving it. Additionally, the contractor shall request the CO to either issue an appropriate contract modification within a reasonable time or advise the contractor in writing within 30 days that the instruction or direction is rescinded in its entirety, or respond that the modification is within the requirements of the contract and does not constitute a change under the “Changes” clause of the contract, and that the contractor should proceed promptly with its performance.

A failure of the contractor and CO to agree that the instruction or direction is both within the requirements of the contract and does not constitute a change under the “Changes” clause, or a failure to agree upon the contract action to be taken with respect to the instruction or direction, shall be subject to the Disputes clause of this contract.

Any action(s) taken by the contractor in response to any direction given by any person other than the CO or the COR shall be at the contractor’s risk.

1.2 Program Management

1.2.1 Management and Administration

The contractor shall provide overall contract management and administration for this contract.

The contractor shall perform all business and administrative functions and integrate these functions across all areas of performance.

The contractor shall provide a Manager in Russia to manage the operations in Russia such that there is no delay in decision making due to time-zone differences between the US and Russia and/or Kazakhstan. This Manager shall be a US citizen and shall reside at the same facility as NASA personnel permanently stationed in Russia supporting the ISS Program (reference contract attachment J-9, Installation Accountable Government Property). The Manager shall be able to react to contingency operations during non-business hours.

The contractor shall develop, implement, and maintain a Program Management Plan in accordance with Data Requirements Description (DRD) RLLS2-PM-01, Program Management Plan.

The contractor shall develop and implement a Phase-in Plan in accordance with DRD RLLS2- PM-03, Phase-in Plan.

The contractor shall provide an auditable approach and statement of flight readiness for the work performed under this contract in accordance with Space Station Program (SSP) 50108, International Space Station Certificate of Flight Readiness Process Document and with DRD RLLS2-PM-04, Certificate of Flight Readiness (CoFR) Implementation Plan.

The contractor shall provide a Contract Close-Out Plan in accordance with DRD RLLS2-PR-01, Contract Close-Out Plan.

1.2.1.1 Planning, Reporting and Review

The contractor shall develop and report contract performance metrics and conduct reviews, which provide an integrated management review of the contractor’s overall technical, schedule and cost performance in accordance with DRD RLLS2-PM-02, Program Management Review

(PMR).

The contractor shall deliver DRD content that is compatible with the NASA ISS Electronic Data Management System (EDMS).

1.2.1.2 Audit and Surveillance

The contractor shall provide access to data, personnel, and facilities for Government audit/surveillance of contractor plans, procedures, and processes when deemed necessary by the Government. This shall also include qualification, testing, and certification records as well as work instructions.

The contractor shall provide written responses to audit/surveillance findings for acceptance by the Government.

1.2.1.3 Resource Management

As part of the Program Management for this contract, including risk management, the contractor shall perform the following tasks:

1) Develop, implement, and maintain a contract financial system, which discretely tracks resources by contract Work Breakdown Structure (WBS) including, fully burdened labor and other direct cost (e.g. materials, travel, and subcontracts).

2) Support the annual Government budget process (e.g. Program Planning, Budgeting and Execution [PPBE] budget calls), and support special requests for budget impacts. NASA will, in accordance with the budget or special request guidelines and reporting format, specify the format and content of the contractor’s inputs and supporting rationale.

3) Provide financial reporting in accordance with DRD RLLS2-PC-01, NF533 Monthly Cost Reporting.

4) Develop and provide Workforce Reports in accordance with DRD RLLS2-PC-02, Workforce Reports.

5) Develop and provide a contract WBS, WBS Dictionary and Program WBS map in accordance with DRD RLLS2-PC-03, Work Breakdown Structure (WBS) and Dictionary.

The WBS and Dictionary shall indicate the mapping of the contractor WBS to the contract SOW. The contract WBS shall serve as the framework for contract planning, budgeting, financial reporting, resource loading, and schedule status reporting to the ISS Program

Office. The contractor shall identify major elements of work provided by subcontractors in the contract WBS.

1.2.1.4 Configuration Management

The contractor shall implement a Configuration Management (CM) process in accordance with SSP 41170, ISS Program Configuration Management Requirements, SSP 50010, Standards for ISS Program Documentation, and SSP 50123, Configuration Management Handbook.

The contractor shall develop and implement a plan to manage the ISS Program CM/Data Management (DM) requirements on the contract in accordance with DRD RLLS2-PM-01, Program Management Plan.

The contractor shall process changes specific to RLLS2 in accordance with SSP 50123, Configuration Management Handbook. The contractor shall review and provide evaluation of cost, schedule, and technical impacts to Program changes originating from outside the RLLS2 to determine if those changes have potential impacts to RLLS2 in accordance with SSP 50123, Configuration Management Handbook.

The contractor shall comply with the records control processes as required in the NASA Policy Directive (NPD) 1440.6, NASA Records Management, NASA Procedural Requirements (NPR) 1441.1, NASA Records Management Program Requirements, and JSC Procedural Requirements (JPR) 1440.3, JSC Records Management Procedural Requirements. The contractor shall document the contractor’s process for identifying, collecting, maintaining, and archiving all records generated during the performance of all tasks in the SOW and include the plan for disposition of these records at the end of the contract in accordance with DRD RLLS2-PM-01, Program Management Plan.

1.2.2 Export Management

The contractor shall develop and provide an Export Control Plan in accordance with DRD RLLS2-EC-01, Export Control Plan. Self-audits shall be conducted annually to review compliance with export control regulations and reported according to DRD RLLS2-EC-02, Export Control Audit Results.

The contractor shall determine classification of all export commodities and whether NASA existing license exceptions or exemptions can be used. For cases where NASA existing license exceptions and exemptions are not applicable, the contractor shall take any/all actions necessary to satisfy applicable NASA and US export control laws, regulations, and directives.

The contractor shall abide by data handling markings on all documents submitted for translation and/or interpretation, including those submitted by International Partners, Commercial Providers, and ISS contractors

The contractor shall administer and maintain control logs of export activities consistent with the RLLS2 Export Control Plan and associated export compliance requirements. Export control logs shall include at a minimum, commodities classifications, license information, transaction status, compliance activities and records of process completion for license exceptions or exemptions.

1.2.3 Information Technology Management

The contractor shall provide the Information Technology (IT) necessary for performance of contract scope. IT shall meet the ISS Program IT requirements specified in SSP 50013, ISS Information Systems Plan. The contractor is responsible for training of RLLS2 personnel in use of standard and unique IT skills.

The contractor shall develop, implement, and maintain an IT Security Management Plan and an IT Security Plan in accordance with DRD RLLS2-IT-01, Information Technology Security Plan and Reports, for all systems in support of this contract.

The contractor shall develop, maintain, and implement an IT Capital Investment Plan and associated reports in accordance with SSP 50222, ISS Program Capital Investment Process (CIP), for all IT delivered or directly charged to this contract.

The contractor shall implement an architecture that enables bi-directional digital data sharing with Government representatives including transmission of information across firewalls and the required security access defined requirements.

All IT system development projects shall adhere to NPR 7120.7, NASA Information Technology Program and Project Management Requirements.

The contractor shall adhere to and implement (as applicable) Section 508 of the Rehabilitation Act (29 U.S.C. 794d – Electronic and Information Technology).

1.2.4 Safety and Health, and Quality Assurance

1.2.4.1 Safety and Health

The contractor shall develop, implement, and maintain a Safety and Health (S&H) Plan in accordance with DRD RLLS2-SH-01, Safety and Health Plan.

The contractor shall develop, update, and implement a process to capture, disseminate, and implement mishap related lessons learned, both positive and negative, in accordance with NPR 8621.1, NASA Procedural Requirements for Mishap and Close Call Reporting, Investigating, and Recordkeeping.

1.2.4.2 Quality Assurance

The contractor shall establish and maintain a Quality Management System (QMS) per clause 52.246-11, Higher-Level Contract Quality Requirement. Third party certification/registration is not required.

1.3 Language Services

The contractor shall implement an electronic customer request system for translation and interpretation requests that are not designated as continuous support. Continuous support translations and interpretations are regular in nature and requests shall be handled directly between NASA and the contractor without requiring an individual electronic request each time support is required (See below for continuous support functions).

The contractor shall provide translators, interpreters, and language instructors with the capability to utilize the ISS Lexicon, Operations Nomenclature (SSP 50254, Operations Nomenclature) and technical terminology to be translated/interpreted.

The contractor shall utilize the ISS Lexicon and ISS Operations Nomenclature to provide consistent use of terminology in all language products.

The contractor shall manage the ISS Lexicon update process. The contractor shall manage and maintain the ISS Lexicon database (reference contract attachment J-8, Government Provided Software). The ISS Lexicon database is located at the following website: http://iss-www.jsc.nasa.gov/ss/issapt/lexicon/

The contractor shall perform translation and interpretation without context changes and content omissions and shall have a target objective of zero errors. The contractor shall have zero errors for safety and mission critical work. An error is defined as follows:

• Interpretation: Non-standard target language usage, grammatical errors, improper use of ISS Lexicon and Operations Nomenclature, incorrectly interpreted information, and omitted words or context that results in loss of information.

• Translation: Non-standard target language usage, incorrectly translated or formatted information, spelling and grammatical errors, improper use of ISS Lexicon and Operations Nomenclature, and omitted text or formatting that results in loss of information.

Continuous translation and interpretation services shall be provided for the following:

• Director, Human Space Flight Program-Russia (HSFP-R) (see SOW 1.3.3, HSFP-R

Interpreter),

• The Moscow Technical Liaison Office (MTLO)/Mission Evaluation Room – Moscow (MER-M), including the resolution of MTLO/MER-M related issues requiring Russian input and approval. The contractor shall translate the Mission Action Request (Chit) documents and deliver, collect, and integrate Russian inputs to these documents. The MTLO Management Representative(s) is/are located at the Mission Control Center – Moscow (MCC-M), but may support from other locations in Russia and Kazakhstan,

• The Office of the Director, Crew Operations in Russia (DOR) in Star City,

• Mission Control Operations (see SOW 1.3.4, Mission Control Operations Interpretation and Translation).

Additional specific requirements for translation, interpretation, and language training are provided below (SOW 1.3.1 – 1.3.5). Interpretation may be in-person or remote.

1.3.1 Translation

The contractor shall provide translations including standard, sight, real-time, safety, and mission critical translations.

Document translations include:

1. Technical and non-technical documents

2. Engineering drawings and schematics

3. Formal and informal correspondence

4. Other written information required to perform ISS Program business.

English to Russian translations shall be in accordance with ISSP Management Directive (MD) ISSP-MD-1004, Guidelines for English to Russian Translation Services. The contractor shall verify the customer’s expectation on translation quality (e.g. difference between a highly-technical safety critical document and an informal email correspondence) and whether any portions of the document are not required to be translated (e.g. cover page, table of contents, tables, graphs, etc.).

The contractor shall produce documents compatible with software and fonts used in documents and languages by NASA (reference NASA-STD-2804, Minimum Interoperability Software Suite Standards), and the International Partners (IP). These documents can include text, figures, tables, and graphical representations. The contractor shall provide translations that mirror the layout and format of the original source material unless specified otherwise by requestor.

The contractor shall receive, log, process, distribute, and input into the ISS Program Repository (Electronic Data Management System [EDMS]), all translation products performed by this contract. NASA will archive those translations as part of the database archive process.

When a translation has been completed and delivered electronically to the requestor, the contractor shall place the resulting document(s) under configuration control in EDMS. Any subsequent changes shall be delivered electronically to EDMS. The contractor shall deliver all RLLS2 translated documents, standard and confidential, with the original source file to the EDMS in the original source format. In addition, the delivery shall include a master document log which contains the following attributes (as applicable):

• Document Number

• Contractor Document Reference Number

• Document Title

• Data of Translation

• Source Language

• Confidential or Standard

• Document Page Count

• Translation Requestor

• Document Storage Location

The contractor shall have the capability to transmit and receive documentation electronically, to and from NASA and IP primary work locations.

The contractor shall not perform duplicate translation requests received by any method or location.

The contractor shall provide transcriptions in which an audio recording is provided as the source and the output is the transcribed text of the original audio and translation of that text.

The quality and efficiency of all translations shall, at minimum, meet the following Interagency Language Roundtable (ILR) Translation Performance level skill definitions:

1. ILR Level 4+ (Advanced Professional Performance Plus): For documents which contain technical data and narratives such as Mission Control Operations, astronaut training, and safety critical translations.

2. ILR Level 3+ (Professional Performance Plus): For documents which contain non-technical data and narratives such as informal emails, memos, shipping invoices, etc.

1.3.2 Interpretation

The contractor shall provide interpretation including the following types:

1. Consecutive

2. Simultaneous

3. Whisper

4. Relay

5. Remote

The contractor shall perform interpretation in scheduled and impromptu meeting events such as formal program reviews, telecons, meetings, official ceremonies, public affairs events and other types of business gatherings. Meeting events can vary from a short discussion between individuals up to a multiple-week event with numerous participants and many simultaneous agenda activities. .

The quality and efficiency of all interpretations shall at minimum meet the following ILR Interpretation Performance level skill definitions:

1. ILR Level 5 (Master Professional Performance): For high-level management meetings, including the Heads of Agency (HOA), Multilateral Program Planning Team (MPPT), Multilateral Coordination Board (MCB), Space Station Control Board (SSCB), Stage Operations Readiness Review (SORR), and Flight Readiness Review

(FRR).

2. ILR Level 4+ (Advanced Professional Performance Plus): For Mission Control Operations, astronaut training, safety critical interpretations, and interpretations performed by the HSFP-R Interpreter.

3. ILR Level 4 (Advanced Professional Performance): For all other interpretation.
