About this file
This document is a Justification for Other Than Full and Open Competition (JOFOC) for a bridge contract with Crothall Facilities Management to provide operations and maintenance (O&M) services at the Katherine Johnson Independent Verification and Validation (IV&V) Facility. NASA is seeking a sole-source contract valued at $730,298.00, consisting of a six-month base period and a two-month option period, to ensure continuity of critical facility services. The contract is necessitated by the GSFC Leasing Office's last-minute rejection of including O&M services in the facility's lease agreement, leaving NASA with insufficient time to conduct a full competitive procurement.
The sole-source action is strategically designed to maintain uninterrupted facility operations and mission-critical support, with Crothall being the incumbent contractor possessing detailed knowledge of existing systems and processes. NASA published a notice on Sam.gov from February 21-24, 2025, and received no alternative vendor interest. The agency plans to use this bridge contract to thoroughly explore future contractual options while ensuring continuous operations at the IV&V facility. The contract will cover comprehensive facility maintenance activities, including equipment monitoring, handyman services, custodial work, and grounds keeping, with the total estimated value broken down as $559,158.00 for the base period and $171,140.00 for the option period.

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION
Katherine Johnson Independent Verification and Validation (IV&V) Facility
JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (JOFOC)
RFP# 80GSFC25R7020 IV&V Facility O&M Bridge Contract
1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”
This document is a justification for other than full and open competition prepared by National Aeronautics and Space Administration (NASA) Katherine Johnson Independent Verification and Validation (IV&V) Facility.
The procuring agency is the National Aeronautics and Space Administration (NASA), and the contracting activity is Katherine Johnson IV&V Facility.
2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:
This justification provides the rationale for contracting by other than full and open competition to award a sole-source contract to Crothall Facilities Management for the continuation of operations and maintenance (O&M) services at the Katherine Johnson IV&V Facility. This action is necessary due to the infeasibility of including facility operations and maintenance in the lease setup through the Goddard Space Flight Center (GSFC) leasing office, compounded by the insufficient time to do a full procurement. IV&V was initially told that the operations and maintenance services would be encompassed within the lease agreement. Facility Management worked with the Leasing Office and West Virginia University (WVU) to guarantee continuity of all services. The GSFC Leasing Office and Legal Team ultimately rejected the inclusion of O&M services in the lease following legal review. This critical information was communicated December 4, 2024. The current contract is set expire on March 31, 2025, with the new lease commencing on April 1, 2025. The West Virginia University Research Center (WVURC) O&M contract contained FAR Clause 52.217-8 Option to Extend Services. The clause has been utilized to its entirety and we cannot extend the contract beyond March 31, 2025.
3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the
Agency’s needs (including the estimated value):
The services required include comprehensive operations and maintenance support for the Katherine Johnson IV&V Facility. The total estimated value of the bridge contract with Crothall Facilities Management is $730,298.00. The contract will consist of a base period of six (6) months and one (2) month option. The base cost is projected at $559,158.00, while the cost for the option period of two months is estimated at $171,140. Crothall Facilities Management is the incumbent contractor currently providing these essential services under an existing contract between NASA and West Virginia University (WVU).
4. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition:
The statutory authority permitting other than full and open competition is 10 U.S.C.
3204(a)1, as implemented by FAR 6.302-1“Only on responsible source and no other supplies or services will satisfy agency requirements”.
5. FAR 6.303-2(b)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:
The rationale supporting the use of 10 U.S.C.3204(a)(1), as implemented by FAR 6.302-1, is “Only one responsible source and no other supplies or services will satisfy agency requirements” as described below.
By awarding a sole source contract to Crothall Facilities Management, we can ensure the uninterrupted operation of the facility while simultaneously allowing adequate time for a comprehensive acquisition and procurement process. Crothall Facilities Management possesses a demonstrated history of effectively managing the operations and maintenance services at this facility. The implementation of a sole source contract will ensure continuity of services and allow for a procurement to be completed.
Should these services be interrupted, NASA IV&V will be unable to perform and fulfill critical analyses, testing, and support that ensure mission success. In determining a solution that represents the least amount of risk to the government, stability and continuity are critical factors. Crothall Facilities Management is the only contractor that can meet the IV&V Facility needs, given the short amount of time remaining under the current contract. These services enable IV&V to provide critical services to support NASA missions and ensure mission success.
If NASA attempts to procure these services from any other source, the combination of delay due to the competitive process and the time required to transition a new management team to coordinate staffing levels, schedules, and to become familiar with work requirements and systems would cause unacceptable delays in fulfilling NASA’s mission. Based on the time and costs that would be involved in procuring and phasing in another contract, Crothall is the only entity possessing the detailed knowledge necessary to provide seamless continuation of the services provided under the WVURC O&M contract without risk of an unacceptable interruption or delay of critical services. Also, it is very likely that there would be significant ramp up costs for a new contractor to try to quickly replicate the knowledge/systems/processes that the incumbent has, and it would take significant effort and cost to do so.
NASA An immediate procurement process will commence to secure a contract for the ongoing operations and maintenance of the Katherine Johnson IV&V Facility.
6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:
A notice to the Government Point of Entry (GPE) website (Sam.gov) was published on February 21, 2025, in accordance with FAR Subpart 5.2. This posting informed potential sources of NASA IV&V’s intent to award this sole-source contract to Crothall. The results of this synopsis are contained in Section 10 below.
7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:
The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. The proposed costs will be evaluated by the Contracting Officer’s Representative and Contracting Officer to assess reasonableness. This evaluation will include verifying labor rates, conducting a technical analysis of the proposed hours and skill mix, comparing to government cost estimates, and reviewing historical data for this effort.
8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted (e.g., urgent, and compelling requirement):
The Contracting Officer, in collaboration with Technical Team, explored various feasible pathways forward. Consideration was given to utilizing existing GSFC contracts; however, it was determined that not all required work was encompassed within those contracts. Given the pressing timeline to establish a contract, it has been concluded that a bridge contract represents the most viable solution to ensure continuity of services and mission success. Due to the urgency and limited timeframe for contract award by April 1, 2025, market research was necessarily constrained.
9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:
None
10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:
A notice of NASA’s intent to award a sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above). The synopsis was published on February 21, 2025 and closed on February 24, 2025. There were no interested vendors.
11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:
This sole source action is strategically designed to facilitate the removal of barriers to competition by ensuring the continuity of services and mission success. By maintaining operations and maintenance at the IV&V facility throughout the duration of this bridge contract, the Government will be afforded the necessary time to thoroughly and effectively explore contractual options for future operations and maintenance services at
IV&V.
The Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
