About this file

This document is Amendment 002 to a NASA solicitation (80AFRC25Q0005) for commercial flight crew training services. NASA Armstrong Flight Research Center is seeking a firm-fixed-price indefinite delivery/indefinite quantity (IDIQ) contract for Commercial Off-the-Shelf (COTS) academic and simulator training services for NASA flight crews and maintainers. The training must utilize Federal Aviation Administration (FAA) Part 142 Certified Level C/D full flight simulators with visual systems, and instructors must be FAA-certified.

Key details include a proposal due date of 1:00 PM Pacific on Friday, April 11, 2025, to be submitted electronically to Bernard Cenidoza. The solicitation is a combined synopsis/solicitation under NAICS code 611512 with a size standard of $34M. Offerors must provide a technical proposal (10-page limit), past performance information (20-page limit), and pricing proposal. The evaluation will use a best value trade-off approach, with technical and past performance factors considered significantly more important than price. Prospective offerors must hold an FAA certification, and joint ventures can meet this requirement if either JV member holds the certification.

(a) Of the total price of items TBD through TBD, the sum of $TBD is presently available for payment and allotted to this contract. It is anticipated that from time-to-time additional funds will be allocated to the contract in accordance with the following schedule, until the total price of said items is allotted:

SCHEDULE FOR ALLOTMENT OF FUNDS

Date Amounts

TBD TBD

(b) The Contractor agrees to perform or have performed work on the items specified in paragraph

(a) of this clause up to the point at which, if this contract is terminated pursuant to the

Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause would, in the exercise of reasonable judgment by the Contractor, approximate the total amount at the time allotted to the contract. The Contractor is not obligated to continue performance of the work beyond that point. The Government is not obligated in any event to pay or reimburse the Contractor more than the amount from time to time allotted to the contract, anything to the contrary in the Termination for Convenience of the Government clause notwithstanding.

(c)(1) It is contemplated that funds presently allotted to this contract will cover the work to be performed until TBD .

(2) If funds allotted are considered by the Contractor to be inadequate to cover the work to be performed until that date, or an agreed date substituted for it, the Contractor shall notify the Contracting Officer in writing when within the next 60 days the work will reach a point at which, if the contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause will approximate 75 percent of the total amount then allotted to the contract.

(3)(i) The notice shall state the estimate when the point referred to in paragraph (c)(2) of this clause will be reached and the estimated amount of additional funds required to continue performance to the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it.

(ii) The Contractor shall, 60 days in advance of the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, advise the Contracting Officer in writing as to the estimated amount of additional funds required for the timely performance of the contract for a further period as may be specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (c)(3)(ii) of this clause, additional funds are not allotted by the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, the Contracting Officer shall, upon the Contractor's written request, terminate this contract on that date or on the date set forth in the request, whichever is later, pursuant to the Termination for Convenience of the Government clause.

(d) When additional funds are allotted from time to time for continued performance of the work under this contract, the parties shall agree on the applicable period of contract performance to be covered by these funds. The provisions of paragraphs (b) and (c) of this clause shall apply to these additional allotted funds and the substituted date pertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government's failure to allot additional funds in amounts sufficient for the timely performance of this contract, the Contractor incurs additional costs or is delayed in the performance of the work under this contract, and if additional funds are allotted, an equitable adjustment shall be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the items to be delivered, or in the time of delivery, or both.

(f) The Government may at any time before termination, and, with the consent of the Contractor, after notice of termination, allot additional funds for this contract.

(g) The provisions of this clause with respect to termination shall in no way be deemed to limit the rights of the Government under the default clause of this contract. The provisions of this Limitation of Funds clause are limited to the work on and allotment of funds for the items set forth in paragraph (a) of this clause. This clause shall become inoperative upon the allotment of funds for the total price of said work except for rights and obligations then existing under this clause.

(h) Nothing in this clause shall affect the right of the Government to terminate this contract pursuant to the Termination for Convenience of the Government clause of this contract.

E.6 Addendum To 52.212-1—Instructions to Offerors – Commercial Products and commercial Services

General Instructions

Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements. Failure to meet any of the solicitation requirements may result in an offer being ineligible for award. Should an Offeror take exception to any solicitation requirement, the exception must be clearly identified, and complete accompanying rationale must be provided. Non-conformance with these instructions may result in an unfavorable proposal evaluation.

The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the Offeror’s experience matches the requirements of the SOW.

Offerors shall assume that the Government has no prior knowledge of their experience and will base its evaluation on the information presented in the Offeror’s proposal.

Communication

(a) Prospective Offerors are encouraged to notify this office of their intent to submit an offer.

(b) Questions or comments regarding this solicitation must be submitted via email by 1:00 PM Pacific on Friday, March 21, 2025, cite the solicitation number, and be directed to the following Government representatives:

Jenni Schnarr, Contracting Officer, jennifer.schnarr@nasa.gov Bernard (Bernie) Cenidoza, Contracting Officer, bernard.c.cenidoza@nasa.gov

Oral questions will not be answered. If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the contractor shall immediately notify the Contracting Officer in writing with supporting rationale as well as the remedies the Offeror is asking the Government to consider as related to the omission or error.

(c) Proposal Page Limitations

The following page limitations are established for each portion of the proposal submitted in response to this solicitation.

Volume Description Page Limit I Technical 10 pages II Past Performance 20 pages III Pricing Unlimited

A page is defined as one side of a sheet, 8 1/2" x 11", with at least one-inch margins on all sides, using not smaller than 12-point type. Other limitations/instructions identified as follows: Tables and illustrations may use a reduced font size no less than 10-point and may be landscape. The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. Except for the first page, the Offeror shall ensure that the company name, logo, or other company identifying information does not appear within Volume 1, Technical. All pages of each other volume shall be appropriately numbered and identified by the complete company name, date, and RFQ number in the header and/or footer.

Identify any exclusions to the page limits that are excluded from the page counts (e.g. title pages, table of contents). In addition, the Price Volume of your proposal is not page limited and shall be provided in their native format, i.e. xls. However, this section is to be strictly limited to cost and price information. Information that can be construed as belonging in one of the other sections of the proposal will be so construed and counted against that section's page limitation.

The Government intends to evaluate proposals and award contract(s) without discussions with Offerors. Therefore, the Offeror's initial proposal should contain the Offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If final revisions are requested, separate page limitations will be specified in the Government's request for that submission.

Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government.

The Offeror’s technical approach must also present sufficient information to reflect a thorough understanding of the SOW requirements and acceptable methods for ensuring the quality of services with minimal risk to the Government. Lack of specificity or a general offer to perform the SOW will result in an unacceptable proposal.
