FAR 52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE

SERVICES OR EQUIPMENT (NOV 2021)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract , subcontract , or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services —Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products or Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services , or any equipment , system, or service that uses covered telecommunications equipment or services " in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision—

Backhaul , covered telecommunications equipment or services , critical technology , interconnection arrangements , reasonable inquiry , roaming , and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment .

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment , system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment , system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) ( https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services ".

(d) Representation. The Offeror represents that—

(1) It □ will, □ will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.

The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.

(e) Disclosures. (1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment —

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services—

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment —

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERICAL PRODUCTS AND

COMMERICAL SERVICES (SEP 2023)

The following instructions prescibe the format for quotes and describe the approach to be used for the development and presentation of the submitted data. The quote shall include all of the information requested in the specific instructions. Failure to include all information requested may adversely affect the evaluation and may result in a determination that the quote is non-responsive. A quote that merely reiterates or promises to accomplish the requirements of the SOW will be considered unacceptable. A quote that is orderly and sufficiently documented will enable the Government to easily understand the quote and perform a thorough and fair evaluation. The Government may incorporate into the contract by reference or full text portions of the successful Offeror’s quote as revised and supplemented.

Format: The Government will only read/evaluate the maximum number of pages allowed. The quote content shall be formatted as follows:

- Text: Single spaced

- Font Size: Microsoft Office Word, Times new Roman, 12 font

- Margins: One Inch (1”) left, right, top and bottom

- Page Numbering: Sequential (i.e., 1 through 100)

Note: Page limits apply to documents when printed onto 8 ½” x 11” paper. The font size requirement does not apply to charts; however, the font size must be reasonable and easily readable.

Electronic Copies: Electronic copies shall be the submitted for each evaluation factor via email no later than the time and date listed on the Combined Synopsis/Solicitation and shall not exceed the page limits stated below.

Offerors shall utilize MS Office or Adobe PDF. Offerors may use JPEG for any charts. Offerors shall use standard naming conventions (i.e., filename.doc for MS Word, fielname.xls for MS Excel, and filename.pdf for Portable Document Format, etc.). Do Not submit any documents in PDF format that are copied as “images” or Windows Photo Galley, etc. PDF files shall enable textual search and copy functions.

Page Limitations: Technical Evaluators will only read up to the maximum number of pages specified. All pages provided by the Offeror in excess of the stated limitations will not be evaluated. Page limitations are as follows:

FAR 52.212-2 Evaluation—Commercial Products and Commercial Services (Nov 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Criteria (In descending order of importance)

Factor 1 - Technical Approach Factor 2 - Similar/ Past Experience Factor 3 - Staffing Plan

1. Technical Approach: The Offeror shall provide a discussion of their technical approach for providing the services required for this solicitation. The Offeror shall provide their understanding of the task requirements, solicitation objectives, and the operating environment. The Government will evaluate the quality and feasibility of the methodology and performance techniques describing how the Offeror proposes to perform each task.

The Offeror shall provide a Project Plan describing the process and approach they propose to use in successfully completing this project. The Project Plan should correlate to the Offeror’s price/cost proposal. The Offeror shall specifically address aspects such as technical understanding, methodology and approach, along with the sub-factors listed below:

a. Provide a detailed and comprehensive statement of the problem, scope, and purpose of the project to demonstrate complete understanding of the intent and requirements of the contract.

b. Describe the proposed technical approach to comply with each of the requirements specified in this solicitation. The proposal must be consistent with the stated goals and objectives. The proposed approach must ensure the achievement of timely and acceptable performance and will include a milestone and/or phasing charts to illustrate a logical sequence of proposed events.

c. Discuss the plan and solutions for overcoming difficulties involved with performing the work requirements.

2. Similar/ Past Experience: The Offeror shall provide a brief summary describing similar experience along with description (limited to two pages each) of three (3) relevant contracts similar in scope, size, and complexity performed within the last three (3) years. The Government will evaluate the suitability of the offeror’s similar experience descriptions to determine whether this experience exhibits the ability to successfully support the requirements of the solicitation and the offeror’s quoted technical approach. The following information shall be provided for each project reference:

a. Contract number, customer/agency name and contract title;

b. Brief narrative description of the work performed for each of those contracts, including a discussion of any problems encountered/corrective actions and significant accomplishments;

c. Dollar value, contract type, period of performance, place of performance, and the number and types of personnel used in the performance of the contract; and

d. Name, address, and phone number of at least two (2) customer contacts (e.g., COR, Contracting Officer, Program POC, Project Officer) for each of the identified contracts.

3. Staffing Plan:The Offeror shall provide a staffing plan that demonstrates their understanding of the labor requirements for this solicitation and the personnel required to complete said requirements. The plan should address the proposed labor categories, descriptions of the services to be provided, estimated labor hours, etc. The Government will evaluate the plan and staffing to be used, as well as perform a discussion of problems likely to occur along with plans for addressing said problems.

The Offeror shall provide qualified technical labor resources in numbers adequate to address the technical and administrative requirements and deliverable schedules outlined in the solicitation. The description shall also include:

a. A staffing matrix showing type and number of staffing resources readily available for the base effort, including their role and breakdowns by skill sets, security clearances, and any related technical certifications. The matrix of proposed personnel shall also include their experience, education, and qualifications to do the job. The backgrounds of the personnel will reflect the length and variety of experience and expertise in tasks similar to the tasks required by this project and any relevant training. The percentage of time each staff member shall contribute to the program will be adequately identified. The Offeror shall provide resumes for proposed Key Personnel (limited to two (2) pages per resume) and indicate the extent to which outside consultants or specialists will be used and evidence of availability.

b. A description of the Offeror’s approach to rapidly obtain and/or replace qualified staffing resources to support existing and new solicitation work and to meet changing workload requirements, including a table showing employee turnover rates for each of the past two years.

c. A Small Business Subcontracting Plan is required for this solicitation. This requirement does not apply to small business concerns. The HHS Small Business Subcontracting Template must be submitted with the proposal. The Offeror is to provide information to support the qualifications of subcontractors as well. The Offeror shall identify any portions of the solicitation that shall be performed by subcontractors. This information must include the subcontracting firm, the specific duties that shall be performed by the subcontractor, and labor categories.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

HHSAR 352.232-71 Electronic Submission of Payment Requests (February 2022)

(a) Definitions. As used in this clause—

(1) “Payment request” means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR 32.905(b), “Content of Invoices” and the applicable Payment clause included in this contract.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Department of Treasury Invoice Processing Platform (IPP) or successor system. Information regarding IPP, including IPP Customer Support contact information, is available at www.ipp.gov or any successor site.

(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with HHS procedures.

(a) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting Officer's written authorization with each payment request.

HHSAR 352.239-73 Electronic Information and Technology Accessibility Notice (DEC 2015)

(a) Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d), as amended by the Workforce Investment Act of 1998 and the Architectural and Transportation Barriers Compliance Board Electronic and Information (EIT) Accessibility Standards (36 CFR part 1194), require that when Federal agencies develop, procure, maintain, or use electronic and information technology, Federal employees with disabilities have access to and use of information and data that is comparable to the access and use by Federal employees who are not individuals with disabilities, unless an undue burden would be imposed on the agency. Section 508 also requires that individuals with disabilities, who are members of the public seeking information or services from a Federal agency, have access to and use of information and data that is comparable to that provided to the public who are not individuals with disabilities, unless an undue burden would be imposed on the agency.

DISSEMINATION OF INFORMATION

No information related to data obtained under this contract shall be released or publicized without the prior written consent of the Contracting Officer/COR.

CDC0_G008 Contracting Officer’s Representative (COR) (Jul 2017)

Performance of the work hereunder shall be subject to the technical directions of the designated COR for this contract.

As used herein, technical directions are directions to the Contractor which fill in details, suggests possible lines of inquiry, or otherwise completes the general scope of work set forth herein. These technical directions must be within the general scope of work and may not alter the scope of work or cause changes of such a nature as to justify an adjustment in the stated contract price/cost, or any stated limitation thereof.

In the event that the Contractor believes full implementation of any of these directions may exceed the scope of the contract, he or she shall notify the originator of the technical direction and the Contracting Officer, immediately or as soon as possible, in a letter or e-mail separate of any required report(s). No technical direction, nor its fulfillment, shall alter or abrogate the rights and obligations fixed in this contract.

The Government COR is not authorized to change any of the terms and conditions of this contract. Contract changes shall be made only by the Contracting Officer by properly written modification(s) to the contract.

The Government will provide the Contractor with a copy of the COR delegation memorandum upon request.

CDCP_G009 Contracting Officer (Jul 1999)

(a) The Contracting Officer is the only individual who can legally commit the Government to the expenditure of public funds. No person other than the Contracting Officer can make any changes to the terms, conditions, general provisions, or other stipulations of this contract.
