Amendment 0001 – 75ACF124R00019

1. The purpose of Amendment 0001, issued September 6, 2024, is the following:

a. Provide responses to questions received, see Attachment 0007.

b. Revise the following sections of this document (highlighted yellow for administrative convenance):

i. Section D – Updates to Attachments 0001 and 0002. Addition of Attachment 0007.

ii. Section E.1 – remove the requirement for a copy of the SF1449 with the proposal

iii. Section E.2 – remove the page limit on the price proposal.

iv. Section E.2.2 – clarify the requirements for Assumptions

v. Section E.3 – clarify font and spacing requirements

vi. Section E.3.1 – clarify that resumes are required for key personnel only

vii. Section E.3.2 – clarify the requirements for Assumptions

viii. Section F.2 – revise and update sections for pricing

c. Attachment 0001 – Performance Work Statement is revised on page 22 to clarify substitution of experience for degree requirements for the project manager.

d. Attachment 0002 – Pricing Sheet is revised.

e. Attachment 0007 is added to this RFQ to respond to Questions.

2. As a result of this Amendment 0001 the date and time for receipt of quotes is EXTENDED until September 12, 2024 at 10:00am Eastern.

PART A: COMBINED SYNOPSIS/SOLICITATION

State and Tribal Technical Assistance and Resources (STAR) Training and Technical Assistance (TTA) for Technical Assistance for Needy Families (TANF) Programs

Description

This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in Federal Acquisition Regulation (FAR) 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this notice. This announcement constitutes the only solicitation;

proposals are being requested, and a written solicitation document will not be issued.

75ACF124R00019 is issued as a request for proposals (RFP). The solicitation document and incorporated provisions and clauses are those in effect through the Federal Acquisition Regulation (FAR) FAC Number 2024-26, dated 8/29/2024, and Health and Human Services (HHS) Acquisition Regulation (HHSAR), available at:

This solicitation is set-aside for Small Business concerns. The associated North American Industrial Classification System (NAICS) code for this procurement is 541611 for Administrative Management and General Management Consulting Services, with a small business size standard of $24.5 million. The PSC is R499. The Government will award a firm-fixed price (FFP) contract resulting from this combined synopsis/solicitation to the responsible offeror whose offer, conforming to the synopsis/solicitation, will be most advantageous to the Government (as determined by the solicitation evaluation criteria).

The Office of Family Assistance (OFA), Administration for Children and Families (ACF), Department of Health and Human Services (HHS) is seeking services that provide personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform training and technical assistance (TTA). See Attachment 1 - Statement of Work (SOW).

All interested companies shall provide proposals for the price schedule listed in the following pages.

Offerors shall include a completed copy of FAR Clause 52.212-3, Offeror Representations and Certifications- Commercial Products and Commercial Services (May 2024) with its offer.

B.2 ELECTRONIC INVOICING AND PAYMENT REQUIREMENTS – INVOICE PROCESSING

PLATFORM (IPP)

• All Invoice submissions for goods and or services delivered to facilitate payments must be made electronically through the U.S. Department of Treasury’s Invoice Processing Platform System (IPP).

• Invoice Submission for Payment means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions – Commercial Items included in commercial items contracts. The IPP website address is: https://www.ipp.gov.

• The Agency will enroll the Contractors new to IPP. The Contractor must follow the IPP registration email instructions for enrollment to register the Collector Account for submitting invoice requests for payment.

The Contractor Government Business Point of Contact (as listed in SAM) will receive Registration email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 – 5 business days of the contract award for new contracts or date of modification for existing contracts.

• Registration emails are sent via email from ipp.noreply@mail.eroc.twai.gov. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email to IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131.

• The Contractor POC will receive two emails from IPP Customer Support, the first email contains the initial administrative IPP User ID. The second email, sent within 24 hours of receipt of the first email, contains a temporary password. You must log in with the temporary password within 30 days.

• If your company is already registered to use IPP, you will not be required to re-register.

• If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment as authorized by HHSAR 332.7002, a written request must be submitted to the Contracting Officer to explain the circumstances that require the authorization of alternate payment procedures.

B.3 BRIEF DESCRIPTION OF SERVICES

The Office of Family Assistance (OFA), Administration for Children and Families (ACF), Department of Health and Human Services (HHS) has a need to procure services that provide personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform training and technical assistance (TTA) as defined in the “State and Tribal Technical Assistance and Resources (STAR) Training and Technical Assistance (TTA) for Temporary Assistance for Needy Families (TANF) Programs” Statement of Work (SOW) except for those items specified as government furnished property and services. The Contractor shall perform to the standards in this contract.

B.4 TYPE OF CONTRACT

This procurement is conducted in accordance with (IAW) Federal Acquisition Regulation (FAR) Part 12 procedures.

The contract’s anticipatory financial arrangement will be firm fixed price (FFP). The contracting officer has determined the subject services and any allied supply items are commercial in nature as defined in FAR Part 2. IAW 13 CFR §121.402., The format of the solicitation and resulting contract will adhere to FAR 12.303. In the event there is an inconsistency in the language of this solicitation, IAW FAR 12.102(c), FAR Part 12 procedures take precedence. No personal services, no inherently government functions, and no advisory and assistance services shall be sought or paid for by the Government.

B.7 PERIOD OF PERFORMANCE

The period of performance will cover a base period of 12 months, four (4) option periods of 12 months, and one optional 6-month extension. The option period of performance is shown below, although the Government is not obligated to exercise any optional periods. An estimated schedule is presented below but it does not constrain the Government’s ability to elect Options at any time during the task order period of performance.

B.8 PAYMENT SCHEDULE

Payment shall be made in accordance with FAR 52.212-4 upon the delivery and acceptance of the services required in accordance with the following payment schedule:

B.9 TRAVEL

Contractor costs for travel will be reimbursed at the limits set in the following regulations (see FAR 31.205-46):

Federal Travel Regulation (FTR) - for travel in the contiguous United States (U.S.).

The Contractor may invoice monthly on the basis of cost incurred for cost of travel in accordance with the FTR.

All requests for Contractor travel must be approved by the CO or COR prior to commencing. The Contractor shall submit a Cost Estimate that includes the following:

Reason for Traveling Temporary Duty Location Number of Individuals Traveling Estimates for Hotel, Air Fare, Parking, Mileage, Rental Car and Per Diem

Travel - includes transportation, lodging, meals, and incidental expenses incurred by the contractor; these travel expenses will be allowed under this CLIN and are subject to the limitations contained in the FTR.

B.10 NON-PERSONAL SERVICES STATEMENT

Contractor employees performing services under contract will be paid, evaluated, controlled, directed and supervised at all times by management personnel of the Contractor. Contractor management will ensure that employees properly comply with the performance work standards outlined in the Contract. Contractor employees will perform their duties independent of, and without supervision of, any government official.

The duties, and responsibilities set forth in the Contract may not be interpreted or implemented in any manner that results in any Contractor employee creating or modifying Federal Policy, obligating the appropriated funds of the United States Government, overseeing the work of Federal employees, providing direct personal services

Request for Proposal: 75ACF124R00019 | State and Tribal Technical Assistance and Resources (STAR) Training and to any Federal employee, or otherwise violating the prohibitions set forth in Subparts 7.5 and 37.1 of the Federal Acquisition Regulation (FAR). The Government will control access to the facility and will perform the inspection and acceptance of the completed work.

B.11 PROHIBITION AGAINST PERSONAL SERVICES

The Contractor shall not perform personal services under this contract. Contractor personnel are employees of the Contractor or its subcontractors and are under the administrative control and supervision of the Contractor.

A Contractor supervisor must give all individual Contractor employee assignments and daily work direction.

The Government will not supervise or direct Contractor employees in the performance of their assignments. If at any time the Contractor believes that any Government action or communication has been given that would create a personal service relationship between the Government and any Contractor employee, the contractor shall promptly notify the Contracting Officer of this communication or action. The Contractor shall not perform any inherently-governmental functions under this contract. No Contractor employee shall represent or give the appearance that he/she is a Government employee, agent or representative. No Contractor employee shall state orally or in writing at any time that he or she is acting on behalf of the Government. The Contractor is responsible for ensuring that all employees assigned to this Task Order understand and are committed to following these requirements.

B.12 Organizational Conflict of Interest and Non-Disclosure Requirements

B.12.1 Organizational Conflict of Interest (OCI)

a. If a contractor has performed, is currently performing work, or anticipates performing work that creates or represents an actual or potential OCI, the contractor shall immediately disclose this actual or potential OCI to the CO in accordance with FAR Subpart 9.5. The nature of the OCI may involve the prime contractor, subcontractors of any tier, or teaming partners.

b. The contractor is required to complete and sign an OCI Statement. The contractor must represent either that (1) it is not aware of any facts which create any actual or potential OCI relating to the award of this task order, or (2) it has included information in its proposal, providing all current information bearing on the existence of any actual or potential OCI and has included a mitigation plan in accordance with paragraph (c) below.

c. If the contractor with an actual or potential OCI believes the conflict can be avoided, neutralized, or mitigated, the contractor shall submit a mitigation plan to the Government for review.

d. In addition to the mitigation plan, the CO may require further information from the contractor. The CO will use all information submitted by the contractor, and any other relevant information known to ACF, to determine whether an award to the contractor may be made, and whether the mitigation plan adequately avoids, neutralizes, or mitigates the

OCI.

e. If any such conflict of interest is found to exist, the CO may determine that the conflict cannot be avoided, neutralized, mitigated, or otherwise resolved to the satisfaction of the Government and the contractor may be found ineligible for award. Alternatively, the CO may determine that it is otherwise in the best interest of the U.S. to contract with the contractor and include the appropriate provisions to avoid, neutralize, mitigate, or waive such conflict in the task order awarded.

B.12.2 Non-Disclosure Requirements

If the contractor acts on behalf of, or provides advice with respect to any phase of an agency procurement, as defined in FAR 3.104-4, then the contractor shall execute and submit a Corporate Non-Disclosure Agreement (NDA) Form and

Request for Proposal: 75ACF124R00019 | State and Tribal Technical Assistance and Resources (STAR) Training and ensure that all its personnel (to include subcontractors and consultants) who will be personally and substantially involved in the performance of the contract:

a. Are instructed in the FAR 3.104 requirements for disclosure, protection, and marking of contractor bid or proposal information, or source selection information.

b. Are instructed in FAR Part 9 for third-party disclosures when acting in an advisory capacity. All proposed replacement contractor personnel shall also be instructed in the requirements of FAR 3.104. Any information provided to contractors in the performance of this task order or obtained from the Government is only to be used in the performance of the contract. The contractor shall have appropriate procedures for the protection of such information and shall be liable to the Government for any misuse or unauthorized disclosure of such information by its personnel, as defined above.

B.13 PRESS/NEWS RELEASE

The contractor shall not make any press/news release pertaining to this procurement without prior Government approval and only in coordination with the CO.

B.14 INTELLECTUAL PROPERTY RIGHTS

The existence of any patent, patent application or other intellectual property right that encumbers any deliverable must be disclosed in writing on the cover letter that accompanies the delivery. If no such disclosures are provided, the data rights provisions in FAR 52.227-14 apply to intellectual property rights.

B.15 RECORDS MANAGEMENT

B.15.1 RECORDS MANAGEMENT OBLIGATIONS

A. Applicability

This clause applies to all Contractors whose employees create, work with, or otherwise handle Federal records, as defined in Section B, regardless of the medium in which the record exists.

B. Definitions

“Federal record” as defined in 44 U.S.C. § 3301, includes all recorded information, regardless of form or characteristics, made or received by a Federal agency under Federal law or in connection with the transaction of public business and preserved or appropriate for preservation by that agency or its legitimate successor as evidence of the organization, functions, policies, decisions, procedures, operations, or other activities of the United States Government or because of the informational value of data in them.

The term Federal record:

1. includes ACF records.

2. does not include personal materials.

3. applies to records created, received, or maintained by Contractors pursuant to their ACF contract.

4. may include deliverables and documentation associated with deliverables.

C. Requirements

1. Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a). These

Electronic information system means an information system that contains and provides access to computerized Federal records and other information. (36 CFR 1236.2)

The following types of records management controls are needed to ensure that Federal records in electronic information systems can provide adequate and proper documentation of agency business for as long as the information is needed. Agencies must incorporate controls into the electronic information system or integrate them into a recordkeeping system that is external to the information system itself. (36 CFR 1236.10)

a) Reliability: Controls to ensure a full and accurate representation of the transactions, activities or facts to which they attest and can be depended upon in the course of subsequent transactions or activities.

b) Authenticity: Controls to protect against unauthorized addition, deletion, alteration, use, and concealment.

c) Integrity: Controls, such as audit trails, to ensure records are complete and unaltered.

d) Usability: Mechanisms to ensure records can be located, retrieved, presented, and interpreted.

e) Content: Mechanisms to preserve the information contained within the record itself that was produced by the creator of the record.

f) Context: Mechanisms to implement cross-references to related records that show the organizational, functional, and operational circumstances about the record, which will vary depending upon the business, legal, and regulatory requirements of the business activity.

g) Structure: Controls to ensure the maintenance of the physical and logical format of the records and the relationships between the data elements.

2. In accordance with 36 CFR 1222.32, all data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Freedom of Information Act (FOIA) (5 U.S.C. 552), as amended, and the Privacy Act of 1974 (5 U.S.C. 552a), as amended and must be managed and scheduled for disposition only as permitted by statute or regulation.

3. In accordance with 36 CFR 1222.32, Contractor shall maintain all records created for Government use or created in the course of performing the contract and/or delivered to, or under the legal control of the Government and must be managed in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.

4. ACF and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Records may not be removed from the legal custody of ACF or destroyed except for in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, Contractor must report it to ACF immediately. The agency must report promptly to NARA in accordance with 36 CFR 1230.

5. The Contractor shall immediately notify the appropriate Contracting Officer upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records or equipment.

Disclosure of non-public information is limited to authorized personnel with a need-to-know as described in the contract. The Contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The Contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity. When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to ACF control, or

(4) Brand;

(5) Model number (original equipment manufacturer number, manufacturer part number, or wholesaler number);

(6) Item description;

(7) Reason why the applicable covered article or the product or service is being provided or used;

(f) Executive agency review of disclosures. The contracting officer will review disclosures provided in paragraph (e) to determine if any waiver may be sought. A contracting officer may choose not to pursue a waiver for covered articles or sources otherwise subject to a FASCSA order and may instead make an award to an offeror that does not require a waiver.

(d) Comptroller General Examination of Record. FAR 52.217-8 OPTION TO EXTEND SERVICES (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this Task Order by written notice to the Contractor prior to expiration of the Task order contract provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the Task Order expires. (d) In the event of a modification(s) to this contract or order, which adds new EIT supplies or services or revises the type of, or specifications for, supplies or services, the Contracting Officer may require that the contractor submit a completed HHS Section 508 Product Assessment Template and any other additional information necessary to assist the Government in determining that the EIT supplies or services conform to Section 508 accessibility standards.
