4.1 Routine Maintenance

2) Equipment
This Agreement shall apply to all equipment listed in the Summary, attached hereto and incorporated herein by reference, subject to NMI’s inspection and approval of the condition thereof, at Customer’s expense. If, in NMI’s opinion, installation, maintenance or repair services are required to restore Customer’s equipment to normal operating condition, NMI shall provide such service, at Customer’s request, at
NMI’s standard service rates, before NMI shall be required to maintain such equipment pursuant to this Agreement.
The Summary may be revised, from time to time, by mutually agreeable written amendments, which have been executed by duly authorized representatives of NMI and Customer. NMI reserves the right to determine, in its sole and absolute discretion, whether or not it will agree to modify said Summary to add equipment to this Agreement. Further, NMI may remove such equipment from the Summary that
NMI determines to be beyond its End of Life capacity. Prior to the addition, or removal, of any equipment to the Summary, NMI reserves the right to inspect said equipment, at Customer’s expense, and advise Customer whether or not the equipment is acceptable to NMI for addition to, or continuation on, the Summary. In the event that NMI determines that such equipment is unacceptable, it shall provide
Customer with a statement as to what action will be required to place the equipment in an acceptable condition and, at Customer’s request, an estimate of the material and labor costs to Customer, as necessary to do so. Only equipment, which has been placed in a condition acceptable to NMI, shall be incorporated within the Summary.
4) Scope of Services

In consideration of the mutual covenants and promises herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby severally acknowledged, NMI and Customer hereby agree as follows:
1) Service
NMI agrees to provide maintenance and repair services, described herein, for the equipment described in Paragraph 2, below, to the extent these services are ordered by Customer, and found to be necessary by NMI.
4.1.1 Preventative Maintenance Inspection (PM) - Includes PM Consumables
NMI shall perform the following mechanical and electrical inspections and make whatever replacements or repairs as NMI, in its sole and absolute discretion, shall deem necessary or desirable. Consumable materials needed for the PM are included under this contract at no additional charge.

3) Term
Quotation valid for 90 days. Subject to the terms and conditions herein, the term of this Agreement shall be for a period of twelve (12) months or as listed under Term in the Contract Summary, which term may be extended for successive periods of twelve (12) months by the Customer’s delivery of written notice of its intention to so extend the term hereof to NMI not less than thirty (30) days in advance of the expiration of the then current term, so long as NMI accepts the renewal. In the event that customer shall elect not to extend the term thereof, as permitted, this Agreement shall automatically cease and be discontinued at the end of the then current term.

4.2.1 Subject to the terms of this Agreement, and in the event that the equipment fails to operate properly during the term of this Agreement, NMI shall provide Corrective Maintenance based on the specific needs of the equipment. NMI, at its discretion, may supply refurbished parts for covered repairs.
4.2.2 Customer may have their internal maintenance personnel conduct limited repairs on NMI equipment listed in the
Summary, provided that Customer maintenance personnel contact NMI for consultation and approval prior to performing repairs. Customers maintenance personnel must maintain a detailed diary or log of all maintenance and repair work performed, on such equipment, and to notify NMI’s Service Department of any and all such repairs and maintenance so that
NMI can record machine faults. Each entry in such log or diary, to be maintained by Customer’s maintenance personnel, shall contain the following information and shall be transmitted via facsimile, email, or first class mail to NMI within three (3) business days from the day such services were performed: (i) identify maintenance personnel; (ii) the day and time when maintenance and/or repairs were performed; (iii) a detailed description of the maintenance or repair work performed; and (iv) a description of any replacement parts utilized or installed.
4.2.3 Components on Loan - NMI will provide (as available) components on loan, should a covered component require return to factory for repair. Components on loan, shipping outside the United States, must go through the customer broker, at customer’s expense. Customer is responsible for importation/exportation and shipping from their broker to and from the machine location.

4.3 Software Service Contract.
Software upgrades, for NMI software products included in the Service Contract, entitle the customer to one major revision level upgrade. Third-party software products, such as Volume Graphics, are not included unless specifically listed in the
Contract Summary. Some service packs or upgrades may require more advanced or larger capacity hardware to support the upgrade. The hardware and labor required to support an NMI-supplied software upgrade is available at the service contract discounted rates. NMI strongly recommends that anti-virus software not be used on x-ray machine computers.
4.2.4 Parts and Labor - The cost of all labor and replacement parts for Preventative and Corrective Maintenance performed by NMI are included as set forth in the Summary. NMI covers domestic shipping in the United States. Parts shipping outside the United States must go through the customer broker, at customer’s expense. Customer is responsible for importation/exportation and shipping from their broker to and from the machine location.
4.2 Corrective Maintenance

4.1.2 Radiation Survey and Safety Inspection - Excludes Walk-in-rooms
The x-ray source is run at maximum kV and current, to produce the highest possible radiation output. The survey is repeated with all available targets. The highest detected radiation leakage is recorded. A radiation certificate will be provided for each system.
4.1.3 MCT System Calibrations (MCT Systems Only)
MCT Annual Service Contract may include the option for an annual calibration. The calibration may be performed while onsite for the PM inspection visit.
The following parts or products are not included in this Agreement:
Operational supplies and consumables for user maintenance.
Repair or replacement of Flat Panel Detectors, TundtTarget DiskReplacement, Window Replacement or
Reconstruction/Validation Computers (Acquisition PC that runs m/c is covered). Labor and Travel at reduced rate per contract.Customer’s electronic data (customer is responsible to periodically backup computers).
Structural components and low wear items designed to operate for the life of the system.

Services required as a result of relocation, installation alterations, modifications, repairs or maintenance performed on the Equipment by parties other than NMI, or without prior authorization and approval by NMI;

4.4.2 Service Hours
a. Preventative Maintenance visits shall be scheduled in advance by contacting NMI’s Service Department.
b. Onsite service rendered by NMI outside the contract Regular Business Hours may be subject to being chargeable as set forth in the Discounted Service Rates sheet. NMI may render services outside its normal working hours at no additional charge to the customer, based on Customer and NMI scheduling requirements.
Services on Equipment or other devices not specifically identified in the Summary;
Services rendered or work performed on Equipment when the Customer’s hardware or software is determined by
NMI to have caused the problem;
Services required for the installation or relocation of Equipment or the furnishing of materials necessary for the installation or relocation of said Equipment;

4.4.3 Access to Equipment - Interruption of Preventative or Corrective Maintenance. The customer must provide unimpeded access to the equipment, on the date and time, scheduled, for NMI’s technician to provide Preventative or
Corrective Maintenance. If the Equipment becomes unavailable to the NMI technician, before the Preventative or Corrective
Maintenance is completed, thereby requiring additional time to complete the scheduled service, all additional costs to complete the scheduled service, including additional technician time and/or travel, shall be the responsibility of the customer, and shall be paid for promptly after the completion of the service.
4.4.4 Access to Equipment – Customer’s Unique Circumstances. In the event that the time necessary to perform scheduled Preventative or Corrective maintenance of the equipment is extended by reason of the customer’s unique requirements, e.g. the customer’s requirement that NMI’s technician comply with the customer’s internal safety rules or procedures, all additional costs to complete the scheduled service, including additional technician time and/or travel, shall be the responsibility of the customer, and shall be paid for promptly after the completion of the service.
4.5 Services Available, But Not Included. Services outside the scope of this Agreement include, but are not limited to, the following:

k. All other services of any kind or nature, which are not expressly, identified in subsections 4.1, 4.2, 4.3, 4.4 and 4.5, above.
Services for the repair of damage or malfunction resulting from natural disasters, acts of war, nuclear accidents or disasters, strikes, riots, fire, smoke, water, weather conditions or unusual temperature;
Services or interfaces with an online or off-line computer system; and
5.4 Prices for services outside the scope of this Agreement are set forth in Discounted Service Rates and are payable by separate purchase order when such services are rendered.
6) Warranty
5) Fees.
5.1 The annual price for each piece of equipment shall be computed by schedule identified in the Summary. The total amount shall be paid annually in advance, payable no later than thirty (30) days from the receipt of invoice.
5.2 All travel and living expenses of NMI employee(s) performing Preventative and Corrective Maintenance covered by this
Agreement are included.
5.3 The contract price set forth in the Summary shall be reviewed at the end of each twelve (12) month period by both parties and adjusted if necessary.
6.1. Any part or service furnished pursuant to this contract agreement which, under normal operating conditions at Customer’s facility, proves defective in material or workmanship, as determined by NMI’s inspection, within ninety (90) days following the conclusion of any service, shall be replaced, repaired or corrected by NMI, in its sole and absolute discretion, at no additional charge to Customer, subject to the availability of a part, a technician, and unimpeded access to the equipment. Parts replaced by NMI under this contract shall become the property of NMI.
6.2. The warranties to repair, replace or correct defective material or workmanship, as set forth in paragraph 6.1 above, are in lieu of all other warranties, both express or implied, including, but no limited to, any implied warranty of merchantability or fitness for a particular purpose.
6.3. UNDER NO CIRCUMSTANCES SHALL NMI OR ANY AFFILIATE OF NMI HAVE ANY LIABILITY WHATSOEVER FOR
INCIDENTAL OR CONSEQUENTIAL DAMAGES OF A COMMERCIAL NATURE, SUCH AS, BUT NOT LIMITED TO, LOSS OF
PROFIT OR REVENUE, LOSS OF USE OF EQUIPMENT, PARTS, SOFTWARE MATERIALS, COST OF REPLACEMENT
EQUIPMENT, OR CLAIMS RESULTING FROM CONTRACTS BETWEEN CUSTOMER, ITS CUSTOMERS AND/OR
SUPPLIERS. NMI’S LIABILITY FOR PERSONAL INJURY (INCLUDING DEATH) OR PROPERTY DAMAGE SHALL BE
DETERMINED IN ACCORDANCE WITH APPLICABLE LAW. THE LIMIT OF NMI’S LIABILITY, IF ANY, IS NO MORE THAN
THE CHARGE FOR THE SERVICE PROVIDED TO CUSTOMER.
NMI shall not be liable for any delay in performance or nonperformance which is attributable to war, fire, flood, acts of God, acts of third parties, acts of governmental authorities or any agency or commission thereof, accidents, breakdown of equipment, differences with employees or similar or dissimilar causes beyond NMI’s reasonable control, including but not limited to, those interfering with production, supply or transportation of products, raw materials or components or NMI’s ability to obtain, on terms NMI deems reasonable in its sole and absolute discretion, material, labor, equipment or transportation.

8) Termination
8.1. Customer may cancel this Agreement upon sixty (60) days prior written notice thereof to NMI. In the event of such cancellation, Customer shall be invoiced for and shall pay for all conforming goods and services provided through the time of cancellation.
8.2. NMI may terminate this Agreement upon thirty (30) days prior written notice thereof to Customer, if any payment by
Customer becomes delinquent for more than thirty (30) days or, immediately upon: (a) dissolution, insolvency, receivership, an assignment for the benefit of creditors, the commencement of proceedings under the United States Bankruptcy Code by or against the Customer; (b) issuance of process, levy, attachment, garnishment or execution against the property of Customer; or
(c) the good faith belief, by NMI, that the prospect of payment or performance by Customer is impaired and NMI reasonably deems itself to be insecure.
8.3. Customer reserves the right to cancel all or any part of the Agreement, without liability to NMI, if NMI: (a) repudiates or breaches any of the terms of this order, including NMI’s warranties; (b) fails to perform services or deliver goods as specified by
Customer; or (c) fails to make progress so as to endanger timely and proper completion of services or delivery of goods and does not correct such failure or breach within thirty (30) days (or such shorter period of time if commercially reasonable under the circumstances) after receipt of written notice from Customer specifying such failure or breach.
9.1. Customer agrees that NMI shall have full access to the equipment to provide service thereon and the Customer shall provide a safe place in which to perform such service.
9.2. This Agreement represents the entire agreement and understanding between the parties, and may only be revised, modified or amended by the written agreement of both parties. The parties hereto agree and acknowledge that no representations or warranties have been made to one another except as expressly set forth herein and any and all prior understandings or agreements between the parties are hereby revoked.
9) Miscellaneous
9.3. NMI may use qualified subcontract labor at its discretion.
9.4. Customer represents that it has the requisite authority to enter into this Agreement whether it is the owner or lessee of the equipment.
9.5. Customer shall not assign or transfer this Agreement without the written consent of NMI. Any assignment or transfer of any of the rights, duties or obligations contained herein shall render this Agreement null and void.
9.6. NMI reserves the right to assign this Agreement to any NMI affiliate with Customer consent not to be reasonably withheld or delayed.
9.7. This Agreement shall, in all respects, be governed by and construed in accordance with the laws of the State of Michigan.
9.8. U.S. Government procurement regulations shall not be binding upon either party unless the same shall be duly incorporated into this Agreement by a written instrument signed by both parties.
9.9. Any notices required by this Agreement shall be in writing to the address of each party contained herein.

9.13. This Agreement hereby incorporates by this reference the following provisions of the Code of Federal Regulations (“CFR”), as the same may be amended from time to time: (a) all of the provisions of 41 C.F.R. Section 60-14 pertaining to the equal opportunity clause in government contracts; (b) all of the provisions of 41 C.F.R. 60-250 pertaining to affirmative action for disabled veterans of the Vietnam Era; and (c) all of the provisions of 41 C.F.R. 60-741 pertaining to affirmative action for handicapped workers.
NMI certifies that it is in compliance with all applicable provisions of 41 C.F.R. 60-1 including but not limited to: (a) affirmative action compliance program for each of its establishments as required by 41 C.F.R. 60-140 as amended; (b) filing EEO-1 reports as required by 41 C.F.R. 60-17 as amended and neither maintaining segregated facilities not permitting its employees to perform services at segregated facilities as prohibited by 41 C.F.R. 60-18 as amended. It is the policy of NMI to extend employment opportunities to qualified applicants and employees on an equal basis regardless of an individual’s age, race, color, sex, marital status, religion or national origin.
Employer’s Liability in an amount not less than Two Hundred Fifty Thousand and 00/100 ($250,000.00) Dollars;
Comprehensive General Liability (including Products/Completed Operations and Blanket Contractual Liability coverage) in amounts not less than One Million and 00/100 ($1,000,000.00) Dollars per person, One Million and
00/100 ($1,000,000.00) Dollars per occurrence for personal injury and One Million and 00/100 ($1,000,000.00)
Dollars occurrence for property damage, or in the alternative, One Million and 00/100 ($1,000,000.00) Dollars per occurrence for both personal injury and property damage combined single limit; and, Automobile Liability (including owned and non-owned and hired vehicles), in amounts not less than One Million and
00/100 ($1,000,000.00) Dollars per person, One Million and 00/100 ($1,000,000.00) Dollars per occurrence for personal injury and One Million and 00/100 ($1,000,000.00) Dollars per occurrence for property damage or, in the alternative, One Million and 00/100 ($1,000,000.00) Dollars per occurrence for both personal injury and property damage combined single limit. At Customer’s request, NMI shall furnish to Customer certificates of insurance setting for the amount(s) of coverage, policy number(s) and days(s) of expiration for the insurance maintained by NMI and, if further requested by Customer, such certificates will provide that Customer shall receive thirty (30) Days prior written notification from the insurer of any termination or reduction in the amount or scope of coverage.
NMI’s purchase of appropriate insurance coverage or the furnishing of certificates of insurance shall not release NMI of its obligations or liabilities under this Agreement. In the event of NMI’s breach of this provision, Customer shall have the right to cancel the undelivered portion of any goods or services covered by this Agreement and shall not be required to make further payments except for conforming good delivered or services rendered prior to cancellation.
9.11. If NMI performs any work on Customer’s premises or utilizes the property of Customer, whether on or off Customer’s premises, NMI shall indemnify and hold Customer harmless from and against any liability, claims, demands or expenses
(including reasonable attorney fees) for damages to the property of or injuries (including death) to Customer, its employees or any other person to the extent that same shall arise from the sole negligence of NMI in the performance of work under this
Agreement.
9.12. NMI agrees to comply with all federal and state laws, Executive Orders, rules, regulations and ordinances that are applicable to NMI and its obligations under this Agreement.
9.10. NMI shall maintain insurance coverage in amounts not less than the following:
Workers Compensation in amounts not less than the Statutory Limits established for the state or states in which this
Agreement is to be performed (or evidence of authority to self-insure);

9.14. NMI shall not, without first obtaining the written consent of Customer, in any manner advertise or publish the fact that NMI has contracted to furnish Customer the goods or services set forth herein, or use any trademarks or trade names of Customer in
NMI’s advertising or promotional materials. In the event of NMI’s breach of this provision, Customer shall have the right to cancel the undelivered portion of any goods or services covered by this agreement and shall not be required to make further payments except for conforming good delivered or services rendered prior to cancellation.
9.15. It is the intention of NMI and Customer that the confidential information of NMI, Customer and their affiliated companies shall remain their sole and exclusive property. NMI and Customer agree that during the term of this Agreement and upon the termination of this Agreement, for any reason, they shall keep in strict confidence all the confidential information. NMI and
Customer further agree that they shall not, directly or indirectly, use, publish, communicate, divulge or disclose to any person or business entity any confidential information of the other or assist any third parties to do so, without the prior written consent of the other.
IN WITNESS WHEREOF, each of the parties hereto has caused this Agreement to be executed as of the date defined as the term of the contract in the Summary, the Requested Start Date below, or the receipt of the purchase order.
For purposes of this Agreement, confidential information shall be defined as NMI’s and Customer’s proprietary information, or information from which the circumstances, in good faith and conscience, should be treated as confidential, which includes, but is not limited to, information regarding their respective technologies, trade secrets, operational methods and processes, pricing formulas, cost data, or other information regarding their business affairs which they may acquire in connection with, incident to or as a result of their performance of their respective duties under this Agreement. This obligation shall continue for a period of one year after the termination or expiration of this Agreement.
For purposes of this Agreement, confidential information shall not include information which (i) becomes generally available to the public other than as a result of disclosure by NMI or Customer; (ii) was available to NMI or Customer on a non-confidential basis prior to its disclosure; or (iii) becomes available to NMI or Customer on a non-confidential basis from another source other than NMI or Customer, provided that such source is not bound by a confidentiality or similar agreement.
In the event that NMI or Customer shall become legally compelled to disclose all or part of the confidential information, they agree to promptly notify the other, in writing, of such situation so that the other may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. In such instance, NMI and Customer agree that they shall only reveal that portion of the confidential information, which they are legally required to reveal and obtain reasonable assurance that the recipient thereof as confidential shall treat the confidential information. NMI and Customer further agree, that upon demand from one another, to promptly return all confidential information, which has been furnished, to them and all copies thereof. NMI and Customer further agree that they shall, upon request from the other, destroy all material, notes and other work product related in any way to the confidential information.

Travel and Expenses Invoicing
Nikon travel agents take advantage of volume bookings, all possible advance lead time, negotiated car rental and hotel discounts, scheduling alternatives, corporate discounts, and reports all lost savings opportunities directly to Nikon management. These are only a few of the ways Nikon is able to obtain the most effective travel and living costs possible.
When invoicing a Nikon customer for travel and living reimbursement, Nikon reserves the right to add a 10% handling fee to the net costs of car rental, airline tickets and hotel charges, as circumstances may dictate.

Special Nikon equipment and all parts, required, are shipped to and from the customer’s location at the customer’s expense.
Standard rates will apply and will be invoiced as actual. Parts shipping outside the United States must go through the customer broker, at customer’s expense. Customer is responsible for importation/exportation and shipping from their broker to and from the machine location.
