B-1 General

The United States Coast Guard (USCG), Asset Project Office (APO) has a requirement for Acquisition Logistics Support

Services (ALSS). The APO facilitates transition of asset sustainment responsibility from CG-93 (acquiring organization) to the sustainment organization (USCG Logistics and Service Centers) after the new asset is fielded. The APO requires

ALSS to facilitate Integrated Logistics Systems (ILS) development and execution of all ship and boat Hull, Mechanical and Electrical (HM&E), Command, Control, Communications, Computers, Cyber, and Intelligence Service Center

(C5ISC), and Navy-Type systems.

This requirement will be a single award, Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract to provide a wide range of logistics support services for the USCG APO as described in Section C. The Contractor shall provide, in accordance with issued Task Orders (TOs), all management, supervision, labor, and materials necessary to perform these support services on an IDIQ basis.

B-2 Scope

This acquisition will provide the USCG APO with the support necessary to execute ILS for Surface Programs currently supported by the APO as well as all future CG-932 Surface Programs and associated projects. The contract vehicle contemplated hereunder is intended to cover a broad range of potential program and project requirements. Required services include acquisition and program support services, as well as technical, administrative and management capabilities.

None of the services to be provided under the contract entail activities that require either the exercise of discretion in applying Government authority or the making of value judgments or decisions for the Government.

This is a commercial item acquisition in accordance with FAR Part 12, “Acquisition of Commercial Items.” The services to be provided under the contract are considered commercial as defined by FAR 2.101. The types of services described in

Section C are customarily used by non-governmental entities for purposes other than government purposes.

B-3 Competition

The APO ALSS is intended to be single award IDIQ contract. This contract shall be 100% set aside for Women Owned

Small Businesses (WOSBs) to provide support services as broadly described in Section C. All Offerors must meet the small business size standard of $16.5 million under the North American Industry Classification System (NAICS) code

541611, “Administrative Management and General Management Consulting Services.”

B-4 Period of Performance

The term of the APO ALSS is a 12-month base ordering period with six (6) 12-month option periods. The performance periods will be specified under individual TOs which may include options and extend up to 12-months beyond the expiration date of the basic IDIQ contract.

B-5 Contract Pricing

All TOs will be issued on a Firm-Fixed Price (FFP) or Labor Hour (LH) basis and will be subject to the firm-fixed price labor rates set forth in the IDIQ contract. The labor rates will reflect fully-burdened hourly rates for each labor category and will apply to all direct labor hours. The fully-burdened labor rates include all direct labor and indirect costs applicable to that direct labor (such as fringe benefits, overhead, G&A), and profit.

H-2 Personal Services

None of the requirements for any task order issued hereunder shall comprise a Personal Services Contract as defined by

FAR 2.101 and 37.104 or entail contractor performance of Inherently Governmental Functions as defined by FAR 2.101.

The Government will neither supervise contractor employees nor control the method by which the Contractor performs the required tasks. Under no circumstances shall the government assign tasks to or prepare work schedules for individual contractor employees. It shall be the responsibility of the Contractor to manage their employees and to guard against any actions that are of the nature of personal services or give the perception of personal services. If the Contractor feels that any actions constitute or are perceived to constitute personal services, it shall be the Contractor’s further responsibility to notify the KO immediately.

H-3 Inherently Governmental Functions

Per FAR Part 7.5 and HSAM Chapter 3002.101, the KO has determined that all work contemplated hereunder is properly scoped so that the Contractor will not perform any inherently governmental functions. The oversight and assessment of contractor performance and contractor compliance with contract requirements, stipulation and management of requirements, program decisions, and acceptance of services delivered by the contractor to the Government are inherently governmental functions and will be performed by Government personnel. This oversight and assessment of contractor personnel by Government personnel will ensure contractors are prevented from performing inherently governmental functions.

Further, contractors are advised of the following:

(b) Contractor personnel who attend meetings, answer Government telephones, or work in situations where their actions could be construed as acts of Government officials shall clearly identify themselves as contractor personnel; and

Performance of TOs under this contract may require travel beyond the minimum local commuting area of 50 miles from the primary place of performance. The Contractor will be reimbursed for transportation expenses in accordance with procedures established in the Federal Travel Regulations (FTR). The local commuting area is defined as a temporary duty outside of the primary place of performance, but within the vicinity surrounding it. The Contractor shall be reimbursed for actual transportation, lodging, meals, and incidental expenses using the allowable Government personnel rates.

Reimbursement for airfare shall not exceed the lowest customary standard, coach, or equivalent airfare offered during normal business. No profit shall be added to costs incurred for travel. The Contractor may add general administrative and/or overhead in accordance with their standard accounting practices, at the rate specified herein (see Attachment 2, Pricing Spreadsheet). The Contractor will not be reimbursed for travel to the APO to attend required meetings. Travel shall not be undertaken or be reimbursable without prior approval of the TO COR.

(a) When the Contractor expects total funding expended for travel to reach 85 percent of the total funds available for travel on the applicable CLIN, the Contractor shall notify the KO and the TO COR. The notice shall state the estimated amount of additional funds required to continue performance for the period specified in the Schedule. The

Contractor shall not exceed or incur costs that exceed the amount of funding stated on the TO.

(b) The Government is not obligated to reimburse the Contractor for otherwise reimbursable travel in excess of the funding obligated for travel under each TO.

(c) The Contractor is not obligated to continue performance of any reimbursable work under a given TO or otherwise incur costs for reimbursable travel in excess of the funded amount stated in the TO unless the KO notifies the

Contractor in writing that the funded amount stated in the task order under the applicable CLIN has been increased.

In the event notification is made orally, such notification shall be followed up in writing within two (2) working days.

(d) No notice, communication, or representation from any person other than the KO shall affect the Government’s obligation to reimburse the Contractor for travel under a given TO.

(e) Any modification to the contract or TO shall not be considered an authorization to exceed the funded amount stated in the TO under the applicable CLIN unless it expressly increases the funded amount of that CLIN.

H-5 Disclosure of "FOR OFFICIAL USE ONLY" Information Safeguards

Any Government information made available or to which access is provided and which is marked or should be marked

"For Official Use Only" or “FOUO” shall be used only for the purpose of carrying out the provisions of this contract or any TO issued hereunder and shall not be divulged or made known in any manner to any person except as may be necessary in the performance of the contract or TO. Contractor or Subcontractor at any tier shall require prior written approval of the KO. Requests to make such disclosure should be addressed to the Contracting Officer.

H-6 Disclosure of Information

(a) Contractors are reminded that information furnished under this solicitation may be subject to disclosure under the

Freedom of Information Act (FOIA). Therefore, all items that are confidential to business, or contain trade secrets, proprietary information, or personnel information must be clearly marked. Marking of items will not necessarily preclude disclosure when the U.S. Office of Personnel Management (OPM or the Government) determines disclosure is warranted by FOIA. However, if such items are not marked, all information contained within the submitted documents will be deemed to be releasable.

(b) Any information made available to the Contractor by the Government must be used only for the purpose of carrying out the provisions of this contract and must not be divulged or made known in any manner to any person except as may be necessary in the performance of the contract.

(c) In performance of this contract, the Contractor assumes responsibility for protection of the confidentiality of

Government records and must ensure that all work performed by its subcontractors shall be under the supervision of the

Contractor or the Contractor's responsible employees.

(d) Each officer or employee of the Contractor or any of its subcontractors to whom any Government record may be made available or disclosed must be notified in writing by the Contractor that information disclosed to such officer or employee can be used only for a purpose and to the extent authorized herein, and that further disclosure of any such information, by any means, for a purpose or to an extent unauthorized herein, may subject the offender to criminal sanctions imposed by

19 U.S.C. 641. That section provides, in pertinent part, that whoever knowingly converts to their use or the use of another, or without authority, sells, conveys, or disposes of any record of the United States or whoever receives the same with intent to convert it to their use or gain, knowing it to have been converted, shall be guilty of a crime punishable by a fine of up to $10,000, or imprisoned up to ten years, or both.
