1. General Information A. Title of Project / Identification of the Requirement Leased Passenger Vehicles for United States Secret Service B. Background

The United States Secret Service (USSS) is in need of leased vehicles for the safe and secure transportation of its protectees. Vehicles will be needed in Houston, Texas, Kennebunkport, Maine, Plains, Georgia, Washington, DC, and the New York area.

C. Scope / Purpose & Objective

The purpose of this requirement is to enter into a three (3) BPAs, each with one (1) base period and two (2) option periods, for a total lease duration of up to 36 months. The Lessor will be required to furnish vehicles of good quality and in safe operating condition, in accordance with Federal Acquisition Regulation (FAR) 52.208-5, Condition of Leased Vehicles (APR 1984), reproduced below.

The Lease agreement shall remain valid until such time as it is terminated by either party or, in the event the Lessee no longer requires use of the vehicles due to unforeseen circumstances, the Lease will automatically terminate. Lessor or Lessee may terminate this Agreement by giving thirty (30) days written notice to the other party of this termination.

E. Place of Performance / Delivery

The Lessor shall be able to deliver vehicles within a 30-mile radius of each destination city as coordinated with the USSS POC for each site. The vehicles will be delivered to the delivery site in coordination with the POC for the site on or before the date the lease is effective. The return of vehicle(s) shall be coordinated between the Lessor and USSS site POC on or before the date the Lease expires/terminates, subject to any option exercises that extend the term of the lease.

Upon delivery of the vehicles under this Lease, Lessee shall conduct, at its own expense, all inspections and tests of such vehicles as deemed necessary in order to accept the vehicles.

F. Contract Type

The contract type will be a firm fixed-price BPA lease agreement, at the agreed upon monthly rates.

G. Net Lease

Subject to the terms set forth below, Lessor and Lessee agree that Lessor shall lease to Lessee, and Lessee shall lease from Lessor the vehicles, which shall be of good quality and in safe operating condition, in accordance with FAR 52.208-5, Condition of Leased Vehicles (APR 1984), reproduced below. Lessor and Lessee shall evidence the leasing of the vehicles by executing a Lease. The parties acknowledge and agree that the Lessor is the owner of the vehicles, that the relationship between the parties is and shall be that of Lessor and Lessee.

H. Use of Vehicle

Lessee shall be permitted to use the vehicles for the purpose of safely and securely transporting a protectee, to include protective agents and/or employees of the Lessee. The Lessee agrees that it will not use or permit the use of the vehicles for another purpose without prior written permission of the Lessor, nor will it operate the vehicles in a negligent or improper manner or in violation of law.

1. Lessee may affix temporary markings in accordance with FAR 52.208-6, Marking of Leased Vehicles (Apr 1984);

2. Lessee may modify vehicle(s) with the installation of permanent and nonpermanent equipment (i.e., sirens, fixed-mount radio, and police light packages at no additional cost.

I. Replacement of Vehicles

In the event that a vehicle becomes unserviceable before its normal due date as a result of theft, wreckage, or repairs not completed in a timely manner, etc. the Lessor shall provide USSS with a replacement vehicle of the same make or later model on a one-for-one basis at the same rate as the serviceable vehicle. At the end of each annual period, vehicles leased shall be replaced by vehicles of the same class for the newer model year.

J. Retention Requirement

Except for reasons stated elsewhere in the solicitation, or where a shorter lease period is specified in the schedule, the Government must keep a vehicle a minimum of six months before requesting a replacement. Any exceptions to this must be mutually agreed to between the Contracting Officer and the Lessor. The Government reserves the unilateral right, at the beginning of each annual term, to retain the same vehicles for any one lease period into, at the same vehicle model year lease under which the vehicle was ordered.

K. Mileage

The maximum total miles for which the Lessee may operate the vehicles during the term of the Lease is 30,000/year per vehicle. The Lessor shall detail the cost of additional miles per mile, subject to the availability of funds in accordance with FAR 52.232-18, Availability of Funds (APR 1984), reproduced below. A Purchase Order modification obligating additional funds must be executed prior to additional miles, for which the Lessee will be charged, being accrued.

L. Maintenance/Servicing The Lessee shall, at its own cost and expense, unless otherwise expressly provided in the Lease:

(i) Maintain said vehicle(s) in good repair, mechanical condition, and running order.

The Lessor shall, unless otherwise expressly provided in the Lease:

(i) Provide pick-up and delivery of vehicle(s) that are scheduled for service.

(ii) Provide loaner vehicle(s) equal to car being serviced. Car must be delivered upon pick up of vehicle being serviced.

(iii) Provide a preventive maintenance package which includes replacement of engine oil, engine oil filter and rotation of tires every three (3) months or 3,000 miles. Routine inspections of such items as drive belts, vapor lines, fuel lines, brake pads/shoes, transmission fluid, steering system, exhaust system, and front drive shaft boots. USSS will take the vehicle in for preventive maintenance to the Lessor’ specified location.

(iv) Warranty work required by the manufacturer shall be the Lessor’s responsibility. Warranty is to include basic, corrosion perforation, power –train and roadside assistance. Accordingly, the Lessor shall at the time of delivery, provide a list containing names, locations and telephone numbers of points of contact to Lease for scheduling the required warranty work.

(v) Service and Parts – the Lessor shall have service facilities in each of the delivery areas to service the vehicles offered, or otherwise be able to provide immediate service and replacement parts to effect continuing operations of the vehicles.

(vi) Insurable Losses – The Lessor shall be responsible to replace the following insurable losses: Collision, Theft, or Vandalism, Glass Repair, Tire Damage due to Road Hazard, Fire, Hail, Flood, or Windstorm, etc. The Lessee will be responsible to notify the Lessor within 24 hours of the incident. The Lessee will contact the Lessor for specific instructions prior to taking the vehicles for repair. This feature is not separately priced.

M. Indemnification

Lessee herein indemnifies the Lessor from claims and/or liability arising from the acts, omissions, or negligence of Lessee, its agents, officers, employees, or permitees: (1) in the operation of the Lease or (2) failure of the Lessee to observe and abide by any of the terms or conditions of this Lease or any applicable law, ordinance, rule, or regulation insofar as such liability is recognizable under the Federal Tort Claims Act (FTCA) and applicable Federal law.

N. Insurance

Lessee is self-insured and shall be considered so in this Lease. Lessee shall furnish Lessor with insurance certificates with respect thereto or with such other evidence of Lessee's compliance with this paragraph as may be satisfactory to Lessor. If Lessee fails to provide such insurance, Lessor may, but shall not be obligated to, insure said property at the expense of Lessee.

Lessor shall provide and maintain insurance coverage for actions or claims for loss of or damage to property or the injury or death of persons, resulting from the fault, negligence, or wrongful act or omission of the Lessor, its agents, or employees, in accordance with FAR 52.228-8, Liability and Insurance—Leased Motor Vehicles (MAY 1999), reproduced below.

O. Registration

The Lessor shall be responsible for all fees associated with State tags, title, and registration in the applicable state. This includes all re-licensing fees. The registration documents shall not list the USSS as the user of any vehicles. The Lessor is required to provide new tags for each vehicle leased. The government will not accept tags from turn – in vehicles for the newer year model vehicles.

P. Permit

Lessee is responsible for obtaining and paying the costs of all permits, licenses, or other approvals by any regulatory body having jurisdiction over the uses authorized herein.

Q. Compliance

Should Lessee fail or neglect to comply with any term or condition of this Lease or to comply with any reasonable requirement of Lessor after thirty (30) days written notice and demand, this Lease shall be subject to termination. In the event of such termination, Lessee shall immediately return the vehicles and surrender all rights and privileges under this Lease.

R. Reports

Unless such reports are privileged and/or cannot lawfully be provided at the sole determination of the Lessee in furtherance of its protective mission, Lessee will immediately notify Lessor of each accident arising out of the alleged or apparent improper functioning or operation of the vehicles; the time, the place, and the nature of the accident and damage; the names and the addresses of parties involved, the persons injured, any witnesses, and owners of property damaged if any; and, such other relevant information as may be known. Lessor will promptly advise Lessor of all claims or demands involving or relating to improper functioning or operation of the vehicles or which assert liability against the Lessor, and Lessee will investigate and defend all such claims and recover damages from any third persons liable therefor.

S. Purchase Order

A Purchase Order shall be issued, or extended, by the Lessee to the Lessor for each Lease year. This contractual document shall include pricing and payment terms and will serve as a funding vehicle authorizing government expenditures for the limited use of retaining this Lease.

T. Payment Terms

The full price of this Lease shall be stated in the proposal. The first Lease payment is due on the date of the execution of this Lease and will be paid upon receipt of a proper invoice in accordance with the Purchase Order’s instructions and with FAR 52.208-4, Vehicle Lease Payments (APR 1984), reproduced below, and in accordance with the Prompt Payment Act (31 U.S.C. 3903). Any request for a change in the price must be presented by the Lessor to the Lessee in writing. Any consideration of price increase will be based on the Lessor's written justification for the increase. If no written request is received by the date designated, the contractual document will be prepared using the current agreed price.

U. System for Award Management (SAM)

Lessor is hereby notified that contractors with the federal government are required to maintain current and active SAM registrations at www.sam.gov. Failure on the part of the Lessor to maintain its registration may result in delayed payment by the Lessee.

V. Return of Vehicle

Upon termination of the Term provided herein or upon termination for any other cause, Lessee will, at its own cost and expense, promptly return the vehicles described herein to the Lessor at the address specified below by Lessor, in the same condition as received, reasonable wear and tear and normal depreciation excepted.

W. Modification

The Lease may not be amended or altered in any manner unless such amendment or alteration is in writing and signed on behalf of the parties hereto.

X. Assignment

(i) Lessee. Lessee shall not assign, pledge, mortgage, or hypothecate this

Lease or any of its rights under this Lease or sell or sublet any Vehicle leased hereunder or any accessories attached thereto or otherwise permit any Vehicle to be used by or to come into the possession of anyone other than the Lessee.

(ii) Lessor. Lessor may, subject to the requirements of the Anti-Assignment Acts, 31 U.S.C. 3727 (“Assignment of Claims”) and 41 U.S.C. 6305 (“Prohibition on transfer of contract and certain allowable assignments”), with notice to Lessee, assign to any other person any or all of its right, title, and interest in this Lease and any such assignee may assign the same.

Y. Notices

Except as otherwise provided herein, all notices hereunder shall be deemed given and shall be effective when personally delivered or deposited in the United States mail, postage prepaid, and addressed to the addressee at its address set forth below or at such other address as such party shall from time to time designate in writing to the other party.

2. Requirements

A. Deliverables Upon delivery of the vehicles, Lessor must provide to the Government the following:

· Owner’s Manual/Operating Manual for the Vehicle, Audio Systems, etc.

· All available manuals for equipment, e.g., the wheelchair ramp and restraining systems

· Evidence of Ownership by the Lessor

3. Provisions/Clauses

FAR 52.207-5, Option to Purchase Equipment (Feb 1995):

(a) The Government may purchase the equipment provided on a lease or rental basis under this contract. The Contracting Officer may exercise this option only by providing a unilateral modification to the Contractor. The effective date of the purchase will be specified in the unilateral modification and may be any time during the period of the contract, including any extensions thereto.

(b) Except for final payment and transfer of title to the Government, the lease or rental portion of the contract becomes complete and lease or rental charges shall be discontinued on the day immediately preceding the effective date of purchase specified in the unilateral modification required in paragraph (a) of this clause.

(c) The purchase conversion cost of the equipment shall be computed as of the effective date specified in the unilateral modification required in paragraph (a) of this clause, on the basis of the purchase price set forth in the contract, minus the total purchase option credits accumulated during the period of lease or rental, calculated by the formula contained elsewhere in this contract.

(d) The accumulated purchase option credits available to determine the purchase conversion cost will also include any credits accrued during a period of lease or rental of the equipment under any previous Government contract if the equipment has been on continuous lease or rental. The movement of equipment from one site to another site shall be “continuous rental.

FAR 52.208-4, Vehicle Lease Payments (Apr 1984):

(a) Upon the submission of proper invoices or vouchers, the Government shall pay rent for each vehicle at the rate(s) specified in this contract. (b) Rent shall accrue from the beginning of this contract, or from the date each vehicle is delivered to the Government, whichever is later, and shall continue until the expiration of the contract term or the termination of this contract. However, rent shall accrue only for the period that each vehicle is in the possession of the Government. (c) Rent shall not accrue for any vehicle that the Contracting Officer determines does not comply with the Condition of Leased Vehicles clause of this contract or otherwise does not comply with the requirements of this contract, until the vehicle is replaced or the defects are corrected. (d) Rent shall not accrue for any vehicle during any period when the vehicle is unavailable or unusable as a result of the Contractor’s failure to render services for the operation and maintenance of the vehicle as prescribed by this contract. (e) Rent stated in monthly terms shall be prorated on the basis of 1/30th of the monthly rate for each day the vehicle is in the Government’s possession. If this contract contains a mileage provision, the Government shall pay rent as provided in the Schedule. (End of clause)

FAR 52.208-5, Condition of Leased Vehicles (Apr 1984):

Each vehicle furnished under this contract shall be of good quality and in safe operating condition, and shall comply with the Federal Motor Vehicle Safety Standards (49 CFR 571) and State safety regulations applicable to the vehicle. The Government shall accept or reject the vehicles promptly after receipt. If the Contracting Officer determines that any vehicle furnished is not in compliance with this contract, the Contracting Officer shall promptly inform the Contractor in writing. If the Contractor fails to replace the vehicle or correct the defects as required by the Contracting Officer, the Government may—

(a) By contract or otherwise, correct the defect or arrange for the lease of a similar vehicle and shall charge or set off against the Contractor any excess costs occasioned thereby; or

(b) Terminate the contract under the Default clause of this contract. (End of clause) FAR 52.208-6, Marking of Leased Vehicles (Apr 1984):

(a) The Government may place nonpermanent markings or decals, identifying the using agency, on each side, and on the front and rear bumpers, of any motor vehicle leased under this contract. The Government shall use markings or decals that are removable without damage to the vehicle. (b) The Contractor may use placards for temporary identification of vehicles except that the placards may not contain any references to the Contractor that may be construed as advertising or endorsement by the Government of the Contractor. (End of clause)

FAR 52.217-9, Option to Extend the Term of the Contract (MAR 2000):

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months. (End of clause) FAR 52.228-8, Liability and Insurance-Leased Motor Vehicles (May 1999):

(a) The Government shall be responsible for loss of or damage to-

(1) Leased vehicles, except for-

(i) Normal wear and tear; and

(ii) Loss or damage caused by the negligence of the Contractor, its agents, or employees; and

(2) Property of third persons, or the injury or death of third persons, if the Government is liable for such loss, damage, injury, or death under the Federal Tort Claims Act (28 U.S.C. 2671-2680).

(b) The Contractor shall be liable for, and shall indemnify and hold harmless the Government against, all actions or claims for loss of or damage to property or the injury or death of persons, resulting from the fault, negligence, or wrongful act or omission of the Contractor, its agents, or employees.

(c) The Contractor shall provide and maintain insurance covering its liabilities under paragraph (b) of this clause, in amounts of at least $200,000 per person and $500,000 per occurrence for death or bodily injury and $20,000 per occurrence for property damage or loss.

(d) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the interests of the Government shall not be effective (1) for such period as the laws of the State in which this contract is to be performed prescribe or (2) until 30 days after written notice to the Contracting Officer, whichever period is longer. The policies shall exclude any claim by the insurer for subrogation against the Government by reason of any payment under the policies.

(e) The contract price shall not include any costs for insurance or contingency to cover losses, damage, injury, or death for which the Government is responsible under paragraph (a) of this clause. (End of clause) FAR 52.212-1 – Instructions to Offerors – Commercial Items (Jan 2017)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show --

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) “Remit to” address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)

(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

(Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of rationale for award;

(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

FAR 52.212-2, Evaluation – Commercial Items (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
