QUESTION RESPONSE
1 General Do all the insurance requirements apply to companies that only have 1099 employees? No. Reference RFP page 22, paragraph 12. Insurance Requirement. All insurance requirements apply to all potential awardees.
2 General The solicitation indicates on page 60, second paragraph that "Offerors shall possess a TOP SECRET FACILITY CLEARANCE by the time and date established for submission of the offers." This means that offerors should not submit a proposal if they do not possess the TS. However in the same paragraph, it requires offerors to submit a certified statement of current Secrete OR Top Secret for the Contracting Officer to verify. That implies that the Secret Clearance is also eligible for the contract award if verified and that the required TS can be processed after the award. Can we submit a proposal without the TS clearance which will be obtained before contract performance and still be eligible for the award?
No. Reference RFP page 60, Proposal Submission Requirements, paragraph 1, offerors shall possess a Top Secret facility clearance by the time and date established for submission of offers.
3 General Do you need to have TS facility clearance at submission date or can occur at contract execution?

4 General Can the prime utilize a subcontractor TS facility clearance for submission purposes? The Prime must have TS facility clearance as they will be responsible for any subcontractors.
5 General Is there a requirement for the facility clearance to be located in TN? Facility Clearances are not state or location specific, rather they are specific to a company.
6 Post Exhibit Should “Tier 3” replace “Tier 5” to reflect the associated tier for a Secret clearance? No. See answer to question #2 above. A Top Secret Facility Clearance is required.
Reference Amendment 0003, replacement pages "A03 TN Exhibits - Updates", Exhibit 15, a Top Secret Facility Clearance is required to submit Tier 5 investigations.
7 RFP Contract Clauses “The resulting contract requires access to classified information. Offerors shall possess a Top Secret facility clearance by the time and date established for submission of offers.
Offerors shall provide a certified statement of current Secret or Top Secret Facility Clearance which will be verified by the Contracting Officer prior to award". Can you please confirm whether a Secret FCL satisfies the above requirement?

8 RFP Contract Clauses “The resulting contract requires access to classified information. Offerors shall possess a Top Secret facility clearance by the time and date established for submission of offers.
Offerors shall provide a certified statement of current Secret or Top Secret Facility Clearance which will be verified by the Contracting Officer prior to award". If a TS FCL is required, will the Government consider changing the requirement from “by the time and date established for submission for offers” to either “by contract award” or “by contract start” to provide offerors whose FCL is currently under adjudication to compete for this opportunity?
No the government will not change the requirement.
9 Solicitation Provisions, Proposal Submission Requirements
Will the Government please clarify if there are any additional stakeholder agency specific clearance or training/orientation requirements that are not noted in the solicitation?
Reference Amendment 0007, replacement page 44, paragraph 6.10, Annual IRS Security Awareness Training (IRS Service Center, Memphis, TN). Training specified under this section is required for PSOs assigned to work at the IRS Service Center.
10 General Are PTS devices currently being used on the contract? IRS Service Center (building TN0005) is using PTS. All other buildings for the current contract do not utilize PTS. See Amendment 0007 for updated Exhibit 10, Contractor- Provided Equipment, Section 6, Supplementary Equipment, is updated with a revised number of required PTS devices and Amendment 0007, revised Post Exhibit columns AE and AF which has added building locations for PTS devices.
11 SOW 9.5 Post Tracking System (PTS)
Is the Post Tracking System utilized on the current contract? If not, when does the Government anticipate the use/implementation of the PTS?

12 SOW Exhibit 10 contractor Provided Equipment: Can the government specify the number of PTS devices that will be required to support the entire effort?

Posts that are classified as a 24/7 post will be marked as "HA" (which stands for all holidays no matter what day they fall on).
29 General Is the level of effort reflected on the Post Exhibit the same level of effort that is currently being performed by the incumbent guard force?
See answer to question #20 above, reference Amendment 0007, which indicates that additional posts have been added. This revised Post Exhibit reflects the level of effort for the instant requirement.
30 General Can the Government provide clarification/explanation on hours difference (i.e., 1499 hours vs. post exhibit hours). What hours should the Offeror use?
The Post Exhibit provides the current known service requirement, but the government may order up to the maximum quantities specified in the SF1449 Pricing Schedule. See RFP page 10, paragraph 03. Maximum Quantities.
31 Post Exhibit Please define what *HS (Column AB) and *HA (Column AC) means. HS stands for Work Holidays of Selected Days; HA stands for Work All Holidays.
32 General Do all the posts indicating IRS as the agency require the Annual IRS Security Awareness training? Can this training be completed during billable hours?
SOW Section 6.10, Annual IRS Security Awareness Training, applies to PSOs temporarily or permanently assigned to work at TN0005, IRS Service Center - Tennessee, 5333 Getwell Road. Reference SOW paragraph 6.10.2 and 6.10.3, training will be conducted at the contractor's office. No, training can not be completed during billable hours.
33 RFP Contract Clauses Page 16 Please provide the anticipated/estimated number of TAS hours required for this contract.
Reference RFP page 16, the Government anticipates that approximately 15% of the maximum hours solicited under this requirement will be for temporary additional service.

Are bidders to only price the 15% of the maximum hours noted for this requirement?
Reference RFP page 10, paragraph 03, Maximum Quantities, the Schedule of Supplies/Services and Prices (i.e. the Schedule) sets forth the maximum quantity of hours that the Government may order per each stated ordering period. The maximum quantities set forth in the Schedule are based upon the current, known service requirements with adjustments to provide for maximum ordering flexibility. The current, known service requirements are provided for informational purposes only. Reference also RFP page 16, Protective Security Officer (PSO) Services (CLINs 0001, 1001, 2001, 3001 and 4001) are defined in two categories, Basic Services and Temporary Additional Services. It is a business decision for each vendor to determine how best to fulfill the requirements stated in the RFP.

This section references the CLIN Schedule, but there are no TAS CLINS listed. There are basic and ESS CLINS shown in the schedule. Please clarify.

Definitions, b. Temporary Additional Services - "...The Government anticipates that approximately 15% of the maximum hours solicited under this requirement will be for temporary additional services." The SF 1449 lists the maximum quantity of ESS hours anticipated will be 3,500 per year.

CBA 2021-480 (Memphis/Jackson) has wage/H&W rates that increase on 12/1/2023, which is during the anticipated base period of performance, 05/1/2023 – 4/30/2024. Will FPS please confirm that bidders should calculate weighted average/blended rates for the base period to account for the mid-year rates changes, as there is no mechanism for the awardee to seek an adjustment in the base year for these CBAs? Based on the proposal preparation instructions in this paragraph, would the initial period blended rates be applicable to all option periods of performance under this contract or would the higher rate used to create the initial period blended rate be applicable to all additional periods of performance? For Example: initial period wage rate $10.00 for first 6 months, and $11.00 for last 6 months, the blended rate for the initial period would be $10.50. Should the $10.50 be used for additional periods, or the $11.00 rate?
Yes, offerors may calculate any weighted average/blended rates to account for any mid-year rate changes in CBAs. Offerors shall propose the Ordering Period I blended wage and/or bona fide fringe benefit rate(s) for all subsequent ordering periods. Rates should not be escalated for future increases. See Amendment 0003 which provides revised CBAs and Amendment 0007 which provides an additional CBA. Please reference page 66, Price Proposal for further information.

The first file shall contain one (1) copy of the technical (non-price) submission. The second separate file would have to follow the instructions given per proposal submission requirements #2, the Contractor must use the Standard Form 1449 as a cover page to the proposal. All pages of the SF1449 must be completed to include the Pricing Schedule, which details all CLINs, quantities, unit prices and extended prices. PREAMBLE
THIS AGREEMENT is made and entered into this 28th day of June 2022, by and between North American Security, Inc. hereinafter referred to as “the Employer”, and the International Union, Security, Police and Fire Professionals of America (SPFPA), hereinafter referred to as “the Union”. Unless otherwise stated herein, the provisions of this Agreement are effective at the date of execution.
ARTICLE 1
RECOGNITION
Section 1.1 – Recognition of Union. The Employer hereby recognizes the Union as the exclusive representative of all full-time, part-time, reserve, armed and/or unarmed security officers, for the purpose of collective bargaining in respect to rates of pay, wages, benefits, hours of employment and other conditions of employment in the bargaining unit(s) assigned to IRS Service Center in Memphis, Tennessee, pursuant to Contract No. 70RFP119DE4000002 with the United States Department of Homeland Security, Federal Protective Service (Government), hereinafter referred to as "the Contract", for which the Union was voluntary recognized or is currently certified by the National Labor Relations Board.
Should there be any conflict between the Policies and Procedures Manual and the Agreement, the Agreement will control. Should there be any conflict between the Contract and the Agreement, the Contract will prevail.
Section 1.2 – Employees. Whenever used in this Agreement, the term "Employee(s)" or "Officer(s)” shall mean all full-time, part-time, reserve, armed or unarmed security officers, employed by the Employer to perform service work on the Contract and as defined by Section 9(b)(3) of the National Labor Relations Act. It is expressly agreed and understood between the Parties that persons enrolled or participating in pre-hire training programs offered by the Employer shall not be considered Employees under this Section 1.2.
Section 1.3 – Probationary Employees. All employees newly hired, or rehired after termination of their seniority, shall be classified as probationary employees for a period of ninety (90) calendar days from the date of hire or rehire. During their probationary period, the employment relationship between the Employer and the probationary employee shall be at-will and the probationary employee may be subject to discipline or discharge at the discretion of the Employer without regard to the provisions of Article 13 of this Agreement.

ARTICLE 2
UNION SECURITY
Section 2.1 – Membership. An Employee who is not a member of the Union at the time this Agreement becomes effective shall become a member of the Union within ten
(10) days after the thirtieth (30th) day following the effective date of this Agreement or within ten (10) days after the thirtieth (30th) day following employment, whichever is later, as a condition of continued employment, and shall remain a member of the Union, to the extent of paying an initiation fee and membership dues uniformly required as a condition of acquiring or retaining membership in the Union, for the duration of this agreement.
Section 2.2 – Dues and Fees. Employees meet the requirement of being members of the Union, within the meaning of this Article, by tendering the periodic dues and initiation fees uniformly requires as a condition of acquiring or retaining membership in the Union or, in the alternative, by tendering to the Union financial core fees and dues, as defined by the U.S. Supreme Court in NLRB v. General Motors Corporation, 373 U.S. 734 (1963) and Beck v. Communication Workers of America, 487 U.S. 735 (1988).
Section 2.3 – Requests for Discharge. In the event the Union requests the discharge of an employee for failure to comply with the provisions of this Article, it shall serve written notice on the Employer requesting that the employee be discharged effective no sooner than two (2) weeks after the date of that notice. The notice shall contain the reason for discharge. In the event the Union subsequently determines that the employee has remedied the default prior to the discharge date, the Union will notify the Employer and the employee, and the Employer will not be required to discharge that Employee.
Section 2.4 – Right to Work Jurisdictions. Anything herein to the contrary notwithstanding, an employee shall not be required to pay money to the Union, or to become a member of, or continue membership in, the Union as a condition of employment, if employed in any state, in any location other than an enclave wherein exclusive federal jurisdiction applies, which prohibits or otherwise makes unlawful payment to a labor organization or membership in a labor organization as a condition of employment.
Section 2.5 – Dues Check Off. The Employer agrees to deduct initiation fees and Union dues for proportionate share payments from the wages of officers who voluntarily authorize the employer to do so on a properly executed payroll deduction card. Such deductions shall be made from each paycheck, in which the officer has sufficient net earnings to cover the Union membership dues or payments. Funds deducted shall be remitted to the Secretary-Treasurer of the International Union, SPFPA within fifteen (15) days after the first regular payday of the month and the Employer will provide a monthly summary sheet describing gross amounts remitted and a schedule, by person and Social Security number, indicating amounts withheld. The Employer will provide to the

International monthly reports which will include officers name, address, city, state, zip code and current wage rates, sorted by Union Local.
Section 2.6 – Schedule of Dues and Fees. The Union agrees it will promptly furnish to the Employer a written schedule of the Union dues, initiation fees, and proportionate share payments. The Union also agrees to promptly notify the Employer in writing of any changes to these amounts. Union authorization cards must be submitted prior to the fifteenth (15th) of the month proceeding the date that deductions are to be made.
Section 2.7 – Employer Indemnification. The Union agrees to fully indemnify the Employer against any loss or claim, including but not limited to any costs, attorney fees, or other obligations or expenses which may arise as a result of the Employer's compliance with the Union membership or check off articles, as well as Section 2.3, Requests for Discharge. In addition, the Union agrees to return to the Employer any erroneous or improper overpayment made to it.
ARTICLE 3
UNION RIGHTS
Section 3.1. Stewards.
A. Recognition. The Employer recognizes the right of the Union to designate shop stewards. The Employer agrees to recognize the maximum of one (1) Chief Shop Steward for all employees and two (2) stewards for each work shift. Within sixty (60) business days of the execution of this Agreement, the Union shall furnish to the Employer, in writing, the names of each of the Union’s designated stewards. Changes to these assignments shall be provided by the Union to the Employer, in writing, at least five (5) business days of such change becoming effective.
B. Steward Authority. The authority of Stewards shall be limited to, and shall not exceed, the following duties and activities: representation of Employees in disciplinary interviews consistent with Section 12.4 of this Agreement and as permitted under the National Labor Relations Act; the investigation and presentation of grievances in accordance with this Agreement; the transmission of such information messages to and from the Union, which shall originate with and are authorized by the Union’s Officers, provided such messages have been reduced to writing; and the right to bring a grievance to the Employer’s attention at the time of the occurrence in accordance with the terms of this Agreement.
