This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in
Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
Solicitation number 70FA3022R00000006 is issued as a request for proposal (RFP).
This solicitation document and incorporated provisions and clauses are those in effect through Federal
Acquisition Circular 2005-95.
NAICS: 517410
DESCRIPTION OF REQUIREMENTS FOR THE SERVICES TO BE ACQUIRED
The Contractor shall provide pre-existing, pre-engineered mobile satellite airtime services on the Ligado
Networks satellite network to FEMA anywhere within the established Ligado Networks Satellite
Network Coverage Area under all FEMA mission conditions. The Contractor shall transition FEMA current inventory of devices, activate new devices, de-activate old devices, and modify Talk Group configurations as required.
The Contractor shall:
1. Provide rapidly deployable mobile satellite communications to support disaster emergency response communications, and to support continuity of operations through service diversity
(supplementing terrestrial networks).
2. Provide technologically advanced, effective, and cost efficient commercial satellite-based subscription services for two-way, PTT dispatch radio and voice telephony service within the
Ligado Networks Satellite Network Coverage Area for use by FEMA emergency responders.
3. Satisfy requirements for additional services (i.e. activation of new devices and Talk Group configuration) during emergency, surge and non-emergency situations.
4. Provide effective and efficient work flow processes that capture FEMA programmatic approvals, use electronic ordering, and capture order accuracy detail (e.g., what was ordered, by whom, fiscal and cost data, and status information).
5. Promptly resolve trouble reports and manage troubleshooting issues with minimal impact on customers.
6. Transition-in existing services as appropriate within seven (7) calendar days of Contract
7. Ensure accurate, timely invoicing and reporting.
FEMA plans to award a single IDIQ for Ligado Networks satellite network subscription services to support FEMA’s MSAT Program devices. The period of performance for each task order will vary based on the level of performance needed and task orders may be issued concurrently.
FEMA requires support services which includes but is not limited to, data, verification and authentication of identity, occupancy, ownership, insurance, vehicle and demographic information for individuals registering for FEMA disaster assistance where a disaster has occurred or been declared. Furthermore, FEMA seeks products and services in the prevention of fraud, waste, and abuse within the domain of
Government financial assistance programs, in accordance with Attachment A, Statement of Work.

The period of performance will be a 12-month base period and four 12 months option periods.

ADDENDUM TO 52.212-1 INSTRUCTIONS TO OFFERORS --COMMERCIAL ITEMS (FEB
2012)
In addition to the FAR 52.212-1 "Instructions to Offerors-Commercial Items," the following is requested:
Offerors are required to submit their proposals in two separate volumes to Colin Galvin at colin.galvin@fema.dhs.gov as follows:
Volume I – Technical Proposal Factors 1 - 4
Volume II – Business Proposal Factor 5
Title of the Requirement: MSAT G2 Program
Offers shall be comprised of two volumes. Volume I shall address Evaluation Factors 1, 2, 3 and
4. In total, Volume I shall not exceed 20 pages. Volume II shall address Evaluation Factor 5, and there is no page limit. Table of Contents and Cover Letters are excluded from the overall page limits.
Offerors shall use standard 8 ½ x 11” size pages with 1” margins (on all sides), and for both
Volumes I and II a front and back side of a page will count as two pages. Additionally, a minimum font size of 12 shall be used for all regular text, a minimum font size of 10 shall be used for all tables and graphics, and all pages shall include numbering.
In addition to 52.212-1 Instructions to Offerors – Commercial Items (b), each proposal shall include the following:
Cover page - shall indicate the following:
• Title of the proposal
• Proposal category (Technical or Business)
• Volume Number
• Identification of copies bearing original
Table of Contents - Sufficient details that will allow the important elements to be easily located. The
Table of Contents does not count against the 20-page limitation.
EVALUATION PROCEDURES
The Government will award a single contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1) Factor 1: Demonstrated Prior Experience
2) Factor 2: Technical Design and Service Delivery Approach
3) Factor 3: Network Management and Operations Services
4) Factor 4: Implementation Strategy and Transition Plan

Each of the above factors has one or more sub-factors. To achieve an acceptable rating, the
Offeror’s Technical Proposal must achieve a pass rating on all sub-factors.
The evaluations will be based on the factors and sub-factors listed in descending order of importance, showing the order of precedence for each and what the proposal should provide to meet the minimum technical acceptability rating.
The Government will evaluate each of the Offeror’s technical proposals to determine if the service offerings satisfy the specific requirements. The factors and sub-factors are presented below.
Factor 1 – Factor 1: Demonstrated Prior Experience
The Offeror's prior experience will be evaluated to determine the extent to which it demonstrates successful delivery of services and solutions of similar scope and requirements.
The Offeror’s prior experience information should document corporate experience and successes in providing supplies and services of a similar nature to those stated in the Government’s SOW.
The Offeror’s past performance information received from the questionnaire must include sufficient detail to demonstrate that the Offeror has previously performed all aspects of the work detailed in this request for proposal’s SOW.
Each party (the prime contractor, as well as all teaming partners and/or proposed sub-contractors if applicable) to the proposal must provide specific past performance reference information for three prior and/or existing contracts that are similar in scope and complexity to the role they are proposed to fulfill under the proposal. The Agency shall make an assessment of the Offeror’s past performance, taking into account (but not limited to) such aspects as: Quality of Service, Cost Control, Timeliness of Performance, Business Relations, Personnel Management and
Subcontractor Management.
Offerors are advised that past performance information may be obtained from sources that the
Offeror does not include in its proposal. The Offeror is responsible for verifying and ensuring that the information provided in support of its cited/referenced past performance and experience is complete, comprehensive, accurate, and current at the time this solicitation was issued.
The Agency will evaluate the relevance of the cited past performance reference information to the requirements stated in this solicitation as well as the quality of the Offeror’s past performance and determine each Offeror’s probability of success on the proposed contract based upon this record of past performance. The Agency will seek to determine whether an Offeror has consistently demonstrated a commitment to customer satisfaction and timely delivery of services at fair and reasonable cost/prices.

In the case of an Offeror without a record of relevant experience, or for whom information on past performance is not available, the Offeror will not be evaluated favorably or unfavorably on past performance, as per the guidance established at FAR 15.305.
In assessing an Offeror’s past performance, the Agency will consider references submitted by the
Offeror and may consider information from other sources such as, but not limited to information contained in government past performance databases. For Offeror submitted references the
Agency will make only 2 attempts to contact the reference for obtaining past performance information
A major subcontractor is defined as a subcontractor named in the proposal whose total price exceeds 15% of the offer’s bottom line total price.
The Government reserves the right to use other sources to validate the Offeror’s past performance in CPARS.
Factor 2 – Factor 2: Technical Design and Service Delivery Approach
The Offeror's technical design of its network(s) and the service delivery approach will be evaluated to determine the extent to which it demonstrates a comprehensive, sound, and reasonable approach to providing mobile satellite services to the Government. The proposal will be assessed to determine the extent to which it meets the following criteria:
1. The Offeror’s proposal demonstrates a thorough and reasonable understanding of the requirements of this SOW.
2. The proposed satellite network(s) design meets the requirements stated in Task 1:
Mobile Satellite Radio and Voice Services.
3. The proposed service delivery approach provides Managed MSAT G2 (over the
Ligado Network) Push to Talk (PTT) services.
4. The proposed service delivery approach provides telephone / PSTN services.
5. The proposed service delivery approach provides PTT satellite radio service for dispatch via talk groups.
6. The proposed service delivery approach provides SMART talk groups for interoperable communications amongst public safety agencies.
The proposed service delivery approach provides activation / deactivation of services, addition / deletion of Talk Groups within the service level agreement (SLA) outlined in the SOW.
Factor 3 – Factor 3: Network Management and Operations Services
The Offeror’s ability to provide Network Management and Operations Services are critical to the success of the program and will be evaluated separately from other aspects of the proposal. The proposed Network Management and Operations Services strategy will be evaluated on the extent to which it demonstrates a sound and reasonable approach to the management and operation services necessary to provide quality services to FEMA throughout the lifecycle of the contract.
The Network Management and Operations Services will be assessed to determine the extent to which (Task 2):

1. The Offeror’s proposal demonstrates a thorough and reasonable understanding of the requirements of this SOW.
2. The proposed service provides Fault Management capabilities.
3. The proposed service provides Configuration Management capabilities.
4. The proposed service provides Account Management capabilities.
5. The proposed service provides a dedicated Account Manager.
6. The proposed service provides Account Billing capabilities.
7. The proposed service provides Service Management capabilities.
8. The proposed service provides Reports capabilities.
9. The proposed service provides Technical Assistance capabilities.
10. The proposed service provides Security Management capabilities.
11. The proposed service provides Performance Management capabilities
12. The proposed service provides surge capacity within the scope of the SLA dictated in the SOW.
Factor 4 - Factor 4: Implementation Strategy and Transition Plan
The Offeror’s Implementation Strategy and Transition Plan are critical to the success of the program and will be evaluated separately from other aspects of the proposal. The proposed implementation strategy will be evaluated on the extent to which it demonstrates a sound and reasonable approach to the incremental implementation of a full operating capability while ensuring a seamless transition from the current service. The implementation strategy will be assessed to determine the extent to which (Task 3):
1. The proposed Implementation Strategy is realistic and achievable, minimizes disruption to business operations with no compromise of continuity, mitigates risk, ability to maintain strict adherence to the negotiated post-award schedule, and identifies the tools, methods, and practices used to facilitate the transition.
The proposed Implementation Strategy includes a Transition Plan that is feasible and demonstrates a thorough understanding of the requirements, including a sound and reasonable solution to minimizing risk. The technical approach to porting all applicable existing mobile satellite services, devices, and numbers without any degradation of availability or service is detailed and logical.

Factor 5 - Price
For evaluation purposes only, Offerors shall use Government-provided hours estimates and labor categories to propose a cost for delivering the tasks listed in the SOW. Price, while being an important factor, is not in and of itself the determining factor in the selection of the successful offeror for award of the contract contemplated by this solicitation. The Government will consider the loaded fixed labor rates, the labor mix, and total cost to perform tasks being ordered for determining that the total price is reasonable. Offerors must use the format in the price schedule spreadsheet provided to propose a FFP for the estimated hours provided by the Government.
Additionally, Offerors shall provide a list of all of their Labor Categories with the applicable fully-loaded labor rates that can be used in the base and all option periods for all task orders placed under the IDIQ.
While cost/price is for evaluation purposes only, cost/price may become a critical factor in source selection in the event that two or more Offerors are determined to be essentially equal following the evaluation of all factors other than cost or price. The Government reserves the right to make an award to the Offeror whose proposal provides the best overall value to the
Government.

RATINGS:
For Factor 5, price proposals will not receive an adjectival rating.
The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
Offerors shall include a completed copy of the provision at 52.212-3, Offeror Representations and
Certifications -- Commercial Items, with its offer.
FAR Clause at 52.212-4, Contract Terms and Conditions -- Commercial Items, applies to this acquisition.
Evaluation Adjectives
The following adjectives will be used as general guidance in assessing each factor and the overall proposal rating as a whole:
Excellent (5) The proposal shows exceptional strengths, significantly exceeds most or all solicitation requirements, and presents no weaknesses or deficiencies. Also, the Offeror’s demonstrated ability to exceed the requirements is anticipated to have significant positive impact or added value.
Good (4) The proposal exceeds many or all solicitation requirements presents no more than an overall low risk. Also, the Offeror’s demonstrated ability to exceed the requirements is anticipated to have some positive impact or added value. Weaknesses, if any, are minor and are more than offset by strengths.
Acceptable (3) The proposal meets all of the solicitation requirements, has few or no strengths and presents no more than an overall moderate risk.
Weaknesses are generally offset by strengths.
Marginal (2) The proposal has weaknesses that are not offset by strengths.
Unsatisfactory (1) The proposal does not meet one or more of the solicitation requirements, has significant weaknesses/deficiencies, and/or presents an overall high risk to the Government. Requirements can only be met with major changes to the proposal. If the proposal does not demonstrate an Offeror’s ability to meet a single objective within a factor, the whole factor may be assessed as “Unsatisfactory”.

52.217-8 -- OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the
Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.
3052.242-72 CONTRACTING OFFICER'S TECHNICAL REPRESENTATIVE (DEC 2003)
(a) The Contracting Officer may designate Government personnel to act as the Contracting Officer's
Representative (COR) to perform functions under the contract such as review or inspection and acceptance of supplies, services, including construction, and other functions of a technical nature. The
Contracting Officer will provide a written notice of such designation to the Contractor within five working days after contract award or for construction, not less than five working days prior to giving the contractor the notice to proceed. The designation letter will set forth the authorities and limitations of the
COR under the contract.
(b) The Contracting Officer cannot authorize the COR or any other representative to sign documents, such as contracts, contract modifications, etc., that require the signature of the Contracting Officer.
