Summary

This is an Exhibit D Special Provisions document for Dallas Area Rapid Transit (DART) Solicitation No. B-2095023, establishing the terms and conditions for an indefinite delivery/indefinite quantity contract. The contract covers TMV Camera Genetec Licenses with electronic delivery and a three-year term commencing from the Notice to Proceed. The contract is structured as an indefinite delivery/indefinite quantity agreement, meaning quantities are estimates only and not guaranteed; however, the Authority commits to ordering a minimum of 50 percent of estimated goods and services, with the Contractor authorized to furnish a maximum of 110 percent. The Contracting Officer and designated representatives are the only authorized personnel to place orders, which may be issued via mail, telephone, email, or facsimile. Orders issued during the contract's effective period but not completed within that period must be completed by the Contractor within the time specified in the order.

The contract includes comprehensive insurance requirements protecting DART's interests, including Commercial Automobile Liability ($1,000,000 combined single limit), Commercial General Liability ($2,000,000 per occurrence with $4,000,000 aggregates), Workers' Compensation, Employer's Liability ($1,000,000 per accident), Professional Liability ($1,000,000 per claim maintained for two years post-contract), and Cyber Liability Insurance ($2 million per occurrence). All insurance policies must name DART as an additional insured on a primary and non-contributory basis with a waiver of subrogation. Invoicing is submitted monthly to DART Accounts Payable with payment made within 30 days of receipt of a properly prepared invoice. The Contractor must utilize the U.S. Department of Homeland Security's E-Verify system for all employees performing work under the contract and must comply with restrictions on covered telecommunications equipment and services as mandated by the John S. McCain National Defense Authorization Act for Fiscal Year 2019.
