1.1 Supplies/Services/Requirements

The Contractor shall furnish the necessary qualified personnel, facilities, materials, supplies, equipment, and services except as identified in Section VI, Paragraph 7.0, Government Furnished or Contractor Acquired Property, which are necessary to provide “Anthropomorphic Test Devices (ATD) Management Laboratory Parts, Supplies and Services” for the National Highway Traffic Safety Administration (NHTSA) Vehicle Research and Test Center (VRTC) in East Liberty, Ohio.

1.2 Contract Type

This is a multiple award indefinite delivery indefinite quantity (IDIQ) contract, for the acquisition of commercial supplies and services, whereby Firm Fixed Price (FFP) Delivery Orders for supplies and services, and FFP or Time and Materials (T&M) Task Orders for services, will be awarded in accordance with Federal Acquisition Regulation (FAR) 16.5 and Section VI, Contract Administration Data, Paragraph 4.0, Method of Ordering, of this contract. “Fair Opportunity” will be given to all IDIQ contractors who are parties to this program unless one of the six exceptions to Fair Opportunity, as stated in FAR Part 16.505(b)(2), is applied.

2.0 MINIMUM/MAXIMUM OBLIGATIONS

2.1 Minimum Obligation of the Government

The minimum Government obligation under this IDIQ contract is the fair and reasonable price (as determined by the Government) for the initial project kick-off meeting in the amount of $TBD at award.

2.2 Maximum Obligation of the Contractor

The Contractor shall be obligated to provide supplies and services up to the maximum contract value amount of *$TBD at award for all Delivery Orders and Task Orders placed against this contract for the entire 60-month period of performance.

The ceiling amounts established for each contract year cover the total value of all Delivery Orders and Task Orders potentially awarded during that contract year.

The ceiling amounts for each contract year may be increased or decreased upon agreement by the parties.

The total ceiling amount for this Contract is as follows:

Base Period - Contract Year 1: $TBD at award Base Period - Contract Year 2: $TBD at award Base Period - Contract Year 3: $TBD at award Base Period - Contract Year 4: $TBD at award Base Period - Contract Year 5: $TBD at award

*NHTSA will determine the award amounts among all awardees for the 5-year performance term and each award amount may be different. The award amounts will be within the maximum amount allocated for the Dummy Management Laboratory program.

Note:

The Contracting Officer is the only individual who can legally commit or obligate the Government to the expenditure of public funds. No cost chargeable to a contract delivery order or task order can be incurred before receipt of a fully executed delivery order, task order or specific authorization from the Contracting Officer.

3.0 DELIVERY ORDER PRICES

Prices for Delivery Orders shall be effective for those periods shown in Section I, Supplies or Services and Prices/Costs, Price Schedule 6.0, as applicable. Prices shall apply based on when orders are issued, and apply regardless of when supplies are delivered and services are performed.

4.0 TASK ORDER PRICES

Prices for Task Orders shall be effective for those periods shown in Section I, Price Schedule 6.0, as applicable.

4.1 Hourly Rates

Hourly rates reflect rates paid for work performed during a normal 2-week pay period cycle (generally 80 workhours every two-week pay period).

4.1.1 FFP Hourly Rates and T&M Hourly Rates

As used in this contract, the term “FFP Hourly Rates” and “T&M Hourly Rates” mean the hourly labor rates applicable to work performed under Firm Fixed Price (FFP) and Time and Materials (T&M) Task Orders. FFP and T&M Hourly Rates appearing in Section I Price Schedule 6.0 are “fully loaded” (i.e., total of the unloaded labor rate paid to the employees assigned to those labor categories plus applicable indirect costs and fee). Fully loaded FFP and T&M Hourly Rates are negotiated and fixed at time of contract award.

4.1.2 Subcontractor Labor FFP and T&M Hourly Rates

As used in this contract, the term “Subcontractor Labor FFP Hourly Rates” and “Subcontractor Labor T&M Hourly Rates” means the hourly labor rates applicable to work performed by Subcontractors under Firm Fixed Price (FFP) and Time and Materials (T&M) Task Orders. FFP and T&M Hourly Rates appearing in Section I Price Schedule 6.0 are “fully loaded” (i.e., total of the unloaded labor rate paid to the subcontractor’s employees assigned to those labor categories plus the subcontractor’s applicable indirect costs and fee if applicable).

Fully loaded Subcontractor Labor FFP and T&M Hourly Rates are negotiated and fixed at time of contract award.

Cost of Subcontractor Labor is considered to be an Other Direct Cost and shall be treated in accordance with Section I, Paragraph 4.2 for FFP and T&M Task Orders.

4.1.3 Overtime Fixed Loaded Labor Rate

The Overtime loaded labor rate reflects the hourly rate paid for “Overtime” work (i.e., performed Regular Loaded Labor Rate plus any “Overtime Premium.”)

“Normal Work cycle” means a two-week pay period of 80 workhours, unless otherwise mutually agreed to.

“Overtime” means time worked by a contractor’s employee in excess of the employee’s normal work cycle.

“Overtime Premium” means the difference between the contractor’s regular rate of pay to an employee and the higher rate paid for overtime.

Overtime shall be used only when approved in advance by the Contracting Officer.

4.2 ODC

As used in this contract, “ODC” means “Other Direct Costs.” ODCs are costs other than the Contractor’s direct labor costs and may include such things as subcontractor costs, travel and materials. Travel costs shall be reimbursed in accordance with FAR 31.205- 46.

4.2.1 ODC Indirect Cost Category, Base, and Rates

As used in this contract, “ODC Indirect Cost Category and Base” means the type of indirect cost (e.g., General and Administrative (G&A) Expenses, Facilities and

Administrative Costs (F&A), Overhead, etc.) and the base on which the indirect cost is applied (e.g., travel costs, subcontracting costs, all other direct costs).

4.2.2 ODC for FFP and T&M Task Orders

ODC Indirect Costs are permitted only to the extent that those costs are not already recovered as part of the Contractor’s FFP and T&M Hourly Rates. These rates are identified in Section I, Price Schedule 6.0.

4.3 Profit or Fee

4.3.1 Profit or Fee for FFP Task Orders

Profit or Fee may be applied to all costs from which the total FFP was calculated.

4.3.2 Profit or Fee for T&M Task Orders

Profit or Fee shall apply only to the contractor’s direct labor rates and is included within the Contractor’s T&M Hourly Rate. The contractor’s profit or fee may never be added to any Other Direct Cost (to include subcontractor labor, travel, materials, etc.).

SECTION II - DESCRIPTION / SPECIFICATIONS / STATEMENT OF WORK

1.0 BACKGROUND

The National Highway Traffic Safety Administration (NHTSA) is an agency of the U.S.

Department of Transportation (DOT). NHTSA’s mission is to save lives, prevent injuries and reduce economic costs due to road traffic crashes. The agency develops, promotes, and implements effective educational, engineering and enforcement programs with the goal of ending preventable tragedies associated with vehicle use and highway travel.

NHTSA’s Vehicle Research and Test Center (VRTC) manages and operates NHTSA’s Crash Test Dummy Management Laboratory (DML). The purpose of the DML is to manage the entire NHTSA inventory of anthropomorphic test devices (also referred to as “ATDs,” “crash test dummies”, or “dummies), instrumentation and replacement parts. In addition to managing the DML, VRTC also works closely with dummy manufacturers, and the biomechanics community, to advance the state-of-the-art in ATDs. The re-design of components of existing dummies and the development of new types or sizes of dummies is an on-going mission of the agency.

Today’s ATDs, used in the vehicle research and test environment, are sophisticated measuring systems whose design and manufacture involves trade-offs of: (1) the requirements to produce biofidelic kinetic and kinematic responses from which potential injury to vehicle occupants can be assessed, and (2) measurements that are repeatable in response to identical stimuli for each ATD and reproducible within every ATD of a model, and the need for the ATD’s to be durable for repeated usage. The ATD responses are measured by transducers installed within the ATD (such as angular tilt sensors, rotary potentiometers, and displacement transducers) using a variety of technologies (such as light emitting diodes, infrared light, etc.), and angular rate sensors, linear and angular accelerometers and force and moment load cells, etc.

Today’s ATDs have improved biofidelity and measurement capability over their predecessors. The use of on-board data acquisition systems (DAS) to store measurements within the ATD, in lieu of using external cables to carry signal and power to and from the ATD, creates further improvement. The ATDs are constructed of both rigid and compliant components with instrumentation capable of measuring, and in some cases storing, on-board the inertial and internal forces and kinematic motion that are experienced by the ATD in the vehicle test environment. The rigid structural components are usually constructed of metal, composites, etc., whereas the compliant polymer components are urethanes or other foams, rubbers, etc.

The equipment required to be maintained within the laboratory space for personnel performing the maintenance, test and deployment of the ATDs are: mechanical machines, test stands, fixtures, and data acquisition systems (DAS). The equipment also must be specifically designed to perform the qualification tests of the ATDs and ATD components, and for performing frequent calibrations and minor repairs of transducers.

The Original Equipment Manufacturers (OEMs) are generally required to calibrate the

DAS and to conduct major repairs of transducers. ATD maintenance requires an inventory of needed parts on hand to replace damaged components that are not repairable.

The requirements of the DML in managing the agency’s inventory include, but are not limited to:

• Repairing and refurbishing ATDs;

• Repairing and calibration of transducers;

• Repairing and calibration of data acquisition systems;

• Ordering, preparing and receiving the agency dummies, instruments and replacement parts provided as government furnished equipment (GFE) to NHTSA test sites; and

• Supporting the inspection, troubleshooting, investigations, testing and analysis of both existing and new dummies, transducers, and data acquisitions systems and associated documentation such as parametric models, 2-D drawings, user manuals and qualification procedures.

In support of this mission, NHTSA requires multiple contracts for supplies and services, with the suppliers of ATDs, parametric models and finite element (FE) models of ATDs, associated instrumentation and equipment.
