24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.
The Recipient therefore agrees:

Nothing in this Agreement, in and of itself, obligates the signatory parties to expend appropriations or to enter into any contract, assistance agreement, interagency agreement, or incur other financial obligations.
(3) The Recipient agrees to indemnify and hold the Government harmless from all liability for the Recipient’s own negligent acts and omissions and the results thereof. The Recipient assumes all risk, responsibility, and liability for itself, its agents, staff, employees and research personnel for monetary or other losses to persons, properties, the environment, or entities resulting in any manner from its performance under this Agreement or the conduct of its operations in which the products and services identified herein are utilized and/or furnished to others.

(6) In no case shall the Federal Government's financial liability exceed the amount obligated under this Agreement. ARTICLE 16 – SUSPENSION OR TERMINATION
The following definitions apply under this Article:

Suspension. Suspension means an action by a Federal sponsoring agency that temporarily suspends a Federal award, pending corrective action by the Recipient or pending a decision to terminate the award by the Federal sponsoring agency.
If the Recipient has failed to comply with the terms of this Agreement, MARAD may, but is not required to, suspend this Agreement, pending corrective action by the Recipient, or a decision by MARAD to terminate this Agreement in accordance with this Article. Recipient acknowledges and agrees that suspension is not a prerequisite for any termination of this Agreement by MARAD and that the Government’s forbearance in not suspending does not constitute a waiver of its right to terminate. MARAD shall allow all necessary and proper costs that the Recipient could not reasonably avoid during the period of the suspension provided that they meet the provisions of the applicable Federal cost principles and the appropriation limitations contained herein.
MARAD may terminate this Agreement for cause upon written notice to Recipient if MARAD has determined that Recipient has failed to comply with the terms of this Agreement. Either party may terminate this Agreement for convenience by providing the other party with thirty

The Associate Administrator for Administration will fix a date for written submissions or oral presentations, or both, by the Recipient and the Agreement Officer, or their representatives. The Associate Administrator for Administration shall hand down a written decision which shall be final and conclusive upon the parties as to questions of fact. The Contract Disputes Act of 1978 does not apply to this Agreement.
