About this file
This is a Request for Statement of Qualifications (RFSQ) issued by Utah Charter Academies, Inc. (UCA), a large charter school network in Utah currently operating seven campuses serving 5,451 students with an eighth campus in development. UCA seeks qualified municipal advisory firms to provide financial advisory services for the Series 2026 multi-campus financing project. The project encompasses three major capital initiatives: Eagle Mountain Campus (new $19.5 million K-6 facility with 62,000 square feet), West Valley 2 Expansion ($20.5 million auditorium complex and classroom expansion with 42,000 square feet), and Salem Campus Expansion ($13.4 million addition to accommodate grades 10-12 and additional elementary classrooms). The procurement method is value-based selection under Utah Procurement Code 63G-6a Part 15. Qualifications should be submitted via Bonfire or email to dsharette@apamail.org, with no specific deadline stated in the provided materials.
The evaluation criteria prioritize experience with large Utah networks (45% weight), particularly those with prior history with UCA or comparable scale operations, followed by personnel and continuity including the lead advisor's familiarity with UCA's financial history (35% weight), technical approach to UCA's pledged schools structure (10% weight), and references from large-scale Utah charter boards (10% weight). The selected advisor must demonstrate expertise in UCA's Master Indenture, Series 2015 and 2018 Bond covenants, and the Amended and Restated Custodial Agreement with Zions Bancorporation for proper segregation of state payments. Required services include fiduciary duties, strategy and planning for funding sources including bonds and bank loans, rating agency strategy development, feasibility reporting with pro forma projections, and regulatory compliance management including MSRB Rule G-42 disclosures. Pricing information should not be included in qualification submissions; the highest-ranked vendor will be selected to negotiate fair and reasonable compensation, with fallback provisions to subsequent-ranked vendors if negotiations fail.

RE: Notice of Request for Statement of Qualifications (RFSQ) – Municipal Financial Advisory Services
To All Interested Parties:
Utah Charter Academies, Inc. ("UCA") is pleased to announce a Request for Statement of Qualifications (RFSQ) for Municipal Financial Advisory Services related to our upcoming Series 2026 Project. As one of the largest charter school networks in the State of Utah—currently serving 5,451 students across seven operational campuses—UCA requires an advisor capable of managing the unique fiscal demands of a high-growth, multi-campus system.
Our 2026 financing initiative is exceptionally complex and involves three major capital projects:
● Eagle Mountain Campus: A new $19.5 million K-6 facility.
● West Valley 2 Expansion: A $20.5 million auditorium complex and classroom expansion.
● Salem Campus Expansion: A $13.4 million addition to accommodate new secondary grade levels.
Because these projects rely on a sophisticated Pledged vs. Non-Pledged revenue structure, the selected advisor must demonstrate a mastery of UCA’s existing Master Indenture and the Series 2015 and 2018 Bond covenants. Furthermore, a deep functional understanding of our Amended and Restated Custodial Agreement with Zions Bancorporation is mandatory to ensure the proper segregation of State Payments to specific school subaccounts.
UCA is prioritizing institutional continuity and specialized expertise in large-scale Utah charter networks. We are seeking a fiduciary who does not require a "learning curve" regarding our historical financial obligations, our management relationship with American Preparatory Schools, or our specific system-wide enrollment caps.
Qualified firms are invited to submit their Statements of Qualifications as outlined in the attached RFSQ. We look forward to reviewing your experience in supporting the continued growth and academic success of Utah Charter Academies.
Sincerely, The Governing Board
Utah Charter Academies, Inc.
