About this file
This Business Associate Agreement (BAA) is a supplemental contract document between the County of Rockland, New York, on behalf of various departments, and a business associate contractor/consultant. The BAA governs the handling of Protected Health Information (PHI) in connection with Medical Laboratory Services provided to multiple county departments including the Rockland County Correctional Facility, Department of Health, Department of Mental Health, and Medical Examiner's Office. The laboratory services encompass routine chemistry and hematology, microbiology, toxicology, STI/public health panels, forensic/medical examiner testing, correctional health panels, and molecular/PCR testing for emerging pathogens. The agreement incorporates compliance requirements under HIPAA, the HITECH Act, and the HIPAA/HITECH Omnibus Final Rule effective March 26, 2013, and becomes effective upon execution of the primary agreement, surviving any termination of that agreement.
The BAA establishes comprehensive obligations for the business associate regarding the use, disclosure, and safeguarding of PHI, including requirements to implement administrative, physical, and technical safeguards protecting the confidentiality, integrity, and availability of electronic PHI. The business associate must notify the county within five calendar days of discovering any breach of unsecured PHI and must reimburse the county for all notification expenses. The business associate is fully liable for any breaches and shall indemnify the county against all resulting claims, losses, and costs, including legal fees and HIPAA breach notification expenses. Upon termination of the underlying agreement, the business associate must return or destroy all PHI within the county's possession, or if infeasible, continue providing protections under the BAA. The agreement permits no termination unless all PHI is destroyed or returned, ensuring indefinite compliance obligations for retained information.
