About this file
This is a Request for Quotation (RFQ) for Blanket Purchase Agreements (BPAs) for Class 6 Filing Cabinets issued by the GSA Federal Acquisition Service. The solicitation seeks multiple vendors to supply 12 different National Stock Numbers (NSNs) of filing cabinets, with an estimated total contract value of $5 million for a one-year base period and an optional one-year extension. The procurement is specifically for filing cabinets that must be on the Qualified Products List (QPL) in accordance with Federal Specification AA-F-358.
Key details include a requirement for vendors to submit quotes via email by the specified due date, with multiple BPAs potentially awarded based on best value evaluation criteria. The evaluation will consider technical acceptability, past performance, shipment time, and price, with preference given to faster shipping times. The solicitation includes a small business set-aside, with at least 40% of orders designated for small business concerns. Vendors must be able to process orders electronically through either Vendor Portal (VP) or Electronic Data Interchange (EDI), with delivery required within 90 calendar days after order receipt. The government reserves the right to allocate orders proportionally among awarded contractors, with percentages varying based on the number of awarded agreements.

The resulting award(s) will be for Open Market BPAs, with an estimated value of $5M for a one-year base period, with an optional one-year period, after an annual review. The estimated quantities for the BPAs are indicated on pages 7 of this RFQ. The Federal Acquisition Service, Supply Chain Management (SCM) Contracting Division, General Products Branch may issue orders against these BPAs for items listed herein. This is not a contract. A binding agreement only arises if SCM issues an order, and the order is accepted by the BPA holder. Estimates contained herein are provided for informational purposes only. There is no guarantee that any orders or any specific number of orders will be issued. Any delivery orders issued will be pursuant to the evaluation of the quotes received. This is only a request for pricing. DO NOT SHIP.

PART II - CONTRACT CLAUSES
FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed two (2) years.
(End of clause)
TIME OF DELIVERY
(a) The Government requires delivery to be made according to the following schedule:
Shipment is required within 90 calendar days after receipt of order. Each delivery order will specify that shipment is required no later than the number of days shown above. If such order also states that “Early Shipment is Precluded,” the Contractor agrees to make shipment no sooner than the calendar days after receipt of order specified on the order. Earlier shipments may result in nonacceptance of the supplies at the delivery point at the time of arrival.
(b) Attention is directed to the BPA Award provision of the solicitation that provides that a written award or acceptance of an offer email, or otherwise furnished to the successful offeror, results in a binding agreement. The Government will email or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through email. However, the Government will evaluate an offer that proposes delivery based on the Contractor’s date of receipt of the agreement or notice of award by adding one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
52.232-40 Providing Accelerated Payments to Small Business Subcontractors (MAR 2023)
(a)(1) In accordance with 31 U.S.C. 3903 and 10 U.S.C. 3801, within 15 days after receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.
(2) The Contractor agrees to make such payments to its small business subcontractors without any further consideration from or fees charged to the subcontractor.
(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.
(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial products or commercial services.
Economic Price Adjustments (EPA)
EPAs will be at the CO discretion and will be limited to once per year, during the performance period. Price adjustments will only be considered if market conditions warrant percentage change from the last adjustment period. Contractors shall provide documentation to support price adjustments. To ensure the awarded positions (primary, second, third, etc.) are retained, the Government will consider all documentation submitted, as well as market research conducted to determine a fair and reasonable price increase/decrease. Any market conditions that warrant economic price changes beyond once per year will be considered at the sole discretion of the Contracting Officer.
52.232-39 UNENFORCEABILITY OF UNAUTHORIZED OBLIGATIONS (JUN 2013)
(a) Except as stated in paragraph (b) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(1) Any such clause is unenforceable against the Government.
(2) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government, or any Government authorized end user to such clause.
(3) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(b) Paragraph (a) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
