“MARSHALING SERVICES DEFINITIONS” Below
Marshalling Services Definitions
· Automated Clearing House (ACH): An electronic network for financial transactions in the United States. ACH processes large volumes of credit and debit transactions in batches. ACH credit transfers include direct deposit, payroll and vendor payments. Further information can be found at Bureau of Fiscal Service.
· Contract Line Item Number (CLIN): Specifies the commodities being acquired for traceable accounting classification on a federal government contract. CLINs are vital for reporting and billing purposes within the contractor's accounting system.
· Damage in Transit (DIT): This is damage that occurs to new vehicles while in transit to the marshalling contractor’s location. Marshalling contractor must follow the instructions provided in the PWS to report damage in transit to the appropriate manufacturer’s representative.
· Duns and Bradstreet Number (DUNS): A DUNS number is a unique, non-indicative 9-digit identifier issued and maintained by Duns and Bradstreet (D&B) that verifies the existence of a business entity globally. D&B assigns DUNS numbers for each physical location of a business. The DUNS Number is the global standard for business identification and tracking and can help prospective business partners find you. Obtaining a DUNS number is FREE, http://www.dnb.com/duns-number.html.
· Exchange Vehicle: Vehicles turned in to the marshalling contractor from a customer agency. Exchange vehicles may be designated for either sale or reassignment.

· Reassignment Vehicles: Vehicles that have been turned in to GSA from a customer for subsequent reassignment to a different GSA customer. These vehicles will be turned in at the marshalling contractor’s location.
· Sale Vehicles: Vehicles that are turned in to GSA for disposal by auction. These vehicles will be received at the marshalling contractor’s location for inspection prior to being picked up by the auction facility.
· System of Award Management (SAM.gov): The System for Award Management (SAM) is an official website of the U.S. government. There is NO cost to use SAM.gov. Register to do business with the U.S. government for free by going to the web address https://www.sam.gov/portal/SAM/#1. Find free help with your SAM registration on the HELP tab, including user guides, videos, and FAQs.
· Vehicle Accountability Form (VAF): GSA created form (may be paper or electronic) that allows for the quick and easy capture of necessary vehicle identifying information as well as interior/exterior condition elements when a vehicle is received at the contractor’s facility and/or if transported to or from another location.
· Vehicle Fleet Exchange (VFE): Government web-based application utilized by GSA Fleet Customer(s) to schedule appointments to exchange GSA Fleet leased vehicles.

WEX card, (Government authorized Fleet Services Credit Card): Fleet Services card is the generic name for the Smart Pay program that issues the contract. It is a commercial purchase card for fuel, maintenance, and repair services. Each Fleet Services Card is assigned to a specific vehicle and is only to be used for the vehicle identified on the card. The Fleet Services Card may be used in lieu of VCSS for charges totaling $99 or less per transaction; each transaction over $100 requires contractors to contact the MCC for a Purchase Order. WEX is “Wright Express”, the current commercial provider contract holder, who may change over time. Notations throughout the SOW will be “Fleet Services Card (WEX)” for consistency. For contractor sites where the TO-COR has chosen GSA Fleet’s Service Card provider as the method of payment the invoice will follow the card provider’s specifications and contain: transaction date, unique invoice number, GSA license plate number, VIN, current odometer reading, total amount, number of units, price per unit, total dollar amount and a product code of the service provided.

INSPECTION AND ACCEPTANCE
52.246-4
INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)
(a) Definition: "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform to contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by re-performance, the Government may—
(1) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements; and
(2) Reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may--
(1) By contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service; or
(2) Terminate the contract for default.
52.246-16
RESPONSIBILITY FOR SUPPLIES (APR 1984)
(a) Title to supplies furnished under this contract shall pass to the Government upon formal acceptance, regardless of when or where the Government takes physical possession, unless the contract specifically provides for earlier passage of title.
(b) Unless the contract specifically provides otherwise, risk of loss of or damage to supplies shall remain with the Contractor until, and shall pass to the Government upon—
(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or
(2) Acceptance by the Government or delivery of the supplies to the Government at the destination specified in the contract, whichever is later, if transportation is f.o.b. destination.
(c) Paragraph (b) above shall not apply to supplies that so fail to conform to contract requirements as to give a right of rejection. The risk of loss of or damage to such nonconforming supplies remains with the Contractor until cure or acceptance. After cure or acceptance, paragraph (b) above shall apply.
(d) Under paragraph (b) above, the Contractor shall not be liable for loss of or damage to supplies caused by the negligence of officers, agents, or employees of the Government acting within the scope of their employment.
E-FSS-7FC-102
INSPECTION AND ACCEPTANCE
Upon completion of the repair and/or services of each item, the Contractor shall inspect, test or check each completed end item to the extent necessary to verify compliance with contract terms and conditions prior to submission to the Government for inspection and acceptance.
E-FSS-7FC-122
VEHICLE SAFETY
Recognizing that the safety of the vehicle is paramount at all times, whenever a Contractor deficiency is directly related to vehicle safety, such as repairs to brake systems, running gear, fuel systems, or throttle linkage, etc., and has been officially reported to the Contracting Officer, and at the direction of the Contracting Officer, the Contractor shall correct such deficiency at no cost to the Government. In addition, until the deficiency is resolved, the Contractor may be instructed to stop work on all Government vehicles in his shop that are having repairs performed which are of the nature of the deficiency. Safety-related deficiencies found in vehicles or failure to correct such deficiencies, or otherwise comply with this clause, may be cause for termination for default.
SECTION F
DELIVERIES OR PERFORMANCE
WAIVER OF DELIVERY SCHEDULE (APR 1984)
(a) None of the following shall be regarded as an extension, waiver, or abandonment of the delivery schedule or a waiver of the Government's right to terminate for default: (i) delay by the Government in terminating for default; (ii) acceptance of delinquent deliveries; and (iii) acceptance or approval of samples submitted either after default in delivery or in insufficient time for the Contractor to meet the delivery schedule.
(b) Any assistance rendered to the Contractor on this contract or acceptance by the Government of delinquent goods or services hereunder, will be solely for the purpose of mitigating damages, and is not to be construed as an intention on the part of the Government to condone any delinquency, or as a waiver of any rights the Government may have under subject contract.
F-FSS-290 DELIVERY HOURS (APR 1984) - Where prices are quoted and accepted on a destination basis, delivery shall be performed between the hours of 8:00 a.m. and 4:00 p.m., Eastern time, Monday through Friday, holidays excluded.

52.204-13 System for Award Management Maintenance.
System for Award Management Maintenance.
(Jul 2013)
(a) Definitions. As used in this clause—
“Data Universal Numbering System (DUNS) number” means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities, which is used as the identification number for Federal contractors.
“Data Universal Numbering System+4 (DUNS+4) number” means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at subpart 32.11) for the same concern.
“Registered in the System for Award Management (SAM) database” means that—
(1) The Contractor has entered all mandatory information, including the DUNS number or the DUNS+4 number, the Contractor and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see Subpart 4.14), into the SAM database;
(2) The Contractor has completed the Core, Assertions, Representations and Certifications, and Points of Contact sections of the registration in the SAM database;
(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The Contractor will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and
(4) The Government has marked the record “Active”.
“System for Award Management (SAM)” means the primary Government repository for prospective Federal awardee and Federal awardee information and the centralized Government system for certain contracting, grants, and other assistance-related processes. It includes—
(1) Data collected from prospective Federal awardees required for the conduct of business with the Government;
(2) Prospective contractor-submitted annual representations and certifications in accordance with FAR Subpart 4.14; and
(3) Identification of those parties excluded from receiving Federal contracts, certain subcontracts, and certain types of Federal financial and non-financial assistance and benefits.
(b) The Contractor is responsible for the accuracy and completeness of the data within the SAM database, and for any liability resulting from the Government’s reliance on inaccurate or incomplete data. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis, from the date of initial registration or subsequent updates, its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(c)
(1)
(i) If a Contractor has legally changed its business name, doing business as name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to—
(A) Change the name in the SAM database;
(B) Comply with the requirements of subpart 42.12 of the FAR; and
(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor shall provide with the notification sufficient documentation to support the legally changed name.
(ii) If the Contractor fails to comply with the requirements of paragraph (c)(1)(i) of this clause, or fails to perform the agreement at paragraph (c)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.
(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM. Information provided to the Contractor’s SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the EFT clause of this contract.
(3) The Contractor shall ensure that the DUNS number is maintained with Dun & Bradstreet throughout the life of the contract. The Contractor shall communicate any change to the DUNS number to the Contracting Officer within 30 days after the change, so an appropriate modification can be issued to update the data on the contract. A change in the DUNS number does not necessarily require a novation be accomplished. Dun & Bradstreet may be contacted
(i) Via the internet at http://fedgov.dnb.com/webform or if the contractor does not have internet access, it may call Dun and Bradstreet at 1-866-705-5711 if located within the United States; or
(ii) If located outside the United States, by contacting the local Dun and Bradstreet office.
(c) Contractors may obtain additional information on registration and annual confirmation requirements at https://www.acquisition.gov.
