About this file
This is a Letter of Conditional Agreement template for the Strategic Thinkers Program (STP) solicitation 47QFHA25K0010 issued by the U.S. General Services Administration. The agreement confirms that a university has secured a commitment from the current STP director to provide instructor services, specifically teaching the director's proprietary "Art of War" curriculum, for the base year and two option years should the university be awarded the contract. The STP director may maintain other teaching commitments provided they do not conflict with these obligations, and the specific terms of employment, including tenure status, benefits package, and compensation details, will be negotiated between the university and the director following award.
The conditional agreement is limited to the referenced solicitation only and does not constitute a commitment for future solicitations or other purposes. The agreement remains valid through contract award, at which point it becomes binding only if the university receives the award. The STP director is prohibited from disclosing whether similar conditional agreements have been executed with other offerors, and the tentative offer containing employment terms is to be sent only to the STP director and shared with the government only if mediation is required between the parties. The letter must be signed by both the STP director and the university representative to be valid.

4. The specific terms of employment will be negotiated between UNIVERSITY and the STP Director (Contractor) and will remain in place for the duration of the contract.
