Description of Amendment:

Amendment 002 hereby issues the following changes to Solicitation 47PF0020R0003

1. Section B2, Paragraph E:

a. REMOVE the following sentence: "Each proposal shall provide proposed co‐working options in each of the tiers outlined below. All cities do not need to have a current offering."

b. REPLACE with the following sentence: "Each proposal shall provide proposed co‐working pricing in each of the tiers outlined in B3. All cities do not need to have a current offering in all tiers to be considered for award."

3. Section B4. Pricing Schedule is revised and included in pages 4 through 8 of this amendment document.

The changes made to B4 are as follows:

a. CLINs 004, 005, and 006 shall be changed to reflect 31‐90 calendar days, 91‐180 calendar days, and 181‐360 calendar days, respectively.

b. The "Note" at the bottom of the pricing chart shall be changed to state, "Note: Percentage of discount is based off of the daily rate listed in CLINs 001, 002, and 003. Offerors must write a number in CLINs 004‐009. If no discount is offered, "0" is required in the CLIN row.“

4. Section C1. Scope of Work:

a. Paragraph 2:

i. REMOVE the sentence, “In addition to co‐working space infrastructure, the Government requires furnished office space, communal printer/copier/fax, telecommunications, secured wireless internet, shared kitchens, restrooms, access to private group meeting rooms and open seating areas.

ii. REPLACE with the sentence, “In addition to co‐working space infrastructure, the Government requires furnished office space, communal printer/copier/fax, telecommunications, secured wireless internet, shared kitchens, and restrooms.”

b. Paragraph 3:

i. REMOVE the words, “and meeting rooms.”

c. Paragraph 4:

i. REMOVE the words, "oversight for the online booking platform."

5. Section C5. Data:

a. REMOVE the following sentence, "All Contract participants shall sign a non‐disclose and non‐ compete agreement to restrict use and protect confidential and proprietary information."

6. Section L.6. Instructions for Submitting Proposals

a. FACTOR 1: Experience

i. REMOVE the following sentence, “Flexible Coworking was provided at no less than 4 geographical locations under this reference.”

ii. REPLACE with the following sentence, “Flexible Coworking was provided at no less than 4 individual locations under this reference.

7. Section L , Attachment A and Attachment A.1 are included as pages 9 through 10 of this amendment document. The changes are as follows:

a. Attachment A – Remove the term “geographical location” and replace with the term “individual location.”

b. Attachment A.1 ‐ Remove the row titled “geographical location”

8. REMOVE Section M3. Total Evaluated Price and REPLACE with the following:

a. M.3. Total Evaluated Price

The total evaluated price will be determined by multiplying prices from Section B ‐ SERVICES, ORDERING, AND PRICES by an estimated quantity of 1,000 for each work space type (including all line items, for the BASE period and all OPTION periods). The summation of the resultant amounts will produce a total evaluated price.

9. Pages 11 through 21 of this amendment contain all questions pertaining to the solicitation received by the contracting office to date. The corresponding answers are also provided. The cut‐off date for questions was January 28, 2020 at 12pm CT.

10. The closing date of the solicitation, and deadline for proposal submission, is hereby changed from February 11, 2020 at 2:00 PM Central Time to February 18, 2020 at 2:00 PM Central Time.

Flexible Coworking Services (FCS) Nationwide Indefinite Delivery, Indefinite Quantity (IDIQ) Contract

1. Can the Government estimate the likely volume of business under the IDIQ? Can it do so by city?

No.

2. Will the Government ever use this IDIQ to take exclusive space?

3. Which agencies are likely to use this contract? Will Federal contractors also use the space?

General Services Administration (GSA) Public Building Service (PBS) will have sole order authority for this contract; however, GSA PBS may contract for space under this vehicle on behalf of any government agency and its employees, inclusive of the agencies’ federal contractors.

4. The required past performance references must include services in 4 “geographic locations”. What does that mean? Do different locations within one metro area work? Or must each referenced contract cover 4 metro areas?

Refer to Amendment 002 for clarification. Geographic location has been amended to individual location. The solicitation asks for four separate locations, so as long as the locations are separate and not co‐located, that is acceptable. As stated in the solicitation, offerors shall submit references for contracts they have held to demonstrate experience and past performance. The required experience for each contract submitted must show that the offeror has performed under this contract in the past 3 years, offered at least 10 workspaces at each location under the contract, provided coworking in at least 4 locations under this contract, provided a mix of the solicitation’s required work spaces under this contract, and that the offeror was the prime contractor in this contract.

5. Is 50% of the business set aside for small businesses? If so, is that 50% of the annual revenue under the program or some other 50% metric?

This procurement is a partial small business set aside. The partial small business set aside does not impact the requirements of the solicitation. Refer to Section I for clauses pertinent to partial small business set aside status. For questions regarding the Small Business Program, contact your local SBA representative.

6. What happens if an offeror is awarded the contract as a small business, and its status changes

(perhaps as a result of this contract) during the term of the IDIQ?

Nothing happens during the life of the contract. For questions regarding the Small Business Program, contact your local SBA representative.

7. Does a small business need to meet all of the same past performance requirements that a large business must meet?

Yes, unless participating in the SBA’s Small Business Certificate of Competency Program. For questions regarding the Small Business Program, contact your local SBA representative.

8. The RFP states that each participant must sign a “non‐disclosure and non‐compete agreement”.

What is that?

Refer to Amendment 002. This requirement has been removed from Section C5.

9. How will individual task orders be solicited?

10. Where is Attachment A and A.1 that you were referencing during the call?

Both are contained in Section L, pages 67 and 68 of the pdf solicitation document.

11. Do we need to address CPARs in our submission?

No.

12. Representations and Certifications ‐ what should be submitted and in what format?

Ensure your SAM.gov records contain your full Reps and Certs for all NAICS prior to submission. See Section K of the solicitation for all further Representation and Certification requirements.

13. Can you give any insight in terms of volume for ordering?

No estimate is available.

14. Clarify the commitment in terms of # of people and how long (months)?

Refer to Amendment 002 for changes to the B4. Price Schedule. CLINS 001‐003 require a daily rate.

CLINs 004‐006 give offerors the opportunity to offer a percentage discount for commitments exceeding 30 calendar days. CLINs 007‐009 give offerors the opportunity to provide a percentage discount for quantity of users, as listed in the updated B4 Price Schedule.

15. Clarify the definition of “small business” under set aside. Based on employee count? Or annual gross receipts? Clarify NAICS code.

The NAICS Code for this procurement is 531120, with a size standard of $30 Million or 500 employees. For questions regarding the Small Business Program, contact your local SBA representative.

16. How are you applying small business set aside at the IDIQ level and at the task order level?

This procurement is a partial small business set aside. The partial small business set aside does not impact the requirements of the solicitation. Refer to Section I for clauses pertinent to partial small business set aside status. For questions regarding the Small Business Program, contact your local SBA representative.

17. How else will you encourage small business participation? For example, would you consider accelerated payments?

Refer to Section I of the solicitation.

18. If a Small Business partners with an Other than Small Business, do they still qualify for Small Business set aside?

No, unless part of the Small Business Mentor Protégé Program through SBA. Contact your local SBA representative for questions regarding the small business program.

19. You stated you need a location in each of the 3 tiers but later stated that not every tier has to have a current offering….to clarify ‘is it that we must have a current operating location in each tier’?

Refer to Amendment 002. Each proposal shall provide proposed coworking pricing in each of the tiers outlined in the solicitation. All cities do not need to have a current offering in all tiers to be considered for award.

20. What is the definition of a “workstation?” A cubicle/table/sofa chair?

Refer to Section C for the requirements of the solicitation.

21. When we have a price outlined for tier 1, that price should be applicable for any location in tier 1?

Correct.

22. How many business days per month should be used to calculate the discount percentages?

Refer to Amendment 002 for updated B4. Pricing Schedule units of measure.

23. In section C 1, paragraph 4, “oversight for the online booking platform” is mentioned. Is there a preferred online booking platform? Do you have it now? Is this something you would be looking for the awardee to set up and manage?

Refer to Amendment 002. “Oversight for the online booking platform,” has been removed from the requirements.

24. Can other agencies order against this IDIQ directly?

See Section F.5 Procedure for Ordering Services.

25. Section B4 ‐ commitment terms ‐ If a customer needs a 6‐12 month commitment with 1‐2 users or 8‐9 users, should they expect multiple discounts?

The B4. Pricing Schedule charts will become the awardees’ contract pricing upon contract award.

Therefore, any discounts in CLINs 004‐009 will be applied at the task order level for both the commitment term and the number of occupants.

26. On the pricing table, are ranges acceptable because it takes into consideration multiple cities? Or do you prefer a specific price?

One daily rate price per tier is required in Section B4. Price Schedule, CLINs 001, 002, and 003.

Failure to propose a unit rate in B4. CLINs 001, 002, and 003 will result in the government's inability to evaluate the price proposal, as it will be nonconforming to the solicitation requirements.

27. In C1, paragraph 2: Should the offered prices in Section B pricing chart be inclusive of the additional services (printer, wireless, etc) associated with the requirements listed?

The solicitation requires a fixed daily rate.

28. Could you clarify what you mean by “telecommunications”?

Telecommunication is a broad term referring to the use of technology in the exchange of information. Refer to Section C of the solicitation for the requirements of the solicitation.

29. Do you expect “drop in” access to be used during the weekend hours?

Access to space will be required at the task order level of this contract. Requirements for task orders will be defined at that time. Refer to Section B2.C and the pricing tables of B4.

30. Is there any mechanism considered for consumables that go along with the office space? (ex) fee to print.

Section C lists the requirements of the government. All requirements are to be included in the fixed rate in Section B.

31. Does each property need a separate sam.gov account, or is that for each company?

SAM.gov registration is required for the prime contractor.

32. What happens after the RFP is submitted on Jan 30th? What are the next steps?

GSA will evaluate the proposals as described in Section M of the solicitation. Any necessary communication after proposal submission will occur only through the Contracting Officer.

33. Do we include a list of open locations and upcoming locations? Does network size matter?

Offerors are encouraged to submit as much detail in their Management Plan & Approach as they see fit to provide the government with a well informed understanding of the offeror’s ability to fulfill the need of the requirement in all three tiers, geographical capability, organization structure, and key personnel. Refer to Factor 3: Management Plan & Approach in Sections L and M of the solicitation.

34. Size/square foot per workstation, minimum/maximum desk size? Some providers offer 35 sf/desk, others 60sf/desk. This is a large swing in pricing.

There is no workstation size requirement in the solicitation. Refer to Section B2. E and Section C for the types of workspaces required by this solicitation.

35. Are meeting rooms considered consumables?

The requirement for meeting rooms has been removed from Section C via Amendment 002. Refer to Section B and Section C for the workspace requirements.

36. Will task orders include dedicated meeting rooms and specialized equipment as this would be a different rate than a workstation rate?

Refer to the solicitation and amendments for the workspaces required.

37. How should we present security and compliance features?

It is at the discretion of the offeror to include applicable information in their proposal as they see fit.

Refer to Section L, Factor 3, Management Plan & Approach, which requires illustration of how operations are conducted at a firm's locations.

38. Do you expect people to work from one location full‐time, a few days/week, occasionally?

The Contractor shall provide temporary on‐demand, cost‐effective workspace as a service to the Federal Government for the services outlined in Section B and in accordance with the following general specifications.

39. What does the various months commitment mean for workstations? For example, are you saying that for a 4 month commitment GSA will commit to paying for that user to use a UW or RW every day during those 4 months?

Requirements for services, including the length of time per requirement, will be determined individually at the task order level. Refer to Section B4 and Amendment 002.

40. Similar question with regards to number of users. For example, does the 4‐8 users mean that GSA will commit to paying for 4‐8 users to use a UW or RW every day? If not, what does this represent?

As you can imagine having 4 users who only use one day each per month is much lower overall volume than 1 user who uses a desk 20 times per month. Therefore, it isn’t clear what GSA’s commitment is in order to calculate an appropriate discount for you.

The number of users is the number of workers that require workstations. The time commitment pertains to the number of days being ordered. See CLINs listed in Section B4 and Amendment 002.

The requirements will be defined at the task order level as needed.

41. Do either of the commitments above pertain to meeting rooms? If so, how? For example, does a 1 month meeting room commitment mean that GSA will commit to paying for that meeting room every day for a full month?

Refer to Amendment 002 and the solicitation for the types of workstations required. Meeting rooms are not required. Length of commitment for workspaces required in the solicitation will be ordered at the task order level and will be determined on an individual basis by requirement. Refer to Section B and Amendment 002 for Pricing Schedule.

42. How do you want us to break up the meeting room price based on size? As you can imagine, a example a 2‐person meeting room is much less expensive than a 25‐person meeting room Should we apply a breakdown as follows: daily price for a meeting room for 1‐3 people, 4‐8 people, 9‐24 people, and 25‐50 people?

See Amendment 002, Section B2, and Section C for the types of workstations requested by the solicitation.

43. If parties are submitting a proposal as a JV, must each JV member be registered in SAM? Or just the lead JV member, or just the JV itself? And if each JV member is not required to be registered in SAM, how will GSA assess each member’s status as a small business?

Please contact your local Small Business Administration Representative for questions pertaining to the All Small Joint Venture Program, the Mentor Protege Joint Venture Program, Joint Venture Agreements, and Teaming Arrangements. There are also online resources available on the websites of both GSA and SBA where details explaining these types of partnerships can be found.

44. Our understanding is that (i) the Government is only considering contracting with actual flexible workspace service providers that have control over their own shared office space locations, and (ii) the Government is not considering contracting with third party aggregators seeking to source desks in locations controlled by unrelated providers. Is this correct?

The government is seeking the requirements defined in the solicitation. There is no restriction on provider type, only requirements of the solicitation which must be met for eligibility of contract award. It is the responsibility of the offeror to determine the way in which said requirements are met.

45. If parties are submitting proposals as a JV, will the government require that a binding joint venture agreement exist between the parties (e.g., a partnership or LLC agreement), and that the executed JV agreement must be submitted with the proposal?

47. Will the Government allow the use of 11x17 pages for large tables and graphics?

Page formatting is at the discretion of the offeror as long as the requirements of the solicitation are met.

48. Are printing and copying services to be included in the pricing or for example will cost for printing by number of pages be an additional fee at the time of Service? If variable costs associated with printing or copying etc. are to be included in the price proposal, can the Government please provide anticipated volumes by user?

There are no additional fees for service at the task order level. The daily rate offered shall be a fixed, lump sum rate.

49. Would GSA consider a deadline extension of two weeks in order for firms to complete their SAM registration?

The deadline has been extended. The current closing date of the solicitation is February 18, 2020.

50. If each coworking location is held in a separate and unique LLC, does each LLC need to be registered in SAM to be eligible for award? Or can this be completed post‐award?

In terms of prime contractors and subcontractor relationships, prime contractors are responsible for managing their subcontract relationships. Refer to Section I of the RFP for further information.

51. Does a coworking operator need a Tier 3 location in order to be responsive to the RFP? (There seems to be a contradiction on page 65. The first sentence on page 65 states: “Each proposal shall provide coworking options in at least four geographic locations. All Tiers do not need to have a current offering.” However, under Management Plan & Approach, it says (emphasis mine): “This factor considers the offeror’s management approach to fulfill the need of the requirement in all three required location tiers.” Tiers 1 and 2 cover all of the country’s major MSAs, so meeting the requirement for a Tier 3 location will be very difficult to achieve for any provider.)

Refer to Amendment 002 for clarifying language in Sections B and L. In accordance with the solicitation, Section L, Experience and Past Performance references are not required in all three tiers to be considered eligible. Management Plan & Approach considers the offeror’s approach to fulfill requirements in all three tiers.

52. Does GSA interpret a “neutral” in the rating rubric to mean the factor is removed from consideration or the factor is evaluated as “average”?

FAR 15.305(a)(2)(iv) states, “In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.” Therefore, failure of the offeror to provide a minimum of three relevant references that meet the criteria listed above, and/or the inability of the Government to complete a minimum of three reference checks, after making a reasonable effort to do so, will result in the offeror being rated as “neutral” on the past performance factor.

53. Please confirm that the small‐business size standard for NAICS 531110 is $30 million for this solicitation (page 57).

54. Since multiple markets are listed in each of the tiers, is the pricing we provide assumed to be applicable to any of the markets listed in that Tier? For example, if we provide a rate of $100 a day for a reservable office for Tier 1, is that expected to cover an office in both New York and San Francisco? Would we have an opportunity to provide different pricing at the time of the award when we know the city in question – or should we list the max rate that could cover any of the markets in that tier?

The daily rate and all pricing contained in Section B will be evaluated for contract award of the base contract vehicle, as described in the solicitation. It is at the discretion of offerors to submit lower pricing at the task order level, but higher rates will not be accepted at the task order level.

55. Discounts – when we offer a term discount and a user discount, would those be considered together as a double discount, or would they be considered separately?

Any applicable discount offered in Section B will be applied to offers at the task order level.

56. Task orders – is each task order given for a specific use/term at a specific location?

Yes, task orders will be solicited throughout the life of the contract. Each task order solicitation will contain a scope of work based on the current coworking need, specific to each requirement.

57. We have almost 2 dozen coworking locations, mostly centered in Northern CA. How do we submit the details of each location? Do you want pricing for each individual location or just pricing for Tier 1 locations and, in our case Tier 3 locations? We can provide address and contact information, or we can submit a detailed Excel spreadsheet which provides the detail specifics of each to our Form 1449? Which would be the best, and most helpful option to GSA for making the consideration?

It is the responsibility of the offeror to conform to the requirements of the solicitation. Price proposals shall conform to the Section B provided. Refer to Section L and Section M for further details regarding proposal submission requirements.

58. A related question, do we need to provide 3‐5 referrals for each location or do you want 3‐5 referrals which covers the basis for our entire submission?

The solicitation requires at least three experience and past performance references for contracts in which the offeror provided co‐working services in at least four individual locations under said contract. The point of contact listed on the reference form will be asked about the offeror’s performance on the contract, as described in the solicitation. Please read the requirements listed in Section L and Section M, as well as Amendment 002.

59. Regarding B3. LOCATION TIERS ‐ In reviewing the link to Census data, we are unable to find direct reference to Tiers. Can you provide a list of all cities and their respective tiers.

Refer to Amendment 002 for tier clarification. Tier designations are unique to this requirement.

Use the linked census map to identify the boundary of each metropolitan statistical area of each identified city.

60. Past Performance ‐ Can the past performance of a teaming partner be used as past performance of the bidding company?

The prime contractor making the offer is required to be the prime contractor in the past performance reference. If the location was provided by a subcontractor, the offeror is still required to have been the prime contractor in the reference.

61. Extension Request ‐ Since there are so many questions outstanding, will the government consider extending the due time of the RFP?

The closing date and time has been extended via Amendment 001 and Amendment 002.

62. How many companies will be chosen for the IDIQ?

Not determined.

63. How will the government evaluate the financial stability of respondents?

Responsibility determinations will be conducted in accordance with Federal Acquisition Regulation Part 9. Refer to the solicitation for matters relative to responsibility.

64. The RFP also asks for “Number of Workspaces Available”. I am confused by this wording. Is this question asking for the total number of workspaces available at the coworking location where the reference contracted for workspace OR the total number of workspaces the reference contracted for?

Factor 1: Experience requests the number of workspaces per each location under the contract in which the offeror is referencing.

65. True or False: Does a company included in Factor 2, Past Performance have to be one of the companies listed under Factor 1, Experience?

Submissions for past performance must conform to the criteria for relevancy listed under the experience factor in order to be eligible for evaluation. The government will use all relevant information available, as stated in the solicitation.

66. Since price is primarily driven by location, how is one to determine a single price for a product type for all of the cities in a particular Tier?

Pricing methodology is at the discretion of the offeror.

67. Is the Total Evaluated Price only calculated on the Tier 1‐3 Rates as shown in CLINS 101‐103? Or are the % of Discount from Daily Commitment CLINs (004‐009) utilized in the calculation of TEP?

68. When concluding Factor 2, Past Performance, the government states: “. . .No further information is required from offeror’s for this evaluation factor. . .”1) What information does the government want to see in Factor 2? Is the offeror tasked to use the 3 – 5 Past Experience pieces from Factor 1 and then address, for example: “. . . overall quality of performance, record of conforming to contract requirements and to standards of good workmanship; the offeror’s adherence to contract schedules, including the administrative aspects of performance; the responsiveness of management.

Given the importance of the location of our business centers to our clients, many of our customers, including our large enterprise customers, engage with us locally rather than under an enterprise agreement. 1) May we submit a client reference for an enterprise client who uses services in multiple geographic locations under separate purchase Agreements? 2) May we submit additional attachment A and A.1. documents to demonstrate the true geographic value we offer which may not be apparent based on the limitation that we must demonstrate 4 geographic locations under the same attachment A when it may be possible to show hundreds of geographic locations under separate attachment A but would otherwise be severely limited by having to group them under the same purchase order, contract, or enterprise agreement?

71. For every site we are offering do we need to have a reference Attachment A, I see that you are asking for only 5 but we have 36 locations. Please advise.

72. On the relevancy checklist for each location under reference offered at least 10 flexible workspaces‐ does this mean if we have a Suite / large room that offers room for 10 or 100 people for example can I mark this locations as offering space for 10‐50 workspaces or does this mean you need to have 10‐40 individual workspace stations?

In accordance with the instructions to offerors in the solicitation, this number of workspaces provided refers to the number of spaces provided under the contract being submitted as a reference for experience.
