MISO Unbundled EAC Buy

Q&As *Any changes to the Solicitation made as a result of the submitted questions will be highlighted in bold font in the revised Solicitation attached to this Amendment.

Q1. Contractor requests the right to withdraw its price(s) at any time prior to bid being awarded.

A1. Please refer to the solicitation at Section F. FAR 52.212-2 EVALUATION—Commercial Products and Commercial Services (Nov 2021).

Q2. Contractor requests the right to supplement or amend any of the questions, clarifications, or exceptions listed in this document.

A2. Contractor requests or exceptions submitted with their proposal will not be accepted. Requests for clarifications or exceptions must be addressed as part of the Q&A process prior to submitting proposals.

Q3. Contractor is used to have SF1449/SF30s to sign. It notes a GSA 300 – what boxes need to be completed on this form?

A3. Quoter must fill in Box 6, 8A, and 9A on the GSA300 form. Quoter’s pricing should be submitted using the Section I: Price Quote Form.

Q4. Section B.3 says quotes must be registered in SAM. This is not typical for REC transactions nor is it typical for GSA/DLA commodity transactions. What does this entail? Please provide detailed instructions.

A4. Correction made in both Sections B.3: Payment and Billing and E:

Instructions to Quoters.

Q5. Please confirm the Government will not be making payment by GPC/Credit Card.

A5. Please refer to Section B.3: Payment and Billing of the Solicitation.

Q6. Please confirm you want one invoice submitted for all 155,000 EACs at once.

A6. Please refer to Section B.3: Payment and Billing of the Solicitation.

Q7. When will the Government pay the invoice? The EACs must be purchased in advance by Contractor, and it would like to know the expectation of how long it will have the payment outstanding.

A7. Please refer to Section B.3: Payment and Billing of the Solicitation. Payment shall be in accordance with FAR 32.9 (Prompt Payment), see incorporated FAR clause 52.232-25 Prompt Payment.

Q8. Vintage is a capitalized term but is not defined. Vintage as it regards to RECs and RPS typically refers to a certain generation year couple with banking provisions, as applicable to the jurisdiction. Is your terminology vintage just referring to EACs generated from 4/1/22-12/30/23? Why not 12/31/23?

A8. The definition of “EAC Vintage” in Section B.2. has been revised to include December 31, 2023.

Q9. Attachment 3 mentions Attachment 6. Where/what is Attachment 6? Why is this needed in addition to Attachment 1?

A9. Attachment 3 revised.

Q10. Attachment 4 mentions Attachment 9. Where/what is Attachment 9?

A10. Attachment 4 revised.

Q11. Attachments 1, 3, and 4 look very similar and seemingly do the same thing.

Why are they all individually required? Can they be combined into a single one?

A11. Please refer to Section B.5: Delivery of the Solicitation.

Q12. What would the Government suggest happens if a renewable generator defaults on its obligations to deliver EACs to Contractor? The Contractor is often not the renewable generator in these transactions and cannot physically effectuate EACs and relies on a separate renewable generator legal entity to provide the EACs. While Contractor would fully expect to hedge its obligations and purchase EACs from a renewable generator, if the generator defaults, Contractor may be unable to repurchase the EACs from an alternative renewable generator at the time of the default or, if able, may be unable to do so at the same price quoted.

A12. The Government does not advise on Contractor business practices to manage risk of default on contractual obligations.

Q13. Section B.2 states that the generator of the EACs must be provided no fewer than 5 days prior to the close of the solicitation, or 8/24/23. Contractor is bidding on a block of RECs contingent solely on award. If Contractor is not awarded, no purchase occurs. Contractor will not have the EACs in its possession to declare where the EACs are from.

A13. Please refer to Section B.2 Generation Resource COD: If a quoter intends to supply EACs from a resource “modified to increase output” after October 1, 2021, the quoter shall submit detailed information on this resource to GSA no later than five (5) calendar days prior to date the solicitation closes, so the Government can verify that the resource EACs meet this requirement. EAC resource details from any other sources are not required to be submitted in advance.

Q14. Section B.6 says attestation should be completed within 60 days from the award (8/30/23 + 60 days = ~10/29/23). If RECs can be generated as late as 12/30/23 (12/31/23?) how should Contractor make sense of that?

A14. Section B. 5 has been revised. Final delivery (via final attestation forms) shall be made no later than 60 days after the generation date of the EACs. If final attestation forms cannot be submitted by December 31, 2023, draft attestation forms for the contracted EACs shall be submitted no later than December 31, 2023, and final attestation forms shall be submitted no later than 60 days after the generation date of the EACs.

Q15. Are there any GSA fees to be considered in the final price? If so, how are they to be paid?

A15. No.

Q16. In section B.5, delivery. It is stated the intent is to retire the RECs NLT 60 days from effective date of the award. It is our intent to hold the RECs within our NAR Registry holding account. Is there any sub reporting of the RECs, by end user, that covers the amount of RECs delivered to a certain end user that has retired same? For example GSA customer A purchases 10,000 RECs and retires 10,000 RECs.

A16. Please refer to Section B.5: Delivery of the Solicitation. EACs shall be retired on the Government’s behalf.

Q17. Will assignment of claims FAR clause 52.232-23 be permitted to meet the 5 day settlement of RECs purchased on the secondary market?

A17. No.

SECTION A: GENERAL INFORMATION AND BACKGROUND

This Request for Quote (RFQ) is issued as a combined synopsis/solicitation for commercial products or commercial services prepared in accordance with the format in subpart 12.6 , as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued .

The incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2023-04. In accordance with FAR 12.603, the following provisions and clauses are applicable to this solicitation and may be reviewed/obtained in full text form either later in this RFQ and/or at http://www.acquisition.gov/far.

The U.S. General Services Administration (GSA) is requesting quotes for the below quantity of unbundled Energy Attribute Certificates (EACs) from generation resources that deliver to the Midcontinent Independent System Operator (MISO) Balancing Authority to meet Federal environmental goals laid out in Section 203 of Executive Order (E.O.) 14057, Catalyzing Clean Energy Industries and Jobs Through Federal Sustainability (December 8, 2021) and its associated White House Council on Environmental Quality Implementing Instructions. Such EACs must meet the carbon pollution-free electricity (CFE) requirements outlined below. GSA anticipates a single, one-time award of a Firm-Fixed Price Purchase Order as the result of this solicitation. This solicitation is being issued as 100% small business set aside . The applicable North American Industrial Classification Code System (NAICS) code is 221122, Electric Power Distribution. The Small Business Size Standard is 1,100 employees. Any supplier with the number of employees exceeding this standard for three continuous calendar years is considered a large business for the purposes of this procurement.

SECTION B: STATEMENT OF REQUIREMENT

B.1 EAC REQUIREMENT

GSA is requesting quotes for the supply of unbundled EACs from generation resources that deliver to the MISO Balancing Authority in the quantity and meeting the qualifications herein.

LINE ITEM ONE: Quantity: 155,000 EACs Location: Generation resources that deliver to the MISO Balancing Authority Tech: Carbon Pollution-Free source (must be qualifying as defined in B.2) EAC Vintage: April 1, 2022 through December 30 31 , 2023.

Generation Commercial Operation Date (COD): on or after October 1, B.2 QUALIFYING EACS

EACs are instruments that convey information (attributes) about a unit of energy, including the resource used to create it, and the emissions associated with its production and use. A Renewable Energy Certificate (REC) is a type of EAC. Each type of EAC certifies that one (1) megawatt-hour (MWh) of energy has been generated, and fed into the grid, from a particular source such as a solar or wind power plant. For the purposes of this RFQ, the terms REC, EAC, Tradable Renewable Certificates, renewable power, or Green Tags are equivalent terms.

https://www.acquisition.gov/far/subpart-12.6#FAR_Subpart_12_6

These other instruments may fulfill the requirement to provide an EAC, so long as all other terms and conditions are met. Unbundled EACs are sold separately from the physical electricity.

Although unbundled EACs may be used to achieve the goals established in E.O. 14057, not all EACs qualify. In order to qualify the EACs must meet the following requirements:

Renewable Resource Type : EACs shall only come from resources that generate no carbon emissions, including marine energy, solar, wind, hydrokinetic (including tidal, wave, current, and thermal), geothermal, hydroelectric, nuclear, renewably sourced hydrogen, and electrical energy generation from fossil resources to the extent there is active capture and storage of carbon dioxide emissions that meets Environmental Protection Agency (EPA) requirements. EACs from any other sources do not qualify under this contract and therefore will not be accepted.

Generation Resource COD : all EACs delivered under this purchase order must be generated from CFE resources that were placed in service on or after October 1, 2021, either as a new resource or as new capacity at an existing resource modified to increase output. If a quoter intends to supply EACs from a resource “modified to increase output” after October 1, 2021, the quoter shall submit detailed information 1 on this resource to GSA no later than five (5) calendar days prior to date the solicitation closes, so the Government can verify that the resource EACs meet this requirement.

Note: For the purposes of this requirement, modifications to increase output must result in new resource capacity additions. Modifications that result in increased power output from existing capacity or that reestablish an existing generating resource’s placed-in-service date do not qualify as new resource capacity additions.

Renewable Resource Balancing Authority: EACs must be sourced from generation resources that deliver to the MISO Balancing Authority.

EAC Vintage : EACs must be generated between April 1, 2022 through December 30 31 , 2023

B.3 PAYMENT AND BILLING

All Quoters must be registered in the System for Award Management at www.SAM.gov . The Contractor shall invoice for the total amount of EACs delivered to GSA. Before an invoice may be paid, the Contractor must submit Attachments 1 - 4. The Contractor's bill shall encompass ALL applicable charges. Payment shall be in accordance with FAR 32.9 (Prompt Payment), see incorporated clause 52.232-25. If payment is to be made by electronic funds transfer, the provisions of FAR 32.11 (Electronic Funds Transfer), the incorporated clause 52.232-33 shall apply. Invoices and supporting documentation shall be submitted for approval via electronic mail to the Contracting Officer at Bonnie.Bueter@gsa.gov . Upon approval, invoices will be submitted electronically to: pfsutilities@mettel.net METTEL General Services Administration c/o MetTel Bruin Team New York, NY 10008.

1 For resources that have been modified to result in new resource capacity additions, please indicate either the new capacity or new capacity added to existing resource capacity in megawatts (MW), the placed-in-service date of the new resource capacity (MM/DD/YYYY), whether the new resource capacity additions are independently metered (Y/N) apart from existing resource capacity, the megawatt-hour and EAC output resulting from the new resource capacity only and provide a brief description of the modification (e.g., new wind turbines, additional solar panels).

The Contractor must meet all applicable local, state and federal documentation requirements necessary to successfully complete any contract. These records shall be made available upon request to the Government or to any party designated by the Government as authorized to request this data.

B.5 DELIVERY

EACs shall be retired on the Government’s behalf. No later than 60 days from the Effective Date of Award , the The Contractor shall complete the Attestation Forms found at Attachments 1 - 4, which shall affirm delivery and retirement of EACs no later than 60 days after the generation date of the EACs. If final attestation forms cannot be submitted by December 31, 2023, draft attestation forms for the contracted EACs shall be submitted no later than December 31, 2023, and final attestation forms shall be submitted no later than 60 days after the generation date of the EACs . Attestation Forms shall be submitted via electronic mail to the Contracting Officer at Bonnie.Bueter@gsa.gov.

B.6 ANTI-DEFICIENCY

In accordance with the Anti-Deficiency Act (31 U.S.C. 1341(a)(1)), nothing contained herein shall be construed as binding the Government to expend, in any one fiscal year, any sum in excess of the appropriation made by Congress for that fiscal year in furtherance of the subject matter of the contract or to involve the Government in an obligation for the future expenditure of moneys before an appropriation is made.
