A properly appointed Department of Veterans Affairs Contracting Officer will request a quote from the Contractors based upon the items in the Price Schedule. The information provided to the Contractors will include the place for delivery. The Contractors will reply within 3 business days with a Firm-Fixed-Price quote depending on the details required by the SOW. The Contractors may offer additional spot discounts on any order, as they deem appropriate. All subcontractor activity must be clearly identified in each new order proposal as applicable.

The Call Order Contractor shall provide order fulfillment as requirements are identified and ordered throughout the ordering period. The Government may issue orders at any time throughout the life of the BPA for items within the scope of the BPA. Call orders will be Firm Fixed Price. Each order will specify details as they relate to deliverables, performance and other technical requirements.

(5) Orders may only be modified by written modification, executed by a warranted CO. The Contractor shall not perform or provide services that are not expressly stated in the BPA or order. A Contracting Officer Representative (COR) does not have the authority or means to obligate the Government or change the terms and conditions of the BPA or order.

(6) The CO of this agreement is the only person authorized to make or approve any changes to any of the requirements in this BPA, and notwithstanding any clauses contained elsewhere in this BPA, this authority remains solely with the CO. Any price changes will not be considered or incurred as a result thereof.

All questions concerning the BPA or Delivery orders will be directed to the CO(s). The contractor shall contact the BPA or Delivery order CO with any questions regarding performance issues. If the Contractor determines the Delivery order CO is requesting services outside the terms and conditions of this BPA, the contractor shall immediately contact the BPA

The Contracting Officer's Representative (COR) is the duly authorized representative of the Contracting Officer. The COR will perform inspection and acceptance of services to be provided.

E PRICES

1. The prices included on the BPA list that are in effect on the effective date of an order shall govern that order's basic performance period. With regard to any option years, which are later exercised, the proposed option year rates as incorporated into the order award are in effect until such time, if applicable, that the Contractor has been authorized a rate increase culminating from a negotiation with the Contracting Officer.

2. The BPA holder can voluntarily reduce offered prices at any time by giving 24-hour advance notice (by email) to the NCA Contract Officer. This BPA also allows for additional discounts if a "large order" is placed at one time. An advanced notice is not required for discounts offered for only an individual order.

Whether an order is large enough to warrant such a discount is subject to the discretion of the BPA awardee.

3. The BPA awardee may also increase BPA prices at any time. Any BPA price increase shall not take effect until the NCA Contract Officer receives written notification by email and is agreed upon. Any order already issued shall not be affected by any change to BPA pricing.

4. The Contract Officer shall conduct an annual review of the GSA Schedule BPA to determine whether:

• The underlying Schedule contract is still in effect.

• The BPA still represents the best value.

• Estimated quantities/amounts have been exceeded and additional price reductions can be obtained.

B. CONSEQUENCES OF CONTRACTOR’S FAILURE TO PERFORM REQUIRED ORDER

FULFILMENT:

(1) In the case of unperformed orders, the Government:

a. May, at its option, afford the contractor an opportunity to perform the unperformed order, at no additional cost to the Government. This performance must take place within a reasonable period subject to the discretion of the COR, but in no event longer than the next workday with proof of shipment within a week.

b. May, at its option, perform the order fulfilment by Government personnel or other means.

(2) In the case of unsatisfactory order(s) that was/were not resolved, the Government:

b. May, at its option, afford the Contractor the opportunity to re-perform the unsatisfactory work, at no additional cost to the Government, within a reasonable period, subject to the discretion of the COR, but in no event longer than the next workday;

c. May, at its option, perform the services by Government personnel or other means.

F. STAGES OF PERFORMANCE EVALUATION

a. Normally, the COR/ACOR will verbally advise or give a written inspection report to the Contractor of discrepancies the first time they occur and ask the Contractor to correct the problem. A notation will be made on the COR checklist of the date and the time the deficiency was discovered and the date and time the Contractor was notified.

b. Based on the seriousness, the COR/ACOR may also notify the CO at that time. If the issue is not serious and occurs again a written warning shall be sent by the COR to the onsite supervisor. The COR/ACOR shall also notify the CO at the time the warning is sent. The CO may also decide to send a warning.

c. If the Government created any of the discrepancies, these will not be counted against the Contractor's performance. When the Government has caused the Contractor to perform in an unsatisfactory manner, the COR/ACOR will forward a written notice to the responsible organizational element requesting corrective action be taken.

d. When the Contractor is not meeting the acceptable limits of satisfactory performance regarding the same issue or continues to fail due to a number of issues, a Contract Discrepancy Report (CDR) will be issued to the Contractor. The seriousness of the failures should govern whether to issue CDR at the end of the period, or as soon as the limits of satisfactory performance are exceeded.

When a CDR is issued, the Contracting Officer and/or the COR/ACOR may exercise any contractual remedy available for non-performance, in accordance with FAR 52.212-4, “Inspection and Acceptance”.

When a CDR is received, the Contractor shall complete the applicable CDR blocks and return it within 10 calendar days to the CO. The Contracting Officer will evaluate the Contractor's explanation/plan and determine the next course of action.

e. The issuance of a CDR, found in Section D Attachments, may be cause for the scheduling of a meeting among the Contractor, Contracting Officer and COR/ACOR. A mutual effort will be made to resolve all problems identified. The Government will prepare written minutes of the meeting. The Contractor, Contracting Officer and COR will sign minutes of the meeting(s).

f. Should the Contractor not concur with the minutes, they will so state their objections in writing to the Contracting Officer, within ten calendar days, and also explain the reasons for non-concurrence. The Contracting Officer will review and consider the reasons submitted for the Contractor's non-concurrence and make a decision to revise or uphold the comments as written. The Contracting Officer will notify the Contractor of the decision in writing within ten calendar days of submission of any objections.

g. After a CDR is given and the vendor's plan accepted by the CO and COR/ACOR the vendor shall have 1 month to carry-out the plan. After 30 calendar days, if there are any examples of missed standards then a remedy shall apply.

h. If the Contractor does not achieve satisfactory performance by the end of the next period or agreed suspense date, further actions may be considered including, but not limited to termination for default. If the Contractor only achieves a partial satisfactory performance by the end of the next period or agreed suspense date, other remedies including penalties may be applied.

The transmittal letter shall advise the contractor that the determination is a final decision from which the contractor may appeal under the Disputes clause, except as shown in paragraph (f) of this section. The determination shall specify the amount due the contractor and will be supported by detailed schedules conforming generally to the forms for settlement proposals prescribed in 49.602-1 and by additional information, schedules, and analyses as appropriate. The TCO shall return books of account, together with other original papers and documents, to the contractor within a reasonable time.

(f) Appeals. The contractor may appeal, under the Disputes clause, any settlement by determination, except when the contractor has failed to submit the settlement proposal within the time provided in the contract and failed to request an extension of time. (g) Decision on the contractor’s appeal. The TCO shall give effect to a decision of the Claims Court or a board of contract appeals, when necessary, by an appropriate modification to the contract. When appropriate, the TCO should obtain a release from the contractor. TCO’s are authorized to modify the formats of settlement agreements in 49.603 to agree with this provision.

VAAR 833.211 CONTRACTING OFFICER’S DECISION.

852.219-76 VA NOTICE OF LIMITATIONS ON SUBCONTRACTING—CERTIFICATE OF

COMPLIANCE FOR SUPPLIES AND PRODUCTS (JAN 2023) (DEVIATION)

(a) Pursuant to 38 U.S.C. 8127(l)(2), the offeror certifies that—

(1) If awarded a contract (see FAR 2.101 definition), it will comply with the limitations on subcontracting requirement as provided in the solicitation and the resultant contract, as follows:

[Offeror check the appropriate box]

(i) [ ] In the case of a contract for supplies or products (other than from a non-manufacturer of such supplies), it will not pay more than 50% of the amount paid by the government to it to firms that are not certified SDVOSBs listed in the SBA certification database as set forth in 852.219-73 or certified VOSBs listed in the SBA certification database as set forth in 852.219-74. Any work that a similarly situated certified SDVOSB/VOSB subcontractor further subcontracts will count towards the 50% subcontract amount that cannot be exceeded. Cost of materials are excluded and not considered to be subcontracted.

(ii) [ ] In the case of a contract for supplies from a nonmanufacturer, it will supply the product of a domestic small business manufacturer or processor, unless a waiver as described in 13 CFR 121.406(b)(5) is granted. The offeror understands that, as provided in 13 CFR 121.406(b)(7), such a waiver has no effect on requirements external to the Small Business Act, such as the Buy American Act or the Trade Agreements Act.

(2) Manufacturer or nonmanufacturer representation and certification. [Offeror fill-in—check each applicable box below. The offeror must select the applicable provision below, identifying itself as either a manufacturer or nonmanufacturer]:

(i) [ ] Manufacturer or producer. The offeror certifies that it is the manufacturer or producer of the end item being procured, and the end item is manufactured or produced in the United States, in accordance with paragraph (a)(1)(i).

(ii) [ ] Nonmanufacturer. The offeror certifies that it qualifies as a nonmanufacturer in accordance with the requirements of 13 CFR 121.406(b) and paragraph (a)(1)(ii). The offeror further certifies it meets each element below as required in order to qualify as a nonmanufacturer. [Offeror fill-in—check each box below.]

[ ] The offeror certifies that it does not exceed 500 employees (or 150 employees for the Information Technology Value Added Reseller exception to NAICS code 541519, which is found at 13 CFR 121.201, footnote 18).

[ ] The offeror certifies that it is primarily engaged in the retail or wholesale trade and normally sells the type of item being supplied.

[ ] The offeror certifies that it will take ownership or possession of the item(s) with its personnel, equipment, or facilities in a manner consistent with industry practice.

(iii) [ ] If this is a multiple item acquisition, the offeror certifies that at least 50% of the estimated contract value is composed of items that are manufactured by small business concerns.

[Contracting Officer fill-in or removal. See 13 CFR 121.406(d) for multiple end items. If SBA has issued an applicable nonmanufacturer rule waiver, this requirement must be removed in the final solicitation or contract.]

(3) The offeror acknowledges that this certification concerns a matter within the jurisdiction of an Agency of the United States. The offeror further acknowledges that this certification is subject to Title 18, United States Code, Section 1001, and, as such, a false, fictitious, or fraudulent certification may render the offeror subject to criminal, civil, or administrative penalties, including prosecution.

(4) If VA determines that an SDVOSB/VOSB awarded a contract pursuant to 38 U.S.C. 8127 did not act in good faith, such SDVOSB/VOSB shall be subject to any or all of the following:

(i) Referral to the VA Suspension and Debarment Committee;

(ii) A fine under section 16(g)(1) of the Small Business Act (15 U.S.C. 645(g)(1)); and

(iii) Prosecution for violating 18 U.S.C. 1001.

(b) The offeror represents and understands that by submission of its offer and award of a contract it may be required to provide copies of documents or records to VA that VA may review to determine whether the offeror complied with the limitations on subcontracting requirement specified in the contract or to determine whether the offeror qualifies as a manufacturer or nonmanufacturer in compliance with the limitations on subcontracting requirement. Contracting officers may, at their discretion, require the contractor to demonstrate its compliance with the limitations on subcontracting at any time during performance and upon completion of a contract if the information regarding such compliance is not already available to the contracting officer. Evidence of compliance includes, but is not limited to, invoices, copies of subcontracts, or a list of the value of tasks performed.

(c) The offeror further agrees to cooperate fully and make available any documents or records as may be required to enable VA to determine compliance. The offeror understands that failure to provide documents as requested by VA may result in remedial action as the Government deems appropriate.

(d) Offeror completed certification/fill-in required. The formal certification must be completed, signed and returned with the offeror’s bid, quotation, or proposal. The Government will not consider offers for award from offerors that do not provide the certification, and all such responses will be deemed ineligible for evaluation and award.

Certification:

I hereby certify that if awarded the contract, [insert name of offeror] will comply with the limitations on subcontracting specified in this clause and in the resultant contract. I further certify that I am authorized to execute this certification on behalf of [insert name of offeror].

TIERING EXPLANATION

Evaluation Information:

This procurement is set-aside based on an order of priority as established in 38 U.S.C. 8127.

This solicitation is being issued as tiered evaluation that includes the following tiers: (1) SDVOSB concerns, (2) VOSB concerns, and (3) small business concerns, with HUBZone small business concerns and 8(a) participants having priority. If award cannot be made in any of these tiers, the solicitation will be cancelled and the requirement resolicited.

Tiered process will be used in conjunction with FAR Part 15; award will be made to the responsible offeror whose offer is Lowest Price/Technically Acceptable.

Adequate competition exists if; (1) proposals are received from at least two responsible/capable offerors if SDVOSB or VOSB or three if SB; (2) each of whom can satisfy the contract's requirements independently; (3) both contend for a contract which will be won by the offeror whose proposal meets the technical requirement and; (4) price is reasonable.

If adequate competition is met as described in above and a proposal also meets the standards for the factors, the award procedure will be initiated. If adequate competition is not met, or prices are not reasonable, competition will proceed at the next tier.

The process through the tiers will be executed as needed in the manner below:

a. Offers submitted by eligible SDVOSB concerns will be evaluated in accordance with the solicitation and the CO will determine if an award can be made within the SDVOSB tier. If an award can be made within this tier, offers from the remaining tiers will not be considered for award. If no offers are submitted by eligible and capable SDVOSB concerns, or if none of the offers will result in award at a fair and reasonable price, the evaluation will proceed to the next tier for VOSB concerns. SDVOSB offerors will not be considered a second time for award in the tier for VOSB concerns.

b. Offers submitted by eligible VOSB concerns will be evaluated in accordance with the solicitation and the CO will determine if an award can be made within the VOSB tier. If an award can be made within this tier, offers from the remaining tiers will not be considered for award.
