( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by RFO 6.103-2;
( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by RFO 6.103-3;

( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by RFO 6.103-7;
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Minneapolis VA Health Care System Special Hematology Laboratory needs to establish a 5-year contract which provides a variety of Becton Dickinson (BD) brand name flow cytometry reagents which are approved for use with our owned BD FACSCanto™ and BD FACSLyric™ flow cytometers and on our owned BD FACS™ Lyse Wash Assistants. These reagents are used to perform clinical immunophenotyping testing for diagnostic and prognostic patient care at the MVAHCS and are the only ones approved for use on our owned BD FACSCanto™ and BD FACSLyric™ flow cytometers and on our owned BD FACS™ Lyse Wash Assistants. These reagents are manufactured and distributed solely by BD therefore a sole source procurement is required. Our existing contract # 36C26324D0048 which supports these items expires 9/30/26.
The manufacturer has provided a sole source letter which states that they are the sole manufacturer and distributor of these reagents. There are no authorized distributors.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): There is only one source that will satisfy the requirements. BD provided a sole source letter indicating that they are the sole manufacturer and distributor of the specific reagents that our laboratory has approved for use and is requesting in this requirement. A notice of intent to sole source will be posted on SAM.gov to confirm this.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: Pricing is anticipated to be fair and reasonable based off of the current IDC pricing for the Minneapolis VA that ends on 09/30/2026.The IGCE for this procurement does account for economic inflation and falls in line for the proposed quote of usage. Testing volume continues to rise for this contract due to performing validations on the new flow cytometry equipment within the fleet of analyzers but does not impact the price per reagent, only increased usage.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: SBA was searched using NAICS 325413 – 123 SDVOSB results returned. Government mandatory contracts were searched, none available with the specified reagents. A sole source letter was provided at the time of quote stating that BD is the sole source to obtain these reagents for the intended analyzers. A Notice of Intent to sole source will be posted to SAM.gov to confirm this.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition:
NA
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:
Becton Dickinson Anna Jackson Contract Consultant, Government Contracting 619-657-0288
11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Our laboratory will continue to evaluate our flow cytometry reagent needs. Currently all cytometry equipment in the laboratory is owned and BD manufacturers the proprietary reagents which are used to operate this equipment and presently validated in our laboratory. When it comes time to replacing the flow cytometry equipment, we will evaluate reagents options on the market as well.
12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.
13. Approvals in accordance with the VHAPM Part 806.3 OFOC SOP:
a. Contracting Officer Certification (required): I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.
