Solicitation # 36C26225Q0899 PM Services for Sakura & Epredia Instruments
(i) This is a combined synopsis/solicitation for commercial products or commercial services prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) The solicitation number 36C26225Q0899 is issued as a Request for Quotation (RFQ) in conjunction with FAR Part 13 – Simplified Acquisition Procedures and constitutes the only solicitation. The government intends to award a single Firm Fixed-Price (FFP) contract.
(iii) The provisions and clauses in this document are in effect through the Federal Acquisition Circular (FAC) 2025-03, January 17, 2025.
(iv) This solicitation intends to award a contract through full and open competition to a business associated with NAICS1 Code 811210 with a size standard of $34,000,000.00.
(v) The US Government, Department of Veterans Affairs (VA), Veterans Integrated Services Networks (VISN) 22 Network Contracting Office, San Diego VA Healthcare System (SDVAHCS), seeks to make a procurement for Annual Preventative Maintenance (PM) service only, for Sakura and Epredia Medical instrument systems.
-The estimated period of performance will start on 19 June 2025 through 18 June 2026, with four (4) additional one (1) - year option periods. PROVIDE PRICING FOR ALL YEARS/Option Periods.
(vi) Offeror quotes must provide the exact manufacturer recommended annual Preventive Maintenance Services for the 17 Sakura and Epredia medical instruments listed in the SOW listed herein otherwise it will be considered non-responsive. Contract award will be made to the lowest priced offer that meets requirements listed in the Statement of Work listed herein.
(vii) The provision at 52.212-1, Instructions to Offerors – Commercial Products and Commercial Items (Mar 2023), applies to this solicitation.
All offeror quotes for this solicitation must be received electronically through email (not to exceed 10 MB) to Marcos Diaz at Marcos.Diaz@va.gov no later than Wednesday, 11 June 2025, 7:00 AM Pacific Time (PT). Ensure to reference solicitation number 36C26225Q0899 within subject line of the email. Any offeror quotes received after the prescribed date/time shall be considered non-responsive and will not be considered for award.

(viii) Offerors shall submit the following via email:
Provide pricing quotes for all equipment as listed in the SOW (page 12 herein) and for ALL option periods following the requirements outlined herein.
REQUIREMENTS:
1) Offerors shall provide a narrative with sufficient information that the requested Annual Preventative Maintenance (PM) service only, for Sakura and Epredia Medical instrument systems in accordance with the manufacturer’s guidelines.
2) Offerors shall fill in Column I in Attachment A as appropriate. Input data into cells on Tabs Base, OY1, OY2, OY3 and OY4. All other cells will self-calculate.
3) Pricing must include all handling and shipping fees when applicable.

(x) 52.212-2 Evaluation—Commercial Products and Commercial Services (Nov 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Lowest price for items that meet all salient, physical, functional, and performance requirements specified in the SOW of this solicitation. Technicians must be authorized to work on the specified equipment to avoid voiding any equipment warranties.
Acceptability of equipment and or services quotation shall be established by review of each submitted quote by the designated technical evaluator(s) and verification that all specified items meet the salient, physical, functional, and performance requirements specified in this solicitation. Submissions to this solicitation must show clear and compelling evidence that the specified items meet all the salient, physical, functional, and performance requirements specified in this solicitation.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether-or-not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. 52.217-8 - Option to Extend Services (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days before contract expiration.
The prices for any option exercised under FAR 52.217-8 will be those rates in effect under the contract each time an option is exercised under this clause.

52.217-9 – Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor no later than 30 days before the contract expires; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years, not including any option to extend services under clause 52.217-8.

(a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided. This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.
(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.
(c) Vendor shall be an OEM; authorized dealer, distributor or reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

STATEMENT OF WORK
SAKURA AND EPREDIA EQUIPMENT PREVENTIVE MAINTENANCE
I. SCOPE:P09
The services to be provided by the contractor under this agreement shall consist of Annual Preventative Maintenance (PM) that includes comprehensive annual (1) Preventative Maintenance visit to include PM kits, PM materials, labor, and travel. Government-owned Sakura Tissue Tek Histology equipment and Epredia equipment.
II. PERIOD OF AGREEMENT:
This contract will be for a Base-plus 4 one-year options from the date of contract for a total of 5 years.
The estimated Period of Performance (PoP) will be:
Base year: 06/19/2025 – 06/18/2026 Option 1: 06/19/2026 – 06/18/2027 Option 1: 06/19/2027 – 06/18/2028 Option 1: 06/19/2028 – 06/18/2029 Option 1: 06/19/2029 – 06/18/2030
III. HOURS OF COVERAGE:
a. Hours of coverage will be:
•Monday through Friday 8:30 AM to 4:30 PM local time.
•Excluding Federal Holidays list in paragraph b of this section.
•The Government will accept any wider range of coverage offered (i.e. 24/7, holidays included, etc.).
b. Federal Holidays observed by the VAMC are:
•New Year’s Day •Martin Luther King Day •President's Day •Memorial Day •Independence Day •Labor Day •Columbus Day •Veterans Day •Thanksgiving Day •Christmas Day
IV. SERVICES TO BE PROVIDED:
a. Telephone Technical Support:
• Telephone assistance will be provided Monday through Friday 8AM to 5PM.
b. Labor:
• The contractor will provide all labor associated with the maintenance of the equipment covered under the contract agreement.
c. Preventive Maintenance:
• PM inspections will be provided during the contract period.
• The scheduling of preventive maintenance inspections will be coordinated with the COR.
• PM inspections will be performed in a manner which clearly demonstrates that the equipment meets or exceeds all manufacturers’ technical performance specifications.
• PM will include, but is not restricted to:
- 17 separate Sakura and Epredia medical instruments - Annual Preventative Maintenance
Only agreement includes comprehensive annual Preventative Maintenance visit to include PM kits, PM materials, labor, and travel. PM sweep to be performed in annual field visit within a one-week period as scheduled with the facility. All service shall be provided by OEM or trained ISO technicians via on demand service. Routine PM service will be carried out in accordance with OEM Specifications.
It is the sole responsibility of the contractor to perform all preventive maintenance inspections. The VA will not assume the responsibility of reminding the contractor that a preventive maintenance inspection is due to be performed. If a PM is not performed within the month specified, the amount corresponding will be deducted from the contractor’s payments. Preventive maintenance inspections will be performed on a weekday at a time set once the contract is awarded. The equipment user and COR must all agree to the recurring time set for preventive maintenance inspections.
Note: To ensure proper equipment history documentation, the contractor will forward all preventive maintenance records within 5 working days of completion to Biomedical Engineering.
d. Documentation:
Contractor will provide individual written service reports which describe services performed on the equipment (in sufficient detail to be acceptable to the field inspectors of The Joint Commission). The following information must be provided in each service report:
1) Date of service
2) Summary of problem and action taken
3) Parts replaced
4) Labor hours
5) Travel time
6) Equipment serviced (description, Equipment ID #, serial number, etc.)
7) Purchase order number
Note: This report must be approved and signed by Biomedical Engineering personnel or their representative. A copy of each report will be left with Biomedical Engineering. In the event that Biomedical Engineering is not available to receive the service report (outside normal working hours), the service report will email to biomedical engineering at vhalonbiomed@va.gov.
e. Qualifications:
Contractor shall be engaged full-time in the maintenance of the equipment listed in Section V.
Contractors must be manufacturer certified and authorized service providers for Sakura and Epredia equipment.
• Contractor shall have access to complete service manuals
Contractor must provide proof of manufacturer certification to work on their equipment.
• Contractor shall have access to software diagnostic keys
• Contractor shall, without exception, provide all hand tools, diagnostic test equipment, ladders, and anything else necessary to perform the work.
