About this file
This is a Justification and Approval (J&A) for Other Than Full and Open Competition (>SAT) from the Department of Veterans Affairs, Network Contracting Office 21 on behalf of VA Northern California Health Care System (VANCHCS).
The procurement is for replacing an existing Gastrointestinal (GI) suite video routing system running on an unsupported operating system with Olympus EasySuite-Integration Platform (ES-IP) equipment. The acquisition will be conducted as a sole source procurement under FAR 12.102 for commercial products, utilizing the FAR 6.104-1 justification format. The contract will be firm fixed price via open market. The statutory authority cited is 41 USC §3304(a)(1) – Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. The scope includes 34 line items of specialized Olympus equipment, including base systems, digital hubs, fiber switches, monitors, audio options, touch panels, connection kits, cameras, cabling, and software upgrades (VaultStream), along with project management, design documentation, installation, and de-installation services across seven GI procedure rooms. Fair and reasonable pricing will be determined by comparison to an Independent Government Cost Estimate and past procurement history. Market research confirmed that only Olympus America Inc meets VA requirements due to proprietary software compatibility with existing VaultStream infrastructure; only 2 of 34 requested items are available on Olympus's GSA Contract 36F79721D0168. The justification notes that replacing components with non-proprietary alternatives would compromise interoperability, void warranties, and create patient safety and regulatory compliance risks. Olympus America Inc (FLWQVLFLMEL3), located at 3500 Corporate Parkway, Center Valley, PA 18034-8229, is the sole identified source. The Contracting Officer and Branch Chief certifications have been executed.

Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
The current infrastructure for VANCHCS video and image capturing, and integration system in several departments are Olympus EasySuite-Integration Platform (ES-IP).
To maintain consistency and compatibility throughout VANCHCS, additional integration systems purchased for procedure rooms must be compatible with Olympus America Inc equipment.
Requested equipment is highly specialized in being compatible with existing Olympus America Inc ES-IP and VaultStream software. Olympus America Inc, does not currently have authorized distributors for all the requested equipment.
Replacement of any component with a non proprietary alternative would break interoperability, void warranties, and compromise patient safety and regulatory compliance.
Olympus America Inc was the only vendor identified that could satisfy the VA requirements. Using a different GI suite video routing system would prevent clinical staff and physicians from using the already invested in equipment and features of existing EasySuite infrastructure to improve patient care and outcomes. To consider another manufacturer would create substantial duplication of cost to the government that is not expected to be recovered through competition.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies):
Market research was conducted, and no other distributors meet VA requirement for GI suite video routing system. The equipment and software requested are proprietary to the Original Equipment Manufacturer (OEM), it is not possible to procure the items needed from alternative sources.
7. Determination by the CO that the Anticipated Cost to the Government will be
Fair and Reasonable:
Fair and reasonable pricing will be compared to the Independent Government Cost Estimate, and Past procurement history.
