Statement of Work Furniture Re-Upholstering Bldg. 520 VA Palo Alto Health Care System

Section 1: General Information

1.1 General: This is a non-personal services contract to provide Furniture Re-Upholstering for Bldg. 520, located at VA Palo Alto Health Care System (VAPAHCS). The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn, is responsible to the Government.

1.2 Period of Performance:September 23, 2018 to December 31, 2018
1.3 Place of Performance:VA Palo Alto Health Care System, Bldg. 520

1.4 Type of Contract: The government will award a Firm-Fixed Price contract.

1.5 Hours of Operation: The normal work hours will be business hours (7:30am-4:30pm) Monday through Friday. The Government has the option to modify the normal work week, days and hours, as needed to meet the mission of the VAPAHCS. Contractor shall be flexible if a change in work hours is necessary to complete the project.

1.6 Invoicing: All invoices from the contractor shall be submitted electronically in accordance with VAAR Clause 852.232-72 Electronic Submission of Payment Requests.

2.1 Definitions:

Contracting Officer. The person with the authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government.

Note: The only individual who can legally bind the government Contracting Officer Representative/Designated Representative. As delegated by the Contracting Officer; Responsible to approve and submit invoices, Maintain written and oral communications with the Contractor concerning technical aspects of the contract; Communicate with the Contracting Officer and the Contractor of any deficiencies; Coordinate availability of government furnished property; Provide site entry of Contractor personnel; Monitor and inspect Contractor’s performance Does not have authority to make changes in cost or price, estimates or changes in delivery dates and cannot authorize changes to any of the terms and conditions of the resulting order.

Contractor. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

Subcontractor. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

Work Day. The number of hours per day the Contractor provides services in accordance with the contract.

Work Week. Monday through Friday, unless specified otherwise.

Section 3: Government Furnished Property, Equipment, and Services The Government will provide ample time and space in order for contractor to perform re-upholstering services on each piece of furniture.

Section 4: Contractor Furnished Items and Services The Contractor shall provide all equipment, supplies, management, supervision, personnel, and transportation necessary to assure that all services are in accordance with the contract and all applicable laws and regulations. The contractor shall ensure all work meets performance standards specified in this Statement of Work and referenced documents.

Section 5: Specific Tasks B520 is a mental health in-patient facility on the VA Palo Alto campus. The Day Rooms, Quiet rooms and Dining Rooms in B520 B, C, and D Wings are heavily used by the patients for group sessions, relaxation and dining. The seating in these room are soiled and well-worn and need to be reupholstered.

5.1 General Tasks

a) Contractor shall provide on-site professional upholstery service to VA Palo Alto Healthcare System at B520 loading dock, 3801 Miranda Ave., Palo Alto CA.

b) The re-upholstery service shall be performed in phases.

c) Contractor must field measure all seating, review fabrics specification and assess condition prior to submitting the bid.

d) Contractor shall coordinate upholstery schedule with VA Point of Contact (POC) to occur at the convenience of the Government or no later than 60 days after notification of receipt of upholstery materials.

5.2 Protection of Property

a) Contractor shall protect all items from damage. Contractor shall take precaution against damage to the buildings, grounds and furnishings. Contractor shall repair or replace any items related to buildings or grounds damaged accidentally, or on purpose due to actions by Contractor personnel, utilizing materials of the same quality, size, grade and color, to match existing work.

b) Contractor shall perform an inspection of the buildings and grounds with the POC prior to commencing work. The source of all repairs, beyond simple surface cleaning, is the responsibly of the Contractor under the oversight of Engineering. Concurrence of the VA POC is required before the Contractor may perform any significant repair work. In all cases, repairs shall utilize materials of the same quality, size, texture, grade and color to match adjacent existing work.

c) The Contractor shall maintain accountability and control of any keys provided, and shall return them to the POC upon completion of the work.

d) Contractor shall provide floor and elevator wall protection while working in all VA facilities. All material handling equipment shall have rubber wheels. Public elevators shall have temporary padded wall protection when freight elevator is unavailable.

5.3 Installation

a) Contractor shall contact the POC as soon as possible to schedule the work.

b) Contractor shall confirm the scheduled installation date no less than 15 working days prior to ensure that all parts have been received and in good condition

c) In the event there is a delay, Contractor shall notify the VA POC immediately.

5.4 Receive

a) The Contractor shall verify and inspect all fabrics at time of receipt at off-site storage warehouse. All deficiencies (damage/overage/shortage) shall be brought to the attention of the POC.

b) Contractor shall coordinate for replacement of damaged, defective, or missing items.

5.5 Quality Control

a) Contractor shall be responsible for the removal and disposal of all trash/debris connected with uncrating and assembling furniture and other items installed under this contract. Final acceptance from the VA will not occur until all debris connected with the delivery is removed from the B&M warehouse.

b) Recyclable products shall be disposed of in accordance with applicable statutes, at respective off-site locations.

c) Conduct of Contractor installation crew shall be courteous and respectful at all time.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

C.3 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)

The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of CALIFORNIA. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from.

C.4 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)

This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

SUBMISSION INSTRUCTIONS

(a) General Instructions

(1) Electronic Submissions: Contractors must email their quote to Larry Facio at larry.facio@va.gov. Include the solicitation number in the Subject line. Any attachments must be readable using Microsoft Office or Adobe PDF. The size of the email is limited to 5 megabytes (MB) but multiple emails are allowable. Quotes must be submitted electronically and will not be accepted through fax or postal mail.

(2) All questions regarding this solicitation should be emailed to larry.facio@va.gov no later than three business days prior to the quote due date.

(b) Selection Process

(1) Evaluations will be conducted under the procedures of FAR Part 13.

(2) In accordance with FAR 13.106-2(b)(3), the quotes will undergo a comparative evaluation to determine which vendor provides the best value to the government in terms of high technical capability and past performance, while also providing a competitive price.

(c) Quote Package Contents

(1) The quote package should address all the information listed in the evaluation factors under 52.212-2. There is not a required format that the information must be presented in. We will be focused on the content of the quote and whether it addressed all the evaluation factors.

(2) For the individual elements of the technical capability factor, the quote package should state how the contractor will address each element and should not simply restate the Performance Work Statement. Simply restating the PWS will not be evaluated favorably.

(3) For the past performance factor, the past performance surveys can be incorporated into the quote package. Please include at least three but not more than five recent (within the past five years) and relevant (similar in size and scope) completed surveys. The surveys do not need to be submitted directly to the Contracting Officer/Specialist from the individual that completed the survey. The completed surveys can be compiled by the contractor and submitted as part of the quote package.

(4) The pricing information will consist of the unit prices in Section B.2 Price/Cost Schedule. The vendors will provide the unit pricing for each line item and for each year of the ordering period. Using the estimated quantities, we will evaluate an overall price for the vendor for the purposes of price comparison.

(5) Subcontracting plan or SDVOSB/VOSB status. Contractor shall provide a subcontracting plan if applicable. If prime or subcontracting to SDVOSB/VOSB; associated VIP certification shall be included related to NAICS 811420 – Reupholstery and Furniture Repair.

E.2 ADDENDUM 52.212-2 EVALUATION—COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible contractor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate the quotes:

1) Factor #1, Technical Capability

2) Factor #2, Past Performance

3) Factor #3, Price

4) Factor #4, SDVOSB/VOSB Status In accordance with FAR 13.106-2(b)(3), the quotes will undergo a comparative evaluation to determine which vendor provides the best value to the government in terms of high technical capability and past performance, while also providing a competitive price.

FACTOR 1 – Technical Capability The quotes will be evaluated using the information submitted in the technical approach addressing the following elements:

1) Experience and Capabilities: What is the Contractor’s level of experience in this field? This includes equipment and transporting of furniture (if necessary)

2) Scheduling: Does contractor possess adequate staffing to meet schedule.

3) Subcontracting: Does the Contractor plan to subcontract out any portion of the work? If so, do they have a letter of commitment from the subcontractor indicating their commitment to this project upon award?

FACTOR 2 – Past Performance The past performance surveys that the contractor submits with their quote package will be reviewed to determine if the previous work was recent (within the past 5 years) and relevant (similar size and magnitude). The surveys will also be reviewed to determine the overall trend in the ratings of quality for the previous contracts.

FACTOR 3 – Price The pricing information will consist of the contractor’s overall price to provide these services. In evaluating the contractor’s price, the Government’s determination will include whether the price reflects a clear understanding of the requirements, is consistent with the information provided in the contractor’s quote, and is reasonable in comparison with other quotes that have been submitted in response to the solicitation.

Contractor pricing shall reflect unit pricing for the first year of the ordering period thereafter if an increase in pricing is projected for the two following years, contractor shall annotate those prices within the respective columns. If the contractor believes their product offering will be better detailed in an alternative manner they have the discretion to submit an additional document with the caveat that the RFQ Cost/Price Schedule be completely filled-out and the alternative pricing document reference the applicable CLINS. Length and size of the document should be considered as well.

FACTOR 4 – SDVOSB / VOSB Evaluation In accordance with VAAR clause 852.215-70, vendors who qualify as a verified SDVOSB / VOSB or who will be subcontracting with a verified SDVOSB / VOSB will receive consideration during the quote evaluation process. In order to receive this consideration, the SDVOSB / VOSB must be registered in the VIP database at https://www.vip.vetbiz.gov/. If a vendor plans to subcontract with a registered SDVOSB / VOSB and would like to receive consideration under this evaluation factor, then they must state who subcontractor is so it can be verified that the subcontractor is verified in the VIP database.
