AE IDIQ
1. If we bid on the Visn 19 AE IDIQ does that exclude us from future CM work?
Answer: Yes. The purpose of the solicitation is to establish IDIQ contracts to perform “A/E services at all eight (8) sites” within VISN 19. The solicitation lists the eight medical centers in Denver, Grand Junction, Cheyenne, Sheridan, Fort Harrison, Salt Lake City, Oklahoma City, and Muskogee. Any contractor with a current contract to provide CM services at anyone (or more) of these sites would not be able to comply with the requirements for the new IDIQ A/E contract because the contractor would have an organizational conflict of interest. The contractor would not be able to perform work under the A/E IDIQ contract at the site where the contractor has a CM services contract due to unequal access to information by having insight into the agency's operations. Since the contractor would not be able to perform work at one (or more) of the sites covered by the new A/E IDIQ contract due to the organizational conflict of interest, the contractor should not submit a proposal in response to this solicitation because the offeror would not be able to fulfill all of the solicitation’s requirements. Similarly, any successful offerors in response to this solicitation would not be able to compete for any new CM services contracts at any of these eight sites while the new IDIQ A/E contract is in effect.
We respectfully request the following clarifications:
· Is the VA saying that any company that has a CM Service contract anywhere within VISN19 has an organizational conflict of interest (COI) for this VISN-wide AE procurement and therefore will be disqualified from consideration for this procurement? If so, please provide the justification/rationale of the perceived COI between a station-level CM Service contract (which by law expressly precludes any AE work procured under the Brooks Act) and a VISN-wide multiple award AE IDIQ.

· If a team contains a subcontractor that has a CM Service contract anywhere within VISN19, does the VA consider that to be a COI for this procurement, as well? If so, please provide the justification/rationale of the perceived COI.
Answer: Offerors will be required to evaluate whether their subcontractor duties and relationship create an organizational conflict of interest. To the extent an offeror may have an OCI, offerors should address in their proposals how they will mitigate any OCIs as a subcontractor for a CM Services contract while also meeting the performance requirements as a contractor under the A/E contract (should such offeror receive an IDIQ award under the subject solicitation).
