B.2 STATEMENT OF WORK

Introduction:

The South Texas Veterans Health Care System (STVHCS) requires a Cost Per Test (CPT) agreement to acquire a replacement system for rapid microbial identification and antimicrobial susceptibility testing (ID/AST) to support the microbiology laboratory’s diagnostic workflow. The system must provide capabilities equivalent to matrix-assisted laser desorption/ionization (MALDI) mass spectrometry and automated microbial identification systems, supporting testing for a broad spectrum of pathogens, including bacteria, mycobacteria, and fungi, and must comply with all requirements outlined in this Statement of Work (SOW).

Scope of Work:

The vendor shall provide a complete turnkey solution, including all instrumentation, service, delivery, training, reagents, consumables, and supplies. This includes installation, maintenance, interface compatibility with STVHCS laboratory systems (Data Innovations/Cerner/Vista), and all necessary calibrators and controls. The systems must fully support the defined test menu and ensure uninterrupted operations during implementation.

Performance Period:

The contractor must complete the work required under this SOW within 120 calendar days from the date of the award, otherwise directed by the Contracting Officer (CO). The contractor must initiate a kickoff meeting with an installation timeline within 7 days of the award. This requirement is for a base year plus four one-year option periods.

Fixed Cost Disclosure:

All equipment, parts, service agreements, maintenance, hardware, software, installation costs, future software upgrades, and requested training trips per year must be included in an initially defined total cost disclosure for the contract period.

Term of Agreement:

The contract term is one year with four one-year option periods, beginning with equipment acceptance. The VA’s obligation terminates at the end of each established contract period.

STVHCS may renew by exercising the option to extend effective on dates coinciding with the contract period.

Support Services:

The vendor shall provide 24/7/365 telephone or remote access assistance. If on-site service is required, technical support must be provided under Federal Supply Schedule terms, with emergency repairs completed within 24 hours of malfunction notification. The contractor shall provide maintenance (labor, travel, and parts) to ensure equipment operates effectively, subject to security regulations. The government will provide access for maintenance per the terms below.

Testing Menu:

The vendor shall provide the test menu as defined. Annual test volumes are estimates based on prior history and are not guaranteed. New tests will be added as requested, with reagents for test validation supplied at no additional cost. Specimen integrity checks shall be performed on all specimens at no additional charge. If tests are unavailable, the vendor shall reimburse STVHCS for costs associated with procuring alternative testing sources.

A. Requirements of Services to be provided:

*Note: Asterisk (*) denotes mandatory requirements that, if not met, will negate selection.*

1. Basic Requirements: The system must include random access technologies to improve workflow. *The system must use Windows 10 or higher and be compatible with Vista, Data Innovations, and Cerner systems.

2. Microbiology Analytical Systems for STVHCS:

a) *Expected throughput: Must manage high-volume microbiology laboratory testing, with at least 90% of testing performed 24/7, Monday through Sunday.

A guaranteed functional platform, including backup, must always be available.

b) Instrument integration plan: Systems must use consistent platforms and reagents across STVHCS facilities.

c) *Specimen integrity evaluation on all samples at no additional cost.

d) *Capable of repeat, reflex testing, and auto-dilution.

e) *Acceptable reagent capacity: Minimum 96 well target plates, processing at least 600 samples per hour per analyzer.

f) *STAT loading capability with prioritization of STAT over routine testing for specified tests.

g) Minimal calibration requirements: Less than 30 minutes for routine and full calibration.

h) Quality methods meeting College of American Pathologists (CAP) proficiency testing standards.

i) Minimal daily maintenance downtime: Less than 20 minutes.

j) *Quality control frequency not exceedingly once per 24 hours per instrument platform.

k) *Open channel availability for adaptation of commercially available reagents not produced by the vendor.

1. Reagents and Supplies:

a) Inventory Management: The contractor shall maintain a continuously stocked inventory of reagents, calibrators, troubleshooting controls, consumables, and routinely replaced parts necessary for testing. Unexpected changes in methodology/technology shall be at the vendor’s expense. Technical advisories, recalls, or alerts must be forwarded to the Microbiology Supervisor or designee simultaneously with field alerts. Failure to maintain adequate inventory will result in default.

b) Items Included: The vendor shall provide all items required for optimal equipment operation, including printers, cartridges, consumable parts, and maintenance supplies.

Excluded items or costs must be delineated in the technical proposal with disclosed costs.

c) Special Handling for Emergency Orders of Supplies: Emergency supply requests shall be honored until routine delivery arrives. Defective or unsuitable consumables must be replaced within 24 hours of a verbal order at no additional cost, in sufficient quantity for one week of normal test volume.

d) Quality of Reagents, Supplies, and Disposables: Supplies must meet CAP and The Joint Commission (TJC) proficiency testing standards. Defective supplies or failure to comply with delivery requirements must be replaced within 24 hours of a verbal order (by 1 pm EST) at no cost, in sufficient quantity for one week. The vendor shall reimburse costs for tests performed by alternative vendors due to reagent or equipment issues.

e) Returned Goods: The VA may reject products within 30 days of receipt or installation.

Returns of non-defective products require vendor authorization and may incur restocking charges. No returns are authorized after 120 days.

f) Shipping Charges: For reagents with hazardous constituents, the vendor must provide mechanisms to meet local discharge requirements. No delivery or handling fees shall apply. Additional costs (e.g., Industrial Funding Fees) must be disclosed in the price quote and rental agreement.

4. Additional System Requirements:

a) Upgrades or Replacement: Requests for upgrades, software updates, or replacements due to workload, menu changes, or excessive failures will be evaluated annually. High incidence of equipment issues may entitle STVHCS to replacement. Removal must occur within 60 days of request.

b) *Patient Mean Analysis Quality Control Program: Must include a QC program on instruments or middleware to monitor test method trends.

c) Comprehensive onboard QC program with data storage, reporting, visual alerts for QC failures, and documentation of out-of-range results.

d) Upgraded software/equipment provided at no additional cost, installed within 60 days of commercial availability.

e) Remote instrument monitoring compliant with HIPAA and VA Directive 6500, using a VPN for diagnostics and support. Vendor staff must provide HIPAA training documentation.

f) Bar code readers compliant with Clinical and Laboratory Standards Institute (CLSI) standard Auto2-A for specimen container identification.

g) Contractor Middleware System: Must include hardware/software, command central, customized rules for test menus, instrument connections, and onsite/remote support for installation and contract duration.

h) New Test Methods: The vendor shall perform validation studies (installation, correlation, normal range) at no cost, meeting CAP/CLSI standards.

B. Maintenance and Service Support Requirements:

1. Minimal System Maintenance required, including limited reagent preparation time/steps prior to use.

• Daily Maintenance <20 minutes

• Weekly Maintenance <1 hour

• Monthly <2 hours

• Annual/As Needed Maintenance <8 hours

2. Computer Patient Data Handling: No hardware containing any VA patient information is to be removed from any location, without the approval and removal of data by the VA information technology department. Failure to comply with this VA requirement may result in prosecution.

3. Preventative Maintenance: Contractor shall provide regular, scheduled maintenance to ensure the continued reliable operation of the equipment. These preventive maintenance visits shall be of a frequency that conforms to the manufacturer's operation and maintenance instructions for the supported equipment. Minimum of 3 per year per instrument unless documentation for volume performed denotes not required for optimum quality of operation.

4. Emergency Repair: Emergency repairs shall be performed after notification that the equipment is inoperative. The contractor shall provide the government with a designated point of contact and shall decide to enable its maintenance representative to receive such notification. The contractor shall perform emergency repair service within 24 hours of notification of the malfunction. The contractor shall provide all the parts and labor needed to repair the malfunction. Travel, per diem and other expenses associated with the repair shall be borne by the contractor. The contractor shall furnish a malfunction incident report to the installation upon completion of each maintenance call. The report shall include, as a minimum, the following: (a) date and time of arrival. (b) Serial number type and model numbers(s) of equipment (c) time spent on repair, (d) description of malfunction and (e) proof of repair.

5. Maintenance Support: Service repair person locally based within STVHCS geographical area. *

6. Maintenance Credit for Equipment Malfunction: If a machine remains inoperative due to a malfunction through no fault or negligence of the government for a total of 24 hours or more, the contractor shall be assessed damages at the rate of 1/30 of the preceding average three month billings times the total number of days certified as downtime for each incident shall start from the time the user makes a bona fide attempt to contact the contractor's designated representative at the prearranged contact point until the machine is returned to good operating order less any non-contracted maintenance (emergency repairs) days.

7. Replacement of Laboratory Equipment: During the contract period, should the repair record of any laboratory equipment reflect a downtime of 10% or more of the normal working days in one calendar month, a determination will be made by the representative of the government to replace the initial laboratory equipment with new equipment. The responsibility of maintaining the equipment furnished in good condition shall be solely that of the contractor.

8. Failure Mean Time Disclosure: The contractor shall state the failure mean time (between failure and mean time to repair) for each piece of equipment offered. The Contractor shall provide emergency backup equipment.

9. FDA Approved Instruments and Methods: Only instruments which are FDA approved will be considered and must be operational and interface with VA Laboratory Computer systems and upgrades. Test methods must be FDA approved with limited recalls due to product failures. This must be a "turnkey" system.

10. Operator Procedure Manuals: Two Operator and Service manuals along with CLSI compliant procedures must be furnished for each instrument model supplied.

C. Training and Technical Service Training:

1. Off-site training at the vendor’s facility for two operators per instrument and automation system at installation and annually thereafter, covering all costs (transportation, room, board).

2. On-site training for all laboratory staff as needed.

3. Training on the data management system, with onsite refresher training annually during option years.

4. Supplemental training for equipment or software upgrades at no additional cost.

5. Additional training at the vendor’s facility may be offered under mutually agreed terms.

D. Installation and Initial Set Up:

1. Site Preparation: The vendor shall provide detailed site preparation specifications to ensure efficient operation per manufacturer claims.

2. *Space Requirements and System Specifications: Equipment must fit the existing footprint, with disclosed specifications. Crossover to new instrumentation must occur without interrupting patient care.

3. Ownership of Equipment: Equipment remains vendor property. Accessories accompany equipment upon return. The vendor shall decontaminate, disconnect, pack, and remove equipment within 10 days of contract expiration or replacement.

4. Standard and Acceptance of Performance: Equipment must operate at 99% effectiveness for 30 consecutive days post-installation, with a minimum of 100 hours of operational use. Downtime is measured from notification to repair completion. The government will record use and downtime, notifying the vendor of the performance period start.

5. Government’s Responsibility: The user will perform routine maintenance and cleaning by manufacturer instructions and maintain records.

6. Installation Procedures: The vendor is responsible for delivery, positioning, mounting, and connections, coordinating with the facility’s biomedical engineer. Issues affecting performance must be reported to the CO. Installation resumes within 24 hours after delays are resolved. Final acceptance occurs within 10 days of installation, based on inspection or guaranteed date.

1. Government's responsibility: The user will perform routine maintenance and cleaning as required in the manufacturer's operation and maintenance instructions. The user will maintain appropriate daily records to satisfy the requirements of this paragraph.

2. Installation procedures:

a. The contractor shall be responsible for installation, which consists of in-house delivery, positioning, and mounting of all equipment listed on the delivery order and connections of all equipment and interconnecting wiring and cabling if applicable in coordination with the facility Biomedical engineer. Upon receipt of notice to proceed with installation, it shall be the contractor's responsibility to inform the Contracting Officer of any problems which may be anticipated in connection with installation, or which will affect optimum performance once installation is completed. If progress of the installation is interrupted through no fault of the contractor, the continuous installation referenced in the preceding paragraphs may be terminated until such time as the cause of delay has been eliminated and then shall be resumed within 24 hours after the contractor has been notified that work may again proceed.

b. Upon completion of installation the equipment shall be turned over to the hospital for use. Final acceptance of the equipment and installation will be based upon an inspection and test to be performed within ten (10) calendar days from the date of installation. If equipment passes inspection or if acceptance inspection is not conducted within ten (10) calendar days from installation, the Government will accept installation with guaranteed date commencing ten calendar days after installation.

c. The vendor shall provide equipment installation for the life of the contract and possible reinstallation at no cost if the equipment is required to be moved due to construction or laboratory redesign.

E. Special Requirements for Awarded Contractor:

1. *The vendor must meet or improve existing laboratory turnaround times, providing backup instrumentation to ensure uninterrupted testing. Method performance/comparison studies (linearity, sensitivity, carryover) must be conducted at the vendor’s expense, meeting CLSI, CAP, and federal standards. Technical procedures must be provided electronically in CLSI format for local modification.

F. Early Termination:

1. The ordering activity may terminate the contract via FAR 52.249-4. Termination charges may apply for the fiscal year of termination, not exceeding the difference between the order price and the price for tests run.

G. Equipment Removal:

1. Equipment must be removed within 60 days of contract expiration, after new vendor equipment installation and crossover studies. Hard drives with VA information remain VA property.

H. Past Performance/Technical Excellence:

1. The vendor shall provide three references validating instrumentation and service experience over the last 5 years.

2. Best Value: Value-added characteristics include fitting the current footprint, continuous loading, random/STAT/batch testing, incubation times under 20 minutes, QC failure lockout, RFID reagent tracking, automatic software upgrades, and handling various sample tube sizes.

J. Progress and compliance:

1. Annual contract review for compliance with service, billing, delivery, and uptime expectations prior to renewal.

1. Government Inherent Functions: The contractor shall not perform inherently governmental functions, including determining agency policy, budget priorities, employee direction, employment decisions, contractual approvals, licensing actions, or budget strategy.

K. CONFIDENTIALITY AND NONDISCLOSURE

It is agreed that:

1. The preliminary and final deliverables, and all associated working papers, application source code, and other material deemed relevant by VA which have been generated by the contractor in the performance of this task order, are the exclusive property of the U.S. Government and must be submitted to the CO at the conclusion of the task order.

2. The CO will be the sole authorized official to release, verbally or in writing, any data, draft deliverables, final deliverables, or any other written or printed materials pertaining to this task order. No information must be released by the contractor. Any request for information relating to this task order, presented to the contractor, must be submitted to the CO for a response.

3. Press releases, marketing material, or any other printed or electronic documentation related to this project, must not be publicized without the written approval of the CO.

L. CONTRACTOR SECURITY REQUIREMENTS

This contractor requires remote access to the STVHCS or any VA information system. The instrumentation will be interfaced to the STVHCS information system. There will be supervised access when the contractor is physically present for technical support, service calls, and scheduled preventative maintenance.

NO VA DATA OF ANY TYPE MUST BE TRANSFERRED FROM THE VA.

The C&A requirements do not apply. A Security Accreditation Package is not required.

M. RECORDS MANAGEMENT

All records (administrative and program specific) created during the period of the contract belong to STVHCS and must be returned to STHCS at the end of the contract.
