A.2 QUESTION AND ANSWERS
1. DELIVERY LOCATIONS: Please provide clarity on the following delivery location questions:
Tyler Broadway Clinic (7916 South Broadway, Suite 100, Tyler, TX) – VA.gov lists this facility as closed, but it is included as a required address for delivery on PG 10 of 121 in the RFQ. Please confirm that this Clinic does not require deliveries. ANSWER: Still requires deliveries. Cylinders will be needed about every 3 months.
The current contract requires separate delivery points for Dallas VAMC Research (RM 43) and for Dallas VAMC Energy Center (BLDG 70) in addition to the main facility, but neither location is referenced in the RFQ. Do these departments/buildings still require deliveries under the Dallas VAMC?
ANSWER: Yes, both facilities require delivery.
2. CLIN CLARIFICATION:
CLIN 0012: Please confirm the description is for “Liquid Nitrous Oxide 160 to
180 Liters” and not “1809 Liters” as it is currently listed.
o NOTE: This change will also need to be corrected on the Attachment D.1 Loss of Use (LOU) Cylinder Price List.
ANSWER: This has been revised in the LINs and Attachment D.1.
CLIN 0013: Please clarify whether the GOV needs a 160-Liter or a 180-Liter VGL. The NS USP180LT350 part number provided indicates a 180-Liter VGL is required, but the description lists “Nitrous Oxide Liquid 160 Liters.”
o NOTE: 180-Liter VGLs are more readily available tan the 160-Liter VGLs.
ANSWER: Updated to 180-Liter VGLs.
CLIN 0020 on Attachment D.1 Loss of Use: Please confirm the description should read “Monthly Cylinder Rental – Gas Cylinders: Small Charged Monthly” as it appears incomplete on Attachment D.1 and does not reflect the RFQ CLIN 0020 description.
ANSWER: Updated.
3. INSURANCE: How is the GOV going to validate that offerors are properly insured for NAICS 325120/221210 – the actual requirement for this work to comply with the RFQ and not just the dollar value threshold listed on PG 14 of 121 (Section 12)? How do offerors portray to the GOV/Evaluation Committee that they have the correct type of Liability Insurance, and does this credential need to be affirmed at the time of bid submission (if not, an awarded firm could be turned down or not be able to afford this coverage in the amounts the GOV requires, respective to NAICS 325120)? This is important because there are very few underwriters that will insure small businesses for distribution of compressed gases and why confirmation of the applicable NAICS is being asked, in accordance with Paragraph (a) of FAR 52.288-5 – Insurance Work on a Government Installation.
ANSWER: Verification is an administrative duty and completed after contract award.
4. EVALUATION: What is the GOV’s rationale for evaluating on a Lowest Price Technically Acceptable basis in awarding work as critical as the distribution of Medical Grade Oxygen, a prescription drug for high-volume facilities (please note, the Fort Worth CBOC is larger than some VAMCs nationally)? How will the GOV deem an offeror is technically acceptable without the requirement of past performance submission requirements as an evaluation factor? We recommend “Best Value” approach to ensure the VA receives the best possible offer/service and not just award to the offeror with the lowest price.
ANSWER: In accordance with FAR 15.101-2, the Government has a high degree of confidence that reviewing the technical proposals of all offerors would not result in the identification of characteristics that would provide value or benefit to the agency.
Therefore, LPTA is appropriate. Past performance is not a separate evaluation factor for this procurement. Past performance will be reviewed as part of the Contracting Officer’s responsibility determination prior to contract award in accordance with FAR Part 9.104- 1.
5. LICENSING:
PG 14 of 121 (Section 11.3 – Licensing, Authorization, and Selling Permissions) states that “Throughout the term of this contract, the Contractor shall maintain all federal, state, and local licenses applicable to the Contractor as well as any required FDA certifications.” But PGs 94-95 of 121 (Section (b) – Volume Two Technical instructions) only requires the Offeror to “produce copies of the manufacturer(s)’ licensing, permits or registrations as required by the states in which this contract is performed.” There is no language requiring the SDVOB Prime Contractor to produce their State of Texas license to distribute Medical Grade Oxygen, as required on PG 14 of 121 in order for the Contractor to maintain compliance with “federal, state, and local licenses.” Please clarify?
Additionally, the GOV has no relationship with the Subcontractor, as the awardee is the accountable entity.
ANSWER: Section 11.3 has been revised to further clarify.
Please note: The Texas Department of State Health Services requires the Contractor – in this case, the Prime SDVOB Contractor – to be licensed/registered because performing the RFQ Statement of Work (SOW) equates/meets the State of Texas definition of the SDVOB Prime Contractor functioning as a Wholesale Distributor of Prescription Drugs with the state of Texas (Medical Grade Oxygen is a prescription drug per the FDA). As the SDVOB is the Contract holder and the accountable entity to the GOV, the Prime SDVOB Contractor requires licensing.
How is the GOV ensuring compliance with this? Please confirm the GOV’s rationale for emplacing “all Federal, State, and Local licenses” but NOT requiring State of Texas Licensing by the Prime Contractor. Furthermore, FAR 52.212-4 (PG 66 of 121, paragraph (q)) clearly states that “The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract.” Restated, State of Texas laws require the SDVOB Prime Contractor to be licensed as a Wholesale Distributor of Prescription Drugs in order to distribute Medical Gases in the state.
ANSWER: Licensing requirements may be met through a offerors subcontractor as supported by case law.
Additionally, the Licensing requirement is directly linked to the GOV’s required affirmations found in VAAR 852.219-76 VA NOTICE OF LIMITATIONS ON
SUBCONTRACTING – CERTIFICATE OF COMPLIANCE FOR SUPPLIES
AND PRODUCTS, which requires Offerors to certify in writing that they take ownership/possession of the items (PGs 73-75 of 121 in the RFQ). Being Evaluated as LPTA, if an SDVOB Offeror/Prime Contractor is not licensed in the state of TX, how can an unlicensed vendor be evaluated as Technically Acceptable?
ANSWER: Licensing requirements may be met through a offerors subcontractor as supported by case law.
6. LOSS OF USE FOR CONTRACTOR-OWNED CYLINDERS:
What are the procedures to account for Loss of Use (LOU) costs for Contractor-
Owned cylinders lost while in the VA’s possession? PG 12 of 121 (Section 8.8) provides language stating that the GOV will pay the replacement value of lost Contractor-Owned cylinders, but it does not state HOW this will be accomplished (e.g., paid for via separate purchase order?).
ANSWER: LOU will be paid though the contract on the appropriate LIN for the period of performance. (Example: LIN 0066, 1066, 2066, 3066, 4066)
As mentioned above, Section 8.8 addresses paying the replacement value for
Contractor-Owned Cylinders while in the GOV’s possession, but what is unclear is how the vendor will arrive at payment procedurally and be reimbursed in a timely manner for the lost cylinders?
ANSWER: Section 8.8 in the SOW is revised.
• Section 8.8 also states that “The Government will not pay cylinder rental fees from the date of audit.” Please provide the GOV’s rationale for this statement?
ANSWER: Section 8.8 in the SOW is revised.
• As a practical matter, the LOU process is a joint cylinder audit between the VA Facility and the SDVOB Prime Contractor – which validates on-hand balances physically observed/counted on the day of the audit, to ensure a thorough (all rooms/locations counted) and accurate count of cylinder balances. This process provides the data for reconciled cylinder balances, resulting in Prime Contracting billing for any Contractor-Owned Cylinders while in GOV possession. The audit itself is not a formal contract-related document (please note that the audit is not addressed in the RFQ other than in Section 8.8 stating the GOV will not pay rental on the cylinders lost while in GOV possession). However, the LOU payment related to the audit becomes an actionable document when the Contracting Authority approves payment by issuing a Purchase Order (PO) to fund the LOU. Hence, the GOV must continue to pay rental fees, up until a PO is issued, as the Prime Contractor must continue to pay the subcontractor rentals. The RFQ statement in Section
8.8 creates a situation where the Prime Contractor cannot replace the lost cylinders until such time as the GOV issues a PO/Invoiced Payment, thus creating a financial hardship on the SDVOB because the GOV is historically very slow to issue a PO in relation to the inventory, the subsequent vendor invoice, and GOV-issued PO to pay that invoice. Succinctly, this timeframe was (5) months in duration (invoice to PO issuance) for a recent VISN 17 LOU. What this means using the RFQ verbiage is that the Small Business would now have to absorb a full (5) months of Rental Payments to the Subcontractor. Secondly, given the verbiage in this RFQ, the vendor could no longer charge monthly rental fees for cylinders the GOV lost while in GOV possession, by no fault of the Prime Contractor, yet must continue to pay rental to the Subcontractor, until such time as the GOV issues a PO funding payment? Please provide the GOV’s rationale for ending rental fees based on the day of the audit? Additionally, the Tungsten Network will not allow an invoice to be submitted without a PO.
ANSWER: Section 8.8 in the SOW is revised.
• We recommend replacing the current LOU verbiage with the VISNs 9/10 Medical Cylinders Contract verbiage (36C77623D0910 – awarded in
SEPT 2023):
ANSWER: Section 8.8 in the SOW is revised.
7. UNSCHEDULED MAINTENANCE: PG 10 of 121 (Section 7) states that the “Vendor shall provide unscheduled maintenance (called upon to repair/fix any faulty equipment being rented despite the vendor having any schedule for their equipment maintenance if they have one).” Will the GOV please provide examples of “unscheduled maintenance” as this language reads more like a Bulk Oxygen requirement and not a cylinder requirement? If there is any issue with a cylinder, the Prime Contractor will coordinate with the facility POCs to rectify the issue (usually means replacing a cylinder).
ANSWER: Revised on SOW.
8. CYLINDER MANIFOLD SYSTEMS: PG 13 of 121 (Section 9) states that “Attaching of oxygen cylinders to manifold systems, when required, shall also be performed by the Contractor at no additional cost.” Will the GOV please remove this language as this is highly nonstandard and vendors cannot perform this function due to liability reasons (damaging manifold or entering facility and possibly interacting with patients – to include pandemic response concerns). Standard industry practice is delivering to centralized delivery point (e.g., loading dock), and distribution/hookup of cylinders within the facilities is the responsibility of GOV personnel. Vendors cannot be liable for the hook up of cylinders to any GFE manifolds/appurtenances due to liability, risk of damaging GFE equipment, and because drivers are not certified for this type of service. This function should only be performed by VA personnel who are more familiar with and properly trained on the systems unique to the VAMC Dallas.
ANSWER: “Attaching of oxygen cylinders to manifold systems, when required, shall also be performed by the Contractor at no additional cost.” This statement is removed from the SOW as the vendor is not allowed into the facility.
9. Who is the current incumbent.
ANSWER: RAS Enterprises, LLC
10. Is there a central location for deliver or will each site listed in the SOW need their own separate delivery?
ANSWER: Each location listed in the SOW will need their own delivery. Please see Section 5 for delivery address in the SOW.
