B.2 STATEMENT OF WORK
SCOPE
Contractor shall furnish all equipment, supplies, material, labor and supervision necessary to maintain plants weekly which includes watering, fertilizing, and general plant care at the Department of Veterans Affairs, South Central Health Care Network leased space located at Plaza 1, 715 Pear Orchard Street, Ridgeland, MS 39157. Plants are located on 2nd, 3rd, and 4th floors, throughout the lobby areas, as well as the conference rooms.
Performance & Work Hours: Maintenance and care for office plants shall be performed: One day out of a week (excluding Federal Holidays), between the hours of 8:00 AM and 5:00 PM. The period of performance is November 1, 2021 thru September 30, 2022 plus four (4) twelve (12) month option periods
CONTRACT MANAGEMENT
Required to do quarterly walk-through with VISN 16 POC to determine which plants need to be replaced at no cost. Plants are located within approximately 25, 000 square feet covering three floors of Plaza One Building, 715 South Pear Orchard, Ridgeland, MS. The 56 plants shall be distributed as VISN 16 mandates. Plants are to be replaced as required by VISN 16 staff. Plants may be required to be relocated to different areas at the request of VISN 16 Point of Contact. Plants are the property of the VISN 16 office and are all placed in VISN 16 owned planters. Vendor is required on site no less than once a week to maintain plants, which includes watering, fertilizing and general plant maintenance as required to keep the plants in top condition. Vendor is required to accompany VISN 16 Point of Contact on quarterly rounds to review plant quality, etc.… at no additional cost and if any plant is determined to be lacking in 100% standards of quality condition, vendor is required to replace that plant with a plant of equal size, variety and value. Vendor is required to provide experienced plant professionals who are knowledgeable about plants, their care and professional in demeanor. Vendor may be required to meet with VISN 16 staff at any time to discuss the quality of plants and the quality of work. Should the need arise, vendor should be willing to assist VISN staff in relocating plants and advise in plant and foliage design. Contractor personnel will have to obtain facility access by way of fingerprinting to get badge to access the base. The point of Contact will be in charge of assisting with this access.

For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services under FAR 52.217-8 as follows:
The evaluation will consider the possibility that the option can be exercised at any time and can be exercised in increments of one to six months, but not for more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract at the time the option is exercised. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price of all proposals relative to each other and will not affect the ranking of proposals based on price, unless, after reviewing the proposals, the Government determines that there is a basis for finding otherwise. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

SECTION C - CONTRACT CLAUSES
ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following clauses are incorporated into 52.212-4 as an addendum to this contract:
C.1 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.2 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.3 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)
Funds are not presently available for performance under this contract beyond September 30, 2022. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond September 30, 2022, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.
(End of Clause) C.4 52.223-99 ENSURING ADEQUATE COVID-19 SAFETY PROTOCOLS FOR FEDERAL CONTRACTORS (OCT 2021) (DEVIATION)
(a) Definition. As used in this clause -
United States or its outlying areas means—
(1) The fifty States;
(2) The District of Columbia;
(3) The commonwealths of Puerto Rico and the Northern Mariana Islands;
(4) The territories of American Samoa, Guam, and the United States Virgin Islands; and
(5) The minor outlying islands of Baker Island, Howland Island, Jarvis Island, Johnston Atoll, Kingman Reef, Midway Islands, Navassa Island, Palmyra Atoll, and Wake Atoll.
(b) Authority. This clause implements Executive Order 14042, Ensuring Adequate COVID Safety Protocols for Federal Contractors, dated September 9, 2021 (published in the Federal Register on September 14, 2021, 86 FR 50985).
(c) Compliance. The Contractor shall comply with all guidance, including guidance conveyed through Frequently Asked Questions, as amended during the performance of this contract, for contractor workplace locations published by the Safer Federal Workforce Task Force (Task Force Guidance) at https:/www.saferfederalworkforce.gov/contractors/.
(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in subcontracts at any tier that exceed the simplified acquisition threshold, as defined in Federal Acquisition Regulation 2.101 on the date of subcontract award, and are for services, including construction, performed in whole or in part within the United States or its outlying areas.

The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

C.8 VAAR 852.237-75 KEY PERSONNEL (OCT 2019)
The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the Contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement’s skills, experience, and credentials meet or exceed the requirements of the contract. If the employee of the Contractor is terminated for cause or separates from the contractor voluntarily with less than thirty days notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

SECTION E - SOLICITATION PROVISIONS
E.1 ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:
(a) General Instructions
(1) Electronic Submissions: Contractors must email their quote to Tina Harris at tina.harris3@va.gov . Include the solicitation number (36C25622Q0054) in the Subject line. Any attachments must be readable using Microsoft Office or Adobe PDF. The size of the email is limited to 5 megabytes (MB) but multiple emails are allowable. Quotes must be submitted electronically and will not be accepted through fax or postal mail.
(2) All questions regarding this solicitation should be emailed to tina.harris3@va.gov no later than 12 pm, Central Standard Time (CST), Friday, October 15, 2021. No phone calls will be accepted for questions. All questions shall be submitted via email only.
(3) All solicitation responses/packages are to be submitted no later than 12 pm, CST, Friday, October 21, 2021, via email to tina.harris3@va.gov
(b) Selection Process
(1) Evaluations will be conducted under the procedures of FAR Part 13.
(2) In accordance with FAR 13.106-2(b)(3), the quotes will undergo a comparative analysis evaluation to determine which vendor provides the best value to the government in terms of high technical capability and past performance, while also providing a competitive price.
(c) Quote Package Contents
(1) The quote package should address all the information listed in the evaluation factors under 52.212-2. There is not a required format that the information must be presented in. We will be focused on the content of the quote and whether it addressed all the evaluation factors.
The Contractor shall submit a signed copy of the SF1449. The amendments (if applicable) shall also be signed and returned or acknowledged by listing the amendments and returning the Commercial Administration Data Sheet, Section B.1. Please note: Section B.1 also requests contractor information to be filled out. Ensure this information is included in your quote package response.
(2) For the technical capability factor, the quote package should demonstrate the contractor’s service approach. The quote shall indicate how the Contractor plans to perform the services, provide certifications and licensures for requested services in accordance with the Statement of Work (SOW).
The Contractor shall provide a contract manager and alternate(s) responsible for performance of work.
The contractor shall demonstrate prior experience with Plant Maintenance Services. The contractor shall demonstrate this by indicating the company the service was being provided for, the contract amount, size of the facility being serviced, area of service, type of facility being serviced, and how long the contract was held.
The quote response for technical capability should not simply restate the Statement of Work. Simply restating the Statement of Work will not be evaluated favorably.
(3) For the past performance factor, Attachments 2 & 3 have been provided. Please complete Attachment 2 and return with your quote package. Attachment 3 should be sent to those customers listed on Attachment 2 and they can email directly to the contracting Officer at tina.harris3@va.gov. Please include at least three but not more than five recent (within the past five years) and relevant (similar in size and scope) completed surveys.
(4) the contractor will provide a flat monthly rate and/or each rate in accordance with the price schedule. In evaluating the contractor’s price, the Government’s determination will include whether the price reflects a clear understanding of the requirements, is consistent with the information provided in the contractor’s quote and is reasonable in comparison with other quotes that have been submitted in response to the solicitation. Wage and Labor rates apply to this solicitation for Hinds County, MS. Labor classification(s) utilized to formulate price shall be noted with the solicitation response.

E.2 52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (OCT 2020) The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it ‘‘does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument’’ in paragraph (c)(1) in the provision at 52.204–26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212–3, Offeror Representations and Certifications–Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it ‘‘does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services’’ in paragraph (c)(2) of the provision at 52.204–26, or in paragraph (v)(2)(ii) of the provision at 52.212–3.
(a) Definitions. As used in this provision— Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204–25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
