STATEMENT OF WORK

1. Background: The current cart washer in the Sterile Processing Service (SPS) at the Richard L. Roudebush VA Medical Center (RLR VAMC) is unreliable and requires a replacement. It is the only unit within SPS and has broken down several times over the past year. The computer inside the unit expired and required replacement. Should it go down, a backflow of work is created due to the extra time and/or additional personnel required to hand wipe the carts, racks and trays. This creates congestion in the decontamination area, causes safety concerns, and disrupts workflow. Not having a reliable cart washer also has a negative impact on patient care when reusable medical devices (RMD) are needed as reprocessing is taking longer. Given its unreliability, to ensure consistent and efficient operation, an upgrade is necessary.

2. Scope: SPS is requesting the procurement and installation of a new cart washer. This upgrade aims to replace the current unreliable system with a new, state-of-the-art washer that meets all operational and safety standards. Services shall be provided in accordance with the terms, conditions, provisions, and schedule of the contract. Minimal disruption to operations should be incurred as the new unit is installed.

3. Specific Tasks For Testing and Deliverable Product:

A. Supply and Installation

i. Contractor will schedule a Site Prep visit to ensure utility relocation is addressed as well as any concerns deemed to be pertinent to this project.

ii. Construction barriers will need to be erected by VAMC Engineering Service. Proper personal protective equipment (PPE) must be donned for individuals in this area.

iii. Contractor must provide all necessary labor, materials, equipment, and supervision required for the installation of the new cart washer.

iv. Ensure the new cart washer is fully operational and meets the specified performance standards.

v. Contractor shall de-install old cart washer.

vi. Contractor shall remove and dispose of old cart washer.

vii. Contractor shall install new cart washer in accordance with the equipment manufacturer’s guidelines and specifications B. Testing and Validation

i. Contractor shall conduct testing of the installed cart washer to ensure it meets performance and operational requirements. SPS must sign off on the project to confirm that the unit has been deemed operational.

ii. Contractor must provide a detailed report of the testing process, results, and any necessary adjustments made to ensure all metrics have been met.

C. Training

i. Contractor shall provide comprehensive training to SPS personnel on the operation and maintenance of the new cart washer within one (1) week of installation completion.

ii. Contractor shall provide additional training sessions (as needed) to ensure staff proficiency on both operational shifts.

iii. Contractor shall provide customer support for any and all operational concerns within the first 30 days of equipment operation either by phone, video call or in person visit.

D. Maintenance

i. Contractor will define a maintenance schedule and service regiment to provide post-installation parameters for a specified period; to be determined by the Healthcare Technology Management (HTM) Service out and in coordination with other existing service contracts for Steris equipment/products in use at the facility.

ii. Contractor will provide calibration and routine checks to ensure continuous optimal performance; to be determined by HTM and in coordination with other existing service contracts for Steris equipment/products in use at the facility.

E. Performance

i. The Government shall document the performance of the new cart washer. Any reports shall become part of the supporting documentation for any contractual remedies required to resolve performance issues and/or concerns.

4. General Requirements:

A. Coordination. All on-site work shall be coordinated with the Contracting Officer Representative (COR) at least seven (7) days prior to the performance of services.

B. Work Hours. Services shall be performed at a time that is agreed to by RLR VAMC leadership and the contractor. C. Holidays. The holidays observed by the Federal Government: New Year’s Day, Martin Luther King Jr. Day, Washington’s Birthday, Memorial Day, Juneteenth, Independence Day, Labor Day, Veteran’s Day, Thanksgiving, and Christmas, shall be considered non-workdays unless otherwise authorized by the COR.

D. Communication. Contractor shall respond to routine communications within 48 hours and provide emergency response within 4 hours of the request, 24 hours a day, and 365 days a year. Contractor shall update the COR or SPS Leadership daily on the daily progress during installation of equipment.

E. Documentation. All concerns, deficiencies, or corrections made shall be reported within 24 hours to the COR in writing. All safety issues must be reported immediately to the COR.

5. Deliverables:

A. See attached price/cost schedule for line items.

B. Service Reports. The Contractor shall provide complete written reports within 5 business days after each test and validation.

i. Reports must include: Test results, dates, parameters, and any necessary recommendations as applicable.

ii. Clear indicators of pass or fail status, settings, passwords, supervisor functions, general bypass and workarounds to have minimal impact on operations should a prolonged time period for support be required.

iii. Documentation of any products or consumables used during testing shall be provided to HTM for documentation of services and tracking of the unscheduled services as needed.

C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2023)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(C) Affected line item or subline item, if applicable; and

(D) Contractor point of contact.

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(6) Interest.
