About this file
This is a Solicitation/Contract/Order (SF 1449) for non-emergent ambulatory and wheelchair/ambulette transportation services for research participants at the Louis Stokes Cleveland VA Medical Center's Rehabilitation Research and Development Center. The Department of Veterans Affairs Network Contracting Office 10 issued the solicitation (36C25026Q0216) on February 3, 2026, with an offer due date of February 27, 2026, at 3:30 PM EST. The acquisition is a 100% small business set-aside with an estimated contract value of $19 million, conducted under simplified acquisition procedures for commercial services. The contract will be firm-fixed-price with service types priced by round-trip transportation on a per-trip basis, stratified by service type (ambulatory or wheelchair/ambulette) and distance band (within 20 miles, outside 20 miles, or outside 50 miles). The base period runs from approximately March 15, 2026, through March 14, 2027, with three optional one-year renewal periods through March 14, 2030. Historical volume is estimated at approximately 270 round trips per fiscal year.
The Performance Work Statement requires the contractor to furnish all vehicles, drivers, attendants, management, and supplies necessary to provide safe, reliable non-emergency transportation for authorized research participants between their residences and VA or VA-authorized facilities in the Cleveland area. Services exclude stretcher transports and any basic, advanced, or specialty life support services, and do not require EMT-level staffing. The contractor must comply with all applicable federal, state, and local laws, including ADA requirements, NHTSA/FMVSS standards, and Ohio Medicaid/NEMT regulations. Drivers must maintain required training and certifications, assist participants door-to-door while maintaining dignity and safety, properly secure all passengers and wheelchairs before vehicles move, and report accidents and safety incidents within one hour. The Service Contract Act Wage Determination #2015-4727 applies. Payment will be made electronically monthly through the VA's designated e-invoicing system (Tungsten Network). The contractor must be registered in SAM as an active small business under NAICS code 485991 (Special Needs Transportation) at time of offer submission.

B.2 PERFORMANCE WORK STATEMENT (PWS)
Non‑Emergency Ambulatory and Wheelchair/Ambulette Transportation Services for Research Participants
1.0 BACKGROUND
The Veterans Affairs Rehabilitation Research and Development (RRD) Cleveland FES Center conducts clinical research trials involving participants with spinal cord injury, stroke, brain–computer interface (BCI) systems, and other neurological conditions. Reliable, safe, and timely non-emergency transportation is essential to ensure research participants can attend study visits and related medical appointments.
2.0 PURPOSE
The purpose of this contract is to provide non-emergency ambulatory and wheelchair/ambulette transportation services for research participants to and from designated facilities associated with the Veterans Affairs RRD Cleveland FES Center and affiliated clinics. Transportation under this contract does not include stretcher transports or any Basic Life Support (BLS), Advanced Life Support (ALS), or Specialty Care Transport (SCT) services, and does not require EMT-level staffing.
3.0 SCOPE OF SERVICES
The Contractor shall furnish all vehicles, drivers, attendants (if used), management, supervision, supplies, equipment, and reporting necessary to provide safe, reliable, non-emergency ambulatory and wheelchair/ambulette transportation services for authorized research participants, as ordered by the Government. Transportation services under this contract shall be ordered and priced on a per-trip, round-trip basis by service type (ambulatory or wheelchair/ambulette) and by distance band relative to the designated VA facility (within 20 miles, outside 20 miles, and outside 50 miles). For the purposes of this contract, distances are measured as road miles between the designated VA facility and the participant’s pickup location using commonly accepted mapping tools.
A round trip consists of one outbound transport from the participant’s pickup location to the designated facility and one separately scheduled return transport from the facility (or other authorized location) back to the participant’s residence or other authorized destination. Vehicles are not required to remain on-site between outbound and return legs; return trips shall be scheduled in advance as separate legs of the round trip.
Services shall be provided on an as-ordered basis, typically during medical center business hours, with specific pickup and drop-off times established in each transportation request. Routine trips should be requested at least 24 hours in advance; same-day requests are subject to availability.
3.1 ESTIMATED HISTORICAL VOLUME
Based on historical data, the Government estimates approximately 270 round trips per fiscal year under this requirement. This estimate is provided for informational purposes only and does not constitute a guaranteed minimum or maximum number of trips.
4.0 SERVICE TYPES AND VEHICLE REQUIREMENTS
4.1 Service Types
Ambulatory transportation is transportation for participants who are able to ambulate independently or with assistance (for example, cane or walker) and can safely ride in a standard passenger seat. Wheelchair/ambulette transportation is transportation for participants who use wheelchairs or other mobility devices and can be transported in properly equipped wheelchair vans or ambulettes using appropriate securement systems. One caregiver or family member may accompany the participant when medically or functionally necessary, at no additional charge, unless otherwise authorized by VA.
4.2 Vehicle Standards
All vehicles used under this contract, including wheelchair vans and ambulettes, shall be properly licensed, registered, and insured in accordance with applicable federal, state, and local laws. Vehicles shall be equipped with appropriate wheelchair lifts or ramps, securement systems, and occupant restraint systems suitable for safe wheelchair transport. Vehicles shall be maintained in safe operating condition, kept clean, and free from hazards that could endanger passengers or staff, and shall be climate-controlled (heating and air conditioning) and reasonably comfortable for passengers.
The Contractor shall demonstrate and maintain compliance by all drivers and vehicles with all applicable federal, state, and local laws and regulations governing non-emergency medical transportation, including but not limited to Americans with Disabilities Act (ADA) requirements, National Highway Traffic Safety Administration (NHTSA) and Federal Motor Vehicle Safety Standards (FMVSS) requirements, and all applicable Ohio Medicaid/non-emergency medical transportation (NEMT) laws, regulations, and program requirements, as amended. Drivers shall maintain all training and certifications required under applicable Ohio Medicaid/NEMT requirements, which may include CPR, First Aid, passenger assistance, and wheelchair securement training.
5.0 DRIVER AND STAFF REQUIREMENTS
Drivers and any transportation attendants shall conduct themselves in a courteous, professional, and businesslike manner at all times. All personnel shall be able to read, write, speak, and understand the English language sufficiently to communicate with participants and VA staff, understand orders, follow directions, and complete required documentation. All personnel shall meet any background check, exclusion screening, and security requirements specified by VA and applicable Ohio Medicaid/NEMT regulations.
Drivers shall provide door-to-door assistance, meaning they shall assist participants from the exterior door of the residence or facility to the vehicle and from the vehicle back to the exterior door at the destination, while maintaining participant dignity and safety. Drivers are not required to enter the interior of homes or provide clinical care. Drivers shall safely assist participants with boarding and exiting vehicles, including use of lifts or ramps and wheelchair securement, and shall ensure that all occupants are properly restrained before the vehicle is in motion.
Drivers are not expected to provide medical treatment; however, they shall be trained to recognize obvious medical emergencies, immediately call 911, and promptly notify the appropriate VA point of contact.
6.0 PLACE OF PERFORMANCE
Transportation services shall be provided between participant residences or other authorized pickup locations and VA or VA-authorized facilities where research visits or related appointments occur, including but not limited to:
Louis Stokes Cleveland VA Medical Center (LSCVAMC) MetroHealth Medical Centers, Old Brooklyn Health Center Cleveland Clinic University Hospitals Other VA-authorized facilities or locations may be added in writing by the Contracting Officer (CO) or Contracting Officer’s Representative (COR).
7.0 PERIOD OF PERFORMANCE
The anticipated period of performance is as follows (dates are estimates and may be adjusted at time of award):
Base Year: On or about March 15, 2026 through March 14, 2027 Option Year 1: On or about March 15, 2027 through March 14, 2028 Option Year 2: On or about March 15, 2028 through March 14, 2029 Option Year 3: On or about March 15, 2029 through March 14, 2030 Exercise of option years shall be at the sole discretion of the Government, and the actual start date of the base period will be established at the time of award.
8.0 PERFORMANCE REQUIREMENTS AND MONITORING
The Contractor’s performance will be monitored by FES Center staff and the COR through periodic reviews of timeliness of pickups and drop-offs, transport time and reliability, participant safety, comfort, and security during transport, cleanliness and condition of vehicles, and responsiveness to cancellations, schedule changes, and VA communications. Dedicated VA personnel may be assigned to observe, interact with, and assist in monitoring the Contractor’s performance to ensure all requirements are met.
The Contractor shall provide incident reports as specified in this PWS. Upon request by VA, the Contractor shall also furnish summary reports, which may include, but are not limited to, the total number of trips by service type (ambulatory versus wheelchair or ambulette), on-time performance, no-shows, and participant complaints or compliments.
The Contractor shall not be held liable for nonperformance caused by occurrences beyond its reasonable control and without its fault or negligence, including but not limited to acts of God, acts of the Government in its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, and unusually severe weather. In such events, the Contractor shall notify VA as soon as practicable, provide available details regarding the nature and expected duration of the disruption, and work with VA to resume normal services as quickly as reasonably possible.
9.0 TRANSPORTATION REQUEST PROCEDURES
Only authorized VA and research staff may request, modify, or cancel transportation services under this contract. The specific individuals or roles authorized to place transportation requests will be designated by VA and communicated to the Contractor in writing. The Contractor shall accept orders only from those VA and research staff identified as authorized requestors.
When placing orders for services, the authorized VA or research staff will provide at a minimum the mode of transportation required (ambulatory or wheelchair/ambulette), the required time of arrival and/or pickup time, the participant’s name, pickup and drop-off locations, any special assistance needs (such as use of mobility devices, caregiver accompanying, or communication needs), and any special instructions relevant to safe and timely transport.
Routine trips should be requested at least 24 hours in advance; same-day requests are subject to availability. The Government will identify in each order the required service type (ambulatory or wheelchair/ambulette) and the applicable distance band (within 20 miles, outside 20 miles, or outside 50 miles of the designated facility), consistent with the contract line items for the base and option periods.
10.0 PICK-UP, DROP-OFF, AND TRIP STRUCTURE
Drivers shall pick up and drop off participants at the specific locations designated by VA staff, such as main entrances, patient pickup areas, or other agreed-upon sites appropriate for non-emergency wheelchair or ambulatory transport. Designated points of contact may include, for example, the Veteran Transportation Service (VTS) Dispatcher or the Administrator of the Day (AOD), as applicable at the facility.
For outbound legs, drivers shall ensure the correct participant is transported to the correct facility and shall confirm the return pickup time and location if a same-day return is scheduled. For return legs, drivers shall verify the participant’s readiness for transport and confirm the correct drop-off location before departure.
A round trip consists of one outbound leg and one return leg ordered under the applicable line item for service type and distance band. Vehicles are not required to remain on-site between legs; return legs shall be separately scheduled as part of the round trip. The Contractor shall maintain transport logs or trip records as required by VA and applicable Ohio Medicaid/NEMT regulations and shall provide copies upon request.
11.0 CANCELLATIONS AND NO-SHOWS
For trips in which the Contractor is notified of cancellation before a vehicle is dispatched, there shall be no charge to the Government. A “no-show” is defined as a transportation request that is cancelled after a vehicle has been dispatched and is en route to, or has arrived at, the pickup location, and there is no longer a requirement for transportation, including instances where the participant is not present or declines transport.
If a vehicle has been dispatched, is en route, or has arrived at the pickup location at the time of cancellation or no-show, the Contractor may invoice the Government for a one-way trip in accordance with the applicable line item for the service type and distance band, as documented and reported to VA.
12.0 TRANSPORT OF MISCELLANEOUS ITEMS
The Contractor may be required to transport small personal items with the participant at no additional cost to the Government, such as luggage (limited to suitcase or valise-type items), medical records, medications, and personal comfort items. The Contractor shall exercise reasonable care to safeguard these items during transport and shall be responsible for loss or damage resulting from Contractor negligence.
13.0 PARTICIPANT WELFARE AND SAFETY
The Contractor is responsible for participant welfare and safety from the time of pickup until the participant is delivered to the authorized destination. The Contractor shall exercise extreme caution when assisting participants with mobility impairments or wheelchairs, particularly when using lifts or ramps, securement devices, and vehicle steps. All participants shall be properly secured using appropriate seat belts and wheelchair securement systems before the vehicle is put into motion.
If a participant refuses to be properly secured or removes securement devices, the driver shall explain the safety requirement and immediately notify the COR or designated VA point of contact. The Contractor is not required to transport any participant who refuses to be properly secured; in such cases, the participant shall be returned to the originating facility or location, and VA shall be notified promptly.
The Contractor shall be responsible for damage to or loss of VA property or participant mobility devices (for example, wheelchairs, walkers, or crutches) that occurs due to Contractor negligence during transport and shall repair or replace such items at its expense.
14.0 INCIDENT REPORTING
The Contractor shall notify the COR, Program Manager, Beneficiary Travel Department, or other designated VA contact of any accidents, injuries, safety incidents, or significant service disruptions occurring during transport within one hour by telephone or other agreed-upon communication method. A written incident report shall be submitted to the COR or designated VA contact by close of business on the next working day. The Contractor shall cooperate with any VA investigation of incidents and provide additional written responses within 48 hours when requested.
15.0 CHECK-IN REQUIREMENTS
Contractor personnel shall check in with the appropriate VA department supervisor or designated point of contact upon arrival to begin work, following local facility procedures. Upon completion of scheduled transports for the day, Contractor personnel shall check out with the designated VA point of contact and provide any required documentation or status updates. If facility policy requires submission of mobile media devices for virus scanning before use on VA systems, that requirement may be included in local instructions and shall be followed by Contractor personnel.
16.0 SECURITY AND PRIVACY REQUIREMENTS
Contractors, contractor personnel, subcontractors, and subcontractor personnel shall be subject to applicable federal laws, VA regulations, standards, and VA directives and handbooks regarding information and information system security. The Contractor shall comply with the Privacy Act (38 U.S.C. 5701, 38 U.S.C. 7332, and 5 U.S.C. 552a), the Health Insurance Portability and Accountability Act (HIPAA), and all VA policies regarding the privacy and security of protected health information (PHI) and personally identifiable information (PII). Contractor staff shall sign confidentiality statements as required and shall safeguard all VA and participant information.
At the conclusion of the contract, any VA records or PHI in the Contractor’s possession shall be returned or destroyed in accordance with VA instructions. The Contractor may be required to enter into a Business Associate Agreement (BAA) with VA, as appropriate.
17.0 CONTRACTOR PERSONNEL SECURITY
The Contractor shall pre-screen all personnel requiring VA access to ensure they meet applicable citizenship or work-authorization requirements and are suitable for service under this contract. The Contractor and its personnel shall complete any required forms and background investigations as directed by the Department of Veterans Affairs, Office of Security and Law Enforcement, Security and Investigations Center, within required timeframes. If VA determines that an individual is not suitable for work under the contract, the Contractor shall immediately remove that individual from performing under this contract.
18.0 INSURANCE AND LIABILITY
The Contractor shall carry required insurance, including vehicle insurance and any medical liability insurance required by VA Acquisition Regulation (VAAR) clause 852.237-7, “Indemnification and Medical Liability Insurance,” and applicable Ohio law.
19.0 TRAINING REQUIREMENTS
The Contractor shall ensure that all personnel performing under this contract complete and maintain required VA annual training (for example, compliance and business integrity, privacy, and information security), as specified by applicable VA directives and the CO or COR, and any training mandated by applicable Ohio Medicaid/NEMT requirements for drivers and transportation staff. Drivers shall maintain all training and certifications required under applicable Ohio Medicaid/NEMT requirements, which may include CPR, First Aid, passenger assistance, and wheelchair securement training.
20.0 LIMITATIONS ON SUBCONTRACTING
This requirement is set aside for small business concerns. The Contractor shall comply with all applicable limitations on subcontracting requirements and clauses contained in the contract, including any provisions implementing Small Business Administration regulations and the Federal Acquisition Regulation for services contracts. The Contractor is responsible for monitoring its performance and subcontracting arrangements throughout the period of performance to ensure continued compliance with these limitations.
21.0 INVOICING AND ELECTRONIC INVOICING
The Contractor shall submit all invoices electronically in accordance with Department of Veterans Affairs requirements using the VA-designated electronic invoicing system, currently the Tungsten Network e-invoicing portal. The Contractor is responsible for registering with the VA’s e-invoicing system, maintaining an active account, and ensuring that invoices are submitted in the required format with complete and accurate contract and line item information. Information on registration, system requirements, and technical support is available through the VA Financial Services Center and the e-invoicing portal’s supplier support resources.

SECTION C - CONTRACT CLAUSES
C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2023)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Terms of any discount for prompt payment offered;
(vii) Name and address of official to whom payment is to be sent;
(viii) Name, title, and phone number of person to notify in event of defective invoice; and
(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.
(x) Electronic funds transfer (EFT) banking information.
(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.
(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.
(i) Payment.—
(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.
(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.
(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause.
(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.
(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—
(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the—
(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);
(B) Affected contract number and delivery order number, if applicable;
(C) Affected line item or subline item, if applicable; and
(D) Contractor point of contact.
(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.
(6) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.
(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.
(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if—
(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;
(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or
(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2).
(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.
(v) Amounts shall be due at the earliest of the following dates:
(A) The date fixed under this contract.
(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.
(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on—
(A) The date on which the designated office receives payment from the Contractor;
(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or
(C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor.
(vii) The interest charge made under this clause may be reduced under the procedures prescribed in FAR 32.608-2 in effect on the date of this contract.
(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon:
(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or
(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination.
(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.
(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.
(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.
(o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.
(p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items.
(q) Other compliances. The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract.
(r) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C. 1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 18 U.S.C. 431 relating to officials not to benefit; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C. chapter 87, Kickbacks; 49 U.S.C. 40118, Fly American; and 41 U.S.C. chapter 21 relating to procurement integrity.
(s) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order:
(1) The schedule of supplies/services.
(2) The Assignments, Disputes, Payments, Invoice, Other Compliances, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause;
(3) The clause at 52.212-5.
(4) Addenda to this solicitation or contract, including any license agreements for computer software.
(5) Solicitation provisions if this is a solicitation.
(6) Other paragraphs of this clause.
(7) The Standard Form 1449.
(8) Other documents, exhibits, and attachments
(9) The specification.
(t) [Reserved]
(u) Unauthorized Obligations.
(1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(i) Any such clause is unenforceable against the Government.
(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.
(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
(v) Incorporation by reference. The Contractor’s representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.
(End of Clause) ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text.
