MULTIPLE AGREEMENTS
VISN 10 intends to enter into one or more Blanket Purchase Agreement(s) (BPA), firm fixed price agreement(s) pursuant to this solicitation for insulin pumps and their ancillary diabetic’s management accessories. Any VA Health Care System within VISN 10 (States of, Indiana, Michigan, Ohio, and affiliated CBOCs [including those in Kentucky]) may order from the blanket purchase agreements awarded under this agreement. The Government intends to compete and issue orders on a call basis in accordance with FAR Part 13.303 using Simplified Acquisition Procedures. This BPA is not an obligation of funds or minimum order. Since the market and demand for these items is not guaranteed and only estimates, contractors are not obligated to provide or deliver any of the items on this agreement. Obligation occurs only upon issuance of a funded call from a warranted Contracting Officer in VISN 10 and acceptance of order is accepted by the contractor.
ORIGINAL EQUIPMENT MANUFACTURER (OEM)
Price list and schedule items are prescribed by clinical and medical practitioners on a by patient and by case basis. The Vendor shall be an Original Equipment Manufacturer (OEM) authorized dealer, authorized distributor, or authorized reseller for the proposed equipment/system such that the OEM warranty and service are provided and maintained by the OEM. All warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions. The vendor shall provide new items ONLY; no remanufactured or "gray market" items. The manufacturer’s warranty must cover all items. All standard training material, software, start-up guides and packaging will be included as sold, shipped, and distributed by the OEM. Brand-name items are to be delivered as specified and allowed with the original manufacturer’s distribution agreements.
This agreement only includes commercial items. Products that are not commercial items are considered experimental and purchase of experimental products shall not be authorized under this agreement.
EDUCATIONAL AND TRAINING REQUIREMENTS
All equipment and supplies are to be delivered with its associated training material, startup guides, and warranty registrations as normally packaged and delivered by the OEM.
FDA APPROVAL AND OVERSIGHT
The Contractor shall only provide items that have the required Federal Drug Administration (FDA) and other applicable clinical trials and clearances for prescription and use. Must submit FDA approval certification. This includes removal of expiring and obsolete devices and the addition of newly approved and technically advanced devices on price list.
SOLICITATION OF BENEFICIARIES
The contractor agrees not to directly or indirectly, through agents, solicit eligible veteran beneficiaries. VA personnel shall not direct, guide, or prompt a veteran beneficiary to a specific contractor except when a physician determines that it is a medical necessity.
PERFORMANCE, DELIVERY, INSPECTION AND ACCEPTANCE
VISN 10 order delivery shall be provided to any VAMC and patient places of residence in the 48 Continental United States of America and District of Columbia as prescribed in each call and order. In the event the Government desires expedited delivery, the ordering activity shall telephonically contact the contractor and inquire into the feasibility of obtaining this condition. The contractor shall respond within 24 hours to such request and expedited delivery shall be mutually agreed upon. Expedited Delivery terms and conditions, when required, will be determined by the Contracting Officer or Authorized Ordering Officer/Official on a case by case basis and stated in the individual BPA call or delivery order. Any additional costs incurred by the Contractor for meeting this requirement shall be negotiated in accordance with 48 U.S.C. 52.212-4, Contract Terms and Conditions – Commercial Items. The total cost for the expedited delivery shall not exceed $250 and will be no more than 1.5 times the cost of market shipping rates (UPS, FEDEX, or other common carriers).
ORDERING PROCEDURES
Veterans Integrated Service Network (VISN) 10 Prosthetics intends to enter into one or more Blanket Purchase Agreement’s (BPA’s) for Insulin Pumps and associated ancillary items in the attached price list format on a by call basis. These items may be removed and added as the marketplace and demand changes. Calls for items will be placed in accordance with Simplified Acquisition Procedures in Federal Acquisition Regulation Subpart 13.303. Price lists shall include unit prices for brand name description items; proposed ancillary, supplemental and alternative items (Make/Model/Price) on price list; any additional discounts offered (volume, prompt payment, etc.); normal two to five-day business shipping; and quoted price list expiration. It is encouraged that offerors provide the best price available as quotations will not be requested on a by call and order basis.
The Administrating Contracting Officer will sign, date, and return the submitted and revised price lists with an effective date equal to the date signed by the contracting officer. The most recent accepted price list(s) is/are required to be honored at time of contractor’s acceptance of BPA order call, valid for a minimum of 30 days, and subject to revision and adjustment at any time after the 30-day period has passed and as agreed upon by the Contractor and Contracting Officer. Standing vendor blanket purchase agreements and price lists shall be reviewed at least annually. Failure to complete the annual review will result in the end and expiration of such agreement. This agreement can be dissolved after 30 days by either party, the Contractor or Government, upon receipt and written confirmation of such notification.
If the BPA vendor is unable to honor BPA pricing or delivery schedule, the vendor shall not accept the BPA call and notify the requesting activity of declination of order. Acceptance or declination of order shall be sent within 5 business days of receipt of call/order. Failure by the contractor to provide a written notification of acceptance or declination as stated above, will result in the contractor’s exclusion for the call/order and the BPA call will be placed with the next Lowest Price Technically Acceptable (LPTA) BPA holder. If items required are not available on BPA, then unrestricted open market research, solicitation, and competition outside of the BPA will be conducted to find sources for the required items.
The Contractor shall not directly, or indirectly through agents, solicit eligible veterans. VA personnel shall not direct, guide or prompt a veteran to a specific contractor except when a physician determines that it is a medical necessary as documented in clinical notes.
In some instances, a VA clinician determines that it is medically necessary to select a certain contractor as documented in clinical notes, which would also satisfy the fair opportunity requirement of FAR 16.505(b)(1). Exceptions to the fair opportunity process are:
| • | The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays. |
| • | Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized. |
| • | The order must be issued on a sole-source basis in the interest of economy and efficiency because it is logical follow-on to an order already issued under the contract, provide that all awardees were given a fair opportunity to be considered for the original order. |
| • | It is necessary to place an order to satisfy a minimum guarantee. |
| • | For orders exceeding the simplified acquisition threshold, a statue expressly authorizes or required that the purchase be made from a specified source. |
| • | In accordance with section 1331 of Public Law 111-240 (15 USC 644(4)), contracting offers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply. |

C.5 VAAR 852.219-10 VA NOTICE OF TOTAL SERVICE-DISABLED VETERAN-OWNED SMALL BUSINESS SET-ASIDE (JUL 2019) (DEVIATION)
(a) Definition. For the Department of Veterans Affairs, “Service-disabled veteran owned small business concern or SDVOSB”:
(1) Means a small business concern:
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled Veterans or eligible surviving spouses (see VAAR 802.101, Surviving Spouse definition);
(ii) The management and daily business operations of which are controlled by one or more service-disabled Veterans (or eligible surviving spouses) or, in the case of a service-disabled Veteran with permanent and severe disability, the spouse or permanent caregiver of such Veteran;
(iii) The business meets Federal small business size standards for the applicable North American Industry Classification System (NAICS) code identified in the solicitation document;
(iv) The business has been verified for ownership and control pursuant to 38 CFR part 74 and is so listed in the Vendor Information Pages (VIP) database (https://www.vip.vetbiz.va.gov); and
(v) The business will comply with VAAR subpart 819.70 and Small Business Administration (SBA) regulations regarding small business size and government contracting programs at 13 CFR part 121 and 125, including the nonmanufacturer rule and limitations on subcontracting requirements in 13 CFR 121.406 and 125.6, provided that any reference therein to a service-disabled veteran-owned small business concern (SDVO SBC), is to be construed to apply to a VA verified and VIP-listed SDVOSB. The nonmanufacturer rule and the limitations on subcontracting apply to all SDVOSB and VOSB set-asides and sole source contracts.
(2) “Service-disabled Veteran” means a Veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
(b) General.
(1) Offers are solicited only from eligible service-disabled veteran-owned small business concerns. Only VIP-listed service-disabled veteran-owned small business concerns (SDVOSBs) may submit offers in response to this solicitation. Offers received from concerns that are not VIP-listed service-disabled veteran-owned small business concerns shall not be considered.
(2) Any award resulting from this solicitation shall be made to a VIP-listed service-disabled veteran-owned small business concern that meets the size standard for the applicable NAICS code.
(c) Representation. By submitting an offer, the prospective contractor represents that it is an eligible SDVOSB as defined in this clause, 38 CFR part 74, and VAAR subpart 819.70. Pursuant to 38 U.S.C. 8127(e), only VIP-listed SDVOSBs are considered eligible. Therefore, any reference in 13 CFR part 121 and 125 to a servicedisabled veteran-owned small business concern (SDVO SBC), is to be construed to apply to a VA verified and VIP-listed SDVOSB and only such concern(s) qualify as similarly situated. The offeror must also be eligible at the time of award.
(d) Agreement. Agreement. When awarded a contract (see FAR 2.101, Definitions), including orders under multiple-award contracts, or a subcontract, an SDVOSB agrees that in the performance of the contract, the SDVOSB shall comply with requirements in VAAR subpart 819.70 and SBA regulations on small business size and government contracting programs at 13 CFR part 121 and 125, including the nonmanufacturer rule and limitations on subcontracting requirements in 13 CFR part 121.406 and 125.6, provided that for purposes of the limitations on subcontracting, only VIP-listed SDVOSBs shall be considered eligible and/or “similarly situated” (i.e., a firm that has the same small business program status as the prime contractor). An independent contractor shall be considered a subcontractor. An otherwise eligible firm further agrees to the following:
(1) Services. In the case of a contract for services (except construction), it will not pay more than 50% of the amount paid by the government to it to firms that are not VIP-listed SDVOSBs.
(2) Supplies or products.
(i) In the case of a contract for supplies or products (other than from a nonmanufacturer of such supplies), it will not pay more than 50% of the amount paid by the government to it to firms that are not VIP-listed SDVOSBs.
(ii) In the case of a contract for supplies from a nonmanufacturer, it will supply the product of a domestic small business manufacturer or processor, unless a waiver as described in 13 CFR 121.406(b)(5) is granted.
(3) General construction. In the case of a contract for general construction, it will not pay more than 85% of the amount paid by the government to it to firms that are not VIP-listed SDVOSBs.
(4) Special trade contractors. In the case of a contract for special trade contractors, it will not pay more than 75% of the amount paid by the government to it to firms that are not VIP-listed SDVOSBs.
(5) Subcontracting. Any work that a VIP-listed SDVOSB subcontractor further subcontracts will count towards the percent of subcontract amount that cannot be exceeded. For supply or construction contracts, cost of materials is excluded and not considered to be subcontracted. For mixed contracts and additional limitations, refer to 13 CFR 125.6.
(e) Joint ventures. A joint venture may be considered an SDVOSB if the joint venture is listed in VIP and complies with the requirements in 13 CFR 125.18(b), provided that any reference therein to service-disabled veteran-owned small business concern or SDVO SBC, is to be construed to mean a VIP-listed SDVOSB. A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph (d) of this clause will be performed by the aggregate of the joint venture participants.
(f) Precedence. For any inconsistencies between the requirements of the SBA program for service-disabled veteran-owned small business concerns and the VA Veterans First Contracting Program, as defined in VAAR subpart 819.70 and this clause, the VA Veterans First Contracting Program requirements have precedence.
