B.2 STATEMENT OF WORK (SOW)

Veterans Health Administration (VHA) Eastern Oklahoma VA Health Care System

(EOVAHCS)

Provision and Installation of Automated H&E Tissue Stainer At the new Tulsa VA Medical Center

GENERAL

PURPOSE / OBJECTIVE:

Eastern Oklahoma VA Health Care System (EOVAHCS) requires a contractor to provide product and installation for the laboratory to assist with the following tasks:

staining, dewaxing, rehydration, dehydration, etc. This unit is needed to aid in preparation of routine histological and cytological stains, as required, in the laboratory histology.

The Purpose, to include provision and installation of products must be accomplished by the Contractor by the Delivery Times at the Locations, in accordance with this SOW, in a cost-effective, efficient, and safe manner, while contributing the VA Mission.

BACKGROUND: The Eastern Oklahoma VA Health Care System (EOVAHCS) is renovating a non- medical existing facility to be the new Tulsa VA Medical Center (VAMC) under the CHIP IN Act of 2016.

LOCATION:

Product Delivery: Tulsa VA Medical Center, 440 S. Houston Ave, Tulsa, Oklahoma 74127. Each delivery package must be MARKED “FOR: PKG #294 & PO#” (list PO# from Award).

DELIVERY TIMES (PERFORMANCE PERIOD): The VA requires the Contractor to deliver the products no earlier than September 15, 2025 and no later than November 15, 2025.

The Contractor shall furnish all contract oversight, management, Technically Trained Personnel, OEM authorizations to support provision and installation of OEM products, applicable licenses, uniforms, equipment, tools, materials, supplies, storage, insurances, shipping and delivery costs, and transportations necessary to provide the products, and associated installation, for EOVAHCS in accordance with this SOW.

Any services associated with this product are considered non-personal services.

The Contractor, its employees, agents, and subcontractors shall not be considered VA employees for any purpose of fulfilling the SOW and shall be considered employees of the Contractor.

Qualifications of Contractor:

For a contract of this size, scope and complexity, the successful Contractor must provide products and perform in a professional manner and quality as recognized by commercial industry standards as good to excellent. Contractor must provide to the LOCAL POC and CO, and maintain for the life of the contract, written certification from the Original Equipment Manufacturer (OEM) that authorizes the Contractor to provide and assemble the products, as detailed in the Contractor’s quote and identified in this SOW.

Brand Name of Products, to include make and model numbers:

All mentions of Brand Name, Make/Model numbers, is provided only for purposes to convey Basis of Design as a means of providing the minimum requirements.

SCOPE: EOVAHCS requires a contractor to provide products that meet or exceeds the physical, functional, and performance of the listed salient characteristics in the following sections. The equipment features are essential to the technical requirements to meet the VA’s needs. The VA’s needs assessment identified the type of products and components listed below as a suitable solution to fill the gap.

However, these are only used as a guide and the VA’s basic, salient characteristics and critical minimum requirements define the type of product that is needed to ensure the Purpose of this SOW is satisfied. OEM part numbers/references, in the salient characteristics section, are used as a basis of design and are provided as a means to convey the minimum standard characteristics.

PHYSICAL CHARACTERISTICS: Contractor must provide Brand Name or Equal equipment with associated components that meet or exceed the critical minimum requirements as well as the specifications in this SOW.

CRITICAL MINIMUM REQUIREMENTS

Contractor must provide the following critical minimum requirements as part of the product and installation.

L9020 – Tissue Processor, Automatic, 2 Level – Sakura US Tissue-Tek Prisma Plus Application Automated preparation of routine histological and cytological stains for use in pathology laboratories to assist with the following tasks: staining, dewaxing, rehydration, dehydration, etc.

INSTALLATION:

Contractor must provide product installation and training as part of this contract.

Delivery, installation, and training must be coordinated with the local POC.

Contractor shall provide certified in-service training for all staff in units where products will be used, at no additional cost to the Government, for any equipment new to this facility.

This training shall include hands-on product use and be extensive enough to prepare participants to train others. Maintenance, repair, and annual certifications must be included in training.

Dates to be coordinated with facility and LOCAL POC. Initial training is anticipated between October and December 2025 for 3-5 staff on site at James Mountain Inhofe VA Medical Center, 440 S. Houston Ave, Tulsa, OK 74127.

Manuals: Contractor shall provide electronic, digital copies of the user manuals and repair manuals for each different product under this order or contract, at no additional cost to the government.

QUALITY

Conformance Standards Refer to section on Safety and Compliance in this SOW.

Rework or Remedy Rework or Remedy is defined as replacing a product or performing the service again until the Purpose of this SOW is achieved in full. This involves less than Satisfactory Products or Service by the Contractor and as noted by the LOCAL POC. Rework or Remedy occurs at no additional cost to the Government. Payment will be withheld until all replacement products are received or services are performed to the Satisfactory level in accordance with this SOW and as documented by the LOCAL

POC.

DELIVERY:

Delivery and receipt of the proposed items are anticipated to be directed to the location identified in this SOW. Confirmation of delivery location will be provided by the VA LOCAL POC post- award. Delivery must be coordinated with VA LOCAL POC before any delivery attempts. Any item that has not been coordinated will be turned away and any additional charges will be the responsibility of the sender/transportation company.

Contractor is responsible for offloading the equipment from the truck, moving the equipment to the correct delivery location in the space, uncrating or unboxing the equipment, and removing all trash. Equipment paperwork and warranty information must be handed to the VA receiving staff, as advised by the LOCAL POC.

INSPECTION: All equipment shall be tested after installation. Each resultant inspection shall be documented and provided to the LOCAL POC within 7 days of installation along with any inspection documentation or checklists required by the manufacturer. Any changes in inspection requirements during the period of installation will be communicated to the Contractor immediately.

Inspection and Acceptance of Products and Services: The Government reserves the right to inspect and test services in accordance with this SOW and the Contract.

The only individual authorized to officially accept services is the LOCAL POC. While inspection of services may be delegated by the LOCAL POC and a shared responsibility with departmental management staff, the LOCAL POC is ultimately the only authorized individual to approve and accept services on behalf of the VA.

WARRANTY OF EQUIPMENT: Contractor must provide a warranty per the Specifications in this SOW. The warranty must meet or exceed standard manufacturer industry warranty terms. The government does not accept an extended warranty, which requires advance payment. Manufacturer’s warranty must begin on day of first use of products i.e. once clinical training begins.

STANDARD BUSINESS HOURS AND FEDERAL HOLIDAYS

Hours: Normal duty hours are between the hours of 0800 -1500 CST, Monday through Friday, not including federal holidays. Whenever contact with a facility is required outside of normal duty hours, the Contractor shall coordinate these times with the designated LOCAL POC.

In accordance with 5 U.S.C. 6103, Executive Order 11582, and Public Law 94-97, the following national holidays are observed and for the purpose of this contract are defined as “Legal Federal official holidays.”

SAFETY AND COMPLIANCE

The Contractor must perform services and ensure equipment functions in accordance with:

a) local, state, and federal Occupational Safety and Health guidelines and legislation, to include Occupational Safety and Health Administration (OSHA), the American National Standards Institute (ANSI) safety guidelines;

b) local, state, and federal guidelines and legislation, as well as VA Health Care System Directives and guidelines, relating to chemicals and usage of chemicals, to include pesticides;

c) local, state, and federal Fire and Safety legislation and guidelines, to include VA Health Care System directives and legislation on Fire and Safety, as well as the latest published edition of NFPA-99 (Health Care Facilities Code);

d) local and state environmental laws as well as Environmental Protection Agency (EPA) regulations, Federal Insecticide, Fungicide and Rodenticide Act (FIFRA), involving pesticide use and other pest control procedures;

Each VA Medical Center has policies that are updated from time to time. The LOCAL POC can provide more detailed information to the contractor of these upon commencement of the contract and throughout the term of the contract, as needed, especially policies regarding, parking, possession of weapons, cell phone use and photography as well as smoking on VA property. Violations of such policies may result in individual fines or citation answerable in the United States (Federal) District Court.

LIABILITIES AND INSURANCES

Protection from Damage Contractor shall provide all labor, materials, and equipment necessary for protection of VAMC personnel, furnishings, equipment and buildings from damage, and shall replace or repair any damage due to work performed under this contract equal to its original construction and finish.

Liability Insurance Contractor must provide the LOCAL POC and the CO with written confirmation that Contractor has adequate insurance protection against negligent work and other forms of liability.

SECURITY:

Contract Personnel Security Contractor must check in and out with LOCAL POC when entering the VA and must be escorted while on VA premises.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

2020) The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract.

Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

II. Pricing: Contractor shall submit pricing, which incorporates all the requirements within the Price Schedule and Statement of Work.

III. Period for acceptance of offers: The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers.

IV. Basis of Award

The Government intends to award a purchase order resulting from this solicitation to the vendor, who can provide the supplies to meet this requirement. This is a competitive comparative analysis selection in which competing offeror’s past performance, technical and price will be evaluated to determine who represents the greatest benefit to the Government at a price that can be determined fair and reasonable.

By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement or inability to perform or provide all goods and services requested shall result in an offer being determined technically incapable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The evaluation process shall proceed as follows:

A. Following receipt of quotes, the Government will perform a comparative analysis of the goods and services quoted. The Government will compare quotes to one another to select the vendor that best benefits the Government in fulfilling the requirement. The evaluation of Government requirements outlined in the Request for Quote will determine suitability.

B. The Government will evaluate quotes for award purposes using the following factors:

1) Past Performance

2) Technical Capabilities

3) Price

Factor 1: Past Performance – The contractor shall provide the following documentation with their offer:

Two (2) references from comparable Tissue Processor, or with requested equipment or similar equipment, which can validate experience within the last 2 years.

Factor 2: Technical Capability – The Contractor shall provide the following documentation with their offer:

Capability Statement, maximum 2 pages which can validate Technical Capability: Capability statement should include a description of technical approach, methodology and technique to provide the Statement of Work promptly, skillfully, and expertly.

Factor 3: Price – The Contractor shall provide the following documentation with their offer:

Pricing: Contractor shall submit unit prices rounded to the nearest hundredth. Prices should be documented on the Price/Cost Schedule. Please ensure unit price and total amounts are correct.

Period for acceptance of offers: The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers.

Prices will be evaluated for completeness and reasonableness. Unrealistically high or low proposed costs or prices, initially or subsequently, may be grounds for eliminating an offeror from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic offer. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be reason to reject an offer. The burden of proof for credibility of proposed costs/prices rests with the offeror. The Government reserves the right to amend the solicitation and remove any set-aside should pricing of all quotes be found unreasonable.

E.2 52.204-29 FEDERAL ACQUISITION SUPPLY CHAIN SECURITY ACT

ORDERS—REPRESENTATION AND DISCLOSURES (DEC 2023)

(a) Definitions. As used in this provision, Covered article, FASCSA order, Intelligence community, National security system, Reasonable inquiry, Sensitive compartmented information, Sensitive compartmented information system, and Source have the meaning provided in the clause 52.204–30, Federal Acquisition Supply Chain Security Act Orders— Prohibition.

(b) Prohibition. Contractors are prohibited from providing or using as part of the performance of the contract any covered article, or any products or services produced or provided by a source, if the prohibition is set out in an applicable Federal Acquisition Supply Chain Security Act (FASCSA) order, as described in paragraph (b)(1) of FAR 52.204–30, Federal Acquisition Supply Chain Security Act Orders—Prohibition.

(c) Procedures. (1) The Offeror shall search for the phrase ‘‘FASCSA order’’ in the System for Award Management (SAM)(https://www.sam.gov) for any covered article, or any products or services produced or provided by a source, if there is an applicable FASCSA order described in https://www.sam.gov/ paragraph (b)(1) of FAR 52.204–30, Federal Acquisition Supply Chain Security Act Orders— Prohibition.

(2) The Offeror shall review the solicitation for any FASCSA orders that are not in SAM, but are effective and do apply to the solicitation and resultant contract (see FAR 4.2303(c)(2)).

(3) FASCSA orders issued after the date of solicitation do not apply unless added by an amendment to the solicitation.

(d) Representation. By submission of this offer, the offeror represents that it has conducted a reasonable inquiry, and that the offeror does not propose to provide or use in response to this solicitation any covered article, or any products or services produced or provided by a source, if the covered article or the source is prohibited by an applicable FASCSA order in effect on the date the solicitation was issued, except as waived by the solicitation, or as disclosed in paragraph (e).

(e) Disclosures. The purpose for this disclosure is so the Government may decide whether to issue a waiver. For any covered article, or any products or services produced or provided by a source, if the covered article or the source is subject to an applicable FASCSA order, and the Offeror is unable to represent compliance, then the Offeror shall provide the following information as part of the offer:

(1) Name of the product or service provided to the Government;

(2) Name of the covered article or source subject to a FASCSA order;

(3) If applicable, name of the vendor, including the Commercial and Government Entity code and unique entity identifier (if known), that supplied the covered article or the product or service to the Offeror;

(4) Brand;
