ORDERING INSTRUCTIONS
Orders: This is a Fixed Price (FP) Indefinite Delivery, Indefinite Quantity (IDIQ) contract (See RFO 52.216-22). The IDIQ contract will be bulk funded at the task order level, in accordance with applicable fiscal laws and regulations. Funds will be obligated on individual task orders as they are unilaterally issued by a Contracting Officer, ensuring that each task order is fully funded to cover the scope of work specified. This approach complies with all statutory and regulatory requirements, including the Anti-Deficiency Act, which prohibits the obligation of funds in advance or in excess of appropriations, and all applicable appropriations laws to ensure proper fiscal management and accountability. Each task order shall have an established period of performance or delivery date. The estimated Individual Order Limit for each ordering period are as follows:
Individual Order Limit: TBD at time of award.
Contract Minimum Guarantee: $50,000.00 Total Contract Ceiling (Maximum): TBD at time of award.
TASK ORDER PROCEDURES
The task order shall specify estimated quantities of line items, the period of performance, the place of performance, and method of payment for the order. All orders will list sub-line items (SLINS) as informational only. Each task order shall maintain the flexibility for both parties to manage estimated quantities of sub-line items based on current needs of the requiring activity. Additionally, all task orders shall reference the parent contract number and shall comply with RFO Clauses 52.216-18, 52.216-19, and 52.216-22.
The Contractor shall initiate work when so directed by a task order issued by the CO. No work under any task order shall be performed unless specifically authorized by the CO. Approval of a task order shall not constitute approval to exceed any item listed in the contract or general provisions of the contract. The total dollar amount of task orders shall not exceed the limits provided in RFO Clause 52.216-19(b)(2).
Task order prices shall be fixed price as per the schedule of services. If the contract period of performance is extended under the authority of RFO Clause 52.217-8, the specified rates under this clause will remain the rates in effect under the contract at the time this option is exercised.
B.3 PERFORMANCE WORK STATEMENT
Reference Lab/ Transplant Immunology Testing Services Tennessee Valley Healthcare System
1. Background The Contractor shall provide specific transplant immunology testing in support of the transplant service performed by the Department of Veteran’s Affairs Tennessee Valley Healthcare System, Nashville TN (hereafter referred to as TVHS). These tests identify a patient’s Human Leukocyte Antigen (HLA) type and Antibody status so that when organs are available for transplantation, physicians can find compatible donors. The Contractor must specialize in the aforementioned HLA testing, be American Society of Histocompatibility and Immunogenetics (ASHI) accredited and offer turnaround time in accordance with section 15.2.2
1.1 Authority: Title 38 USC 8153 and VA Directive 1663 using RFO Part 12 in conjunction with VAAR Part 873.
2. Requirements
2.1 The Reference Laboratory shall provide in accordance with all applicable federal, state, and local regulations, laws, and ordinances, and in accordance with the specifications outlined for accreditation certification if applicable, patient specimen testing to identify histocompatibility. Estimated quantities of tests will depend upon patient specifics. See table listing specific tests. Pathology & Laboratory Medicine Service (P&LMS) requires support services in the form of special reference testing analysis that are not currently performed in-house to ensure successful organ transplants for TVHS patients.
2.2 Testing is highly esoteric and the lab must provide the full test menu required as a small sample cannot be split between labs. Given the time-sensitive nature for some of this testing (e.g. need for rapid results on donor organs), a local and rapid laboratory is required that offers turnaround time in accordance with sections 5.2 and 15.2.2. STAT and routine testing cannot be separated as the lab needs to be able to refer to previous test results from routine testing on the same recipient patient when performing STAT testing on the donor. The testing platforms are complex and results sufficiently detailed that coordinating results between two separate reference labs is a patient safety issue. Therefore, STAT and routine testing must be performed by the same local HLA lab and offer turnaround time in accordance with sections 5.2 and 15.2.2. The reference laboratory must provide or be contracted with a service that provides at-home testing kits with pre-paid mailers for panel reactive antibodies.
2.3 The vendor shall be located within a 50-mile radius of the TVHS campus and shall have the ability to perform all testing services on site. Vendor must ensure turnaround time in accordance with sections 5.2 and 15.2.2 and must be available to complete testing 24 hours a day, 7 days a week, 52 weeks a year. The vendor must provide contact information so that TVHS is able to ask about specimen status, specimen submission questions, and other inquiries with testing personnel. The medical director must be available during routine business hours to address more complex questions.
3. Payment
| 3.1 | The Government agrees to reimburse the contractor on a monthly basis for services provided and accepted at the price(s) listed in the Price Schedule found at Attachment 1. Amounts due the contractor will be paid monthly upon receipt of a properly prepared invoice submitted by the contractor. Payments will be made in arrears. |
| 3.2. | Payments made by the VA under this contract shall constitute the total cost of services provided by the contractor. The contractor hereby agrees; that in no event shall the contractor bill, charge, collect a deposit from, seek compensation, remuneration, or reimbursement from, or have any recourse against the beneficiary, the beneficiary’s family, private insurer, Medicare or any other entity acting on the beneficiary’s behalf, for services provided pursuant to this contract. Billings rendered by the contractor to the VA for services furnished a VA beneficiary under the terms of this contract shall be considered billed in full. |
4. Accounting/Invoices
| 4.1 | A copy of the monthly invoice shall be sent to the Contracting Officer Representative (COR) and shall display chronologically by date of specimen collection: the name of the patient, the date of specimen collection, detailed list of the test(s) performed on each, the unit price and total invoice amount. | |
| 4.2 | The Contractor shall not charge the Government for repetitive testing performed on a specimen to verify questionable initial results. |
5. Specimen Testing
5.1 The Contractor shall provide the full range of Histocompatibility testing as indicated:

15.2 As prescribed in Federal Acquisition Regulation (FAR) Part 42.15, the Department of Veterans Affairs (VA) evaluates contractor past performance on all contracts that exceed the Simplified Acquisition Threshold and shares those evaluations with other Federal Government contract specialists and procurement officials. The FAR requires that the contractor be provided an opportunity to comment on past performance evaluations prior to each report closing. CPARS has connectivity with the Past Performance Information Retrieval System (PPIRS) database, which is available to all Federal agencies. PPIRS is the system used to collect and retrieve performance assessment reports used in source selection determinations and completed CPARS report cards transferred to PPIRS. CPARS also includes access to the federal awardee performance and integrity information system (FAPIIS). FAPIIS is a web-enabled application accessed via CPARS for contractor responsibility determination information

The contractor representative will have thirty days to submit any comments and re-assign the report to the VA contracting officer.
15.5 Failure to have a current registration in the CPARS database, or to re-assign the report to the VA contracting officer within those thirty days, will result in the Government’s evaluation being placed on file in the database with a statement that the contractor failed to respond.
