About this file

This document is Amendment 0001 to Solicitation 36C24926R0070, issued by the Department of Veterans Affairs, Network Contracting Office 9 (NCO 9) located in Murfreesboro, Tennessee. The amendment clarifies questions raised during a Q&A session and does not extend the offer receipt deadline. The amendment applies to a small business set-aside contract for lodging accommodations in the Johnson City area.

The Q&A clarifications address 16 key topics regarding contract performance and requirements. Critical determinations include: (1) prime contractors may subcontract lodging to hotels if the hotel is a similarly situated small business, with large businesses requiring 50% of payment to the prime; (2) the principal purpose of the contract is lodging accommodation, not management services; (3) all rooms must be ADA compliant and accessible for wheelchair users and assisted ambulatory devices, though not all must be double occupancy—the VA will request specific configurations based on veteran needs at time of booking; (4) all rooms must be located at a single property with no substitutions allowed; (5) the VA pays only for rooms actually used or returned to the vendor, with automatic release at 8:00 PM if veterans do not call to hold reservations; (6) price escalations across all five annual CLINs must be included in proposals and will be evaluated as part of comparative analysis; (7) a signed letter of commitment from the proposed property is required at time of offer. The amendment requires offerors to acknowledge receipt prior to the specified deadline.

The purpose of this amendment is to clarify the questions asked during the Q&A session Please see attached questions and answers.

1. May an offeror submit a proposal as the prime contractor while subcontracting the lodging accommodations to a hotel or motel, provided the prime contractor remains fully responsible for contract performance, contract administration, and compliance with all solicitation requirements?

With a set aside a contractor can propose as a prime and have the sub do the work, however, the sub-contractor must be a similarly situated business. In this instance the hotel would need to be a small business entity to comply FAR 52.219-14 the limitations on subcontracting for services shall be enforced as written. If a large business is utilized as the hotel then the pricing must reflect that 50% of the money paid out is to be paid to the prime.

2. For purposes of FAR 52.219-14, Limitations on Subcontracting, how does the Government interpret the primary contract performance under this solicitation?

Specifically, does the Government consider the principal purpose to be the provision of lodging accommodations, or the overall management and administration of the lodging services contract?

The principal purpose of this contract is lodging accommodation.

3. If an offeror proposes to use a hotel or motel as a subcontractor, are there any additional proposal submission requirements, restrictions, or disclosures beyond those identified in the solicitation?

Only the required solicitation items.

4. May an offeror fulfill the lodging requirement through a contractual relationship with a qualified hotel property that meets all solicitation requirements, while the prime contractor remains fully responsible for contract performance and compliance with

FAR 52.219-14?

Yes, but the principle purpose of the contract is to provide hotel rooms.

5. For the Past Performance evaluation factor, may an offeror include relevant hotel/lodging past performance from its proposed hotel partner as part of its submission?

No, the past performance is from the offeror to be evaluated.

6. PWS 3.3 and 5.1.0. Both paragraphs state that each room shall be double occupancy and handicapped accessible or ADA compliant. In our market research, hotels in the Johnson City area typically maintain only five to seven ADA accessible rooms per property. Does the Government require that 100 percent of the rooms provided under this contract be ADA compliant, or that a specified subset be ADA compliant with the balance being standard double occupancy rooms? If a subset, how many ADA compliant rooms must be available concurrently?

They do not all have to be double occupancy, but all must be ADA compliant-we ask the Veteran what their preference needs are and request what is available or based on who the Veteran is traveling with. at the time of traveling to the hotel.

Some Veterans - even though they travel with their spouses want 2 beds sometimes

7. PWS 3.1. The requirement states that all rooms shall be located in a single hotel or motel. Where an offeror proposes a property that would be replaced by a newly constructed property in the same market during the period of performance, would the Government consider a substitution by contract modification, or must a single named property be maintained for the full term?

This must be at a single property.

8. PWS 2.2, 3.17 and 3.18. Paragraphs 2.2 and 3.18 appear to conflict. Paragraph 2.2 states the VA will not be billed for rooms not used, while paragraph 3.18 states the invoice shall be for the actual number of rooms reserved in the previous month.

The VA only pays for rooms that are used unless they return the rooms to the vendor, the reservations are made well in advance and barring any complications any rooms not used shall be released by specified time.

9. Where the VA reserves a room and the referred individual does not check in, is that night invoiceable?

Unless the veteran calls to tell the hotel they are running late, all unoccupied rooms shall automatically be released at the time specified. If the veteran is running late to check in after 8pm they are instructed to call the hotel to HOLD the reservation, otherwise the hotel releases the room at 8pm automatically and it goes back into their inventory for use

10. Relatedly, is there a cancellation cutoff by which a reserved room must be released in order to avoid charge, and where a referred occupant departs before the scheduled departure date, are the remaining reserved nights payable?

If a Veteran checks out early from a 2 day stay, they must do so my 11am- the hotel check out time. If by chance a veteran can't do a procedure and they go home same day, if it after 11am – we will pay for that room charge only if the hotel decides to invoice for it.

11. Section B.2. The schedule prices five annual periods. Offerors sourcing rooms from third party properties may be unable to secure a fixed rate for the full term. Will the Government accept an offer with a defined annual escalation across CLINs 1001 through 5001, and if so, is there a preferred basis, such as a fixed percentage or a published index?

All escalations must be included in the schedule, all escalations shall be considered as a part of the comparative analysis as stated in the solicitation.

12. FAR 52.212-2(b). This provision states that significantly unbalanced option pricing may render an offer unacceptable. What degree of year over year escalation would the Government consider balanced for this requirement?

There are no options with this contract. That would not apply and the escalation was previously answered.

13. ADA Room Requirement:

Section 3.3 states that each room shall be double occupancy and handicapped accessible or ADA compliant. Does this require every room provided under the Hoptel contract to be a specifically designated ADA-accessible guestroom, or may a compliant hotel provide standard guestrooms while maintaining designated ADA-accessible rooms for Veterans who specifically require those accommodations?

Vendors can utilize 2 beds or King room (based on the Veterans needs) the ADA requirement is that sometimes the Handicap rooms fill up and we need for the rooms to be able to utilized by a Veteran that uses a wheelchair or assisted devices overall, if needed. We have had hotels in the past that had rooms that you had to access stairs to them and the hotel had no elevator. So all rooms must be accessible for those utilizing wheelchairs or assisted ambulatory measures.

14. Confirmed Reservation / No-Show Treatment:

Section 2.2 requires reserved rooms to be held until 9:00 PM each day. If a room is specifically reserved by the VA, held through the required time, and the referred Veteran does not arrive, may the contractor invoice the VA for that confirmed reservation as a no-show, or may the VA only be invoiced for rooms actually occupied?

This was answered previously under question 9, except clarification the cutoff is at 8:00 in the evening.

15. PWS 3.2 and 3.3. Further to our Question 1, federal accessibility scoping requirements under the ADA Standards for Accessible Design generally require only four to seven accessible guest rooms in a property of 100 to 150 rooms, and properties within the six-mile radius are consistent with that scoping. A requirement that 100 percent of rooms be ADA compliant would exceed what the ADA requires of hotel operators and may result in no responsive offers. Would the Government provide guidance on what it would consider an acceptable room configuration for this requirement? For example, whether a property offering a defined number of ADA compliant rooms alongside standard double occupancy rooms, all elevator served with interior corridor access, would be considered responsive. Please also confirm whether the elevator service and interior corridor requirements at paragraph 3.2 are intended as requirements distinct from the accessibility requirement at paragraph 3.3.

This has been previously answered.

16. FAR 52.212-1(a)(4). The solicitation requires the address of proposed properties at time of offer. Does the Government require a signed letter of commitment or similar documentation from the proposed property, or is identification of the address sufficient?

A signed letter of commitment is required.
