E.1 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL PRODUCTS

AND COMMERCIAL SERVICES (DEVIATION 2025)

(a) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. As a minimum, offers shall include—

(1) The solicitation number;

(2) The name, address, telephone number of the Offeror;

(3) The Offeror’s Unique Entity Identifier (UEI) and, if applicable, Electronic Funds Transfer (EFT) indicator;

(4) Information necessary to evaluate the factors contained in the provision at 52.212-2 or as described in the solicitation;

(5) Responses to provisions that require Offeror completion of information, representations, and certifications (other than those collected via the System for Award Management (SAM)); and

(6) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and any solicitation amendments.

(b) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(c) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers and any modifications or revisions to the Government office designated in the solicitation by the time specified in the solicitation.

(2) Any offer, modification, or revision received after the time specified for receipt of offers is “late” and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. However, a late modification of an otherwise successful offer that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.

(3) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(4) Offerors may withdraw their offers by written notice to the Government received at any time before award.

(d) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms. However, the Government reserves the right to conduct discussions, if necessary.

The Government may reject any or all offers if such action is in the public interest, accept other than the lowest offer, and waive informalities and minor irregularities in offers received.

(e) Debriefings. If a postaward debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed Offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.

(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award.

(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.

(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.

E.2 52.212-2 EVALUATION—COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government. By submission of its quote, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The following factor shall be used and evaluated in two phases to evaluate offers: Past Performance, Price, Certifications, Locality and Technical Samples with all factors being of equal importance.

The following factors will be used to evaluate the quotes:

Factor A: Past Performance

Past performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. It considers each offeror demonstrated recent and relevant record of performance in providing services that met the contract requirements:

There are two aspects to the past performance evaluation

(a) Relevancy of contractual work performed and;

(b) How well the contractual work was performed

Relevant is defined as contracts recently performed that include similar services that are similar in complexity, dollar value and contract type. The more recent the offeror’s performance in providing similar services – as defined above, the more consideration that will be given by the government in evaluating the ‘relevance’ of the offeror’s past performance history.

*The past performance shall include up to 5 years of continued operational service, that is documented and can be independently verified.

The second aspect of the past performance evaluation is to determine how well the contractor performed on the contracts.

The Government may contact references, other than those identified by the offeror, and use the information received to evaluate the offeror’s past performance. The information evaluated may include data on efforts performed by other divisions, critical subcontractors, or teaming partners, if such resources will be brought to bear or significantly influence the performance of the proposed effort. Special emphasis will be placed on performance related to areas covered in the Statemen of Work (SOW) for this solicitation.

The government will also use information obtained from government databases such as CPARS, FAPIIS, and any other databases as necessary.

The offeror will be sure to provide as much information as possible for confirmation and determination of past performance recency and relevancy, at the time off submission.

In the case of an offeror without a record of relevant performance history or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on performance history.

*Offeror shall provide sufficient information related to past performance for independent verification, at the time of quote submission.

Past Performance Ratings Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required services.

Neutral The offeror did not submit relevant past performance, past performance cannot be independently verified, or the information on past performance is unavailable or so sparse that no meaningful rating can be assigned.

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

Factor B: Price

This factor shall be used to assess the reasonableness of the Offeror’s proposed total price.

a) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(b) Evaluation Approach: The Government will evaluate quotations using the comparative evaluation process outlined in FAR 13.106-2 (b)(3), where quotations will be compared to one another to determine which provides the best benefit to the Government. Quotations may exceed minimum requirements of the solicitation. The Government reserves the right to select a quotation that provides benefit to the Government that exceeds the minimum requirements of the solicitation.

Factor C: Certifications

This factor shall be used to access the offeror’s ability to perform the requested services in the Birmingham, Alabama service area as requested in the SOW. The contractor shall have all licenses, permits, and certifications as required by local and state authorities for the state of Alabama. Current copies of these must be provided at the time of quote submission.

The minimal certifications that shall be submitted include:

a) FDA QSR / ISO 13485 / DAMAS for Device Manufacturing

b) National Association of Dental Laboratories (NADL) Certification

Factor D: Locality

This factor shall be used to ensure timely, effective, and efficient services as outlined in the SOW. The offeror shall be located within a 2-hour drive time from the Birmingham VA Medical Center (VAMC).

Documentation of the offerors distance from the offeror location to the VAMC shall be included at the time of quote submission (Example: MapQuest printout highlighting distance between the aforementioned locations).

AFTER COMPLETION OF ALL PHASE I REQUIREMENTS, OFFERORS WILL BE EVALUATED FOR

ACCEPTABILITY. THOSE OFFERORS THAT ARE CONSIDERED ACCEPTABLE WILL BE

NOTIFIED BY THE CONTRACTING OFFICER TO PROCCED WITH PHASE II, AS OUTLINED IN

THE “TECHNICAL SAMPLES’ ATTACHMENT AND THE TECHNICAL SAMPLES GUIDANCE

WITHIN THE SOLICITATION. THOSE OFFERORS WILL BE NOTIFIED WITHIN 7 DAYS OF THE

PHASE I DUE DATE (5/26/2026). ONLY THOSE OFFERORS THAT ARE CONSIDERED ACCEPTABLE

UNDER PHASE I WILL PROCEED AND BE CONSIDERED UNDER PHASE II OF THE

SOLICITATION.

Phase II (Two):

Phase II Factor: Technical Samples

Technical Samples Submission: All offerors will submit technical samples to the identified point(s) of contact, as outlined in the Technical Samples document. In accordance with the solicitation, offerors will pick up sample dental molds and fabricate dental casts as outlined in the aforementioned document.

Technical Samples Ratings Rating Description

Acceptable The submission clearly meets all minimum requirements as required by the solicitation.

Unacceptable The submission does not clearly meet all minimum requirements as required by the solicitation.

*NOTE: All offerors will be allotted 15 days to complete this phase of the solicitation after notification.

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Technical Samples

In accordance with the solicitation and Statement of Work (SOW) please fabricate a removable partial denture framework, a fully balanced complete denture set-up and a porcelain fused to metal (PFM) fixed partial denture. You will be requested to pick-up a partial denture cast, mounted edentulous cast with record bases and occlusion rims and a cast for a 3 unit PFM fixed partial denture. Please follow the enclosed laboratory prescriptions to fabricate the removable partial denture framework, complete denture set up and the PFM fixed partial denture.

You will have 15 days to complete lab work and deliver to the Birmingham VA Medical Center, Room 2625, after notification from the contracting officer. This will take place AFTER the completion of Phase I, as outlined in the solicitation. At the time of pick-up and delivery an e-mail notification shall be sent to the Contracting Officer at aunjelaca.miller@va.gov as soon as possible, notifying the action.

(From Statement of Work)

Qualifying dental laboratories will submit the following lab work samples to be evaluated by the Birmingham VA Dental Laboratory (BVDL) as requested by the solicitation:

1. Removable partial denture framework: A cast will be provided by the BVDL. Lab work will be fabricated according to laboratory prescription and evaluated as stated in the statement of work.

2. Complete denture set-up—BVDL will provide mounted cast with record bases and wax rims.

Laboratory will provide a cross-tooth cross arch fully balanced denture set-up completely waxed and ready for investing. Lab work will be fabricated according to laboratory prescription and evaluated as stated in the statement of work.

3. Anterior fixed partial denture—BVDL will provide a cast of a fixed partial denture.

Laboratory will pin, saw, trim dies and mount on provided semi-adjustable articulator using bite registration and provided opposing cast. Lab will fabricate porcelain fused to high noble metal fixed partial denture. Lab work will be fabricated according to laboratory prescription and evaluated as stated in the statement of work.

QUALITY ASSESSMENT GUIDELINES

I. Complete and Partial Dentures

1. Denture and partial denture impression must be boxed and poured in improved stone and be dense and free from voids. Denture and partial cast must have a peripheral roll on the cast such that the border molding has been maintained. The roll should be 2-3 mm in height, and the land area should also be 2-3 mm wide for the border molded area.

2. Denture acrylic must be free from porosity and highly polished. Ethnic acrylic shades must be available for use and ethic shade guides must be provided to the VA lab to help in selecting the proper acrylic shade for the patient. Borders must be maintained when processing and finishing prostheses. There should be no attempt to fit processed denture or partial denture bases back to the master cast.

Acrylic around denture teeth shall be anatomically correct and maintained after polishing with a minimal amount of flash acrylic on denture teeth.

3. Lab must be able to set different types of occlusal schemes as requested to include:

a. Cross tooth cross arch balanced occlusal scheme

b. Lingualized occlusal scheme

c. Lingualized non-balanced occlusal scheme

d. Monoplane/neutrocentric occlusal scheme

4. All denture and partial denture cases shall be remounted before separating from the master cast to insure pin opening from processing is less than 1mm and also to correct any occlusal discrepancy. For cases with pin opening greater than 1 mm they must be adjusted at the lab. VA lab has the right to reject denture and partial denture cases whose teeth have been excessively adjusted and no longer resemble teeth.

5. All partial denture cast frameworks shall be returned on the master cast. The master cast shall not be abraded in any way. All rests must be completely seated within 75-100 microns and fit the full extent of the prepared rest seat. All frameworks must be smoothly polished and free from porosity. A nickel free alloy must be used in fabrication of metal partial denture frameworks.

6. All laboratory prescriptions done by VA dentists must be exactly followed. If a deviation from the requested design is required, the contract lab must request authorization from VA dentist.

7. Lab must provide and assortment of denture teeth that are available for use. Only the highest quality denture teeth shall be used in all prostheses.

8. All removable prostheses must have the patients’ last name placed in the acrylic.

9. Removable cases mounted at the contract lab will be mounted on a calibrated whip mix 2240 articulator.

10. Excessive block-out shall not be used on record bases and every attempt shall be made to maintain the same peripheral border on the master cast in the record bases.

II. Crown and Bridge and Implant Prostheses

1. Microscopes must be used to evaluate all crowns and bridges and must fit the dies or implant custom abutments (within 75 microns). There shall be no ledges. The VA shall return any prostheses that do not meet these standards for repair or remake at contract lab expense.

2. All metal used for metal ceramic and gold crowns will be high noble. (ADA specifications for high noble-60% high noble metal of which 40% must be gold).

The only time a base metal may be used is for resin retained fixed partial dentures (Maryland Bridges) or cast post and cores as requested. There will be no holes in metal copings on which porcelain has been applied.

3. All crowns and bridges should be anatomically correct with proper emergence profile and not over-contoured unless specified on the laboratory prescription.

4. All porcelain must be dense with no porosity and match precisely the requested shade tab, photograph and/or lab prescription custom design. No metal or opaque can be showing through areas where porcelain is supposed to be applied. All frameworks supporting the porcelain shall support the veneering porcelain such that there must be no more than 2 mm of unsupported veneering porcelain. VA lab must be able to add contact and occlusion if necessary to the applied porcelain. Contract lab will provide firing cycle numbers and sample material necessary to make chair-side corrections of the porcelain. If porcelain cracks/fractures with-in 1 year of insertion, contract laboratory will remake prosthesis at no cost to VA.

5. All cases should hold shim-stock when articulated. Occlusal contacts shall be on proper cusp, fossa and marginal ridges where possible. There shall be contact only in centric occlusion and not in lateral movements except where requested.

6. Cases mounted by contract lab will be mounted on a calibrated 2240 whip mix articulator.

7. No plastic articulators will be used for dual arch impressions. All cases must be mounted on a metal articulator.

8. Implant custom abutments must be fabricated according to the dentist specifications. Soft tissue cast must be utilized and no cement retained restoration margin should ever be more than 1 mm below the tissue.

9. All crowns and bridges must be fit to a solid cast to provide the most accurate proximal contacts.

10. Contract lab must be able to accept digital impressions.

1. Who is the current incumbent contractor performing dental lab services for the Birmingham VA

Healthcare System under this or any predecessor contract? There is no currently operating contract for these services. The most recent incumbent contractor is Oral Arts Laboratory, Inc.

2. What is the award number of the predecessor contract? The predecessor contract number is 36C24720C0198.

3. We would like to coordinate the pickup of the casts referenced in the contract so that we can proceed with providing the required samples. Please let me know what information or steps are needed from my end to move this process forward. All instructions for coordinating the pickup and drop-off of the casts are detailed in the attachment entitled “Technical Samples”, that was included in the solicitation posting under solicitation number 36C24726Q0412 on SAM.gov.

NOTE: The “phases” of the solicitation have been shifted and the sample pick-ups will be coordinated AFTER completion of Phase I and notification from the contracting officer.

4. Since we are not inside the 2 hour window, does this disqualify us? There is a locality requirement documented on page 36 of the solicitation, anything outside of this range would be considered unacceptable.

5. How and when will offerors be notified to pick up the casts and other materials required for sample fabrication? The “technical samples” document has been modified and updated to include instruction as to how the casts will be picked up and dropped off.

6. Is in-person pickup and delivery at the Birmingham VA Medical Center mandatory, or are shipping/courier options permissible for either pickup and/or return of completed samples? In person pickup and drop-off are the only permissible means for performing the solicitation tasks at this time. There is no option for shipping/courier at this time.

7. Will pickup be coordinated individually with each offeror, or is there a designated pickup window applicable to all vendors? Pickup and drop-off will be coordinated as detailed in the “technical samples” document.

8. Does the 10-day turnaround period begin at the time of physical pickup, at notification, or at another defined point? This turnaround time has been modified and updated within the “Technical Samples” attachment. The technical samples will now be executed later in the solicitation process after completion of “Phase I”.

9. Should scheduling and coordination for pickup/delivery be arranged directly with the listed POC

- Sonni Woodbury (Dental Service Administrative Officer). If Yes, kindly provide the contact details for Sonni Woodbury. Yes, the contact information for Mr. Woodbury is detailed below as well as the newly added alternate POC, Mr. Jimmy Reed.

10. In the event of scheduling conflicts or delays in pickup, will alternate arrangements or extensions be permitted? There are no options for alternate arrangements or extensions permitted at this time.

11. For the purposes of the technical sample evaluation, are offerors required to use traditional fabrication methods exclusively, or are digital workflows (e.g., scanning and CAD/CAM processes) acceptable provided the final deliverables meet the stated quality requirements? For the purposes of the technical sample evaluation, offerors may use digital fabrication to achieve final deliverables as long as they meet the stated quality requirements.

12. Will the deadline for sample submission be extended? The deadline for the technical samples have been shifted, originally the samples were due within 10 days of the solicitation being issued (4/20/2026), as detailed under Phase I of the original solicitation. However, the solicitation was inactivated for revision. As of today’s date, Phase I and Phase II have “swapped” and the technical samples are now due after completion of Phase I and detailed in the updated attachments. Offerors will be required to submit documentation IAW with the updated Phase I requirements, once evaluated, acceptable offerors will proceed to Phase II (technical samples).

13. Are you looking strictly for local labs? Can vendors propose a model where some items are fabricated by local labs and other items with longer lead times are fabricated outside of AL and shipped within the established TATs? Local labs are required to be within a 2-hour radius. There is no shipping option at this time.

14. Will you be issuing a new Price Schedule with specific line items & quantities? Not at this time.
