SECTION B - CONTINUATION OF SF 1449 BLOCKS

B.1 CONTRACT ADMINISTRATION DATA

1. Contract Administration: All contract administration matters will be handled by the following individuals:

a. CONTRACTOR: TBD

b. GOVERNMENT:

Contacting Officer (CO):

Ashley Nguyen, Contracting Officer, 36C10X Ashley.Nguyen@va.gov Strategic Acquisition Center – Frederick Department of Veterans Affairs 5202 Presidents Court, Suite 103 Frederick, MD 21703

Contract Specialist (CS):

Justin Lumpkin, Contract Specialist, 36C10X Justin.Lumpkin@va.gov Strategic Acquisition Center – Frederick Department of Veterans Affairs 5202 Presidents Court, Suite 103 Frederick, MD 21703

Contracting Officer’s Representative (COR):
TBD

1. The MSPV Gen-Z V1 Indefinite Delivery Indefinite Quantity (IDIQ) CO is responsible for providing overall scope oversight, maintaining communication between contractors and VA, ensuring contract compliance, administering base contract and modifications, and ensuring that annual performance evaluations are completed at the base contract level. The resulting acquisition vehicle will be a multiple-award IDIQ contract in accordance with Federal Acquisition Regulation (FAR) 16.504. Delivery orders awarded against this IDIQ will require PV support, as defined in Statement of Work (SOW) Section II.D. PV Support to each of the Veterans Integrated Service Networks (VISNs) identified in SOW Appendix C: VISN Map and Table. Each VISN-level delivery order (“DO” or “Order”) will have an identified CO, which may or may not be the Indefinite Delivery, Indefinite Quantity (IDIQ) CO, who will be responsible for ensuring that DOs are within the scope of the IDIQ base contracts, administering all DO awards, resolving issues, and ensuring that annual contractor performance evaluations are completed at the DO level and submitted through the Contractor Performance Assessment and Reporting System (CPARS).

2. The CO will designate a Contracting Officer’s Representative (COR) at the IDIQ contract level, and each DO level CO will designate a COR at the individual DO level. The CO will issue a designation letter to the COR and the contractor to ensure that all parties understand the limited authority, role, and responsibilities of the COR.

3. Any reporting requirements will be defined at the DO level.

c. Minimum Guaranteed Amount and Maximum Value

1. The minimum guaranteed amount for this contract is $10,000.00 per DO Contract Line Item Number (CLIN); this amount or higher, which may be obligated at the time of initial DO award to each awardee (based upon initial DO pricing received in response to each VISN-level Delivery Order Proposal Request [DOPR]). Orders beyond the minimum will be determined by department needs and the results of fair opportunity competitions (unless below the threshold for fair opportunity or if an exception to fair opportunity applies). The Government has no obligation to award DOs beyond the minimum guaranteed amount.

2. The maximum aggregate value of all awards and DOs under MSPV Gen-Z V1 is $15,000,000,000. This ceiling is neither divided nor multiplied by the number of awardees.

3. Funding is not currently committed for this contract. The Government intends to fund any minimum guarantees at time of DO award and may fund one or more DOs. Neither contracts nor DOs will be awarded until and unless funds become available. VA will not reimburse bid and proposal costs in the event a contract or DO is not awarded.

d. Delivery Ordering Procedures Contractors under MSPV Gen-Z V1 shall deliver requirements, as identified, throughout the ordering period. Each delivery order will specify details as they relate to deliverables and performance.

Although subject to change, the Government anticipates the initial delivery orders to have a Period of Performance (PoP) consisting of one (1) base year and four, one (1) year option periods.

1. MSPV Gen-Z V1 will follow ordering procedures as outlined in FAR 16.505. In accordance with FAR 16.505(b)(2), the CO will provide all MSPV Gen-Z V1 IDIQ contract holders a fair opportunity to be considered for all awards under MSPV Gen-Z V1 which exceed the micro-purchase threshold, unless one of the following exceptions applies:

a. The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays;

b. Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized;

c. The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order;

d. The order risks compliance with VA’s salient requirements under the Veterans Benefits And Transition Act of 2018 (for example, P.L. 115-407, Sec. 703) or other pertinent statutes;

e. It is necessary to plan an order to satisfy a minimum guarantee; or

f. Any other authorized authority to limit sources found to be in VA’s best interest.

Should one of these exceptions exist, the CO will execute the delivery order limiting fair opportunity sources (or on a sole source basis) justified in accordance with the FAR and agency procedures.

2. As requirements for MSPV Gen-Z V1 are defined, Contractors will be given the fair opportunity to compete for the award, assuming the threshold is met and one of the exceptions noted above does not exist. The CO will issue a DOPR for each VISN, in accordance with FAR 16.505 and the procedures as outlined below. All MSPV Gen-Z V1 IDIQ contract holders will be permitted to respond to DOPRs issued for each VISN. Only one IDIQ holder will receive DO award per VISN. It should be noted that while MSPV Gen-Z V1 contractors are not required to submit a proposal for all DOPRs for which they are afforded the opportunity, in an effort to obtain maximum competition, they are expected to do so for all VISNs where they expressed interest in providing distribution services in their proposal to the base IDIQ solicitation. Repeated failure to provide a response for those VISNs identified in an Offeror’s IDIQ proposal may be taken into consideration when deciding whether or not to exercise the option. Contractors unable to perform the requirements as stated in a DOPR must submit a “no-bid” to the CO with a brief, yet specific, explanation.

3. Each DOPR will include, at a minimum:

a. the due date and instructions for proposal submission,

b. Statement of Work (SOW) or specifications, with a description of the requirements, including deliverables, and applicable information,

c. the place and PoP, and

d. any additional information deemed necessary by the CO or required by FAR 16.505.

4. The delivery order proposals will be evaluated in accordance with the unique evaluation criteria as set forth in each DOPR. The CO is not required to prepare formal evaluation plans, post notice on the Government Point of Entry (GPE) located at located at https://sam.gov/content/opportunities or hold discussions or negotiations with each offeror. The CO will, however, maintain an internal record of the award decision and supporting information. COs may evaluate by directly comparing competitive proposals and make an award decision based upon this comparison.

5. In accordance with FAR 16.5, the CO has broad discretion in determining which contractor should receive a delivery order. The CO will issue a delivery order to the contractor whose proposal is most advantageous to the Government considering the evaluation factors specified in the DOPR. The CO reserves the right to withdraw or cancel the DOPR. In such event, the contractor will be notified, via email, of the CO’s decision. This decision shall be final and conclusive and shall not be subject to the Disputes Clause or the Contract Disputes Act.

6. Upon DO award, the DO will be sent via email to the contractor. The contractor is not authorized at any time to commence DO performance prior to issuance of a signed DO or other written approval provided by a CO. The contractor’s failure to begin performance within the time frame required may result in termination of the delivery order and reconsideration of the other delivery order proposals received in response to the DOPR.

7. In accordance with FAR 16.505(b)(6), contractors may request a post-award debriefing for orders exceeding $6 million. The DO CO will conduct post-award debriefings in accordance with FAR 16.505(b)(6)(ii) and FAR 15.506. Issues arising from the placement of orders are not protestable to the Government Accountability Office unless the protest alleges that the order exceeded the value, scope or period of the contract or in the case where a single delivery order exceeds $10 million.

8. Delivery orders may only be modified by written modification, executed by a warranted CO. The contractor shall not perform or provide services that are not expressly stated in the contract or DO. A COR does not have the authority or means to obligate the Government or change the terms and conditions of the contract or DO.

e. On-Ramp/ Off-Ramp

1. On-Ramping The Government reserves the right to “on-ramp” additional MSPV Gen-Z V1 contractors throughout the ordering period to ensure adequate competition, during events such as, but not limited to, PV failure or reduced vendor pool. Should the Government exercise this right, a new solicitation with tailored requirements, terms, and conditions will be issued to the GPE at https://sam.gov/content/opportunities. New MSPV Gen-Z V1 awardees will be added to the pool of MSPV Gen-Z V1 IDIQ contract holders for future delivery orders.

Contracts awarded via the “on-ramp” process will share in, but not necessarily increase, the previously established ceiling. The “on-ramping” process will not necessarily extend the ordering period.

“On-ramping” and “off-ramping” processes may occur independently and are not guaranteed as a result of the other. The decision to “on-ramp” and “off-ramp” is at the sole discretion of the Government.

2. Off-Ramping The Government may off-ramp Prime Vendors (PVs or Contractors) at any time during the contract for performance issues, responsiveness, or eligibility at its discretion.

a. Performance

PV performance will be assessed/evaluated at the base contract and delivery order level. Quality Assurance Surveillance Plan (QASP) and other performance measures as determined appropriate by the Government will be utilized. DO performance will be reported through the CPARS.

In the event of severe and/or multiple performance failures not remedied to the Government’s satisfaction, the Government reserves the right to off-ramp the PV at no cost to the Government.

b. Responsiveness

Contractors are not required to submit a proposal for all DOPRs for which they are afforded the opportunity, in an effort to obtain maximum competition, they are expected to do so for all VISNs where they expressed interest in providing distribution services in their proposal to the base IDIQ solicitation. Contractors unable to perform the requirements as stated in a DOPR must submit a “no-bid” to the CO with a brief, yet specific, explanation. Repeated failure to provide a proposal or adequate rationale for failure to propose on those VISNs identified in an Offeror’s IDIQ proposal may result in off-ramping at no cost to the Government.

c. Business Integrity and Conflicts of Interest (COI) In accordance with the law and contract terms, Contractors are required to report suspected conflicts of interest and other business integrity issues (including organizational/personal conflicts of interest, improper buying-in, kickbacks, fraud, etc.) to the Contracting Officer. In cases where Contractors are self-reporting conflicts of interest, they are expected to present a mitigation plan to the Contracting Officer for consideration. Notwithstanding any other provisions of the law or this contract, failure to inform the Contracting Officer of suspected conflicts of interest or other business integrity issues, and/or failure to submit suitable conflict of interest mitigation could result in off-ramping at no cost to the Government.

3. Options In accordance with FAR 17.2, DOs may contemplate the use of options. Inclusion of options at the DO level will be properly documented and approved in accordance with the FAR and agency procedures and will be clearly stated in the DOPR. FAR 52.217-9 will be included in any DOs that include options.

(a) Definitions. As used in this clause— Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures. (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.
