(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

E.3 FAR 52.212-2 EVALUATION – COMMERCIAL – SIMPLIFIED ACQUISITION PROCEDURES – Partial Quotes Considered Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following provisions are incorporated into 52.212-2 as an addendum to this solicitation:

(a) Basis of Award The Government will award one or more purchase orders resulting from this solicitation to the responsible offeror(s) (see FAR 9.104-1) whose offer(s) conforming to the solicitation will be most advantageous to the Government. Partial quotes will be considered. Partial quote means a quote for one or more but not all line items in the requirement. Quotes for line items with less than the quantity in the solicitation are not acceptable. The following factors shall be used to evaluate offers:

Technical Price

[LOWEST PRICE TECHNICALLY ACCEPTABLE (LPTA)]

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(b) Evaluation Approach Evaluation of offerors will be made on an LPTA basis. The following factors will be used to evaluate offers: 1) Technical (meets salient characteristics/specifications detailed in the SOW including delivery and warranty information) and 2) Price.

All Offerors are advised that, in the interest of efficiency, the Government reserves the right to conduct the evaluation in the most effective manner. Specifically, the Government may first evaluate the total proposed price for each CLIN quoted. Thereafter, the Government will evaluate the technical quotation(s) of the lowest priced CLIN(s) only. If the Offeror’s technical quotation of the lowest priced CLIN(s) is determined to be rated as Acceptable, the Government may make award(s) to that/those Offeror(s) without further evaluation of the remaining Offerors’ technical quotations. If the Offeror’s technical quotation(s) of the lowest priced CLIN(s) is determined to be rated as Unacceptable, then the Government may evaluate the technical quotation of the Offeror of the next lowest priced CLIN(s), and so forth and so on, until the Government reaches the lowest priced technical quotation(s) that is/are determined to be rated as Acceptable. However, the Government reserves the right to evaluate all Offerors’ technical quotations should it desire to conduct discussions, or otherwise determine it to be in the Government’s best interest.

1. Technical.

SUPPLIES: Meets specifications/salient characteristics listed in SOW. This factor will be determined through Government evaluation of the quoted equipment against the Governments minimum requirement as identified in the SOW. The Offeror shall provide an electronic copy of the cut sheets/manufacturer’s specifications for all items quoted unless quoting the brand name. The quote shall indicate if the item is the brand name or an equivalent. These cut sheets/manufacturer’s specifications shall contain adequate specifications for the Government to determine the product meets the specifications identified in the SOW. Not providing this information may render the quote technically unacceptable and, thus, ineligible for award.

GRAY MARKET PREVENTION:

(a) Gray market items are Original Equipment Manufacturers (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical supplies, medical equipment and/or services contracts for maintenance of medical equipment (i.e. replacement parts) for VA Medical Centers. No remanufactures or gray market items will be acceptable.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor, or authorized reseller for the proposed medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment (i.e. replacement parts), verified by an authorization letter or other documents from the OEM, such that the OEM’s warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the medical supplies, medical equipment, and/or services contracts for maintenance of medical equipment shall be in accordance with the OEM terms and conditions.

The delivery of gray market items to the VA in the fulfillment of an order/award constitutes a breach of contract. Accordingly, the VA reserves the right enforce any of its contractual remedies. This includes termination of the contract or, solely at the VA’s election, allowing the Vendor to replace, at no cost to the Government, any remanufactured or gray market item(s) delivered to a VA medical facility upon discovery of such items.

2. Price.

Price will be determined by multiplying the quantities identified for each CLIN quoted by the proposed unit price for each Contract Line Item Number (CLIN). The extended amounts for each CLIN will then be used to determine the lowest price for each CLINs.

The Government will review the price schedule for completion and accuracy, as well as the fairness and reasonableness of the quoted prices. The Government is not required to identify the relative weight of the evaluation factors, hold discussions, or use other FAR 15 procedures. Reference FAR 13.106-2(b)(1) and 13.106-2(b)(3) – Evaluation of Quotations or Offers.

(End of Provision)

E.4 52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS—COMMERCIAL ITEMS (OCT 2018) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov.
