E.1 ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERICAL ITEMS

(A) Introduction The Department of Veterans Affairs (VA), Veterans Health Administration (VHA), Program Contracting Activity – Central (PCAC) is issuing this Request for Quotation (RFQ) to solicit vendors for the purpose of entering into a single award Indefinite Delivery Indefinite Quantity (IDIQ) contract. This acquisition is being conducted in accordance with the procedures in Federal Acquisition Regulation (FAR) Parts 12, 13 and 37. This will be an award for a base IDIQ contract and the first Task Order (“Task Order 1 - Preplanning Services”). The RFQ is a 100% Service Disabled Veteran Owned Small Business (SDVOSB) set-aside.

(B) Submission of offers.

(1)Offers/Quotes shall be received on or before the date and time specified in Block 8 of the SF-1449. Offers/Quotations received after the due date and time will not be considered.
(2)The offeror’s quote shall be submitted electronically to the address specified in Block 8 of the SF-1449 no later than Thursday, May 9, 2019, at 10:00 AM Eastern Standard Time. Quotes sent electronically must be sent via email to the Contracting Specialist, Shanae Thomas, at shanae.thomas@va.gov, and the Contracting Officer, Matthew Sheridan, at Matthew.Sheridan2@va.gov. Failure to send the quote to BOTH the Contracting Specialist and Contracting Officer may result in the quote not being accepted.

(3) WARNING: Please do not wait until the last minute to submit your quote. Late quotes will not be accepted for evaluation. To avoid submission of late quotes, we recommend the transmission of your quote files 24 hours prior to the required due date and time. Please be advised that timeliness is determined by the date and time an offeror’s quote is received by the Government; not when an offeror attempted transmission. Offerors are encouraged to review and ensure that sufficient bandwidth is available on their end of the transmission to successfully send electronic submissions.

(4) Each section of the quote has a specific page limit as identified below in Section F, Information to be Submitted. Section F, paragraphs (1)-(5) shall not exceed 30 single sided pages total, and each section shall not exceed the listed page limit. Any pages in excess of the allotted amount will be removed and not included as part of the evaluation. Font type shall be no smaller than size 12 font on standard 8.5” x 11” pages. This includes all pictures, charts and graphs. The page limit and font size restrictions do not apply to the following Section F Paragraphs; Paragraphs 5 - Price Submission, Paragraph 6 - Other Requested Submittals, and the AIMS submittal of Paragraph 2 – Activation Management Plan (it does apply to all other submittals under paragraph 3)

(5) Submitted quotes should contain the offeror’s best terms. Offerors may only submit one quote per registered SDVOSB. The Contracting Officer may reject any or all quotes. After the evaluation of quotes, the Contracting Officer may negotiate final terms with one or more offerors of the Government’s choosing before issuing a single award IDIQ contract. The Contracting Officer will not use the formal source selection procedures described in FAR Part 15. The Contracting Officer may award to the offeror with other than the lowest price.

(C) Period of Acceptance of Offers/Quotations

The offeror agrees to hold the prices in its offer/quotation firm for no less than 90 calendar days from the date specified for receipt of offers/quotations.

(D) Technical Questions Questions of a technical nature shall be submitted electronically, via email, to Contracting Specialist, Shanae Thomas, at shanae.thomas@va.gov, and the Contracting Officer, Matthew Sheridan, at Matthew.Sheridan2@va.gov, no later than Thursday, May 2, 2019 at 12:00 PM Eastern Standard Time. Oral questions of a technical nature are not acceptable due to the possibility of misunderstanding or misinterpretation. Failure to send questions to BOTH the Contracting Specialist and Contracting Officer may result in the questions not being answered.

(E) Amendments Amendments to this solicitation will be posted to FedBizOpps (https://www.fbo.gov/), referencing the solicitation number. Paper copies of the amendments will NOT be individually distributed. Failure to acknowledge an amendment may result in your Offer/Quotation being considered unacceptable.

(F) Information to be Submitted

(1) Key Personnel (maximum of 10 pages, including resumes):

The offeror shall provide a narrative on how each individual proposed as key personnel meets the requirements identified in paragraph 12.1 of the IDIQ PWS. The offeror shall describe the qualification and experience of all key personnel to support this effort. In addition, a resume shall be provided for each individual proposed as key personnel identified in paragraph 12.1 of the IDIQ PWS.

The resume and/or narrative should specifically detail how the individual meets the minimum requirements as stated below, to include education, training, licenses, certifications, and years of experience applicable to assigned position. For example, if the minimum requirement for a position is 5 years of Program Management experience the resume should not just simply list the work experience of the individual in the resume and expect the Government will interpret what is being presented as an example of Program Management experience and what is not. If it’s not clearly identified, it will not count towards the minimum requirements. This is true of all minimum requirements for all key personnel positions.

If the offeror is awarded the contract, it is the expectation that the individual identified on the resume will fill that position. Any deviations will be subject to the substituting, removing, replacing or diverting of key personnel requirements in PWS paragraph 12.1.

For both the Project Director and Project Manager positions the narrative and resume should detail the ways the minimum requirements are exceeded. If the offeror is awarded the contract, any exceeded requirements proposed for the Project Director and Project Manager position will replace the minimum requirements for the length of the contract.

(2) Activation Management Plan (maximum 9 pages, excluding AIMS):

Each offeror is required to submit the following:

1. A proposed utilization and management of resources and personnel, including an initial staffing and vacancy filling plan.

1. A communication plan to demonstrate the offeror’s process of for ensuring all critical information will be clearly, accurately, and timely exchanged between all stakeholders.

1. A draft Activation Integrated Master Schedule (AIMS), based on the IDIQ PWS and Attachment L, Dates for Sample AIMS, to show how the offeror proposes to meet the Government’s requirement based upon the current information provided. This AIMS should be as detailed as possible given the limited information provided.

1. In addition to the AIMS the offeror shall provide narrative describing any risks the offeror can identify. Along with identifying these risks the offeror shall provide a risk mitigation plan on how, if awarded this contract, the offerors would work to reduce the risk to ensure a successful project.

(3) Task Order 1 Technical Submission (maximum 8 pages):

Task Order 1 will be awarded concurrently with the IDIQ. Each offeror is required to submit the following:

1. A technical response to Task Order 1 PWS to include a detailed technical/management approach for accomplishing each task included in Task Order 1.

1. A Basis of Estimate worksheet shall be created and submitted to show the details of the proposed labor mix for each CLIN in Task Order 1. This worksheet is separate from Attachment N, Activation TEP Calculation Workbook; however, the proposed labor categories and labor hours must match the Activation TEP Calculation Workbook for Task Order 1. The Basis of Estimate worksheet does not count toward the maximum page limit.

1. A narrative describing how fixed price travel was determined, to include the purpose of the trip, the number of trips, number of days, number of travelers, and description of any additional costs that were identified in the Activation TEP Calculation Workbook, “4-TO 1 Travel” tab under Column M, “Additional Costs.” This narrative shall not contain any cost information.

(4) Past Performance Submission (maximum 3 pages):

Each offeror shall identify up to three references for similar services on Government contracts within the past three years. The submission should include a brief description of the project, Contracting Officer’s Representative (COR) contact information for references, contract number, and dollar value (base and all options value).

(5) Price Submission (no page limit):

Each offeror must complete and submit the included Microsoft Excel Activation TEP Calculation Workbook in order to be eligible for award. The workbook consists of three tabs which must be completed by each offeror:

Instructions for Activation TEP Calculation Workbook:

1. Tab 2 “Labor Rate Table”

0. Each offeror shall complete column B (ORANGE cells) to identify the title of the offeror’s labor category which matches the Government’s Functional Area.

0. The offeror will then provide 5 years of fully burdened rates for each of their proposed labor categories in columns C, D, E, F, and G (YELLOW cells).

0. Every Government Functional Area must have a proposed Contractor Provided Labor Category and 5 years of rates or the offeror will be considered nonresponsive.

0. The same Contractor Provided Labor Category may be used for multiple Government Functional Areas (the rates must match). These labor rates will be locked into the subsequent 5-year IDIQ for the awardee.

0. This labor rate table will become part of the IDIQ contract for the awardee and will be used to price all future Task Orders under the IDIQ.

1. Tab 3 “TO 1 Price Proposal”

1. Each offeror will quote the number of labor hours needed for each Contractor Provided Labor Category for each year in order to meet the requirements of the Task Order 1 PWS in Columns D, G, and J (all BLUE cells).

1. All labor categories from the Tab 1, “Labor Rate Table,” are available to use on the “TO 1 Price Proposal” Tab, but not all may be required.

1. If the offeror does not require a labor category to complete Task Order 1, the respective hours cell should be left at “0”. Cell L30 will auto populate based on the completion of the “4-TO 1 Travel” tab.

1. Task Order 1 will be awarded as a Firm Fixed Price

1. Tab 4 “TO 1 Travel”

2. Under the “TO 1 Travel” tab, the offeror will complete rows 3 to 30 (not all rows may be needed) to identify all trips needed to meet the requirements of Task Order 1.

2. If the exact same trip will be made multiple times (same location, number of travelers, number rental cars, and number of days/nights) the column D “Total Trips Per TO” should represent the total amount of times that trip is required.

2. When location, number of travelers, number rental cars, and number of days/nights varies, a new row should be created.

2. Travel will be awarded as a Firm Fixed Price

1. Tab 5 “All Other TO Price Estimate”

3. There is no action required of the offeror under this tab.

3. This tab takes the information provided on the previous tabs and applies it to a Government estimate of hours needed for each labor category for each year of the IDIQ outside of Task Order 1.

3. This will better help the Government forecast the potential price of the IDIQ Tasks that are not captured under Task Order 1.

3. This information is FOR EVALUATION PURPOSES ONLY.

3. The actual hours required and labor category mix for any future task outside of Task Order 1 is unknown at this time and will be proposed by the awardee, negotiated, and awarded on a Task Order basis.

1. Tab 6 “TEP Rollup”

4. There is no action required of the offeror under the “TEP Rollup” tab.

4. This tab totals the amounts quoted by the offeror for Task Order 1 and the estimate calculated by the Government (based on the proposed labor rates) for all other Task Orders to determine a total evaluated price (TEP). This will be the price used for evaluation purposes in awarding the IDIQ and Task Order 1.

(6) Other Requested Submittals (no page limit):

Each offeror must submit the following:

1. Signed 1449 and signed Amendments to the solicitation (if any)

1. A completed copy of the offeror’s representations and certifications (see FAR 52.212-3(b)) or System for Award Management print out of updated Reps and Certs.)

1. A Schedule of Values to show tasks and monthly invoicing for Task Order 1. The offerors shall not simply divide the total proposed price by the number of months in the period of performance and make that the monthly invoicing amount (unless the offeror firmly believes incurred costs will be the same every month for the duration of the period of performance. The Schedule of Values should show an understanding of the magnitude of work required across the period of performance based on the AIMS.

1. A complete list of all proposed subcontractors to perform on Task Order #1. For Acquisition planning and FF&E procurement related tasks, which are divided by prime and subcontractor, you must provide a list of which activities are performed by which contractor.
