About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) for a lease renewal. The General Services Administration (GSA) Public Buildings Service Region 3 is seeking to renew a lease with the incumbent lessor for office space located at 110 W Main St, 213 W Main St, 112 E Market St, and 540 Riverside Dr. The rental rate for the renewal option has been determined to be fair and reasonable based on market research. The incumbent lessor has provided satisfactory performance throughout the term of the existing lease, and no other sources have expressed written interest in the acquisition. GSA will negotiate the renewal option directly with the incumbent lessor in accordance with GSAM 570.401. If a continuing need for the space exists upon lease expiration, GSA will consider a competitive action, but may also factor in the costs of relocation and buildout of new space.

Based on the above research, the rental rate for this sole source procurement is determined to be fair and reasonable. Therefore, GSA will deal directly with the present Lessor, in accordance with GSAM 570.401:

Renewal Options. A price negotiation memorandum will be prepared to document price reasonableness of the renewal option prior to award.

7. DESCRIPTION OF MARKET RESEARCH CONDUCTED AND THE RESULTS.

GSAR 570.402-5 allows for negotiation with the incumbent Lessor when a cost-benefit analysis shows that the Government cannot expect to recover relocation and duplication costs through competition.

In addition to the market research above, PBS posted an advertisement conforming to GSAR 570.401 on the Contract Opportunities domain of SAM.gov website on October 18th. No expressions of interest were received.

8. OTHER FACTS SUPPORTING USE OF OTHER THAN FULL AND OPEN COMPETITION.

Throughout the term of the lease the current Lessor has been very responsive to building maintenance calls and all previous work has been completed in a satisfactory manner. Though sufficient federal space is currently unavailable, the Government did consider this option. In accordance with the requirements of

GSAM 517.207 (b), the lessor’s performance under this lease has met the Government’s expectations for quality performance

9. LIST OF SOURCES, IF ANY, THAT EXPRESSED, IN WRITING, AN INTEREST IN THE

ACQUISITION.

No source other than the incumbent has expressed written interest in the acquisition.

10. STATEMENT OF ACTIONS, IF ANY, THE AGENCY MAY TAKE TO REMOVE OR OVERCOME

ANY BARRIERS TO COMPETITION BEFORE ANY SUBSEQUENT ACQUISITION.

There are no systemic barriers to competition. If the agency has a continuing need for space upon lease expiration, GSA will follow all authorities, regulations, and policies applicable to lease acquisition. Should there be remaining useful life in the Government’s tenant improvements, the Government will consider the cost of moving from the existing location, and the cost to build out new space when deciding whether to undergo a competitive action.

Additionally, objective scrutiny will be given to the customer agency’s mission and security requirements

(if applicable) to eliminate unnecessary agency space requirements that may be deemed unduly restrictive.
